(a) All Offerors shall provide the names and CAGE codes of small business concerns (including the Offeror if a small business concern) who would participate in accomplishing the proposed contract; the small business classification of each U.S small business concern (i.e. SB, SDB, WOSB, HUBZone SB, VOSB, and SDVOSB); and a short description of the specific supplies or services to be provided by each small business concern. If a small business does not have a CAGE code, insert the word “None.” List all SB classifications that apply to each concern.

(b) All Offerors, including Offerors who are themselves U.S small business concerns based on the North American Industry Classification System (NAICS) code and size standard applicable to this procurement, are to identify the extent to which U.S. small business concerns will be utilized as fist-tier subcontractors in the performance of this proposed contract. U.S small business concerns are defined (1) in FAR 19.001 and (2) by the criteria and size standards in FAR 19.102 for the applicable NAICS code.

(c) A small business Offeror shall indicate the percentage of work performed by itself, as well as by any Small Business subcontractors. Proposals submitted by Large Business Concerns shall indicate the percentage of work performed by Small Business Subcontractors. The Small Business Participation percentage shall be calculated as follows:

Participation % = Total Small Business contract + Subcontract Dollars Total contract Value

(d) The Government’s Small Business Participation objective for this contract is 20%. The Offeror is encouraged to propose a Small Business Participation objective percentage as high as is practicable, as long as the percentage is supported by the related Small Business participation approach outlined in paragraph (e) below. The Offeror’s proposed Small Business Participation percentage shall be incorporated into the contract upon award.

(e) Provide an approach for how the Offeror intends to meet the proposed Small Business participation percentage.

The Offeror shall provide rationale that demonstrates the tasks assigned to the selected Small Businesses are meaningful to the overall success of this contract. Offerors shall follow the below described two-step process for identifying known or potential OCI issues to the Government for this solicitation.

Step 1: If it is believed that conflicts of interest are real, possible, or perceived, the contractor shall submit a letter within fourteen (14) days of the release of the solicitation identifying those OCI issues and the strategy that the Offeror intends to use for mitigation. This letter will be for notification purposes only, for the Government to conduct any research, and no determination will be made by the Government at that time. If no OCI issues are present or anticipated, no action is required of the Offeror within this window.

Step 2: Offerors shall submit a statement in affirmation or negation whether they have an OCI conflict regarding this solicitation. If OCI issues are present or anticipated, Offerors shall provide details and submit an OCI mitigation plan and its corporate policy for resolving as part of their proposal submission. If it is believed that no conflicts of interest exist, then the Offeror shall clearly state this, in addition to providing their corporate policy for resolving OCIs. Organizational charts and/or corporate policy are authorized to be submitted in addition to the OCI Mitigation Plan and do not count toward any page limitation.

Award will only be made to an Offeror, including all subcontractors, that has no organizational conflict of interest as defined in FAR 9.5 or that the Government determines has provided a satisfactory mitigation plan in accordance with L-209-H009 herein.

Failure by an Offeror to disclose a potential OCI or to submit an OCI mitigation plan with its proposal may render itself no longer being considered for award.

If no conflict of interest exists, the Offeror shall provide a written statement certifying as such.

In the transition plan, the offeror shall identify which tasks of the SOW the Offeror is capable of providing full service at start of the ordering period, and which tasks will require a transition period. For those tasks that require a transition period, the Offeror shall address how it plans to achieve full operational tempo within the 90-day transition period. The plan shall consist of no more than four (4) pages.

General statements such as “the offeror will hire incumbent employees” will not constitute compliance with the requirement and may be interpreted as a lack of understanding.

3.0 FACTOR 1 – TECHNICAL CAPABILITY

Offerors shall provide information by addressing each subfactor in the format and sequence identified in the solicitation. The Offeror must provide information in sufficient detail to allow the Government to evaluate the Offeror’s understanding of the requirements and the capability to perform in accordance with the Statement of Work. The proposal shall be detailed and clearly stated to allow an evaluation by the Government without the need for additional clarifications.

3.1 Subfactor A - Hypothetical Problems

The Offeror shall provide a detailed approach for the Hypothetical Problems described below which demonstrates its understanding of the issue(s) and SOW requirement(s). The Offeror shall identify Applicable Documents (AD) and Government Furnished Information (GFI) necessary to accomplish each Hypothetical Problem, and the Offeror’s plan to effectively incorporate the AD and GFI into the performance of each Hypothetical Problem. In addition, the Offeror shall demonstrate an understanding and identification of significant potential risks as well as appropriate mitigation plans for each Hypothetical Problem.

3.1.1 Hypothetical Problem #1 (SOW 4.1):

A test system requires a 100-gallon water tank to be maintained at +/- 25 F of ambient (70 F) temperature to meet the customer’s requirement. The test system currently has no temperature control system installed, but it does have a thermocouple to monitor the temperature.

Propose a modification of the test system to include a cooling system to meet the above requirement. For the purposes of this task, assume the temperature rise can be anywhere between 1 and 25 degrees F per minute depending on the speed of the test article.

Discussion shall include:

1. List of equipment required with applicable specifications

2. Schematic of cooling system with equipment in place

3. Description of the controls used to deliver the variable cooling rates

4. An estimate of schedule, budget, lead time, and projected down time to install the cooling system

Response to Hypothetical Problem #1 shall not exceed three (3) pages; two (2) pages of written descriptions, with tables, and one (1) page schematic.

3.1.2 Hypothetical Problem #2 (SOW 4.2):

The PTF has two principal Torpedo test systems, TS1 and TS2. Both test systems produce hazardous waste due to the burning of monopropellant fuel, which is separated into two streams, liquid and gaseous byproducts. The gaseous waste is incinerated in a thermal oxidizer, which can only be configured for one test system at a time. After completion of the test, the test article itself must be flushed of hazardous waste and turned around for the next test.

Only one test article can be turned around at a time, but two can be built concurrently. Provide a plan and labor mix for running an six (6) tests per year on TS1, eight (8) tests per year on TS2, provided the following constraints:

1. TS1 requires 3 technicians to build, 4 technicians to integrate, 8 technicians (or engineers) to test, and 3 technicians to turnaround.

2. TS2 requires 2 technicians to build, 3 technicians to integrate, and 7 technicians (or engineers) to test, and 2 technicians to turnaround.

3. Both test systems assume the following average times, given in days.

Build Time Integration Time Test Time Turnaround Time

TS1 25 8 3 10

TS2 21 3 2 5

4. Assume that TS1 and TS2 cannot be integrated while one of them is being either integrated or tested, due to explosive safety constraints.

5. Assume that builds and turnarounds can happen in parallel with no restrictions.

Response to Hypothetical Problem #2 shall not exceed (2) pages.

3.1.3 Hypothetical Problem #3 (SOW 4.3):

A Torpedo Test Equipment system requires the replacement of its computer and data acquisition (DAQ) system, which is now obsolete. The obsolete system consists of a Windows PC, running Windows 10, an NI PXIe chassis, an analog input card, and a digital output card. All DAQ hardware can be assumed to need replacement along with the outdated PC. The software for the system is written in LabView, using the Real-Time module. The computer system is responsible for controlling the operation of the system, recording data, and printing output. The computer system shall be utilized in the field via a mouse, keyboard, and touch screen. The Test Equipment system requires, at a minimum, 10 analog inputs (assume 4-20 mA), 5 digital outputs, and frequency measurement up to 1 kHz. The system is required to operate in a semi-indoor environment with average relative humidity above 90% and a maximum temperature of 100 F. If the replacement system runs windows, then it must run Windows 11.

1. Choose a computer system and associated hardware that will meet the requirements, along with any additional protections recommended to ensure reliability in its environment.

2. Provide a brief explanation of methodology and testing protocol that you would use to ensure that the replacement computer and data acquisition system would perform an identical function to the original system, using the same Test Equipment non-computer hardware and software.

Response to Hypothetical Problem #3 shall not exceed two (2) pages.

3.2 Subfactor B – Personnel Approach

3.2.1 Senior Technical Representative (STR)

Identify the STR designated to manage the overall effort as a Key Person and serve as the primary point of contact with the Contracting Officer’s Representative (COR). Address the STR’s authority, ability to independently commit resources to performance under the contract, the STR’s line of communication to senior company management. Describe the STR’s previous experience managing similar efforts.

Include a resume for the STR. Resume shall include the following: employee name, number of years of professional experience, current position/title/employer, education history, and chronology of professional experience.

3.2.2 Key Personnel

Identify and provide resumes for a minimum of seven (7) Key Personnel, inclusive of the STR, covering the below areas of expertise (if the resumes are included elsewhere in the proposal, e.g. the STR, identify their locations and do not resubmit). With the exception of the STR, required in 3.3.1 above, all Key Personnel must be personnel that will be charged directly to the contract and not as a part of any indirect cost.

Offerors may propose the estimated labor mix shown in the table above or deviate. If an Offeror’s proposed labor mix differs from the Government’s estimate by twenty-five percent (25%) or greater, in terms of either or both labor category and level of effort distribution, the Offeror shall provide rationale to explain why the proposed deviation is appropriate. The rationale shall not exceed five (5) pages. If the offeror’s proposed labor mix differs from the Government’s estimate by twenty-five percent (250%) or greater, in terms of either or both labor category and level of effort distribution, and the Offeror does not provide the required rationale it may result in upward cost adjustments and/or one or more weaknesses/deficiencies during evaluation.

In order for the labor mix rationale to demonstrate the proposed deviating labor mix is appropriate, it shall address:

(1) How the proposed labor mix deviation in terms of level and area of expertise (e.g., proposed labor categories) is suitable for performance of the SOW tasking as it relates to the estimated level of effort and associated complexity identified in the SOW.

(2) How relationships between labor categories will be structured and operate at the task level to accomplish the tasking efficiently and effectively (e.g., peer review process, senior to junior level oversight and interactions, etc.).

(3) How/why the proposed labor mix will result in a high quality, efficient, and cost-effective solution.

For the purposes of defining how a deviation will be calculated, the Government will sum together the absolute value of all labor hour increases and decreases. This total will then be divided by the total estimated hours specified in the solicitation.

For example: the Government’s solicitation is for 10,000 total estimated hours and specifies a labor mix deviation percentage of 20%. An offeror decreases Labor Category A by 500 hours, decreases Labor Category B by 1,000 hours, and increases Labor Category C by 1,500 hours. The sum of the deviation is 3,000 hours total. Therefore, a rationale shall be provided by the offeror since its proposed deviation percentage is 30% (3,000/10,000).

Labor categories cited must be titles listed at the NUWC Division Newport Contracts Website:

http://www.navsea.navy.mil/Home/Warfare-Centers/NUWC-Newport/Partnerships/Commercial- Contracts/Labor-Categories/

For Labor Categories that provide for various Levels (I, II, III, IV), select the Level that matches the proposed individual.

Note for Service Contract Labor Standards (SCLS) Labor Categories Only: Offerors may propose an SCLS labor category listed in the SCA Directory of Occupations (see https://www.dol.gov/whd/govcontracts/sca/htm) even if the SCLS labor category is not listed at the NUWC Division Newport Contract Website. The appropriateness of any proposed SCLS labor category not listed at the NUWC Division Newport Contract Website shall be included in the offeror’s explanation provided.

The offeror shall assign a number of hours to each Labor Category proposed. If a single labor category is proposed with both Key and Non-Key Personnel, the offeror shall break down the distribution of hours between Non-Key Personnel and each Key Person.

Within the Labor Matrix, the offeror shall include a breakdown of the proposed distribution of hours between the Government site(s) and Contractor site(s). The Government anticipates that fifty-six percent (56%) of the labor hours will be performed at the Government site(s) and forty-four percent (44%) of the labor hours will be performed at the Contractor site(s).

If an offeror submits a proposal with a Government to Contractor site ratio that deviates from the Government’s estimate by greater than ten percent (10%) from the Government’s anticipated percentages, the offeror shall include a rationale as to why the Offeror deemed the proposed hours more appropriate and how task order performance will not be negatively impacted by the variance.

If the use of personnel at facilities outside of the local commuting area of NUWCIDVNPT or the Contractor’s facility are proposed, demonstrate that the personnel can be used effectively and efficiently, and that adequate management control exists over their use. If not proposing the use of personnel at facilities outside the local commuting area, the offeror’s proposal shall include a statement indicating as such.

If the offeror proposes to perform any part of the proposed level of effort with employees working in excess of forty

(40) hours per week, regardless of compensation arrangement, provide the following information:

(1) Identify all hours in excess of forty (40) hours per week by labor category whether at the prime or subcontract level.

(2) Provide a copy of the corporate policy addressing work in excess of forty (40) hours per week. Include an assessment of its impact on work effectiveness and specify the extent to which employees are required or encouraged to perform work in excess of forty (40) hours per week. A copy of the corporate policy addressing work in excess of forty (40) hours per week is not subject to the page limit specified for this section.

(3) Identify the number of hours that will be performed without supervision and provide an assessment of the productivity of such effort.

(4) Provide a schedule of times when employees will work hours in excess of forty (40) hours per week, such as 4:30 to 5:30 P.M. Mondays through Thursdays or 8:00 A.M. to 12:00 P.M. on Saturdays for a total of forty-four (44) hours per week.

If not proposing personnel working in excess of forty (40) hours per week, the Offeror’s proposal shall include a statement indicating as such.

4.0 FACTOR 2 – PAST PERFORMANCE

(a) Offeror shall provide three past performance references, if available, which shall reflect recent experience performed within the last three years of the solicitation release date and that demonstrates experience relevant to the solicitation’s SOW.

For each reference, the Offeror shall include contract/order number; contract/order type; program name; total contract/order cost; and names and valid email addresses and Government telephone numbers for the Procuring Contract Officer (PCO), Contracting Officer’s Representative (COR), and Government Program Manager (PM).

For each reference, the Offeror shall identify its role as either a prime contractor or a subcontractor on the referenced contract. If the Offeror was a subcontractor on the reference, then the Offeror shall provide an explanation of its role in contract performance as well as the dollar value of its subcontract.

For each reference, the Offeror shall also provide a written explanation describing the work that was performed and how the work was or is relevant to the work being proposed in this solicitation. The Offeror may provide information on problems encountered on the identified contracts and the Offeror’s corrective action.

(b) Each past performance reference shall not exceed two (2) pages per reference.

(c) Subcontractors proposed to perform more than twenty five percent (25%) of the total proposed value of the contract shall also submit three past performance references, if available, which shall reflect recent experience performed within the last three years of the solicitation release date and that demonstrates experience relevant to the solicitation’s SOW. Subcontractor past performance references shall contain the same information as that of the prime as listed in paragraph (a), above. Each past performance reference shall not exceed two (2) pages per reference, for a total of six (6) pages per subcontractor.

(d) If submitting subcontractor experience for subcontractors proposed to perform more twenty five percent (25%) of the total contract value, the offeror shall include a commitment signed by the offeror and subcontractor certifying that if a contract is awarded resulting from the proposal, the parties commit to joint performance as proposed.

(d)(1) If affiliate companies, sister companies, teaming arrangements, joint venture agreement, etc., proposed to perform more than 25% of the total contract value, the offeror shall submit documentation that the affiliate will perform significant and critical aspects of the contract if awarded. Documentation must include a copy of the signed arrangement (ex. documented affiliation, a copy of the teaming agreement, a copy of the joint venture agreement).

5.0 FACTOR 3 – COST/PRICE

5.1 Maximum Fee Rate

In accordance with FAR 15.404-4(c)(i)(C), a proposed Fee in excess of the CPFF statutory limitation of 10% shall render a contractor’s proposal unacceptable and ineligible for award. Compliance with these instructions is mandatory and failure to comply may result in the rejection of your proposal. Offerors shall not submit data beyond that required by these instructions.

(a) Maximum Fee Rate – Applicable to all CPFF Task Orders

Contractor compliance with the maximum fee rate is appliable at the time of task order award and is based on the ratio of fixed fee to the estimated cost, excluding facilities capital cost of money. Fee becomes a fixed dollar amount at the time of task order award. The contractor agrees that the maximum fixed fee rate that shall be charged against all Task Orders (excluding the Post Award Conference) under this contract shall not exceed the values as stated in the table below:

CLIN: Maximum Fee Percentage* 0001 CPFF Services

*The Offeror shall complete the fill-in information.

At the task order level, prime contractors may propose a fee rate less than the maximum fee rate identified above. In addition, subcontractors may not propose a fee rate that exceeds the prime’s fee rate.

5.2 Cost/Price

FFP Torpedo Test Sets (CLIN 0003)

Offeror shall include the following ceiling limit of $115,340,593 for CLIN 0003 FFP Torpedo Test Equipment (this number is inclusive of burdens and profit). No data beyond this price is required with the initial proposal. FFP Torpedo Test Equipment Delivery Orders will be priced during performance as required.

Offerors shall propose a maximum profit rate percentage (%), which will be incorporated into award and utilized for all delivery orders awarded against CLIN 0003 during the life of the contract.

CLIN: Maximum Profit Percentage (%)* 0003 FFP Torpedo Test Equipment

*The Offeror shall complete the fill-in information.

CPFF/Cost CLINs (CLINs 0001 and 0002)

(a) Cost or pricing data and information other than cost or pricing data, from both the prime offeror and all subcontractors performing any part of the level of effort, shall be provided separately via email and in the format outlined below (see FAR 52.215-20 Alt I). Cost or pricing data provided may need to be certified prior to award (see FAR 52.215-20), and that a request for certification does not constitute “discussions” per FAR 52.215-1. Prime offerors, please note that FAR 52.215-12 is applicable to subcontractors proposed under this contract.

(b) The offeror shall provide detailed information to allow the Contracting Officer to determine the cost realism and reasonableness of the proposed costs. The offeror shall fill in the NUWCDIVNPT Cost Proposal Spreadsheet in Attachment 10 of this solicitation. If the offeror uses additional spreadsheets to build CLIN pricing, these spreadsheets shall be submitted as part of the offeror’s proposal.

(c) The prime offeror shall be responsible for justifying the reasonableness of each subcontractor offeror’s cost. The prime offeror shall indicate the type of subcontract proposed (i.e., cost type, fixed price). The Prime offeror and subcontractor offeror(s) shall fill in the NUWCDIVNPT Cost Proposal Spreadsheet in Attachment 10 of this solicitation. If the Prime offeror or subcontractor offeror(s) use additional spreadsheets to build CLIN pricing, these spreadsheets shall be submitted as part of the offeror’s proposal.

Offerors may alter the format and formulas of this spreadsheet for the sole purpose of accommodating their own accounting systems. Spreadsheets, either in the format above or contractor format, shall contain intact formulas used to calculate any aspect of the proposal (i.e., burdened labor rates, fee, etc.). Spreadsheets provided without intact formulas are unacceptable and may render an offeror’s proposal ineligible for award.

If the prime offeror intends to subcontract 70% of the total cost of all work to be performed, the offeror shall provide the information required by FAR 52.215-22(c).

(d) Cost Line CPFF Level of Effort (CLIN 0001): The Offeror shall include burdened labor costs of the prime contractor and subcontractor(s).

(e) Fixed Fee CPFF Level of Effort (CLIN 0001): The offeror shall…
