(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

III. SOLICITATION PROVISIONS

A. 52.201-1, Acquisition 360: Voluntary Survey (Sep 2023)

(a) All actual and potential offerors are encouraged to provide feedback on the preaward and debriefing processes, as applicable. Feedback may be provided to agencies up to 45 days after award. The feedback is anonymous, unless the participant self-identifies in the survey. B. 52.204-29, Federal Acquisition Supply Chain Security Act Orders—Representation and

Disclosures (Dec 2023)

(a) Definitions. As used in this provision, Covered article, FASCSA order, Intelligence community, National security system, Reasonable inquiry, Sensitive compartmented information, Sensitive compartmented information system, and Source have the meaning provided in the clause 52.204-30, Federal Acquisition Supply Chain Security Act Orders—Prohibition.

(b) Prohibition. Contractors are prohibited from providing or using as part of the performance of the contract any covered article, or any products or services produced or provided by a source, if the prohibition is set out in an applicable Federal Acquisition Supply Chain Security Act (FASCSA) order, as described in paragraph (b)(1) of FAR 52.204-30, Federal Acquisition Supply Chain Security Act Orders— Prohibition.

(c) Procedures.

(1) The Offeror shall search for the phrase “FASCSA order” in the System for Award Management (SAM)( https://www.sam.gov) for any covered article, or any products or services produced or provided by a source, if there is an applicable FASCSA order described in paragraph (b)(1) of FAR 52.204-30, Federal Acquisition Supply Chain Security Act Orders—Prohibition.

(2) The Offeror shall review the solicitation for any FASCSA orders that are not in SAM, but are effective and do apply to the solicitation and resultant contract (see FAR 4.2303(c)(2)).

(3) FASCSA orders issued after the date of solicitation do not apply unless added by an amendment to the solicitation.

(d) Representation. Request for Quotation form. We will not consider any quote that we receive after the deadline stated on the

SF-18 or stated in any solicitation amendments unless we receive it before we issue a purchase order and considering it will not delay our purchase. In case of an emergency that delays our operations and makes submission or receipt of your quote impossible, we will extend the deadline by one working day.

(c) Terms and content of your quote. Your quote must be based on the terms of this RFQ. We might reject any quote that is not based on these terms in every respect. Your quote must contain all of the information described below.

(e) Issuance of purchase order. Your quote should contain your best terms. The Contracting Officer may reject any or all quotes. After the evaluation of quotes, the Contracting Officer may work out final terms with one or more quoters of the Government’s choice before issuing a purchase order. The Contracting

Officer will not confer with any quoters other than those of the Government’s choice and will not use the formal source selection procedures described in FAR Part 15.

(f) The Contracting Officer may issue a purchase order to other than the quoter with the lowest price.

(g) Quotation Package Instructions (What to Include in Quote):

6.2 NOTE 2: System updates may lag policy updates. The System for Award

(7) Quotations that fail to furnish required representations or information or reject the terms and conditions of the solicitation may be excluded from consideration.

(h) Product samples. If this RFQ requires that you submit product samples, you must deliver them to us at the location specified for our receipt on or before the deadline for submission of your quote. We will not pay for the samples, and we will return them to you only upon request and at your expense, unless they are destroyed during testing.

(i) Availability of Government Documents. If the descriptions in this RFQ of the products or services we want to buy refer to any Government specification, standard, or commercial item description, you may obtain a copy of any such documents from the places listed in Federal Acquisition Regulation 52.212-1, paragraph (i).

(j) System for Award Management (SAM). Unless exempted by the Contracting Officer, quoters are required to be registered in the System for Award Management (SAM) record accessed through www.sam.gov at the time their quotation is submitted. Addenda to the clause 52.212-2, Evaluation— Commercial Products and Commercial Services:

(a) Evaluation will be made in accordance with the simplified acquisition procedures outlined in FAR Part

13.106.

(b) The Government intends to issue an order resulting from this request for quotation to the responsible offeror whose quotation results will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate quotations:

(i) Price.

(ii) Relevant Experience. List comparable relevant experience where quoter has successfully performed complete replacement of well pumps, describing those similar to the type described in the solicitation Performance Work Statement, up to ten (10) past projects/contracts within the last five (5) years. Quoter should use the Relevant Experience form included in Attachment 4, filling in the items requested on the form. If quoter elects not to use the form provided, then quoter shall include the same information as requested on the form on quoter’s own letterhead. Quoter can include their capabilities statement if available as part of quote.

(iii) Past Performance. Government will evaluate the degree to which the quoter successfully performed past projects similar in scope and complexity to the complete replacement of well pumps (refer to solicitation Performance Work Statement) within the last five (5) years and satisfied past customers. Past performance information from other sources, including the Contracting Officer’s knowledge of and previous experience with the supply or service being acquired, or the Contractor Performance Assessment Reporting System (CPARS) at https://www.cpars.gov may also be utilized in the determination of the past performance record. In the case of a quoter without a record of past performance or for whom information on past performance is not available, the quoter will not be evaluated favorably or unfavorably on past performance.

It is especially important that the quoter disclose instances in which their past performance may be considered by others to be less than fully satisfactory. The quoter should tell their side of the story and describe remedial corrective action that has been taken or will be taken to correct the deficiency. Failure to do so may result in a determination that a quoter has been less than candid with the Government, which could result in an unfavorable assessment of the quoter’s past performance record.

Quoters may provide past performance information using the optional past performance questionnaire provided in the solicitation as Attachment no. 5.
