1. SCOPE

This Statement of Work (SOW) defines the production contract effort required for the Wireless At-Platform Test Set (WATS) herein referred to as WATS. The effort will consist of manufacturing, test, delivery, technology insertion and maintenance activities.

1.1 Background

The WATS is an essential component of the Integrated Family of Test Equipment (IFTE). It provides an interface between the Maintenance Support Device (MSD) and the vehicle under test. The WATS is an improved Army Internal Combustion Engine (ICE) diagnostic technology that will be utilized throughout the Army at all maintenance levels to diagnose and verify the operation of ground vehicles. The WATS provides unequivocal access to vehicle analog and digital diagnostic connectors to accomplish intrusive diagnostics through its unique wireless interface with the vehicle under test. WATS assist the tactical wheeled vehicle automotive mechanic with troubleshooting and fault isolation. It provides the maintainer a wireless or wired, vehicle diagnostic tool with a full spectrum of diagnostic tests as well as real-time and collective data capability.

2 APPLICABLE DOCUMENTS

The applicable top-level documents are contained in attached Document Summary List (DSL), by number, title, date, contract reference, and category. The document versions specified on the DSL take precedence over the generic references (those without the revision letters) cited in the SOW.

2.1 Availability of Department of Defense (DoD) Documents.

Unless otherwise indicated, a majority of these specifications, standards, and handbooks listed are available from the Acquisition Streamlining and Standardization Information System (ASSIST) website: http://www.dsp.dla.mil/Specs-Standards/

3 REQUIREMENTS

3.1 General

The contractor shall perform all work required by this contract in accordance with (IAW) Technical Data Package (TDP), Army Drawing Number (ADN) 13689497 (the current WATS production baseline), this SOW, and applicable clauses and requirements as listed in the contract.

3.2 Detailed Tasks

3.2.1 Production, Test, and Delivery

The contractor shall procure, fabricate and assemble the WATS as outlined in Paragraph 3.1 above, test the assembled WATS IAW ADN 13689499, and deliver the WATS in quantities and schedules defined in Para 3.2.1.2.

3.2.1.1 Period of Performance

The contract establishes the period of performance for the WATS program. The contractor shall continue to support the product, beyond the life of the contract, as specified in the warranty provisions of the contract.

3.2.1.2 Production Capacity

The contractor shall provide production capability that allows for the delivery of a minimum of 1 and a maximum of 500 WATS per month.

3.2.1.3 Ordering Quantities

The contractor shall perform to the requirements of the Government's Indefinite Delivery/Indefinite Quantity, on a Firm Fixed Price basis.

3.2.1.4 Materials and Equipment

The contractor shall furnish all materials and equipment, not previously identified as furnished by the Government in the Government Furnished Equipment (GFE) list, an attachment to the contract, to meet the requirements of this SOW in support of full qualification and delivery of the WATS per the TDP, ADN 13689497.

3.2.1.5 Pilot Lot Testing

The contractor shall adhere to the established performance requirements and corresponding production test methods/requirements of the Pilot Lot Test (note 4.2.1) contained within the Critical Item Product Test Specification for the WATS, IAW ADN13689501; within the WATS TDP, ADN 13689497. The contractor shall have Pilot Lot test units available for Pilot Lot testing no later than 90 days after contract award. Upon successful completion and Government approval of the Pilot Lot test report, the contractor shall refurbish and deliver Pilot Lot test units. IAW DI-MISC-80508B, the contractor shall perform First Article Inspection (FAI) and provide a First Article Inspection Report (FAIR) (CDRL A16) as defined in SAE AS9102 “Aerospace First Article Inspection Requirement” within 90 calendar days after contract award to ensure conformance with the WATS, ADN 13689497. The contractor shall include Certificate of Compliance for all material used to manufacture the WATS as an appendix to the FAIR.

The Government will execute a Physical Configuration Audit (PCA) of Configuration Items (CIs) to ensure compliance with the WATS TDP, ADN 13689497. This audit shall be performed at the contractor’s location. The contractor shall support this audit by providing facilities, hardware, documentation, and personnel to support PCA requirements. The audit shall be non-destructive in nature and may require disassembly and assembly of hardware. The contractor shall make five WATS kits available, in various states of assemblage, to support this PCA. The contractor shall resolve any hardware non-conformities identified during the PCA.

IAW DI-NDTI-80603A (CDRL A01), the contractor shall document and provide details of the Pilot Lot Test Plan that identify the step-by-step testing operations to be performed on WATS undergoing Pilot Lot testing. The Pilot Lot Test Plan identifies items to be tested, the test equipment and support required, the test conditions to be imposed, the parameters to be measured, and the pass/fail criteria against which the test results will be measured. The document is a compilation of individual test procedures for WATS and shall be submitted to the Government.

IAW DI-NDTI-80809B (CDRL A02), the contractor shall submit a Pilot Lot Test Report within 15 days of completion of Pilot Lot Testing. This Test Report will document test/inspection results, findings, analysis, and will enable the Government to evaluate compliance

IAW TDP ADN 13689497.

The contractor shall not make any product or production/test design changes after Government acceptance and approval of the Pilot Lot test results, unless otherwise specified within the contract and approved by the Government. Any design change made after Pilot Lot test acceptance may require performance of a new Pilot Lot test and approval of new Pilot Lot test results by the Government.

The contractor shall perform additional Pilot Lot testing upon a break in production of twelve months or greater, or if the contractor implements a new production line. Unless approved by the Government in advance, the contractor shall plan and manage production line restart and/or startup and associated Pilot Lot testing such that any additional Pilot Lot test shall be completed by the contractor and approved by the Government prior to restart of existing production line or start of production using a new line.

Except for Government-directed changes, IAW DI-MISC-80508B (CDRL A18) the contractor shall submit a Production Control Report to notify the Government in writing, a minimum of six months in advance, of any changes to WATS materials, components, (sub)-suppliers/vendors, manufacturing location, processes, equipment, gages, test equipment, or tooling, and/or other changes with potential to affect fit, form, function, reliability, or overall use of the WATS. The Government may, at its discretion, require part or all Pilot Lot testing to be completed by the contractor and approved by the Government prior to implementing any changes per the above.

3.2.1.6 Acceptance Inspection/Test Plan and Report

Acceptance Inspection/Test of all items produced under the WATS contract shall be IAW the Government’s Acceptance Inspection/Test procedures ADN 13689499 for WATS, TDP

ADN 13689497.

The contractor shall provide an Acceptance Inspection/Test Plan IAW DI-NDTI- 80603A (CDRL A03). This plan shall detail how the contractor is to implement specified acceptance/inspection test procedures of ADN13689499, within the WATS TDP ADN 13689497.

The contractor shall provide an Acceptance Inspection/Test Report IAW DI-NDTI- 80809B (CDRL A04) that details completed Product Acceptance/Inspection Test result for that quarter.

The contractor shall notify the Government a minimum of 30 days in advance of any contractor-proposed changes in the acceptance/inspections test procedures previously verified/validated by the Government using the Engineering Change Proposal (ECP) DI-SESS 80639D (CDRL A05), or Request For Deviation (RFD) process DI-SESS-80640D (CDRL A07).

3.2.1.7 Calibration

The contractor shall identify, label, and conduct complete production level calibration procedures IAW TDP, ADN 13689499 for each item identified as requiring calibration. The contractor shall ensure that all calibrated items shipped to the customer have at least 60% of calibration interval available. The contractor shall calibrate/recalibrate all items requiring calibration repair under warranty repair.

3.2.1.8 Serialization

Each WATS transit case shall have an identification plate or label that shall include its unique serial number. The WATS serial numbers shall start with "WATS-200001" and continue consecutively. Items produced after a major change in configuration (i.e., ECP), or at the direction of the Government, shall be identified by the 5 digit number in the serial number and reset the serial number to one ( i.e., WATS-210001, WATS-220001).

3.2.1.9 Equipment Marking and Identification Requirements

The contractor shall apply marking and identification according to all sections of paragraph 3.11 of MIL-PRF-28800 as tailored below for the type of font, color, visual, etc; and use the WATS, ADN 13689609, 13689611, and 13689612 for the content of the labels.

3.2.1.9.1 Marking

The entire section of paragraph 3.11.1 of MIL-PRF-28800 is applicable. In addition, all replaceable assemblies, subassemblies, modules, and circuit card assemblies shall also be individually marked in a permanent fashion with either the manufacturer’s Commercial and

Government Entity (CAGE) Code and manufacturer’s part number or a unique identification which allows the Government to determine the CAGE Code and manufacturer’s part number.

3.2.1.9.2 Transit Case Identification Plate

The contractor shall apply Transit Case Identification Plate according to all sections of paragraph 3.11 of MIL-PRF-28800 and use the WATS, ADN 13689497 for the content of the labels. The contractor shall affix the transit case identification plate externally on the transit case.

3.2.1.10 Warranty Label.

The contractor shall affix a warranty label on the transit case that identifies warranty termination date and warranty contact information IAW TDP, ADN 13689612.

3.2.1.11 Item Unique Identification (IUID) Marking Requirements

The contractor shall apply IUID labels IAW ADN 13689611. The IUID markings shall be marked and recorded IAW MIL-STD-130N or current revision. The contractor shall use IUID Construct #2.

The machine readable information (MRI) and human readable information shall contain discrete elements including:

a. Unique item identifier (Construct 2) (MRI only)

b. Enterprise Identifier (Cage Code)

c. Part Number (Original)

d. Serial Number of UII

3.2.1.12 MSD with WATS Integration

The WATS is used in conjunction with the Maintenance Support Device (MSD).

Together the military vehicle maintainer uses these two items to diagnose and troubleshoot tactical wheeled vehicles.

Outside the Continental United States (OCONUS) Shipments. The contractor shall serve as the system integrator responsible for consolidating the MSD and WATS for combined shipment. The contractor shall accept delivery of MSDs, provide short term bonded storage (not to exceed 30 days) for up to 500 MSDs, consolidate the MSD and WATS, and then process these shipments as directed by the Government. When short term bonded storage is required, the contractor shall provide the Government with a monthly Government Furnished Equipment (GFE) Report IAW DI-MGMT-80269 (CDRL A12). The GFE report shall include the date of receipt and shipment, by serial number, for each MSD being stored.

Continental United States (CONUS) Shipments. No MSD / WATS integration requirement exists for CONUS directed shipments.

3.2.1.13 Packaging

For all shipments under this contract, the contractor shall fully comply with the Commercial Packaging guidelines in accordance with American Society for Testing and Material (ASTM) D3951 “Standard Practice for Commercial Packaging”. The contractor shall remove the battery from the Agilent Digital Multi-Meter and pack it separately within the WATS Transit Case.

3.2.1.14 Bonded Storage

The contractor shall provide sufficient bonded storage space to house 1500 WATS and 500 MSDs.

3.2.1.15 Shipping Instructions

The Government will provide the shipping instructions to the contractor with the specific quantities for each order. Upon receipt of the shipping instruction, the contractor shall perform final Acceptance /Inspection Test Procedures to ensure the proper operation of the

WATS.

The contractor shall maintain data records that track serial numbers, shipping destinations, shipment dates, warranty expiration dates, and tracking data of the consolidated MSD and WATS shipments designated for OCONUS and provide these records IAW DI-MISC-

80508B (CDRL A13).

The contractor shall maintain data records that track serial numbers, shipping destination, shipment dates, warranty expiration dates, and tracking data of the WATS shipment designated for CONUS and provide these records IAW DI-MISC-80508B (CDRL A13).

The Government will pay the shipping costs associated with the delivery of the WATS and the MSD to the final destination.

If the final destination of ordered items is not known at the time of order, the ordered items shall be shipped in place and shall remain in Government-bonded storage at the contractor's facility until shipment is directed.

The contractor shall place the WATS Warranty Label on the transit case, once the Government directs final shipment.

3.2.2 Engineering Services

The contractor shall provide engineering services as necessary, subject to contractual requirements, to resolve problems arising from fielding, integration, and operation and maintenance of the WATS to include new technology insertion requirements.

3.2.2.1 Condition Based Maintenance

Engineering services may include building a redesigned WATS module for Condition Based Maintenance. This may or may not include designing an environmental sealed ruggedized form factor, building prototypes for testing, performing environmental testing, updating government drawings, and producing low quantities of the redesigned module.

3.2.2.2 Configuration/Obsolescence Management Plan

The contractor shall utilize both proactive and reactive tools to establish a robust obsolescence management program. The application of engineering services shall be applied in such a way as to ensure backward compatibility of hardware and software components used to replace obsolete components. The contractor shall prepare and provide to the Government a Configuration and Obsolescence Management Plan (COMP). The contractor’s COMP shall describe the contractor’s configuration management program, processes, and procedures for managing both internal and vendor configuration change and obsolescence processes IAW DI-

SESS-80858B (CDRL A14).

3.2.2.3 Performance and Obsolescence

Performance or parts changes, resulting from replacement of components due to obsolescence, shall be backward compatible to the extent allowed by existing commercial technologies. When changes are required due to the obsolescence of any items on the WATS contract, the contractor shall submit ECPs IAW DI-SESS-80639D (CDRL A05), Notice of Revisions (NORs) IAW DI-SESS-80642D (CDRL A06), and RFDs IAW DI-SESS-80640D (CDRL A07), as applicable, to the Government for approval, and also be responsible for the ECP and implementation of the changes. As determined by the Government, the contractor shall perform limited Pilot Lot test depending on the nature of the ECP and approval by the Government. The Contractor's Status Accounting (CSA) system shall provide the complete and accurate configuration history and status. The contractor shall prepare CSA information IAW DI-SESS-81253C (CDRL A15) for the as-built record.

ECPs shall be accompanied by an Engineering Release Record (ERR) IAW DI-SESS-80463D (CDRL A17) to release drawings, and specifications to the Government after completion of contract.

The contractor shall notify the Government at least six months in advance on all obsolescence or alternative part (s) replacement.

3.2.3 Engineering Change Proposal Requirements

The contractor shall prepare an ECP and provide to the Government for approval IAW DI-SESS-80639D (CDRL A05) and DI-SESS -80858C (CDRL A14) whenever the contractor proposes changes to the TDP, ADN 13689497. The contractor shall submit the ECP’s through the US Army Aviation and Missile Life Cycle Management Command (AMCOM LCMC) Multi-User Engineering Change Proposal Automated Review System (MEARS) or equivalent Government system. The Government will provide MEARS login and instructions after contract award. MEARS training requirements for the contractor shall be discussed after contract award. The ECP shall include NORs prepared IAW DI-SESS-80642D (CDRL A06) for each drawing to be changed. Any non-conformance to existing documentation shall be requested by preparation of a RFD prepared IAW DI-SESS-80640D (CDRL A07). The Contractor's Status Accounting (CSA) system shall provide the complete and accurate configuration history and status. The contractor shall prepare CSA information IAW DI-SESS-81253 (CDRL A15) for the as-built record.

The contractor shall request Government authorization prior to ECP implementation through the Government Procuring Contracting Officer (PCO). The Government will respond to the contractor’s ECP implementation request using a letter of transmittal.

3.2.3.1 Signature Authorization

The contractor shall identify to the Government, the name(s) of the official(s) of its organization authorized to sign ECPs as the submitting activity, and thereby commit the contractor to the statements made therein. This identification shall be in writing, on company stationery, signed by an officer of the company, and provided to the Government two weeks after contract award (CDRL A05). The contractor shall inform the Government, in writing, when name(s) of these authorizing official(s) change.

3.2.3.2 ECP Numbering System

The contractor shall uniquely identify ECPs with Government furnished ECP numbers.

3.2.3.3 ECP Costs

When an ECP affects cost (increase or decrease), the contractor shall provide sufficient supporting cost data to the PCO as part of the proposed change or departure for the Government to evaluate and verify the total cost impact. No ECP shall be implemented until the Government has approved the ECP and the contractor has been notified by the PCO to implement the change. Notification of both approved and disapproved ECPs will be in writing from the PCO. Approved ECPs will be incorporated into the contract by modification.

3.2.4 Quality Management System

The contractor shall utilize a Quality Management System that adheres to the requirements of ISO 9001 Quality Management Systems – Requirements, or equivalent, for the WATS product and all associated processes. The contractor shall retain all records, reports, procedures, and other quality system documentation, pertaining to the WATS product, for a period of time continuing through the end of all warranty periods at a minimum, and shall make them available for Government review upon request. The Government reserves the right to review and comment on the contractor’s Quality Management System.

3.2.4.1 Workmanship

The contractor shall adhere to the Workmanship requirements outlined per drawing within the WATS TDP, ADN 13689497 and MIL-HDBK-454 Guideline 9; however, where Workmanship requirements are not specified by ADN 13689497, the contractor shall accomplish all work in compliance with IPC/EIA J-STD-001C, Class 3, Requirements for Soldered Electrical and Electronic Assemblies, cleanliness designator C-22 or equivalent and the requirements set forth in MIL-HDBK-454, Guideline 9, as applicable.

3.2.4.2 Electrostatic Discharge Control Program

The contractor shall establish, implement, and document an Electrostatic Discharge (ESD) Control Program IAW MIL-STD-1686, ANSI/ESD S20.20-2007, or equivalent Government-approved standard(s), for activities that manufacture, process, assemble, install, package, label, service, test, inspect, or otherwise handle electrical or electronic parts, assemblies, and equipment susceptible to damage by electrostatic discharges.

3.2.4.3 Failure Reporting and Corrective Action System (FRACAS)

The contractor shall utilize a comprehensive FRACAS for all WATS failures, including the following FRACAS elements: (1) reporting all WATS failures, including failures in test, inspection, and delivered/fielded/in-service units under warranty; (2) analysis of failure root cause(s) including product nonconformities, and (3) implementation of corrective actions to prevent nonconformance/failure recurrence. The contractor shall prepare a Failure Analysis and Corrective Action Report (FACAR) IAW DI-SESS-80255A (CDRL A08) for each failure. The contractor shall establish a Failure Review Board (FRB), with Government participation, for review, disposition, and closure of all WATS failures on an as needed basis as determined by the contractor or Government.

In the event that WATS failures are determined to be caused by defects in material or workmanship, the contractor shall expeditiously identify and quarantine all affected and potentially affected (latent/suspect) material within contractor control, and shall prepare a detailed corrective action plan which includes at a minimum the following: Controlled changes to contractor and sub-contractor(s)/supplier(s) production and quality assurance systems as required to prevent defect recurrence; estimate of affected and potentially affected (latent/suspect) units by serial number, including as applicable units already accepted by the

Government and/or shipped/fielded; and detailed repair/rework plan where feasible to correct defective and/or suspect units by rework/repair. Upon Government approval of the plan, the contractor shall be responsible for implementing the approved corrective actions.

3.2.5 Data Record Keeping

The contractor shall maintain and provide to the Government on a monthly basis, an accurate list of serial numbers and date of manufacture for all items delivered under the WATS contract IAW DI-MISC-80508B (CDRL A13). The contractor shall also provide a current list of serial numbers for the WATS inventory sold to the Government and stored in the bonded warehouse at the contractor's facility, minus those units already shipped as directed by the PCO.

The contractor shall maintain a complete database for all equipment delivered during the duration of this contract and shall combine data currently recorded in specific databases such as production configuration, warranty repair action, and shipment configuration into one database that includes all data for a specific serial number. The contractor shall maintain these records until the last unit warranty is over.

3.2.6 Warranty

The contractor shall provide a detailed and fully compliant Warranty Program that shall include, as a minimum, the incorporation of all warranty requirements specified below. The contractor shall honor all warranties and their durations to include warranties which extend beyond the last contractual delivery.

3.2.6.1 Warranty Period

The contractor shall provide a 15 month warranty on the WATS. Source directed accessories/components shall be warranted by the contractor in accordance with the manufacturer’s standard warranty (warranty duration may vary) with a minimum of 24 months supported by the contractor. The warranty start date under this contract shall be the day that the WATS is shipped from the manufacturer’ facility as directed by the Government.

3.2.6.2 Reserved

3.2.6.3 Warranty Provisions

WATS shall be warrantied to be free from defects in material and workmanship IAW ADN 13689497 drawings. The contractor shall ensure units repaired under warranty are calibrated per production level calibration procedures. The contractor’s warranty clock shall start when the contractor ships the units to the Freight On Board (FOB) point specified in each delivery order. In the event the Government elects to order the ship in place and storage requirements (SOW paragraph 3.2.1.15) at the contractor’s facility, the warranty period shall not start until the units are reshipped to the specified final destination.

The contractor shall analyze warranty returns to determine root cause of any/all WATS failures under warranty, and shall apply corrective action methodologies per paragraph

3.2.4.3. (FRACAS) as required to effectively resolve nonconformance root causes of failures and prevent failure recurrence, in a timely manner.

3.2.6.4 Technical Assistance

The contractor shall provide CONUS and OCONUS Toll-Free (800, 888, etc.) or collect telephone technical and maintenance assistance from 8 AM to 8 PM Eastern Standard Time Monday through Friday’s, not including weekends and Government holidays.

Under the warranty program, the Contractor shall provide for technical assistance through telephone, electronic mail, and website, and timely repair or replacement of hardware/software affected by defects in material and workmanship. Warranty actions shall be coordinated through PD TMDE MSD Helpdesk and follow established Customer Support Requests (CSR) processes and procedures. The PD-TMDE MSD Helpdesk will assist customers to complete a CSR for all warranty actions, hardware, or software inquiries as necessary. CSRs provide a means to distribute WATS specific information to and from the contractor. CSRs will be tracked by the Government.

The contractor shall not accept tasks nor perform any functions which result in a charge to the Government without written direction from the Contracting Officer. The contractor shall provide records of technical assistance sessions with the Government.

3.2.6.5 Warranty Service Request

For warranty service requests, the contractor shall provide timely instruction to expedite repair actions. Upon identification of a hardware problem, the contractor shall provide the user instructions for returning defective item/items. This shall include “mail-to” information and the issuance of a Return Material Authorization (RMA) number. The RMA number will serve as a means to track the asset through the repair cycle.

3.2.6.6 Warranty Performance Timeline

Under this warranty agreement, all non-mission capable (i.e., malfunctioning/non-operational) assets procured by the Government shall be repaired or replaced within 72 hours from the time of receipt by the contractor to the time turned over to carrier for return to the end-user, not including weekends and holidays. If an item is needed for further analysis and turn-around time will not be met, the contractor shall notify the Government immediately to determine specific course of action. The contractor may be required to replace an item if turn-around time cannot be met.

Shipping time for OCONUS warrantied items shall not exceed 168 hours, not including weekends and holidays, to or from the contractor’s site once the failed/repaired asset is in the shipper’s hand. Assets returned to the contractor for repair under warranty but exhibit a No

Evidence of Failure condition shall also be covered as warranty repairs. The contractor shall be responsible for all warranty repair actions including related transportation costs.

3.2.6.7 Non-Warranty Repair Actions

Within 72 hours of receiving the assets and prior to taking any non-warranty repair actions, the contractor shall coordinate with Defense Contract Management Agency (DCMA) for a determination of warranty status. If an agreement between Government/DCMA and contractor is made that an item is out of warranty, the contractor shall notify the system owner of warranty status and the repair process within 24 hours of agreement through MSD Helpdesk and directly.

If user elects not to have system repaired then the contractor shall return system to the user. If user cannot be located or coordinated with, the contractor shall notify PD TMDE as soon as possible. The contractor shall complete the repair within 72 hours upon receipt of payment. If an agreement is not reached between contractor and DCMA the contractor shall submit request to PCO for resolution including details and rationale why system was deemed NWRA by contractor. The final decision on whether or not an item should be repaired under warranty rests on PCO.

Remaining provisions of this warranty section remain in effect.

3.2.6.8 Warranty and Non-Warranty Performance Reporting

The contractor shall submit a Warranty Performance Report (WPR), IAW DI-SESS- 81639A (CDRL A09), including non-warranty repair actions and submission for repair action but not executed. It shall consist of, as a minimum, the nomenclatures of the warranty items, or non-warranty items (if applicable), their serial numbers, shipping durations for receiving and sending, dates for starting and completing the repair, costs of warranty repairs (at no cost to Government), items exhibiting no evidence of failure, the root cause of warranty submission, and part number of components replaced. After expiration of this contract, the contractor shall continue to deliver this report in the same format and delivery method until the warranty expires on the last WATS.

3.2.6.9 Warranty Shipping Times

Shipping time for CONUS shall not exceed 72 hours, not including weekends and Government holidays, to or from the contractor’s site once the failed/repaired asset is in the shipper’s hand. Shipping time for OCONUS shall not exceed 168 hours, not including weekends and Government holidays, to or from the contractor’s site once the failed/repaired asset is in the shipper’s hand. Where the asset must be returned during overseas deployment, the transfer of the asset(s) begins/ends when the asset(s) are shipped from or received at the theater of operations’ or command’s centralized logistics point. The contractor shall use only carriers who have a demonstrated capacity to consistently meet the requirement.

3.2.6.10 Reserved

3.2.6.11 Warranty Exclusions

The provisions of this warranty do not apply to:

a. Items damaged in combat.

b. Faded or chipped paint, scratches, dents, nicks or any other cosmetic damage resulting from normal and customary use.

c. Items with defects which are beyond the control of, and not attributable to the contractor. Such items are those which have been damaged through willful misconduct, accident, misuse, abuse, improper user installation or application, maintenance not executed in accordance with the applicable technical manuals, negligence in Government transportation, handling, or storage, catastrophic damage such as fire, flood or explosion, or an act of God.

d. Liability for items lost by the customer.

3.2.6.12 Responsibility for Extensions or Delays

The Government will not be responsible for extensions or delays in the scheduled deliveries or periods of performance under this contract as a result of the contractor’s obligation to repair or replace defective items. There shall not be any adjustment of the delivery schedule or periods of performance as a result of the repair or replacement of defective items unless provided for by a supplemental agreement.

3.2.6.13 Government’s Rights under Warranty

The Government's rights under this warranty shall survive final payment.

3.2.6.14 Reserved

3.2.6.15 Warranty Field Rotation Assets

The Government will provide the contractor 25 WATS assets to be used as a part of its Warranty repair program for OCONUS, excluding Foreign Military Sales customers. If the entire repair process, including the shipping time, has been determined by the contractor to take longer than seventeen days, the contractor shall send these assets immediately to temporarily replace the unserviceable in/out of warranty units. Upon completion of the repairs, the contractor shall make at least three attempts to get the loaned assets returned. The contractor shall notify the PCO if the loaned assets are not returned. The contractor shall be responsible for all transportation costs relating to this effort.

3.2.7 Program Planning

3.2.7.1 Program Management

The contractor shall establish and maintain program management operations that shall include the following areas: program planning and control, subcontractor control, financial management, data management, risk management and accountability for Government Furnished Equipment, material or information.

3.2.7.2 Start of Work Meeting

The contractor shall participate in the WATS Start of Work meeting held at Redstone Arsenal, AL, no later than 30 days after contract award as scheduled by the Government. The purpose of the meeting is to discuss the Government furnished information (GFI), determine the milestones, delivery schedules, review cycles, liaison procedures, and establish a working relationship among key personnel. All key contractor personnel shall attend.

3.2.7.3 In-Process Reviews

The contractor shall be responsible for leading In-Process Reviews, as required, to facilitate a common understanding and agreement with the Government on WATS requirements, actions, and schedules to meet those requirements. Meetings shall be held at the respective places of performance for the manufacture of the WATS with prior acceptance by the Government. The contractor shall provide all support and resources required to conduct these meetings in person, as teleconferences or as web-enabled conferences. Meetings at PD TMDE facilities can be accommodated should the Government determine that this venue would better serve their needs.

3.2.7.4 Production Status Report

IAW DI-MGMT-81255 (CDRL A10), the contractor shall deliver a Production Status Report, on a monthly basis that provides hardware built and delivery related information of the

WATS.

3.2.7.5 Conference Minutes/Reports

The contractor shall provide detailed written minutes for the Start of Work Meeting, all In-Process Reviews (IPR(s)), and all conferences IAW DI-ADMN-81250A (CDRL A11), unless otherwise specified by the Government. The Government will notify the contractor when minutes are required. Identified key Government and contractor personnel in attendance are to sign the minutes of the meeting. The minutes are not to be interpreted or construed as redirection for the contractor to incur additional costs. Changes to contract effort accepted and performed by contractor personnel outside the scope of the contract, without specific authorization by the PCO, shall be the sole responsibility of the contractor.

3.2.7.6 Configuration Management (CM)

The contractor shall utilize a CM system complying with the requirements of ISO 10007:2003 or a Government-approved equivalent standard.

3.2.7.7 Out of Scope Disclaimer

The contractor shall not accept tasks, nor perform any functions, that result in a charge to the Government without written direction from the Contracting Officer.

3.2.7.8 Incorporation of Technical Aspects into Resultant Contract

The contractor shall expect that any aspects of the proposal response may be incorporated into the WATS SOW or WATS Kit Specification in the resultant contract, at the Government's discretion.

3.2.7.9 Travel

The Government may periodically direct the contractor to travel in performance of this SOW. Travel shall be handled in accordance with the Joint Federal Travel Regulations, at the direction of the PCO. Unauthorized travel, or travel not coordinated with the PCO, shall be the sole responsibility of the contractor.

3.2.7.10 Contractor Manpower Reporting

The contractor shall report all contractor and subcontractor manpower requirements for services performed on task orders issued under this contract at http://www.ecmra.mil/. The reporting shall consist of the input of all direct labor data into the appropriate eCMRA tool no later than 31 October for the period of performance of the preceding fiscal year. The reporting performance period shall not exceed 12 months. The required information includes: (1) Contracting Office, Contracting Officer, Contracting Officer's Technical Representative; (2) Contract number, including task and delivery order number; (3) Beginning and ending dates covered by reporting period; (4) Contractor name, address, phone number, e-mail address, identity of contractor employee entering data; (5) Estimated direct labor hours (including sub-contractor); (6) Estimated direct labor dollars paid this reporting period (including sub-contractor); (7) Total payments (including subcontractor); (8) Predominant Federal Service Code (FSC) reflecting services provided by contractor (and separate predominant FSC for each sub-contractor if different); (9) Organizational title associated with the Unit Identification Code (UIC) for the Army Requiring Activity (the Army Requiring Activity is responsible for providing the contractor with its UIC for the purposes of reporting this information); (10) Locations where contractor and sub-contractors perform the work (specified by zip code in the United States and nearest City, Country, when in an overseas location, using standardized nomenclature provided on website); (12) Presence of deployment or contingency contract language, and, (13) Number of contractor and sub-contractor employees deployed in theater this reporting period (by country). As part of its submission, the contractor will also provide the estimated total cost (if any) incurred to comply with this reporting requirement. Reporting period will be the period of performance not to exceed 12 months ending September 30 of each government fiscal year and must be reported by 31 October of each calendar year.

3.2.7.11 Cybersecurity and Anti-Tamper

The contractor shall support the Government as necessary to meet general security and personnel security requirements. The contractor shall obtain and provide assigned license agreements for all Commercial-Off-The-Shelf (COTS) products and their included accessories.

The contractor shall support the Government in maintaining an acceptable security posture throughout the period of contract performance. The contractor shall employ best practices to mitigate all hardware/software vulnerabilities.

The Government identifies WATS as Critical Program Information (CPI) or Critical Technology (CT), the contractor shall develop and implement an Anti-Tamper (AT) Plan (CDRL A20) IAW AR 70-77 (program Protection) and protection measures consistent with DoD AT policies and directives. For organic CPI the contractor shall be responsible for all aspects of AT planning, development, validation, verification, and implementation. For inherited CPI the contractor shall be responsible for all aspects of integration of the CPI and the critical components hosting the CPI.

For hardware or software containing CT, the contractor shall design an AT protection solution to deter, prevent, or detect the reverse engineering of the components using the probability of an unplanned loss or for international sales across the program’s life cycle. The contractor shall utilize reverse engineering countermeasures that are commensurate with the exposure levels and consequences of critical program information loss using the analysis process identified in the DoDD 5200.47E, AT Guidelines. The Government classifies an Anti-Tamper plan at a minimum classification level of SECRET.

3.2.7.12 Data Submission Restrictions

The contractor shall not use a Universal Serial Bus (USB) Memory Stick for submission of any information to the Government. The contractor shall submit proposals and Data Items either electronically or via CD or DVD.

3.2.7.13 Hazardous Materials Management Program (HMMP) Report.

All contractor and subcontractor activities shall be in compliance with applicable federal, state and local environmental laws and regulations.

The contractor shall prepare an HMMP Report IAW DI-MISC-81397 (CDRL A19). The HMMP Reports shall identify via graphic or drawing of the specific location of each hazardous material contained in the final end item(s).

The contractor shall report the data elements found in MIL-STD-882E, Task 108, section

108.2.4 a, b, and d for Tracked HAZMATs. The contractor shall report coatings (identified by

MIL SPEC), functional fluids (e.g. coolant, hydraulic fluid, lubricants, etc.), radionuclides (40 CFR 302.4, Appendix B) and energetics/solid rocket motor components (including Explosives Class Number) with the same 108.2.4 a, b, and d data elements. The contractor shall provide Material Safety Data Sheets (MSDSs) or Safety Data Sheets (SDSs) for all reported materials.

The contractor shall report any hazardous material, as defined in NAS 411-1, to be used for the maintenance, sustainment, and demilitarization of the end item under this contract. The hazardous material shall be properly identified and include any applicable identification number, such as National Stock Number or Special Item Number. The contractor hazardous materials list shall be updated during performance of the contract whenever the contractor determines that any other material to be used in the maintenance, sustainment, and demilitarization of the end item under this contract is hazardous.

The contractor shall not use any Class I or Class II Ozone Depleting Chemical/Ozone Depleting Substance (ODC/ODS), identified by the lists at http://www.epa.gov/ozone-layer-protection/ozone-depleting-substances, in the manufacture or support of items required by this SOW unless approved IAW Army ODS policy and/or Title 10 United States Code section 2302.

All ODS alternatives must be in compliance with the U.S. Environmental Protection Agency (EPA) Significant New Alternatives Policy (SNAP) program and identified as approved – per the specific application – in the lists at https://www.epa.gov/snap/snap-substitutes-sector. All ODS alternatives must also receive a Toxicity Clearance for the specific application from the US Army Public Health Center.

3.2.7.14 Hazardous Materials.

The contractor shall not use highly toxic, radioactive materials or carcinogenic materials in the design, maintenance, test, or operation of the systems without prior written authorization from the PCO. The American Conference of Governmental Industrial Hygienists guidelines shall be applied. Radioactive materials shall be defined as:

a. Any chemical mixture, compound, solution, or alloy that contains more than one-twentieth of 1 percent (.05%) source material as per Title 10, CFR PART 40.13.

b. Any material having a specific activity greater than 70 Becquerel (Bq) per gram (.002 microcuries per gram).

c. Any material that meets the definition of radioactive material as defined in the International Air Transport Association Dangerous Goods Regulation. Information on this regulation can be obtained from https://www.iata.org/whatwedo/cargo/dgr/Pages/index.aspx .

d. Technologically Enhanced Naturally Occurring Radioactive Materials (TENORM).
