Section L – Instructions, Conditions, and Notices to Bidders
L.1 GENERAL PROPOSAL
L.1.1 Each Offeror intending to submit a proposal for this solicitation are required to inform the Contracting Officer via email at marsha.leventry@socom.mil and amy.c.jaskela.civ@socom.mil within ten days of the Request for Proposal (RFP) issuance. This solicitation is released electronically, and all related documents will be made available on SAM.gov alongside the RFP. It is the offerors’ responsibility to download all necessary documents from SAM.gov, as they will not be distributed through any other channels.
Offerors must regularly check the webpage for any amendments, updates, or changes to the solicitation and its supporting documents. The Government holds exclusive responsibility for source selection, and any proprietary information provided in response to the solicitation will be safeguarded against unauthorized disclosure in compliance with Subsection 27 of the Office of Procurement Policy Act (41 U.S.C. 423) as amended, and as stipulated in the Federal Acquisition Regulation (FAR).
All proposals must be unclassified and will be considered Source Selection Sensitive Information as per FAR 3.104.
Proposals will also be regarded as Controlled Unclassified Information (CUI), and offerors should ensure that their proposals are appropriately marked following the CUI classification guidelines. Classified information will not be accepted and will be returned to the offeror.
L.1.2 All proposals must be comprehensive, self-contained, and directly address the requirements outlined in this solicitation. Any commitments made within the proposal, including but not limited to the Transition Plan, Management Plan, and Price, will become integral parts of the resultant contract.
Inconsistencies within the proposal, if left unexplained, may raise fundamental concerns about the Offeror’s understanding and ability to perform under the contract. Therefore, such inconsistencies could serve as grounds for rejecting the entire proposal. Statements like “we will comply with the requirements of the contract” or similar declarations are not acceptable to meet the standards set forth in this RFP. Failure to adhere to these instructions may lead to an Offeror’s proposal being excluded from consideration for award.
Additionally, Offerors are required to submit cover page with their proposal identifying the names, position title, email address, and telephone numbers for individuals authorized to conduct negotiations. All proposals shall remain valid for 120 days from the date of submission.
L.1.3 The Government will conduct a thorough virus scan on all electronic files and CDs submitted by the Offerors.
If any submittal fails the virus scan, it will be immediately disqualified and discarded. Please note that disqualified proposals are ineligible for award.
L.1.4 All technical or contractual inquiries related to this procurement, Offerors are required to submit them electronically using RFP Attachment J-6, Q&A Template, to the individuals listed in L.1.1 and below. When sending correspondence, ensure that the subject line includes the solicitation number (H92402-24-R-0001) and what the email is in regard to (i.e. H92402-24-R-0001 / RFP Questions).
The government are not required to respond to questions after the timeframe outlined in SAM.gov, unless the Contracting Officer determines that the questions would benefit all offerors. However, offerors have the flexibility to submit questions to the Contracting Officer at any time. It’s important to be aware that questions received after the specified date(s) in the SAM.gov posting may not receive responses before the RFP closing date referenced in Block 9.”
Direct discussions between the technical representative and prospective offerors will not occur unless deemed necessary by the Contracting Officer.

L.1.5 Proposal Due Date: TO BE DETERMINED, at 12:00PM Eastern Standard Time (EST). Failure to meet the due date will be handled in accordance with FAR 52.215-1 Instructions to Offerors – Competitive Acquisitions.
L.1.6 Submission of Proposal to the Government:
L.1.6.1 Hand-Carried
L.1.6.1.1 Offerors must adhere to FAR 52.215-1, which provides instructions for competitive acquisitions. Hand delivery of proposals is both permitted and encouraged. An individual from the Offeror’s or teaming partner’s staff may personally deliver unclassified materials.
However, please note that a messenger service delivering the proposal package on behalf of the Offeror is not considered a hand delivery and will not be accepted. For all hand-carried proposals (including CD ROMs/DVDs), the following steps apply:
1. Written Notice: Offerors must provide email notice to both POCs listed below at least 3 business day before delivery of proposals.
2. Follow-Up Phone Call: Additionally, a follow-up phone call should be made 1 hour prior to arrival to the same POCs.

L.1.6.2 Mail
L.1.6.2.1 Offerors are required to adhere to FAR 52.215-1, which provides instructions for competitive acquisitions.
If an Offeror chooses to mail the proposal volume(s), they should follow the guidelines below:
Marking Packages: The packages containing the proposal should be clearly marked as specified below.
These packages should be sent to the address designated for the “outer package.”

L.1.6.3 Controlled Unclassified Information (CUI) Instructions
L.1.6.3.1 Proposals submitted in response to the solicitation for Intelligence Support Services – Joint III play a crucial role in supporting the USSOCOM enterprise. To ensure proper protection and compliance with USSOCOM requirements, the following guidelines must be followed:
Classification: All proposal documents must be treated as Controlled Unclassified Information (CUI). This classification ensures the appropriate level of safeguarding. Guidance can be found in DoD I 5200.48, Section 3, Para 3.4 (Pgs. 14-16).
Privacy Act Language: Each document should include the necessary Privacy Act language to address privacy and data protection requirements.
Banner Markings:
The header and footer of every page must prominently display the CUI banner markings.
These markings should be:
o Capitalized o Size 14 o Bold o Green (for easy identification)
By adhering to these guidelines, you contribute to the security and integrity of the proposal process.
L.1.6.3.2 Each packet of documents must also include the CUI Designation Indicator. This must appear in the lower right footer of the first page. The example below will assist in applying this requirement:

L.1.7 Proposal Format: Format of the proposal) shall be as follows:
a. Submissions shall be on CD ROM/DVD only, no paper copies shall be accepted.
b. Text size shall be no smaller than what is equivalent to Microsoft Word, Times New Roman, 10-point, uncompressed font.
c. A page is defined as, when printed, one 8 ½ x 11-inch paper with printing on one side of the page. Line spacing settings shall be at least one and one-half (1½) line spacing. Margins on all four (4) edges of each page will be at least 1-inch. Pages shall be dated and numbered sequentially by Volume. A cover sheet should be included in each volume, clearly marked as to Volume number, title, solicitation identification, and the Offeror’s name. The cover page, table of contents, and blank pages are excluded from page count.
Company Logos/Emblems are to be on the cover page only, not on each individual page. Offerors are encouraged to divide and cross reference individual topic areas of the Volumes. The use of the USSOCOM logo on proposals is expressly prohibited IAW Clause 5652.204-9003 of the solicitation.
d. Each Volume shall contain a glossary of all abbreviations and acronyms used with an explanation for each.
e. Elaborate format and color representations are not desirable. Any pages that are changed (as the result of
Discussions/Final Proposal Revisions) should be noted and have changed information clearly marked. The Offeror shall clearly indicate a summary of changes at the beginning of the volume and on clearly indicate on each page the data/information that has been revised via track changes or other acceptable method.
f. Legible tables, charts, graphs, and figures shall be used when necessary to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. A maximum of ten (10) 11 x 17 pages for the Transition Plan/Management Plan Volumes will be permitted. 11 x 17 pages shall count as one page towards the page limit count described in Section L.1.7. 11 x 17 pages may only be used for large tables, charts, graphs, diagrams, and schematics, not for additional pages of text. For 11 x 17 pages, tables, charts, graphs and figures, the text shall be no smaller than equivalent to Microsoft Word 8 point, Times New Roman with single spacing permitted. Proposal volumes shall not be supplemented by a package or reference documents.
g. Electronic copies must be provided on CD-ROMs/DVDs, read-only memory. Microsoft Office 2007, presentation, and spreadsheet products are preferred. Changes, because of negotiations, will be conformed on CD-ROMs/DVDs and have changed information clearly marked by a vertical line in the right margin.
L.1.8 Proposal Submission Requirements: The following Volumes will be submitted and evaluated:

VOLUME 1 – QUALIFYING CRITERIA

VOLUME 2 – TRANSITION PLAN
Factor 1 – Transition Plan One (1) digital copy (CD) in PDF/Excel Format. Twelve (12) page limit for the Transition Plan.
VOLUME 3 – MANAGEMENT
Factor 2 – Management Plan One (1) digital copy (CD) in PDF Format, Twelve (12) page limit. The Management Volume shall address each element in a clearly marked stand-alone section. Key Personnel (IAW Clause 5652.237-9001) resumes are limited to 2 pages each and are not included the twelve (12) page limit. Information System Security Plans are limited to 10 pages.
VOLUME 4 – PAST and PRESENT PERFORMANCE

*Offerors are encouraged to limit the Price Proposal pages unless the Offeror determines that this limitation would preclude compliance with the price proposal instructions of the RFP.
L.1.9 Incorporation of Proposal Information: Any feature of an Offeror’s proposal may be unilaterally incorporated in the contract in full text or by reference as a contract requirement.
L.1.10 Pre-Award, Post-award Notices and Debriefings. Pre-award, Post-award notices and debriefings will be conducted in accordance with FAR 15.5. The Contracting Officer will notify unsuccessful Offeror in accordance with FAR 15.503(b)(1). Upon such notification, unsuccessful Offeror may request and receive a debriefing in accordance with FAR 15.506(b)(1). Offeror desiring debriefing must make their request in accordance with the requirements of FAR 15.506 as applicable.
L.1.11 Organizational Conflict of Interest (OCI). All actual or potential OCI situations shall be handled in accordance with FAR Subpart 9.5. "Offerors" as used in this solicitation section addressing OCIs shall include all vendors that the company submitting this proposal has entered into a contractor teaming agreement or prime contractor subcontractor relationship with in connection with its proposal submission for this acquisition.
If the Offeror is currently providing support or anticipates providing support to the Government that presents an actual or potential OCI with the requirements for this acquisition, or, if the Offeror is currently performing or anticipates performing any other work for the Government under any quote for any solicitation relating to the requirements for this task order, the Offeror shall include in its quote submission: (1) a statement identifying and describing the actual or potential OCI, and (2) a proposed OCI mitigation plan detailing the Offeror’s recommendation for how the potential OCI may be avoided, neutralized and/or mitigated. If the Government determines an OCI cannot be avoided, neutralized, or mitigated, the Offeror may be excluded from consideration for award. This information shall be disclosed in the COVER LETTER.
L.2 VOLUME 1 QUALIFYING CRITERIA. If an Offeror does not meet any of the qualifying criteria, they will be deemed to have failed to qualify. As outlined in M.1.6, such Offerors will be removed from the competition. To ensure compliance, Offerors must provide the necessary administrative documentation as specified below.
L.2.1 Contract Forms and Certifications: Include the following data in your Qualifying Criteria section in the format indicated.
a. Section 1 – Proposal cover letter or proposal cover page (include names, office phone and facsimile numbers, if applicable, cell phone numbers, and e-mail addresses for proposal POCs, and any actual or potential OCIs).
b. Section 2 – A conformed contract copy from this RFP with digital signature of an official authorized to contractually bind the Offeror in Block 17 of the SF 33. The Offeror must complete the following sections within the RFP for these criteria:
Solicitation, Offer and Award (Standard Form 33), Blocks 12-18 All Section K, Representations, Certifications, and Disclosures All amendments posted to SAM.gov
L.2.2 Facility Clearance. The Offeror or members of a Joint Venture must have a final TOP SECRET Facility Clearance with approved safeguarding at the minimum SECRET level as accredited by the Defense Counterintelligence and Security Agency (DCSA) at the time of proposal submittal and shall meet all requirements identified in the attached Department of Defense Contract Security Classification Specification (DD Form 254).
(NOTE: the generation of classified information via SIPR will be detailed in Block 13 of the DD Form 254. Block 11c and 11d will be marked as a requirement on the final DD Form 254).
L.2.3 SDVOSB Registration/SBA All-Small Program/Joint Venture Agreement. The Prime Offeror must be a Service-Connected Disabled Veteran Owned Small Business (SDVOSB) under NAICS 541990 (Size Standard:
$19.5M as of March 2023) and submit evidence of this registration in this Volume. The final decision regarding any offeror’s SDVOSB status shall reside jointly with the Veterans’ Administration (VA) and the Small Business Administration (SBA). If using the SBA All-Small Program, the Prime Offeror must submit SBA approval of the Mentor-Protégé Agreement with their proposal. All Joint Ventures must provide a signed copy of their agreement in this volume with proposal submission.
L.2.4 Acceptable Accounting System: The Prime Offeror and their subcontractors shall provide valid documentation at the time of initial proposal submission from DCMA, DCAA, other Federal Audit Agency, or other information that allows the Contracting Officer to determine that the contractor’s accounting system will permit timely development of all necessary cost data for the cost type CLINs and the negotiation of cost in accordance with the Federal Acquisition Regulations and applicable supplements in order to be considered for award (within the last 3 years from date of the issuance of this RFP).
If the Offeror does not have current documentation regarding an acceptable accounting system, the Offeror shall complete Attachment J-4A, SF 1408 Pre-award Survey of Prospective Accounting System Checklist with supporting documentation. An advanced copy of the Offeror’s SF 1408 Pre-award Survey of Prospective Accounting System Checklist with supporting documentation shall be forwarded to the cognizant DCAA and to the Contracting Officer office no later than Industry Day. Offerors are cautioned that determination of the acceptability of the accounting system must be accomplished to be eligible for contract award. Therefore, Offerors shall be prepared to support DCAA upon the initiation of the audit.
L.2.5 Cybersecurity Compliance. The Prime Offeror shall have, for itself AND its subcontractors, a minimum Basic Confidence Level score of 110 in the Supply Risk Performance System (SPRS) NIST SP 800-171 Assessment at time of proposal submission.
L.2.6 Defense Base Act Coverage. The Offerors are required to provide ‘proof’ that they can obtain Defense Base Act (DBA) insurance in suboptimal locations. One method of demonstrating this proof is by obtaining a quote from a DBA insurance provider for the Full-Time Equivalents (FTEs) identified in the Statement of Work (SOW) for operations in Iraq. This quote will showcase the ability to secure coverage despite the challenging conditions of being in a suboptimal location. The prospective locations for this requirement encompass declared theaters of active armed conflict, high Department of State hardship areas, and hazardous duty zones. Specific expected locations will be communicated to potential offerors within the competitive range.
L.3 VOLUME 2 – FACTOR 1 – TRANSITION PLAN.
L.3.1 Transition Plan: The Offeror shall demonstrate its capability to execute a smooth and seamless phase-in/transition, leading to the assumption of full operational responsibility within 90 days from contract award. The Offeror shall clearly state what support/services the prime is providing versus what subcontractors are providing during the Transition. Specifically:
L.3.1.1 Workforce Transition: The Offeror shall detail the extent to which the Transition Plan includes recruitment/hiring of employees from the incumbent contractor and/or its subcontractors. The Offeror shall state the percentage of the incumbent workforce it intends to hire as a planning factor. A comprehensive description of how the Offeror plans to execute the transition for its intended incumbent capture is required. Previous corporate experience in accomplishing succession from an incumbent to its own performance should be highlighted. The Offeror must discuss its current capacity (organic workforce) and the ability of present teammates/subcontractors to provide a sufficient number of individual FTEs to meet the requirements. Contingency plans for the insertion of new employees should also be outlined.
L.3.1.2 Event-Driven Timeline: The Offeror’s Transition Plan shall include an event-driven timeline that supports a written narrative. Key milestones by labor category and location must be highlighted. The timeline should demonstrate the capability to execute a phase-in/transition leading to assumption of full operational responsibility for CONUS positions and full-time OCONUS positions within 90 days from the contract period of performance start date. Transition status should be assessed at the 30th, 45th, 60th, 75th, and 90th day from performance start. The proposal shall include a minimum of a 90% fill rate metric on the 90th day from performance start.
L.3.1.3 Security, Procedures, and Logistics: The Transition Plan shall identify the Offeror’s ability to meet all security requirements (facility and personnel), procedures, and policies. Risk mitigation techniques, flexibility, and logistics related to moving personnel into both CONUS and OCONUS locations and assuming control of the Government’s requirement for real-time intelligence support to USSOCOM should be addressed.
L.3.1.4. Transition Teams Roles and Responsibilities: Describe in detail any proposed transition team’s roles and responsibilities. The transition team should be designed to fill transition requirements by reducing impacts and risks during the transition process.
L.4 VOLUME 3 – FACTOR 2 – MANAGEMENT
L.4.1 Element 1: Management Plan. The Offeror shall describe in detail the program Management Plan including leadership and oversight philosophies, tools, techniques, corporate expertise, reach back capabilities, and contract management for each site, provided in the SOW. Additionally, the Offeror shall describe its approach to managing teaming partner(s) and/or subcontractor relationships and clearly state what support/services the prime is providing versus what subcontractors are providing. The Offeror shall also describe the overall approach for managing different working sites to include personnel appointed to act as site(s) lead/manager(s), who oversee workload completion, and personnel management. The Offeror’s proposal shall describe its approach to problem solving and demonstrate the ability to satisfy SOW requirements without introducing unacceptable risk. The program
Management Plan shall include a detailed description of how the Offeror will recruit and retain qualified personnel to remain at a 90% fill rate and risk mitigation strategies for providing uninterrupted support during personnel absences due to sickness, leave, voluntary or involuntary termination from employment, or emergencies such as:
labor strikes, surges, natural disasters, disruptive world events, pandemic outbreaks, or terrorist attacks. The Offeror shall describe in detail its processes, procedures, and approach for executing smooth, timely and cost-effective travel to OCONUS locations, to include infrastructure/procedures to support deployed personnel.
L.4.2 Element 2: Key Personnel: The Offeror shall provide their process and corporate commitment for recruiting/retaining Key Personnel. The Offeror is required to provide resumes for Key Personnel identified in the SOW. Each resume shall address the qualifications listed in the Statement of Work and provide a detailed description of the experience as it relates to the responsibilities found in section 4.1, 4.2, and 4.2.1 of the SOW.
Offerors shall submit signed letters of commitment for each Key Personnel position. The Letter of Commitment template is included in this RFP as Attachment J-4c.
L.4.3 Element 3: System Security Plan: The Offeror shall submit a System Security Plan (SSP) and any associated Plans of Action developed to satisfy the adequate security requirements of DFARS 252.204-7012. Additionally, the SSP and associated plans must align with NIST Special Publication (SP) 800-171, titled “Protecting Controlled Unclassified Information in Nonfederal Systems and Organizations”. These requirements apply to the Offeror’s unclassified information system(s)/network(s) where covered defense information associated with the execution and performance of this contract is processed, stored, or transmitted.
L.5 VOLUME 4 – FACTOR 3 – PAST and PRESENT PERFORMANCE.
L.5.1. General: The Offeror shall submit a Past and Present Performance Proposal (Volume 4) containing the following:
Table of Contents Summary Page describing the role of the Offeror and each subcontractor, teaming partner, and /or joint venture partner for which the Offeror is required to provide Past and Present Performance Information Sheets in accordance with paragraph L.5.2 below.
Past and Present Performance Information Sheets (paragraph L.5.2 below).
Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information (if applicable) so the Offeror can respond to such information. Organizational Structure Change History (paragraph L.5.6 below), and Letters of Intent for proposed subcontractors/teaming partners/joint ventures.
L.5.2. Past and Present Performance Information Sheets The Offeror shall submit information on the contracts considered most recent and relevant in demonstrating its ability to perform the requirements of this solicited effort. The Offeror shall submit a minimum of three and a maximum of five Past and Present Performance Information Sheets identifying active or completed Government contract/task/delivery orders for each contract they are submitting for themselves, and a minimum of one and maximum of two Past and Present Performance Information Sheet(s) for EACH subcontractor, teaming partner, and/or joint venture. A Past and Present Performance Information Sheet for each effort is limited to five pages.
The Government prefers submission of recent Government contracts that have performance information in the Contract Performance Assessment Rating System (CPARS) but will evaluate all efforts submitted.
Offerors are advised that the Government will use the information provided in this volume as well as information obtained from other sources for the overall evaluation of past and present performance. The Government requests the Offeror provide current POCs for each contract identified. Contact information for each POC shall include both a phone number and email address. NOTE: The Offeror must either provide the above information or affirmatively state that it possesses no relevant, directly related, or similar past performance.
Prime Offerors shall not submit past performance information sheets on a subcontractor/teaming partner/joint venture that have no present or recent experience performing the level of work required for this effort. The summary page shall state that the proposed subcontractor(s) have no prior recent or relevant experience.
Prime Offerors shall only submit past performance information sheets on a subcontractor/teaming partner/joint venture that are expected to perform +20% of the work.
Past and Present Performance Information Sheets for each effort submitted shall include the following information:
Company/division’s street address, county, and CAGE code Government/industry contact points (i.e., Contracting Officers, Government program managers, administrative Contracting officers, etc.) Offeror shall ensure all phone numbers and email addresses are active and working.
Prime contract # Contract title Award date Total contract value (If an IDIQ contract, provide the ceiling value and current value (awarded tasks/exercised options))
- If submitting information sheets as a sub, the total contract value of the subcontract.

Additionally, each Past and Present Performance Information Sheet shall:
Identify the Offeror’s role (i.e., prime, 1st tier subcontractor, etc.), and what percent of work was performed.
Provide a narrative of the overall nature of the work performed to include number of FTE, the general scope/objective as well as management efforts and how it is relevant to this solicitation based on the nature of the work involved and the extent the work involved was/is similar.
Provide a description of how the contract was managed internally and externally utilizing outside organization coordination to include but not limited to Security clearances, Travel to OCONUS, DBA Insurance, etc.
Explain the recruitment, hiring, and retention plans, processes, successes, etc., to include the average washout rate the Offeror experienced (# of recruits / actual employees hired, retained, etc.).
Provide information on unexpected changes in which the Offeror was required to provide quick reaction.
Identify what organization the effort was in direct support of (i.e., SOF Communities, Government
Agencies, Conventional Forces, Commercial, etc.).
Describe how subcontractors were managed via roles, responsibilities, and coordination
L.5.3 Recency: In determining “recency,” the Government defines “recency” as contracts performed, all or in part, during the past three years from the date of issuance of this solicitation.
L.5.4 Relevancy: For the prime Offerors, “relevancy” is defined as contracts and/or subcontracts performed that are most similar to this overall effort in terms of the general scope of work, number of FTEs, labor positions, percent of work performed by the prime, management required, training required, subcontracts utilized, and customer supported. The Government will perform an independent analysis in determining the relevancy of a contract based on the data provided and/or obtained and based on the matrix found at L.5.6 below.
For proposed subcontractors/teaming partners/joint ventures, “relevancy” is defined by that which reflects the area of expertise the subcontractor has performed/is performing and is projected to actually perform under this contract, (i.e. specific areas in the SOW/labor categories).
The more the overall effort is similar in the general scope of work to include management, number of FTEs, percent of work performed by the prime and/or sub, and customer supported, the more relevant it becomes.
Prime Offerors shall not submit past performance information sheets on a subcontractor/teaming partner/joint venture that are not expected to perform on this contract.
Prime Offerors shall include a Letter of Intent, in the Offeror's format, for those subcontractor/teaming partners/joint ventures in which they are submitting past performance information sheets.
The Offeror may submit performance on classified programs if that information can be verified. If the Offeror intends to submit in this manner, the information that is classified (customer, contract number, etc.) should be marked “reserved” and the description/write up of the work performed shall remain unclassified. If the Offeror cannot describe what work was accomplished in an unclassified manner, for the Government will not consider that work for evaluation.
L.5.5 When making the relevancy determination the following definitions will be utilized.

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
In applying the ratings described in L.5.5 the Government will utilize the Matrix found at Attachment J-4c: PP Relevancy Matrix.
The more an effort is similar in these areas, the more relevant that effort becomes. No single relevancy criterion is more important than another when determining relevancy of a prime offeror effort, but rather all criterions are considered holistically in order to subjectively assess one overall Confidence Rating as described in Section M.5.2.
L.5.6 Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. In order to facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company to include changes in CAGE code and DUNS. As part of this explanation, show how these changes impact the relevance of any efforts identified for the past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror, your "roadmap" should be both specifically applicable to the efforts submitted in this volume and general enough to apply to efforts on which the Government receives information from other sources.
L.6 VOLUME 5 – FACTOR 4 – PRICE
The Offeror shall submit a total price for each awardable Task order (1 – 4), Sample Non-Awardable Task Order and Contract Line-Item Number (CLIN) contained within the Pricing Matrix, Attachment J-3. Offerors shall not re-format or remove cells from the spreadsheet. Submission of the pricing data shall be complete and accurate. The Government will evaluate each Offeror’s proposal to determine the Total Evaluated Price (TEP). The TEP will consist of following components: 1) Labor 2) Travel and 3) Other Direct Costs (ODCs) for the four specified task orders and Sample Non-Awardable Task Order. Each of these components is discussed further throughout this section.
The Government intends to award Indefinite Delivery Indefinite Quantity LH (Labor Hour) contract in response to this solicitation. For purposes of the solicitation, the Government is providing a not to exceed (NTE) (Plug) for ODC and Travel Cost Reimbursable CLINS, therefore Offerors shall propose fully burdened Labor Hour (LH) rates IAW the Attachment J-3 Pricing Matrix. Price/cost information shall only be addressed within this volume and shall not be addressed in any other portion of an offeror’s proposal. Price Volume does not have a page limit.
The Offeror’s Price Volume shall include:
1. Written Price Narrative (Basis of Estimate)
2. Completed copy of Attachment J-3 - Pricing Matrix
L.6.1 Written Price Narrative: The Offeror shall submit a written narrative which details the basis of estimate for the offeror’s approach for the full five years of contract performance (i.e., 5-year ordering period). The narrative shall provide a detailed explanation of the proposed price and shall include, at a minimum, the following components:
L.6.1.1 Labor Hour CLIN: All CONUS and OCONUS labor efforts will be incorporated into one LH CLIN, The Offeror shall provide an explanation of the methodology used to develop the fully burdened composite/blended labor rates proposed in Attachment J-3 – Pricing Matrix, Tab X. The fully burdened composite/blended labor hours rate will be applied to Task Order 1, Task Order 2, Task Order 3, and Task Order 4 per labor category multiplied by 1880 productive hours multiplied by number of full-time equivalents per Task Order. Incomplete pricing for any labor categories (LCATs) will render the proposal as unawardable and excluded from further consideration.
L.6.1.2 Escalation Rates: The Offeror shall submit an explanation of the methodology used to develop any applicable escalation or de-escalation rates applied to the out-year pricing for all LCAT LH rates proposed.
L.6.1.3 Sample OCONUS Task Order: The Government has included a Sample Task (OCONUS) for evaluation purposes only. This Sample Task will not be awarded but is being utilized to ensure the Offeror understands the requirements for costs associated with OCONUS. The Offeror shall submit in their price volume a detailed explanation and basis of estimate of their proposed OCONUS costs, including any additional ODCs proposed not dictated by the DoS guidelines. Offerors will describe how their indirect rates, as applicable, to the proposed ODCs are consistent with their accounting policy and procedures.
L.6.2 Pricing: The Offeror shall complete Attachment J-3 – Pricing Matrix. Fully Burdened composite/blended Labor Rates proposed will be incorporated into the IDIQ via the attachment and shall be utilized to populate the Task Orders tabs (1-4). LH rates will be used for all future task order pricing.
L.6.3. Travel & Other Direct Costs: The Government has high confidence in providing “Plug” values for certain aspects of this requirement (Travel and ODCs (i.e., OCONUS uplifts and DBA) due to the maturity of the program and robust historical data. Therefore, Offerors shall utilize the Government-provided plug numbers for ODC and Travel and apply their indirect rates (i.e., overhead, G&A, etc.) in accordance with their disclosed accounting practices. Offerors may elect to propose additional ODCs, which may only be expensed after receiving COR approval. Fee proposed on Travel and ODC is not allowed.
L.6.3.1 Defense Base Act (DBA) Insurance: The Offeror shall provide, identify and at contract execution price DBA insurance in accordance with FAR 52.228-3. This amount is only applicable to the OCONUS labor portion of the contract. The Offeror shall include the Certificate of Insurability from the DBA insurance provider. If the Offeror is not proposing DBA Insurance, the Offeror shall submit documentation that they are enrolled in the DBA self-insurance program, approved by the Department of Labor. Offeror shall apply indirect rates in accordance with their disclosed accounting practices to the Government's provided ODC plug amount.
L.6.4 Indirect Rates. The Offeror shall propose and apply Indirect Rates for five years of the period of performance. Additionally, the offeror shall provide four years of historical actual pools and bases were indicated in Attachment J-3 Pricing Matrix.
NOTE: The Offeror shall describe all indirect rates applied to all CLINs, as applicable. All documents provided in support of the proposed rates shall be referenced and explained within the price narrative. This explanation shall include a mapping for all proposed rates to the applicable supporting documentation and how the proposed rate was developed.
L.6.5 SOFARS 5652.215-9010: The Contracting Officer has determined there is a high probability of adequate price competition on this acquisition. Upon examination of the initial proposals, the Contracting Officer will review this determination and if in the Contracting Officer’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this acquisition the Contracting Officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness of price. Additionally, all information related to pricing shall be included in the section of the proposal defined as “Volume 5 – Price Proposal”. UNDER NO CIRCUMSTANCES should pricing data be included elsewhere in the proposal. **Offeror shall ensure all calculations leading to the TEP have been properly calculated. **
L.6.3 Total Evaluated Price (TEP): The offeror shall propose its Total Evaluated Price by completing Attachment J-3: Pricing Matrix. The Government will evaluate the “TEP” Tab included therein in order to establish the offeror’s Total Evaluated Price. Attachment J-3, Tab Total Evaluated Price will self-populate, no input is required by the Offeror.
