INSTRUCTIONS

General Instructions
1. There are 10 total tabs on this Price Matrix (including this "Instructions" tab).

2. Basic rule of thumb: use common sense. Keep your proposal as close to the template as possible, but change it as needed to accurately reflect all costs.

3. Do not lock, re-format, or remove any cells. If any cells are locked where formula/calculations cannot be verified, proposal may be deemed ineligible for award.

4. At a minimum, insert appropriate information in yellow highlighted cells. The Government has locked some cells that shall not be modified.

Offeror Information Tab Instructions
1. This tab requires the Offeror input their company information, along with any proposed subcontractors that will be partnering with them on this effort. In addition, subcontractors are required to provide documentation as to the adequacy of their accounting system for flexibily priced contracts.
Total Evaluated Price Tab Instructions
1. This tab does not require offeror input. It will auto-calculate the Total Evaluated Price by summing the Total Proposed Price from each Task Order plus ODC and Travel costs.
Rate Card Tab Instructions
1. The Labor Rate Sheet tab requires offeror input of the applicable fully burdened labor rate (FBLR) for all labor categories and clearance requirements (S or TS/SCI clearance) by completing the yellow highlighted cells for the full period of performance. Failure to input fully FBLR for all labor categories and clearance requirements in all locations with yellow highlighted cells shall render a proposal ineligible for award and no further review of the Offeror's proposal will be considered.

2. Offerors will provide the unburdened salary per LCAT which the FBLR is based on for the base year of the contract. 3. Each fully burdened rate should include the total compensation actually paid to the employee (unburdened direct annual salary) plus all additional fringe costs (i.e. FUTA/SUTA/FICA, etc.) as well as all other associated indirect costs (overhead, subcontract handling, G&A, profit/fee, etc.).

4. For purposes of these tabs, all offerors shall use 2080 hours to convert direct annual salaries to fully burdened rates. 5. FBLRs will be applicable to hours worked and billed by the prime offeror and any subcontractors utilized during the contract period of performance.

6. FBLRs shall NOT include OCONUS uplifts (i.e., danger/hazard pay, post differential pay, etc.) and DBA insurance. These costs will be handled as part of the ODCs when required for Government directed OCONUS travel. 7. The Labor Rate sheet will be incorporated into the resultant contract to be used as the basis to negotiate all future task orders during the ordering periods.

Indirect Rate Sheet Tab Instructions
1. This tab requires the Offeror input their indirect rates applied to Other Direct Costs and Travel Costs. Indirect rates should be compliant with the company's disclosed accounting practices in the development and application of said rates. 2. Offeror shall provide five years of historical indirect rates compared to proposed indirect rates. Any material differences in the indirect rates pool and base costs should be fully explained to account for differences in historical vs proposed indirects.
Task Order 1 to Task Order 4 Tabs Instructions
1. The Offeror's proposed FBLR under Tab "Labor Rate Sheet" will be utilized to populate the Total Labor Costs by each year in the ordering period for the four identified task orders. Offerors are NOT to input data by LCAT.

2. It is intended that these four Task Order tabs (from the successful offeror's proposal) will be incorporated into the awarded contract task order.

Sample Task (OCONUS) Instructions
1. The Government has included a Sample Task (OCONUS) for evaluation purposes only. This Sample Task will not be awarded but is being utilized to ensure the Offeror understands the requirements for costs associated with the OCONUS efforts. 2. Sample OCONUS effort is based on a 6 month TDY to IRAQ. FTEs will be expected to work a 15 hour shift, 7 days a week for 6 months (180 days). 3. Offerors will apply any OCONUS uplifts in accordance with the Department of State guidelines OCONUS uplifts (i.e., danger pay) and their disclosed accounting practices for OCONUS effort.

4. Offerors will provide support for all proposed ODCs not dictated by the DoS guidelines (i.e., VISAs, passports, medical, etc.). In addition, DoS OCONUS uplifts percentages will be supported in their basis of estimate.

5. Offerors will apply indirect rates, as applicable, to the proposed ODCs consistent with their accounting policy and procedures. 6. Offerors shall complete all cells in yellow as required, to include formulas calculating all amounts proposed. Cells shall not be hardcoded with amounts without supporting calculations. Basis of estimate shall be clearly described within their Price Volume.

Other Direct Costs (ODC) Instructions
1. The Government has included an estimated cost (i.e., plug value) for ODCs

2. The ODCs Government plug is intended to cover all costs associated with OCONUS uplifts (i.e., Danger/Hazard pay), VISA, etc. and DBA insurance.

3. The Government plug amount shall not be changed except for the application of indirect rates based on company accounting procedures. 4. The Offeror shall update the yellow highlighted sections to comply wiht the company's indirect rate structure to apply their indirect rates in accordance with their disclosed accounting practices. 5. The ODC CLIN will be awarded as a CR with a not-to-exceed amount. Profit is not allowed.

Travel Tabs Instructions
1. The Government has included an estimated cost (i.e., plug value) for CONUS and OCONUS related travel.

2. The Travel Government plug is intended cover all costs associated with Government directed travel.

3. The Government plug amount shall not be changed except for the application of indirect rates. Profit will not be applied to travel costs. 4. The travel CLIN will be awarded as a CR with a not-to-exceed amount. Profit is not allowed.

Advanced skill sets with the Intelligence Cycle, High Value Individuals (HVI) Targeting, Social Network Analysis, Patterns of Life Analysis, Sensitive Sit Exploitation (SSE) and data-at-rest.

Employe their expert knowledge and understanding of analytical theory, doctrine, rules, regulations, directives, systems, concepts, methodologies, and relevant skills related to intelligence operations.

Captured Enemy Material Intelligence Analyst – Expert -North Carolina Captured Enemy Material Intelligence Analyst – Expert North Carolina 6 GS 13 Step 5 Minimum of six (6) years of analytical experience within the DoD or equivalent Government agencies required, with four (4) years at the operational level.

Highly proficient in utilizing current intelligence related automation, applications, tools, and databases to support analytical efforts and product development.

Strong briefing and writing skills.

Strong background and firsthand experience are required in the following analytical areas: SSE, data-at-rest, Regional Analysis, Geo-Political Analysis, HUMINT/SIGINT Analysis and Collection Management.

Ability to work independently with little or no supervision.

Ability to work as a part of a team to identify trends and information of value within data-at-rest to drive reporting and production to alert decision-makers of new developments and to meet specific customer requirements.

In-depth knowledge of SOF and or CT intelligence experience is highly desirable.

Counterintelligence Analyst – Expert -North Carolina Counterintelligence Analyst – Expert North Carolina 6 GS 13 Step 5 Minimum of eight (6) years of experience performing counterintelligence related operations while serving in a Joint Special Operations Task Force, Inter-agency Task Force, National Intelligence Agency, Law Enforcement Agency, Joint CI Activity, or Combatant Command.

CI-SMEs shall have no less than eight (6) years of operational analysis experience in their analytical field. Five (4) years of experience in a managerial level position in support of special operations and combat overseas tours with a SMU and or SOF in an operational environment providing a direct analysis support function is highly desired.

Understand the F3EAD targeting methodology to include broad knowledge of additional intelligence disciplines and significant demonstrable experience in their field capable of leading analytical efforts culminating in products.

CI-SMEs shall have no less than eight (8) years of operational analysis experience in their analytical field. CI-SMEs shall have no less than eight (8) years of operational analysis experience in their analytical field. Five (5) years of experience in a managerial level position in support of special operations and combat overseas tours with a SMU and or SOF in an operational environment providing a direct analysis support function is highly desired.

Minimum of two (2) years working as a Foreign Disclosure Representative experience is highly desirable.

Provide foreign disclosure recommendations after analyzing release requests for Classified Military Information (CMI) and Controlled Unclassified Information to support US Government information/intelligence sharing requirements.

Manage actions related to facilitate foreign visit requests, provide, and assist in foreign disclosure training, provide foreign disclosure/technology security review of technology, TTPs and operational/intelligence products across CAT 1-8 areas IA W NDP-1.

Conduct FDR duties IAW National Disclosure Policy One (NDP-1), CJCSI 2110.0 IE, DoDD 5230.11, ITAR, and USSOCOM policies.

Collaborate with Government individuals responsible for foreign disclosure, technology transfer, and export control.

All the qualifications of an All-Source Intelligence Analyst – Expert are required.

Sufficient experience to conduct training for individuals and small groups with a wide range of skill sets, capabilities, and intelligence backgrounds (All-Source, SIGINT, GEOINT, HUMINT, Intel Exploitation, OSINT, etc.) to introduce custom built analytical tools and their application to the F3EAD Targeting Methodology.

Highly proficient in utilizing current intelligence related automation, applications, tools, and databases to support analytical efforts and product development.

Advanced HVI/Network Targeting methodology knowledge/understanding, nodal analysis, and ability to fully utilize the F3EAD targeting process.

Strong briefing skills.

Strong background and first-hand experience are required in the following analytical areas: Regional Analysis, Geo-Political Analysis, GEOINT/HUMINT/SIGINT Analysis and Collection Management.

Intelligence Collection Manager Subject Matter Expert (ICM SME) -North Carolina Intelligence Collection Manager Subject Matter Expert (ICM SME) North Carolina 8 GS 14 Step 5 Minimum of eight (8) years of total intelligence/intelligence operations experience within the DoD or equivalent Government agencies required, with five (5) years at the operational level.

Shall serve as the subject matter expert and advise on all aspects of collection management during routine, contingency, special access program, compartmented projects, operations, and exercises.

Minimum of 5 years of experience in collection management with a strong background and firsthand experience is required in collection management and/or intelligence reporting, including doctrine, policy, procedures, oversight, tactical, theater, and national-level coordination.

Excellent briefing and executive level writing skills.
