About this file
This is an Intellectual Property and Confidentiality Agreement that serves as Attachment A to a Demonstration of Energy & Efficiency Developments (DEED) Grant Agreement between the American Public Power Association and subcontractors working on the City of Pasadena's Department of Water and Power Distributed Energy Resource - Rooftop Wind Microturbine Pilot Project (CG-2718). The agreement establishes the terms under which subcontractors will develop work products related to the design, engineering, permitting, and procurement of materials for a rooftop wind turbine with a minimum capacity of 5 kW to be installed on a municipally owned building in the City Maintenance Yards. The project objective is to select a private entity to develop this distributed energy resource for operation by Pasadena Water & Power, with proposals required to include the wind turbine unit purchase price and engineering specifications necessary for proper installation and operation.
The agreement establishes that all work products created by the subcontractor are considered "Works Made for Hire" and become the exclusive intellectual property of the American Public Power Association, including copyrights, designs, software, and proprietary information. The subcontractor must represent that work products are original and do not infringe upon third-party intellectual property rights, must maintain strict confidentiality regarding any proprietary information shared by the commissioning party, and must indemnify and hold harmless the American Public Power Association from any claims, damages, or losses arising from the subcontractor's acts or omissions. The subcontractor is classified as an independent contractor and must execute the agreement with authorized representatives of both parties prior to commencing work.
