Over the life of the contract, the complexity, size, and risk tolerance for NASA payloads will vary. To maximize the likelihood of mission success, NASA may require additional evidence of readiness and ability to perform the work described in the task orders via the delivery/task order process. Evidence such as contractor documentation, formal briefings, design reviews, documented processes, facility readiness, quality assurance, low risk tolerance heritage, safety and mission assurance, and/or implementation materials may all be requested as part of a readiness and ability assessment.

The Contractor is required to perform Anomaly, Mishap, Mission Failure Preparedness and Contingency Reporting in accordance with Attachment J-6.

3.1 Capability Updates through Contract effective ordering period Over the life of the contract, the Contractor shall provide projections of future mission capability through informal meetings with the CLPS project office.

3.2 NASA Enhanced Insight and Collaboration to Improve Mission Reliability NASA's monitoring of CLPS missions will be tiered based on mission criticality and risk. The specific implementation of Insight and Approval will be defined at the task order level and is generally categorized as follows:

· NASA Approval: NASA retains the authority to provide formal "authority to proceed" or acceptance of requirements, deliverables, plans, tests, or success criteria in specified areas. Areas requiring NASA approval typically involve mission-critical interfaces, landing site selection, integrated operations with NASA payloads and other flight missions, and safety-critical milestones.

· NASA Insight: NASA will maintain an active understanding of Contractor activities through collaborative working relationships, document reviews, meeting attendance, and watchful observation. Insight allows NASA to perform continuous risk assessment without exercising approval authority over the Contractor's internal commercial processes.

General Access and Data Rights: The Contractor shall provide NASA and its authorized support service contractors safe and suitable access to all data, facilities, and personnel used in the performance of this contract. This includes the ability to review data in usable formats and observe activities at contractor, subcontractor, or partner facilities. The Contractor is responsible for executing any necessary third-party data rights agreements with suppliers to facilitate this access at no additional cost to the Government.

Insight Areas: To ensure mission success while maintaining commercial flexibility, NASA’s insight activities will be organized into the following broad categories. The specific deliverables and level of participation within these categories will be defined in individual task orders:

· Systems Design and Certification Insight: This encompasses the evolution of the spacecraft architecture, design trades, and configuration management. NASA will gain insight into the baseline design and any subsequent changes through standard engineering cycles and technical reviews.

· Production, Quality, and Safety Assurance: NASA will monitor production progress, schedules, and quality assurance processes. This includes the right to request more frequent and detailed status reports, insight into manufacturing milestones, non-conformance reporting, and Safety and Mission Assurance compliance. NASA reserves the right to perform Government Quality Assurance functions (e.g., process witnessing, audits) for safety-critical items identified via risk-based analysis.

· Mission Integration and Operations: This category covers the analytical and physical integration of payloads, as well as ground and flight operations. NASA will have insight into "Test Like You Fly" rationale, verification/validation results, and real-time status of Key Design Parameters.

· Anomaly and Failure Investigation: In the event of a system anomaly or mission failure (including those on non-NASA missions using similar hardware), the Contractor shall notify NASA and allow NASA participation in the Failure Review Board. NASA will monitor the investigation to determine root causes and evaluate corrective actions for future NASA missions.

Approval Areas: NASA may exert approval authority over specific mission phases or products that directly impact the safety, compatibility, and successful delivery of NASA payloads. The specific approvals will be defined in individual task orders:

· Integrated Interface Control: Formal acceptance of spacecraft-to-payload interface requirements, interface control documents (ICDs), and the resulting verification and validation data.

· Safety, Environmental, and Regulatory Compliance: Approval of integrated hazard analyses, planetary protection implementation plans, and orbital debris mitigation strategies as they relate to NASA's mission objectives.

· Independent Verification, Validation (IV&V), and Peer Review: NASA may require formal approval of targeted IV&V and technical peer-review activities. This includes NASA’s independent assessment or formal peer-review of critical software logic, performance modeling (e.g., EDL trajectory, guidance navigation and control (GNC) algorithms), and the Contractor's technical approach for mission-critical systems.

· Milestone Readiness and Authority to Proceed: Approval of entrance and exit criteria for critical mission milestones (e.g., Flight Readiness Reviews, Launch Readiness Reviews). NASA’s approval at these milestones constitutes the formal "Authority to Proceed" to the next phase of the mission.

· Requirement Tailoring and Mission Deviations: Approval of any proposed tailoring, waivers, or deviations from the contractually established baseline that could impact NASA payload performance or integrated mission safety.

Resident Office and Facilities: NASA may elect to establish a resident office at the Contractor’s, subcontractor’s and partner’s major engineering or manufacturing facilities. The Contractor, subcontractor, and partner shall provide necessary accommodations (e.g., office space, network access, and administrative support) for up to two (2) NASA representatives per location.

Performance Responsibility: Notwithstanding NASA’s insight, approval, or collaborative participation, the Contractor assumes full and sole responsibility for the performance of the spacecraft, mission success, and the delivery of services as defined in the contract.
