1852.232-81 CONTRACT FUNDING (JUN 1990)

(a) For purposes of payment of cost, exclusive of fee, in accordance with the Limitation of Funds clause, the total amount allotted by the Government to this contract is $150,000. This allotment is for Safety and Mission Assurance Engineering Contract II and covers the following estimated period of performance: TBD.

(b) An additional amount of $TBD is obligated under this contract for payment of fee.

JSC 52.216-90 IDIQ MINIMUM AND MAXIMUM ORDERING LIMITS (AUG 2013)

In accordance with FAR 52.216-22, Indefinite Quantity, the contract guaranteed minimum amount to be ordered under this contract is $150,000 and the contract Not to Exceed (NTE) amount which may be ordered under this contract is $265,000,000. The Government is not obligated to order more than the minimum specified, but may order up to the maximum. The Contractor is obligated to fulfill orders issued, up to the maximum quantity within the limits specified in FAR 52.216-19 Order Limitations.

REQUIRED LEVEL-OF-EFFORT FOR TASK ORDERS

(a) During the term of the contract, the Contractor is obligated to provide not less than 95 percent nor more than 105 percent of the cumulative direct labor hours ordered on issued level-of-effort task orders. The cumulative amount of direct labor hours shall not exceed 105 percent of 365,000 hours. This cumulative amount is available for the life of the contract.

(b) The above required level-of-effort shall only be used for emergency efforts, and work that is so insufficiently defined it does not permit issuance of a fully defined task order in accordance with Section I clause, TASK ORDERING

PROCEDURES.

(c) “Direct labor hours” are those productive hours expended by Contractor personnel, including subcontractors, consultants, and contract labor performing work under this contract that are charged as direct labor under the Contractor’s established accounting policy and procedures. The term does not include sick leave, vacation leave, or any type of administrative leave but does include direct labor hours provided under level-of-effort subcontracts.

(d) Once the maximum number of direct labor hours is reached or the contract term has ended, the Contractor’s requirements under the contract are fulfilled, even though the specified work may not have been completed. The Contractor is not authorized to exceed the maximum of the direct labor hours specified in paragraph (a) unless a bilateral contract modification is executed. Any estimated cost and fee (s) adjustments for any additional direct labor hours shall be based solely upon the quantity of additional hours being added to the maximum number of direct labor hours specified in this clause.

(e) The fee, if any, is based upon the furnishing of at least the specified minimum number of direct labor hours, including subcontract hours. If the Contractor provides less than specified minimum number of hours prior to expiration of the contract term, and the Government has not invoked its rights under the Termination clause of this contract to adjust the contract for such reduced effort, the Contracting Officer may unilaterally make an equitable downward adjustment to the contract fee. The downward adjustment in fee will be based upon the difference between the minimum direct labor hours specified under this clause and the amount of direct labor hours provided by the Contractor. Prior to making such an adjustment, the Contracting Officer will request the Contractor provide a written discussion of any extenuating circumstances (e.g. productivity improvements or reductions in contract scope), which contributed to the under run. Any information provided by the Contractor will be considered by the Contracting Officer in determining the amount of the downward adjustment in fee.

FULLY BURDENED RATE TABLE FOR PRICING COST-REIMBURSEMENT, IDIQ

AND LOE TASK ORDERS, AND CORE REQUIREMENTS

(a) Fully Burdened Rate Table For Pricing Cost Reimbursable, IDIQ and LOE Task Orders, and Core Requirements

The following rates shall also be utilized in the subsequent negotiation of cost-reimbursement, IDIQ and LOE task orders in accordance with Section I clause entitled, “TASK ORDERING PROCEDURE”.

The labor rates are fully burdened composite team rates (prime and all subcontractors); but exclude prime fee. The NTE fee rate is the maximum fee rate which may be proposed or negotiated for the Core requirements and individual cost reimbursement task orders during contract performance. Lower fees may be negotiated for work having lower levels of risk or complexity.

The parties agree that the fully burdened labor rates established below shall not be subject to any equitable adjustment (upwards or downwards), regardless of actual rates incurred during contract performance.

4.0 Core Deliverables 46

5.0 Core Assumptions 48

Scope of Work The Statement of Work (SOW) applies to all current and future National Aeronautics and Space Administration (NASA) Programs and Projects that are performed during the contract’s period of performance. This SOW and all documents referenced herein define the Government’s requirements for Safety and Mission Assurance (SMA) products and services. This SOW requires the contractor to review work performed by other contractors, Commercial Partners, International Partners (IPs), and other NASA organizations. The majority of the work is performed at the Johnson Space Center (JSC) in Houston, Texas. Resident support is required at the White Sands Test Facility (WSTF) located in Las Cruces, New Mexico. Contractor resident support may be required at other NASA centers, other U.S. Government facilities, contractor or subcontractor locations, or supplier facilities.

The structure of the SOW should not be construed as defining a required contractor organizational structure.

This SOW consists of cost reimbursable Core and Indefinite Delivery Indefinite Quantity (IDIQ) requirements. Core is defined as work that is pre-negotiated for the contract’s entire period of performance. Core requirements are implemented at contract start and are in-effect throughout the entire period of performance of the contract. Contract changes to Core work will be implemented via Section I clause 52.243-2, CHANGES – COST-REIMBURSEMENT and require Contracting Officer (CO) authorization.

IDIQ requirements may be issued as performance-based IDIQ Task Orders (TOs) or Level of Effort (LOE) TOs. LOE TOs will generally be issued for emergency efforts and new work whenever those requirements cannot be fully defined. LOE TOs will typically be replaced by or transitioned to performance-based IDIQ TOs after requirements are fully defined and understood.

Core Deliverables and Core Assumptions are listed as tables in Sections 4 and 5 of the SMAEC II SOW, respectively. Core Deliverables are products that are delivered to NASA as part of the Core activities (e.g., reports, training courses, studies, TIMs). The Core Deliverables table lists the deliverable product, the SOW section which calls out the product, the annual quantity range, and delivery frequency. Core Assumptions reflect workload sizing data necessary to perform work which may not have an associated deliverable product (e.g., quantity of audits, meetings, assessments, measurements, WADS, TPS). The Core Assumptions table lists the assumption for requirements called out in the SOW, the SOW section that the assumption pertains to, the annual quantity range, and frequency.

Deliverables required during performance of this SOW shall be provided electronically, unless otherwise specified in the SOW or a TO.

Travel costs for Core requirements shall be allocated to Core value (See Section 5.0, Core Assumptions). Travel costs for IDIQ requirements will be negotiated on a task order basis.

IDIQ requirements may change year-to-year and are negotiated each year and implemented as TOs. The Government may request, delete, or change IDIQ TOs at any time during the period of performance.

The SOW requirement numbers in this document have a (C) or (I) next to them to denote whether they are Core or IDIQ requirements, respectively.
