About this file
This document is a Professional Consultant Services Agreement between the El Paso County Hospital District (doing business as University Medical Center of El Paso) and an unnamed Consultant for Program Management Services related to the UMC 2025 Bond Implementation Projects. The agreement covers professional services as described in RFP #950-02-25-006, with a contract term of one year beginning on an unspecified date. The agreement allows for month-to-month continuation for up to 24 months if not terminated, and either party can terminate the contract with 30 days written notice.
The compensation for services is to be determined (TBD), with monthly payments made after services are rendered. The consultant is required to maintain liability insurance of at least $1,000,000 per incident and $3,000,000 aggregate. The agreement is contingent upon funding availability, and the consultant acknowledges that UMC is a political subdivision of Texas with budget constraints. Key provisions include the consultant's independent contractor status, compliance with UMC's Code of Conduct, and adherence to Texas Public Information Act requirements. The contract specifically notes that UMC has limited monetary liability under the Texas Tort Claims Act, with maximum damages of $100,000 per person and $300,000 per occurrence.
