About this file

This document is the Terms and Conditions attachment for a contract between Salt Lake City Department of Airports and a contractor for printing material and supplies for sign shops. The terms and conditions establish the contractual framework governing the contractor's performance, responsibilities, and compliance obligations at Salt Lake City International Airport. The contractor must commence corrective work within twenty-four hours of notice from the City for any deficient or negligent work, with the City retaining the right to perform corrective work itself and deduct costs from contractor payments. The contractor must comply with all applicable federal, state, and local safety laws, FAA and TSA regulations, and airport security requirements, including FAR Part 1542 Airport Security standards. Personnel assigned to the airport must obtain TSA-issued identification badges and successfully complete a two-hour security training course, with employees passing a fingerprint-based criminal history records check to qualify.

The agreement is subject to all existing and future agreements between the City and the United States Government for airport improvement and operations, with the FAA and TSA maintaining authority to require modifications or amendments. The City reserves the right of avigation, allowing aircraft passage through airspace above the property and the inherent noise associated with airport operations, and the contractor must not interfere with aircraft operations or airport business. The contractor must comply with comprehensive nondiscrimination requirements under Title VI of the Civil Rights Act of 1964, the Rehabilitation Act of 1973, the Americans with Disabilities Act, the Age Discrimination Act, and Executive Orders 12898 and 13166, ensuring equal opportunity regardless of race, color, national origin, sex, age, disability, or limited English proficiency. The contractor bears full responsibility for security breaches resulting from employee negligence or intentional acts and is strictly liable for any TSA civil penalties. The City retains the right to acquire insurance on the contractor's behalf at contractor expense if required insurance is not provided, with a five-million-dollar per occurrence requirement for commercial general and automobile liability when SIDA driving privileges are necessary.

Contractor shall, within twenty-four hours’ notice (either verbal or in accordance with formal written procedure) by City, commence to perform any corrective work required by said designee, unless work to be performed interferes with a function of the Airport in which case the City shall assign the time the work is to be accomplished. If Contractor should neglect to perform the work properly in accordance with this paragraph or fail to perform any provisions of this Agreement, the City, after twenty-four hours’ notice (either verbal or in accordance with formal written notice procedure) to Contractor, may without prejudice to any other remedy it may have, make good such deficiencies and may deduct the cost thereof from any payment due Contractor. In cases of emergency, as determined by City, after delivery of notice (either verbal or in accordance with formal written notice procedure) to Contractor, may perform such work or contract the work without delay and may deduct the cost thereof from any payment due Contractor.

Contractor, by entering into this Agreement agrees for itself, its successors, and assigns that it will not do or permit to be done by its officers, agents, employees, contractors or invitees, any act or omission that could reasonably be expected to interfere with the landing and taking off of aircraft from the Airport or otherwise constitute a hazard, or unreasonably interfere with the conduct of business by an Air Carrier, tenant or contractor of the City, or unreasonably interfere with the performance of their duties by the staff of the City or by the staff of FAA, TSA or any other agency of the U.S. Government, or of the contractors thereof.
