About this file
This is a Claim of Business Confidentiality Form (Revision 09/10/2024) submitted in accordance with Utah Code Annotated Subsections 63G-2-305(1) and (2) for the Jordan School District's Social Emotional Wellness Curriculum Grades K-12 Request for Proposals. The form allows companies submitting proposals to assert claims of business confidentiality for specified information within their solicitation responses. Offerors may claim protection for nonpublic financial statements, specific employee names and contact information, specific customer information or client lists, subscription lists, and other categories as specified. The form includes a template for offerors to identify the page, paragraph, and specific reasons for confidentiality claims on additional sheets as needed. An entire solicitation response cannot be classified as protected, confidential, or proprietary, and pricing or cost information may not be claimed as confidential and will be considered public information.
Companies asserting confidentiality claims must demonstrate that the information qualifies as a trade secret under Utah Code Annotated Section 13-24-2, which defines trade secrets as information deriving independent economic value from not being generally known and subject to reasonable efforts to maintain secrecy. Alternatively, offerors may claim protection under commercial or non-individual financial information criteria if disclosure could reasonably result in unfair competitive injury or impair the governmental entity's ability to obtain necessary information in the future, and if the submitting person has a greater interest in prohibiting access than the public has in obtaining access. Offerors will be notified if claimed records are classified as public or if the governmental entity determines that records should be released after weighing interests under applicable Utah Code provisions.
