About this file

This is a Standard Form 30 amendment to a solicitation/modification of contract issued by the Department of Veterans Affairs, VHA RPO West - NCO 17 (Network Contracting Office 17), dated September 29, 2026, for solicitation number 36C25726R0018 (original date June 29, 2026).

The amendment updates the Period of Performance and applicable Federal Acquisition Regulation (FAR) clauses for a fixed-price indefinite-delivery indefinite-quantity (IDIQ) contract for Primary Care Services at a Community Based Outpatient Clinic (CBOC) in Sherman, Texas (Grayson County). The contract structure consists of a one-year base period (December 1, 2027 through November 30, 2028) followed by nine option periods, each 12 months in duration through November 30, 2037. Services are priced on a capitation basis using Per Member Per Month (PMPM) rates with estimated member populations ranging from 4,305 PMPM in the base year to 6,678 PMPM by option year nine. The total guaranteed minimum award is $581,175.00 (representing current fiscal year bona fide need), and the ceiling for the entire contract effort is $70,000,000.00. The Government does not guarantee orders beyond the guaranteed minimum. Task orders will be issued unilaterally within contract scope or bilaterally when terms and conditions change, with individual task orders not exceeding 12 months. Billing is based on a monthly billable roster of patients with at least one qualifying encounter in the previous 12 months, and costs for unassigned/unenrolled patient visits are included in the PMPM rate. Updated FAR clauses 52.216-18 (Ordering) and 52.216-22 (Indefinite Quantity) govern the contract with an ordering period from December 1, 2027 through November 30, 2037.

B.2 SCHEDULE OF SERVICES

Sherman, TX (Grayson County) Community Based Outpatient Clinic (CBOC) Services

Contract Guaranteed Minimum and Contract Maximum

The fixed-price indefinite-delivery indefinite-quantity (IDIQ) contract will have a one-year base period with nine (9) option periods. All Per Member Per Month (PMPM) quantities are estimated. The total guaranteed minimum quantity of services that the Government will acquire under this indefinite delivery, indefinite quantity (IDIQ) contract is $581,175.00, which also represents a bona fide need of the current fiscal year. The guaranteed minimum award amount is for the entire contract duration. The ceiling amount for the entire contract effort is $70,000,000.00.

Ordering Procedures

The Government does not guarantee that it will place any orders under this contract more than the guaranteed minimum award amount of $581,175.00. The aggregate value of orders placed under this contract shall not exceed the IDIQ contract maximum. See FAR clause 52.216-19, Order Limitations, for minimum and maximum values of each task order (TO). Task Orders are contingent upon availability of funds per FAR clause 52.232-18.

This contract type allows the Department of Veteran Affairs Network Contracting Office 17 (NCO 17) contracting officers to place orders with the contractor on an as needed basis, in accordance with the FAR Clauses 52.216-18, Ordering. NCO 17 will obligate the funding and order the services by issuing a task order.

The contractor shall initiate work when so directed by a Task Order. No work under any Task Order shall be performed unless specifically authorized by the contracting officer. Approval of a Task Order shall not constitute approval to exceed any item listed in the contract or general provisions of the contract. The contractor shall not exceed the task order amount or change the task order without prior written approval of the contracting officer.

Task orders within scope of the IDIQ contract will be issued unilaterally in accordance with the IDIQ contract terms and conditions and bilaterally when change in terms and conditions is negotiated in accordance with contract clauses FAR 52.212-4 (c), FAR 52.216-18, FAR 52.216-19, and FAR 52.216-22.

Each task order shall have an established period of performance or delivery date. Individual Task order shall not exceed a 12-month period.

Billing/Payment Procedures

The contractor will be provided a list of all patients on the billable roster at the time when the contractor begins performing clinical services and will be able to bill for those patients on the billable roster in the following month’s invoice. In order to remain on the monthly billable roster, patients shall have at least one qualifying encounter during the previous 12 months. See section 19. Billing and Invoicing Procedures of the Performance Work Statement (PWS) for further information on the billable roster, qualifying encounters, and invoicing procedures.

For Veterans newly assigned in Patient Centered Management Module (PCMM) the contractor may bill for patients newly assigned in PCMM the month following a qualifying encounter.

For unassigned/unenrolled patient visits/encounters - PMPM includes cost of unassigned/unenrolled patient visits.

Contractor shall not bill separately or propose an additional Line-Item Number (LIN) for these costs.

See Section E instructions to Offerors for further information regarding pricing proposals related to clinic buildout.
