STATEMENT OF WORK

1.0 INTRODUCTION

The VA Medical Center in Manchester seeks a qualified contractor to perform comprehensive replacement and repair services for uninterruptible power supplies (UPS) at its campus. Performance is at VAMC Manchester, 718 Smyth Road, Manchester, NH 03104.

2.0 BACKGROUND

VA Manchester's UPS has required periodic preventative maintenance (PM). Due to the age of the current unit (Eaton Powerware 9390 System, Model 80, with forty (40) Hitachi Chemical Energy Technology 12V 540W cell batteries, model HRC12540WP), a replacement UPS is required. The replacement UPS shall be an Eaton 93E UPS and Extended Battery Life Cabinet, or equivalent. After replacement, a continuing UPS maintenance contract shall service the unit. The Contractor shall provide quarterly and annual preventative maintenance and inspections to the batteries and system, plus training, emergency on-call repair services (parts and labor), and standby services.

In the Base Year, the Contractor shall replace the existing UPS and provide user training (CLIN 0005 and 0006). All other work (CLINs 0001–0004) is executed yearly for the duration of the Base + 4 option year contract.

3.0 SCOPE

3.1 Item 1 – Preventative Maintenance (PM)

The Contractor shall provide all personnel, equipment, tools, vehicles, materials, supervision, and other items and services necessary to perform preventative maintenance, testing, and repair for the equipment described herein. The UPS provides stable, backup power to the Medical Center's computer control room. Maintenance shall be provided for an Eaton 93E UPS and Extended Life Battery Cabinet, Part Numbers 9EB06GG05091003 and 9EZABB000000000, respectively.

The Contractor shall provide quarterly and annual PM and inspections to the batteries and system. If the UPS must be powered down for service or a service impact is expected, two (2) weeks' notice must be provided to the VA for outage coordination. The Contractor must be qualified and authorized to work on Eaton products and must have access to all necessary Eaton proprietary software, and shall maintain the UPS in accordance with the applicable Eaton Installation and Operation Manuals.

The Contractor shall adhere to all manufacturer requirements and instructions for scheduled maintenance. All personnel and subcontractors performing scheduled maintenance shall be qualified by the systems/equipment manufacturer where necessary to preserve warranties. The Contractor shall provide a written monthly schedule to the COR listing specific equipment to be serviced and the individual PM tasks to be completed, including any after-hours service.

The Contractor shall obtain, provide, and install all parts, materials, and supplies necessary to perform PM, at its cost within the base amount. The Contractor shall use OEM parts or authorized-equal parts (as stipulated by the manufacturer) when replacing parts, components, and/or devices. If a direct replacement is obsolete, the Contractor shall replace it with a new equivalent part and notify the VA.

Routine maintenance shall be performed at the intervals specified. The Contractor shall perform all manufacturer-recommended routine maintenance on the Eaton 93E UPS and Extended Battery Cabinet, including but not limited to: filter change during PMs; checking integrity of the battery cabinet; measuring and recording DC bus ripple voltage; measuring and recording total battery float voltage; replacing batteries as needed; checking for NO-OX grease/oil on connections; checking battery jars for proper liquid level (if flooded cells); checking for corrosion on terminals and cables; examining physical cleanliness of the battery room and jars; and all other PM tasks per manufacturer recommendations.

Personnel Qualifications: Before assigning employees, the Contractor shall ensure they hold required qualifications and current, valid professional certifications and licenses in compliance with federal, state, and local requirements. Personnel operating motor vehicles shall hold a valid state driver's license and abide by all facility traffic laws (including hands-free cell phone use) and parking requirements. As part of the quotation, the Contractor shall submit qualification/certification information for proposed employees and subcontractors. Journeyman tradespersons shall be licensed for their trades. All license/certification renewals shall be submitted to the COR annually or as requested.

The COR shall track Contractor compliance with manufacturer and contract warranties and maintain on-site records of warranted equipment. The Contractor shall provide completed worksheets to the COR with sufficient detail per task, annotate equipment records with warranty expiration dates, and provide supporting documentation for warranty claims. The Government will provide existing warranty documentation at start. The Contractor shall maintain and inspect all equipment under warranty without voiding it.

An equipment inventory is incorporated into this SOW. The Contractor is responsible for all required routine maintenance necessary for proper function per manufacturer guidelines and applicable codes. Unscheduled maintenance/repair shall be performed only when authorized by the CO or COR, per Government-approved technical instructions and facility priorities. Unscheduled maintenance does not include routine maintenance, which must be within the base amount. The CO and COR will coordinate with the Contractor on equipment added/removed or PM frequency changes; the contract will be modified to address costing changes.

3.2 Item 2 – Stand-By Services (Labor)

The Contractor shall provide on-call labor for standby services related to large electrical shutdowns twice annually, each 12 hours in duration. The Contractor shall schedule staffing within two (2) weeks of notification and shall provide 48 hours under this line item.

3.3 Item 3 – Emergency Services (Labor)

The Contractor shall provide on-call emergency labor, responding within four (4) hours for all emergency call-backs on the equipment. The Contractor shall provide 32 hours under this line item.

3.4 Item 4 – Materials and Parts (Non-Routine Repairs)

The Contractor shall supply parts and materials ($500 per equipment item per visit) as needed for upgrades, replacement, and repairs. If cost exceeds $500 per equipment item per visit, the Contractor shall provide a list of required repairs with a cost proposal within 24 hours to the COR. Repairs shall be completed within 24 hours after the need is identified, in accordance with manufacturer requirements and applicable laws/codes. All parts/materials shall be OEM design and specification, or equal. Extensions may be granted at COR discretion case-by-case, with an explanation, estimated completion, and evidence of diligent effort.

3.5 Item 5 – Replacement UPS

The Contractor shall replace the existing Eaton Powerware UPS in kind with an Eaton 93E UPS and Battery Cabinet (or equal). Reference specifications: Eaton 93E UPS 20-60kVA (UL), 9EB06GG05091003; 60 kVA; 208/208 V; single feed; 40-60kVA 4-String Extended Battery Cabinet (9EZABB000000000). (Full manufacturer cut sheets and site/electrical drawings are incorporated as Attachment A.)

3.6 Item 6 – Training

The Contractor shall provide annual training on conducting daily maintenance inspections on the UPS unit, scheduled in advance with the COR. The Contractor is responsible for timely scheduling. A basic Eaton training course giving competent working knowledge of UPS operation and first-level corrective maintenance shall be included.

4.0 PERFORMANCE REQUIREMENTS

All work shall be completed so system integrity is maintained, and in accordance with OSHA, EPA regulations, NFPA codes, with particular attention to VA codes, and Federal, State, and local regulations throughout the contract.

The Contractor shall submit technician certification/licensure prior to work start, with copies submitted with completed checklists. The Contractor shall submit all necessary safety plans — including equipment-specific Lock-Out/Tag-Out procedures, an Electrical Safety plan, and SDS for any chemicals used — to the COR for approval before working at the Medical Center.

The Contractor shall schedule all site visits (including emergencies) with the COR, and shall furnish authentic manufacturer parts. Part-replacement determinations are at technician recommendation with COR concurrence. The Contractor shall operate on premises 0700–1630 unless otherwise authorized, and shall respond within 4 hours for all emergency call-backs.

Work sites shall be left in the same cleanliness/order found. The Contractor provides its own waste disposal. All technicians must report to Facility Service in Building 6 to sign the contractor log and obtain a "Contractor" badge; badges must be returned and the log signed out before departure. The Contractor shall then coordinate with the COR before working. Proper PPE must be worn at all times, and work must comply with infection control requirements. The Contractor shall receive all deliveries off-station and bring them to the job site; the Manchester VA will not accept project deliveries. Tools and construction equipment shall be secured. MSDS must be submitted to the COR for approval for all hazardous materials before arrival. End-of-day cleanup is mandatory; all trash shall be bagged and disposed of offsite. Contractor vehicles (including employees') are to be parked in the lower level of Lot D.

All travel costs (time, vehicle, normal shipping of parts/equipment including items sent out for covered repair) are the Contractor's responsibility at no additional cost to the Government.

5.0 DELIVERABLES

The Contractor shall: coordinate with the COR to provide a complete calendar-year scheduled-maintenance schedule at commencement; provide a prioritized phone support contact list at commencement; submit proposed equipment/materials for COR review and approval; submit the Contractor safety plan and lock-out/tag-out plan; and submit SDS for all chemicals proposed (chemicals must be approved before being located on property).

Within one week of completing each maintenance activity, the Contractor shall provide a report covering: (1) maintenance activities completed; (2) notes on any equipment shortcomings, failed/broken/deteriorated equipment, excessive noise/vibration, or other system shortcomings; (3) summary of corrective actions taken; (4) recommended corrective actions for any activities not completed on site; (5) records of any replaced parts/materials (filters, batteries, etc.); and (6) signature of certified oversight personnel.

WAGE DETERMINATION

This is a recurring service contract exceeding $2,500 performed in the United States; the Service Contract Labor Standards (SCLS/SCA) apply. The applicable Wage Determination for Hillsborough County, NH — WD No. 2015-4019, Rev 35, dated August 17, 2026 — is incorporated as Attachment B. The clauses implementing the SCLS (FAR 52.222-41, 52.222-43, 52.222-55, and 52.222-62) are incorporated as listed below.

PROVISION 52.212-1 — INSTRUCTIONS TO OFFERORS

52.212-1 Instructions to Offerors—Commercial Products and Commercial Services.

As prescribed in 12.205(a)(1), insert a clause substantially as follows:

Instructions to Offerors—Commercial Products and Commercial Services (DEVIATION AUG 2025)

(a) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. As a minimum, offers shall include—

(1) The solicitation number;

(2) The name, address, telephone number of the Offeror;

(3) The Offeror’s Unique Entity Identifier (UEI) and, if applicable, Electronic Funds Transfer (EFT) indicator;

(4) Information necessary to evaluate the factors contained in the provision at 52.212-2 or as described in the solicitation;

(5) Responses to provisions that require Offeror completion of information, representations, and certifications (other than those collected via the System for Award Management (SAM)); and

(6) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and any solicitation amendments.

(b) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(c) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers and any modifications or revisions to the Government office designated in the solicitation by the time specified in the solicitation.

(2) Any offer, modification, or revision received after the time specified for receipt of offers is “late” and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition. However, a late modification of an otherwise successful offer that makes its terms more favorable to the Government will be considered at any time it is received and may be accepted.

(3) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(4) Offerors may withdraw their offers by written notice to the Government received at any time before award.

(d) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with Offerors. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms. However, the Government reserves the right to conduct discussions, if necessary. The Government may reject any or all offers if such action is in the public interest, accept other than the lowest offer, and waive informalities and minor irregularities in offers received.

(e) Debriefings. If a postaward debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:

(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed Offeror’s offer.

(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror and past performance information on the debriefed Offeror.

(3) The overall ranking of all Offerors when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award.

(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.

(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether the agency followed source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities.

(End of provision)

PROVISION 52.212-2 — EVALUATION

52.212-2 Evaluation—Commercial Products and Commercial Services.

As prescribed in 12.205(a)(2), insert a provision substantially as follows:

EVALUATION—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION AUG 2025)

(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:

· Technical or Quality: The quotation will be evaluated to the extent it meets and/or exceeds the Government's requirements as outlined in this solicitation and the Statement of Work at Section 3, and based on the information requested in Section 7 above.

· Past Performance: The past performance evaluation will assess the relative risk associated with a Quoter's likelihood of success in fulfilling this solicitation's requirements, as indicated by the Quoter's record of past performance. This evaluation may be based on the Contracting Officer's knowledge of and previous experience with the supply or service being acquired; customer surveys and past performance questionnaire replies; the Contractor Performance Assessment Reporting System (CPARS) at http://www.cpars.gov/; or any other reasonable basis.

· Price: The Government will evaluate price by adding the total of all line-item prices. The Total Evaluated Price will be that sum. (b) Options (if applicable). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The evaluation of options does not obligate the Government to exercise the option(s).

(c) Notice of award. A written notice of award or acceptance of an offer furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

VAAR 852.219-75 — VA Notice of Limitations on Subcontracting — Certificate of Compliance for Services and Construction (DEVIATION) (JAN 2023) Solicitation No. 36C24127Q0030 — This certificate must be completed, signed, and returned with the quotation. The Government must not evaluate or award without it.

VA Notice of Limitations on Subcontracting — Certificate of Compliance for Services and Construction (DEVIATION)

(a) Pursuant to 38 U.S.C. 8127(k)(2), a Service-Disabled Veteran-Owned Small Business (SDVOSB) or Veteran-Owned Small Business (VOSB) concern (including any subcontractor at any tier, or similarly situated entity, as applicable) agrees that, in the performance of the contract in the case of a contract for services (except construction)—

1. The concern will not pay more than 50% of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50% subcontract amount that cannot be exceeded.

2. For a contract for supplies or products (other than from a nonmanufacturer), general construction, or construction by special trade contractors, the applicable limitations on subcontracting are set forth in the clause at FAR 52.219-14 and VAAR 852.219-75 as applicable.

(b) The SDVOSB/VOSB offeror/quoter acknowledges that compliance with the limitations on subcontracting is required and that failure to comply is a material breach of contract.

(c) A joint venture may be considered a similarly situated entity when the joint venture is comprised of two or more SDVOSBs/VOSBs, or SDVOSB/VOSB protégé and its mentor, provided the requirements of 13 CFR 125.18(b) and 13 CFR 128.402 are met.

(d) Required certification. The offeror/quoter certifies, by submission of its offer/quotation and completion of the certificate below, that it will comply with the applicable limitations on subcontracting identified in paragraph (a) of this clause.

CERTIFICATE OF COMPLIANCE

I, [insert name of authorized representative], on behalf of [insert name of offeror/quoter], hereby certify that the offeror/quoter:

(1) Is a verified Service-Disabled Veteran-Owned Small Business (SDVOSB) [ ] or Veteran-Owned Small Business (VOSB) [ ] registered and verified in the SBA Veteran Small Business Certification (VetCert) database; and

(2) Will comply with the applicable limitation on subcontracting for this services acquisition — specifically, that it will not pay more than fifty percent (50%) of the amount paid by the Government for contract performance (excluding the cost of materials) to subcontractors that are not similarly situated entities; and

(3) Understands that this certification concerns a matter within the jurisdiction of an agency of the United States and that the making of a false, fictitious, or fraudulent certification may render the maker subject to prosecution under 18 U.S.C. 1001.
