# Reference Question Answer 1 L.10.6 Section L.10.6 states: “The Offeror must submit a Subcontractor Letter of Commitment for each proposed subcontractor, as well as any parent company, affiliate, division, or subsidiary identified in the Offeror’s proposal,” recognizing that corporate affiliates and subsidiaries are distinct from “subcontractors.” The solicitation further states that “no individual proposal shall include more than three (3) REPs from a single subcontractor.” Please confirm that this limitation of three REPs applies only to subcontractors, and not corporate affiliates or subsidiaries.
If the Letter of Commitment sufficiently demonstrates that the divisions, subsidiaries, or affiliates of the offeror are under common control, those divisions, subsidiaries, or affiliates are not considered subcontractors. The limitation of three REPs only applies to subcontractors.
2 L.12.1 Please confirm that, for Joint Ventures, the first four REP project submissions (REP-1 through REP-4) are reserved only for Joint Venture projects and that, if an SBA Mentor-Protégé Joint Venture does not have four REPs performed by the Joint Venture itself, then the offeror can only submit a maximum of two REPs within the first four REP project submissions—one from the Mentor and one from the Protégé— and must leave the other two REPs reserved for Joint Venture projects blank.
Also, please confirm whether the Mentor is prohibited from providing more than three REPs to the JV, similar to the limitations in place for traditional SDVOSB offerors.
The first four REPs are not reserved only for Joint Ventures. If a Mentor Protégé Joint Venture does not have four relevant experiences, then it must include at least one REP performed by the Mentor and one by the Protégé. There is not a maximum of two REPs if the Joint Venture does not have further REPs of its own. Joint Venture Offerors can submit more than one REP for the Mentor or the Protégé to get to the first four REPs required by the Offeror. For example, if the Joint Venture does not have any REPs, the first four REPs can consist of one REP from the Protégé and three REPs from the Mentor; two REPs from each; or three REPs from the Protégé and one REP from the Mentor. In the event that the JV, Mentor, and Protégé, combined, cannot fill the first four REPs, then those unmet REPs would have to be left blank.
The Mentor is not limited to providing more than three REPs to the Joint Venture. The three REP limitation only applies to subcontractors.
3 L.12.10 We assume all certifications/accounting system verification information must be in the name of the offeror (or its parent company, affiliate, division, or subsidiary) and offerors may not use certifications/accounting systems from a subcontractor. Please confirm.
Confirmed. Eligible certifications under L.12.10 only apply to the Offeror, not subcontractors.
