Business Confidentiality Claim Form Summary

This is a Claim of Business Confidentiality Form issued by the Utah State Archives Office of the Government Records Ombudsman for use in the Salt Lake City School District's Request for Proposals for energy upgrades at Whittier Elementary School. The form enables bidders to claim protection for trade secrets and commercial financial information submitted with their proposals under Utah Code provisions 63G-2-305 and 63G-2-309. Claimants must submit both redacted and non-redacted versions of their complete proposal, with the entire proposal prohibited from redaction. The form requires claimants to identify specific pages, paragraphs, and reasons for each confidentiality claim and must be signed and dated by an authorized company representative with complete contact information and company details provided.

The form serves as the mechanism through which vendors can request confidential treatment of sensitive business information, though such claims do not guarantee protected classification if the government receives a public records request under the Government Records Access and Management Act. Claimants must provide a concise statement of reasons supporting the confidentiality claim, explaining how disclosure could result in unfair competitive injury or compromise trade secrets. The Division of Purchasing will not redact proposals on behalf of claimants who fail to provide a properly redacted copy, making vendor compliance with submission requirements critical to protecting proprietary information in the competitive procurement process.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
