About this file

This is Addendum No. 1 to Request for Qualifications (RFQ) 25-25 issued by the City of DeBary, Florida, for Traffic Engineering and Transportation Planning Consulting Services. The addendum addresses clarifications and modifications to the original RFQ documents, which remain in full force and effect except as modified herein. Key clarifications include confirmation that the Approach/Work Plan will be evaluated as part of Tab 3 - Proposed Project Staff and Function (30 points); only Prime firm and joint venture team members, not subconsultants or vendors, are required to submit materials under Tabs 1 and 4; the City will waive bonding requirements for design professionals; resumes are required only for key personnel; and there is no minimum or maximum number of projects to include in responses, though all pertinent information necessary for evaluation should be included. The City has amended Article 33 (Indemnification) to comply with Florida Statutes 725.08 and modified Commercial General Liability insurance requirements to align tail coverage with Professional Liability requirements at three years after completion of work.

The addendum provides expanded guidance on the Incident Management Planning scope of services, which addresses recurring I-4 southbound detours diverting regional through-traffic onto U.S. 17-92, Dirksen Drive, and Highbanks Road, with sample work orders including I-4 Detour Operations Assessment and Mitigation Plan, School Traffic and Incident Interaction Study related to a proposed K-8 school, Pre-Planned Signal Timing and Control Strategy for Detour Events, Regional Coordination and Communication Protocol Development, and Long-Term Corridor Improvement Plan for Detour Resiliency. The addendum clarifies that Owner's Representative refers to the entity financing and holding title (such as City or County) while User's Representative refers to the end user or department (such as Public Works or Sheriff's Department). Vendors and contractors must complete and return the Acknowledgment of Addendum No. 1 signed by an authorized representative with their proposal submittal, and this acknowledgment becomes an integral part of the solicitation document.

ADDENDUM NO. 1

October 10. 2025

25-25 - Traffic Engineering and Transportation Planning Consulting Services

The original Request for Qualifications (RFQ) documents shall remain in full force and effect, except as modified herein, which shall take precedence over any contrary provisions in the prior documents.

This addendum is being issued to address questions received, make revisions to the original solicitation document, and release attachments.

The following are questions and answers regarding the above-mentioned solicitation:

1. Question: On Page 3 under Overview it states "The successful proposer(s) must demonstrate their qualifications, experience, availability, approach and work plan which will best serve the overall needs of the City," but I don't see anywhere within the Proposal Format and Contents to provide an Approach or Work Plan, nor are those items in the evaluation criteria. Can you please clarify if/where an Approach/Work Plan section should go?

Answer: The City of DeBary will be evaluating and scoring the Approach/Work Plan as part of Tab 3 - Proposed Project Staff and Function (30 Points)

2. Question: Confirm only the Prime firm and/or joint venture team member(s) and not subconsultant team members nor vendors are required to submit the materials requested under Tab 1 – Firm’s Profile and Submittal Letter, Item 3 Compliance Information, and Items 4.1-4.5.

Answer: See 25-25 RFQ (Page 11, #5 and #7.2), (Page 14, #18, paragraph three), (Page 18, #45), and (Exhibit F) pertaining to Subcontractors.

3. Question: Confirm only the Prime firm and/or joint venture team member(s) and not subconsultant team members nor vendors are required to submit the materials requested under Tab 4 – Financial Capabilities.

Answer: See 25-25 RFQ (Page 11, #5 and #7.2), (Page 14, #18, paragraph three), (Page 18, #45), and (Exhibit F) pertaining to Subcontractors.

4. Question: As a design professional, Contractor has no ability or mechanism to obtain bonding. Article 9, Performance and Bonds, of the General Terms and Conditions indicates the City may waive this requirement. Can the City confirm that they will waive any bonding requirement for design professionals?

Answer: The City of DeBary confirms that it will waive any bonding requirement for design professionals.

5. Question: As written, Article 33, Indemnification, of the General Terms and Conditions appears to overreach what is enforceable pursuant to Fla. Stat. § 725.08. Would the City be amendable to modifying this provision as follows upon any contract award to ensure it is consistent with Fla. Stat. § 725.08?

33. Indemnification: To the fullest extent permitted by law, the Contractor shall defend, indemnify, and hold harmless the City of DeBary, its City Council members, employees, and representatives from and against any claims, suits, judgments, demands, liabilities, damages, losses and costs, and expenses including, but not limited to reasonable attorney's fees of any kind or nature whatsoever arising directly or indirectly out of or to the extent caused in whole or in part by any negligence, recklessness, or intentionally wrongful act or omission of the Contractor or its subcontractors, anyone directly or indirectly employed by them, or anyone for whose acts any of them may be liable; excepting those acts or omissions arising out of the sole gross negligence or intentional misconduct of the City of DeBary.

6. Answer: 25-25 RFQ (Page 16, #33) has been changed to read as: “The design professional shall indemnify and hold harmless the City, and its officers and employees, from liabilities, damages, losses, and costs, including, but not limited to, reasonable attorneys' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the design professional and other persons employed or utilized by the design professional in the performance of the contract.” Per FL Statutes 725.08.

7. Question: Article 1.1.4 of the Commercial General Liability (CGL) Insurance requirements mandates Contractor to maintain CGL insurance through the longer of the applicable statute of limitations or repose period. Comparatively, the Professional Liability (PL) insurance requirements require Contractor to maintain tail coverage for three (3) years. Would the City be amendable to modifying the CGL tail coverage to three (3) years aligning it with the Professional Liability requirements?

1.1.4 The Contractor shall maintain CGL coverage for itself and all additional insureds for the duration of the Project and maintain Completed Operations coverage for itself and each additional insured through the longer of the applicable statute of limitations or repose period three (3) years after completion of the Work for construction defects and products liability claim in the state where the Work is performed after completion of the Work.

Answer: 25-25 RFQ (Page 19, #1.1.4.) has been changed to read as: The Contractor shall maintain CGL coverage for itself and all additional insureds for the duration of the Project and maintain Completed Operations coverage for itself and each additional insured through three (3) years after completion of the Work for construction defects and products liability.

8. Question: As currently worded, we believe that the indemnity provisions, Article 17, located on page 14, and Article 33, located on page 16, of the RFQ are not in compliance with FL Statute 725.08 and is unenforceable. Would the City consider rewording same to conform with the statute? Suggested language per FL Statutes 725.08: “The design professional shall indemnify and hold harmless the City, and its officers and employees, from liabilities, damages, losses, and costs, including, but not limited to, reasonable attorneys' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the design professional and other persons employed or utilized by the design professional in the performance of the contract.”

9. Question: For Tab 3 – Proposed Project Staff and Function, does the City require resumes only for key personnel, or should we also include resumes for support staff as well?

Answer: The City require resumes only for key personnel with the right to request resumes for support staff on future projects, if needed.

10. Question: For Exhibit G – RFQ 25-25 Evidence of Experience and Financial Status, is there a specific minimum or maximum number of projects that should be included in our response?

Answer: There is no intent to limit the contents of any proposal. Proposals shall ensure that all pertinent information necessary for evaluation is included to facilitate review.

11. Question: For Exhibit G – RFQ 25-25 Evidence of Experience and Financial Status, would the City accept references of the same projects listed under Tab 2 – Successful Related Experience?

Answer: Yes, it is understood and acceptable that the Evidence of Experience and Financial Status would reference some of the same projects listed under Tab 2 – Successful Related Experience.

12. Question: Could the City please expand on the scope of services expected for Incident Management Planning?

Answer: Incident Management Planning is an overarching topic to address issues such as:

•The frequent I-4 southbound detours from the I-4 corridor between DeLand and Sanford. These detours divert regional through-traffic onto U.S. 17-92, Dirksen Drive, and Highbanks Road.

•With the potential addition of a new K-8 school on the city’s south side, likely near or accessible from U.S. 17-92 at Barwick Road, the overlap between regional detour traffic and school-related local trips could introduce new operational and safety conflicts.

Policy integration for detour and incident management considerations could also apply. Sample Work Orders may look like the following:

Work Order 1: I-4 Detour Operations Assessment and Mitigation Plan Objective:Document and analyze recurring I-4 detour traffic patterns through DeBary and develop strategies to reduce operational and safety impacts on city streets.

Work Order 2: School Traffic and Incident Interaction Study (K–8 Site Impact) Objective:Assess how I-4 detours and local incident management operations will interact with traffic near the proposed K–8 school and identify mitigation measures.

Work Order 3: Pre-Planned Signal Timing and Control Strategy for Detour Events Objective:Develop adaptive and pre-defined signal timing plans to manage recurring I-4 detour volumes through city arterial corridors.

Work Order 4: Regional Coordination and Communication Protocol Development Objective:Formalize communication, notification, and coordination procedures between FDOT, Volusia County, and the City of DeBary for incident and detour events.

Work Order 5: Long-Term Corridor Improvement Plan for Detour Resiliency Objective:Identify long-term infrastructure and operational projects that enhance DeBary’s ability to accommodate I-4 detours safely and efficiently.

13. Question: Under Tab 1 - number 4.2 it states "State the location, address, and telephone number of the Firm’s offices. If the Firm is a joint venture or partnership, identify the location, address, and telephone number of the principal place of business of the joint venture or partnership designated with the Florida Division of Corporations."

Do you want all of the firm's offices information? Or just the offices of the personnel we are including for this pursuit?

Answer: You will provide the information that relates to this RFP and the services that will be covered over the contract term.

14. Question: Under Tab 2 - it asks for "Project owner's representative name, address, telephone, and facsimile number and Project user's representative name, address, and telephone number." Can you specify the difference between Owner's Representative and User's Representative?

Answer: Owner's Representative = The entity financing and holding title.(example; City or County) User's Representative = End user/Department (example; Public Works or Sheriff's Department)
