About this file
This is a Treasury Standard Form 1014 (SF 1014) - Justification for an Exception to Fair Opportunity, documenting the Department of the Treasury's acquisition of Certara software licenses and support services through a sole-source exception to competitive bidding.
The acquisition, titled "RAAS Certara Licenses & Support" (Requisition No. 5000223301), is being procured from Government Acquisitions Inc. (GAI) via the NASA SEWP Government-Wide Acquisition Contract (GWAC). The requirement encompasses four subscription licenses for Certara AI Production Instance-Air Gap (Part #EL100-) with Premium Support, 1,700 hours of Certara Senior Development Resources support services (Part #PSE100-), and 210 subscription licenses for Certara Server Transmitter and user activity monitoring (Part #VYAS900-). The contract period runs from July 1, 2027 through June 30, 2027 for the base year, with two optional 12-month renewal periods extending through June 30, 2029. The requesting activity is the Internal Revenue Service (IRS), Research, Applied Analytics and Statistics (RAAS) division, under the IRS Office of the Chief Procurement Officer.
The justification cites FAR 16.505(b)(2)(i)(B) as the applicable exception to fair opportunity, establishing that only one awardee—GAI—is capable of providing the required supplies and services at the level of quality needed. The rationale emphasizes that Certara software is proprietary with exclusive licensing held by the OEM, GAI is the only authorized reseller, the IRS intends to transition the requirement in-house to full-time employees within two years, and alternative brands cannot deliver comparable capabilities and support within the requisite timeframe. Market research across GSA, NASA SEWP, SAM.gov, FPDS, CPARS, and OPE Portal databases confirmed no alternative sources or competitors exist. The justification notes that the anticipated cost will be fair and reasonable based on comparison to NASA SEWP solicitation pricing, the Independent Government Cost Estimate, and historical award information, with award anticipated as Firm Fixed Price to the Lowest Priced, Technically Acceptable offeror.

and would be highly labor intensive.
Although other brands may offer similar capabilities as the Certara brand, those brands cannot offer the products and service at such a level of quality needed by the IRS within the requisite timeframe, especially when considering the Agency intends to take the requirement in-house in two (2) years. Another brand would require a significant amount of time to ramp up with minimal to no time of actual contract performance before the requirement transitions internally. Further, these applications and Certara brand will be the ground framework for which the in-house requirement is based off and IRS employees are trained on.
In conclusion, market research concludes that competition will be limited based on the fact that only one company is capable of providing the services required at the level of quality
