OVERVIEW OF CONCESSION OPPORTUNITY

Introduction

The Port of Portland (“Port”), invites experienced, qualified, and financially sound business entities (“Proposers”) to submit a competitive proposal to provide a high quality, innovative, professionally designed and managed advertising program at Portland International Airport

(“PDX”).

This Request for Proposals (“RFP”) provides the details, requirements, criteria, timelines, and guidelines applicable to the preparation of a complete and responsive proposal.

Proposals should consider that Proposer will be responsible for the development and installation, including but not limited to design, construction, environmental compliance, and extension of required utilities through Port approved processes.

At the conclusion of the RFP evaluation, the Port intends to enter a Concession Agreement

(“Agreement”) with the successful Proposer.

Project Scope

The successful Proposer will have the non-exclusive right to manage and sell advertising, including both static and digital content, throughout the terminal at approved locations.

Proposer will assume full responsibility, at its own cost and expense, for the design, installation, operation, maintenance, sales and marketing tasks associated with operating a successful concessions advertising program.

The Port seeks Proposers who can offer the following:

• Enhance the Airport Environment. Build a creative innovative advertising display program that is consistent and complementary with the features and characteristics of

PDX and the newly updated terminal.

• Update the Advertising Program. Current design trends should be planned and incorporated into the new displays. The program must use modern advertising methods, stay fresh, and offer different choices to meet the needs of both local and national advertisers. Displays should not appear cluttered or detract from the architectural and design theme of the terminal.

• Maximize Revenues. The program should maximize advertising revenues without interfering with operational efficiencies while also maintaining an excellent passenger experience.

• Bring an Onsite Team. From the passenger perspective, PDX is a gateway to the Pacific

Northwest region. Proposers should showcase comprehensive expertise in local and regional markets. To ensure seamless support, they must provide a continuous onsite presence with a designated sales representative and operations manager available to

PDX.

The minimum operating requirements are as follows:

• Proposer will be required to provide regular monitoring and timely maintenance.

• All digital displays must remain operational twenty-four (24) hours a day, seven (7) days per week.

• Routine maintenance for repairs and cleaning must be performed on a regular basis to ensure clean, safe and operational equipment.

• Proposer must update content as needed or as directed in a timely manner.

• Proposer must ensure adequate staffing and resources to maximize revenue to the Port through the sale and placement of advertisements.

Existing Advertising Program

The current advertising program has gone through significant change over the last few years due to impacts by the Terminal Core (“TCORE”) project. The Port worked closely with the advertising vendor to relocate and/or remove displays, with the goal of keeping the program viable, throughout the TCORE project. The Existing Advertising Display Locations are attached as

EXHIBIT A.

The present advertising asset mix is 77% static and 23% digital, with most advertisers either local or regional. In CY 2025, the breakdown of advertisers was 53% local, defined as companies based in the greater Portland area, 23.5% regional, defined as companies based elsewhere in Oregon, and 23.5% national, defined as all other businesses. Revenue based on CY 2025 numbers averaged 52% static and 48% digital. For reference only, the Historic Advertising Annual Gross

Sales over the past five years are provided on the attached EXHIBIT B. The Port’s goal is to adjust the current static advertising program while expanding the digital footprint. It is important to the

Port for the new program to retain a high percentage of local and regional advertisers.

Existing advertising displays, both wall and digital, were refreshed in 2017. The current agreement states that at termination, at the Port’s sole discretion, ownership of all tenant improvements is assumed by the Port. The Port intends to decline taking ownership of all tenant improvements. The Port's expectations are that all existing advertising displays and associated equipment will be removed and/or replaced.

Base Advertising Program

Proposer should present an innovative, modern, and visually appealing advertising program with the intent to maximize appeal to the traveler, while remaining true to the look and feel of PDX.

Proposed locations which include wall displays, digital displays, and banners within the main terminal and concourses are shown on EXHIBIT C and listed below. These locations are considered the "Base Advertising Program." Available Storage and Network Rooms programmed for advertising are shown on EXHIBIT D.

A total of ten locations within the Base Advertising Program were added during the recent TCORE project and include infrastructure as noted on EXHIBIT E, Advertising Diagrams for Terminal Core

Project Locations.

For any location proposed in the Base Advertising Program outside of the TCORE project footprint, initial discovery shows that both power and fiber should be accessible per the summary below.

Power and Fiber General Summary

For additional information, the Port of Portland Guidelines for Tenant Telecom Services and

Supporting Infrastructure at PDX document is available upon request.

• The Port maintains well-spaced common-use network rooms typically placed within standard ethernet network distance lengths (300’) that can be used by tenants to leverage Port fiber backhauls for services. Placement of equipment is subject to Port review and approval. Two tenant network rooms are available and programmed for the advertising program.

• The Ports owns and maintains an extensive campus-wide fiber-optic cabling infrastructure that enables long distance connectivity between common use network rooms, service provider meet-me rooms, and demarcation facilities from the closest Port-owned common use network room. The Port may choose to provide data transport services via this fiber infrastructure. Optionally, the tenant may choose to place their own cabling, subject to Port review. Utilizing the Port’s fiber infrastructure will require tenants to wire from their tenant space to the nearest port network room and the tenant must contemplate any necessary media conversion required.

• Commercial Cellular Distributed Antenna System. PDX has a commercial cellular

Distributed Antenna System (DAS) that is operated and maintained by Boingo Wireless which provides a robust cellular environment. The DAS distributes cellular services provided by AT&T, Verizon, and T-Mobile (and any cellular service providers re-selling those vendors).

• Power to Base Advertising Program concourse locations may be routed from deplaning up through concourse columns.

• Power to Base Advertising Program baggage claim locations may be obtained from existing power within baggage carousels or routed from baggage road.

Structural for overhead displays

• Initial high-level analysis shows maximum weight is 400 LBS centered on truss and applied at bottom chord work points as two (2) equal 200 LBS max point loads with cable connections that allow the sign to swing.

Supplemental Advertising Program

Proposer should also present creative and innovative airport advertising ideas not included or in place of certain aspects of the Base Advertising Program which will be considered the

"Supplemental Advertising Program". The Supplemental Advertising Program must also maximize appeal to the traveler while remaining true to the look and feel of PDX.

• Display Options. Proposers are welcome to propose display options that are in addition to or replacement of locations in the Base Advertising Program. The Port is open to consider options exterior to the PDX Terminal. Proposer should include a summary explanation behind the proposed approach.

• Sponsorship and Naming Rights. The Port encourages Proposers to suggest creative ideas for maximizing revenue through sponsorships and/or naming rights for PDX services, facilities, amenities and infrastructure. The Port considers sponsorship to be a recurring relationship with a commitment for longer term support, may also be exclusive for valued elements and part of an overall marketing strategy.

• Community Partnerships. Proposers are invited to suggest creative ideas for innovative partnerships with businesses that want to pursue non-traditional marketing at PDX but also include a revenue component.

The Port reserves the right to decline any proposed element of the Supplemental Advertising

Program. Proposers should anticipate that any portion of the Supplemental Advertising Plan accepted will be installed and operational as proposed in this RFP and agreed to by the Port.

Summary of Key Business Terms

A summary of key business terms is provided below for reference, and further described in the

"Sample Agreement", attached as EXHIBIT F. The Sample Agreement contains the standard

Agreement terms, and conditions of the Port's concession agreements, and incorporates relevant terms and conditions under this RFP. Proposers should read the Sample Agreement carefully and submit any questions or concerns using the process outlined in the Process for Questions section.

The Port may, in its discretion, negotiate additional agreement terms with the successful

Proposer as deemed appropriate by the Port, and these terms will be incorporated into the

Agreement. The Port reserves the right to change the Sample Agreement prior to execution.

BACKGROUND INFORMATION

PDX Facts and Statistics

PDX served 18,563,132 million travelers during calendar year 2025, which is a 6% increase from the 2024 passenger count of 17,518,499.

PDX operates primarily as an Origination and Destination (O&D) airport. As of September 2026, 10% of departing passengers connected to other cities. The other 90% of travelers start or end their journey at PDX, and for all those passengers, the airport will be their first or last impression of our region.

PDX through its concessions, services and amenities seeks to create an environment that embodies the unique character of the Pacific Northwest. PDX is largely a leisure airport, with a smaller percentage of business travelers. Most airport users are either nearby residents or are deliberately choosing to visit the region for vacation, so both groups are particularly interested in an experience that reflects the region.

On an average day, about 50,900 travelers depart from or arrive at PDX and during peak travel periods, as many as 60,600 travelers pass through PDX. Additionally, around 8,200 badged employees work at PDX on any particular day (~13,000 active badge holders total). The busiest months of the year are June, July and August with spikes in traffic occurring for the holidays in

November/December and spring break in March/April.

PDX is served by nine US-based carriers (one of which also operates international flights) and seven foreign-based international carriers. Currently, PDX has nonstop flights to nine international destinations in six countries. Most international flights operate out of Concourse D.

Alaska Airlines is the largest passenger carrier at PDX followed by Southwest, Delta, United, and

American Airlines. PDX contains four concourses with a total of 52 gates, with an additional 7 programmed to return by December 2026. The attached EXHIBIT G provides additional PDX Facts and Statistics.

Terminal Core Project (TCORE)

The main terminal expansion project is the largest project the Port has ever built in its more than

130-year history.

Overall, the TCORE project has grown, modernized, and beautified PDX, preparing it to meet the demands of a new generation of travelers. The upgrades include a 150-foot-wide building expansion that houses two brand new security checkpoints with increased capacity, fully redesigned ticket lobby, return of the concourse connector which allows passengers to access any concourse after passing through security, and an earthquake-resilient main terminal. PDX is now more energy-efficient and inclusive by design.

TCORE has also added new artwork, trees and greenery, an impressive wood lattice roof, multitude of new food, beverage and retail shops and a few areas carpeted with the original PDX carpet.

The grand halls immediately after each security checkpoint have been fully reconstructed with

30-foot ceilings, expansive window views, tons of natural light, greenery at every eye-level, and a lineup of concessions designed to look like a city streetscape, complete with pergola-style canopies and sidewalk seating. All PDX’s departing passengers will pass through one of these two halls, which should see equal volumes of traffic.

The final phase of the new terminal concluded in June 2026. A few remaining areas under construction include projects related to the return of gates closed due to construction, replacement of revolving doors and escalators, and a refresh of the baggage claim ceiling and lighting.

To get more information on what the new main terminal includes, visit pdxnext.com where you’ll see renderings, construction photos and storytelling.

• Submit in writing the underlying assumptions and any additional documentation supporting sales projections, including breakdown of customer base, sales growth strategy, relevant partnerships with third party companies and their effect on sales generation.

• Proposer shall incorporate the revenue sharing proposal into the pro forma as well as placing it within the Proposal. The proposed revenue sharing proposal should separate the Base Advertising Program and the proposed Supplemental Advertising Program.

• Include an itemized estimate of proposed capital investment. To ensure accuracy, Proposer may want to consult an architect and/or general contractor familiar with PDX and the PDX Design Standards Overview, attached as EXHIBIT K.

Financial Statements/Capability

Proposer shall demonstrate the ability to finance the monetary commitments necessary to design, install, operate and maintain the proposed advertising program and enter into a long-term Agreement as developed by the Port.

• Provide audited financial statements for the last five (5) fiscal years using the Electronic

Financial Statement Template, attached as SUBMITTAL E, including balance sheet, statement of cash flow and income statements prepared in accordance with Generally

Accepted Accounting Principles (“GAAP”), reflecting the current financial condition of the proposing entity and any joint venture or affiliate entities.

• Also, include an interim balance sheet and income statement of any significant financial events occurring subsequent to the closing date of the most recent financial statements.

If unaudited, said statements must be signed by a corporate executive officer (“CEO”) or corporate financial officer (“CFO”) attesting to the financial statements’ accuracy.

• A ratio analysis over four (4) years will be conducted by a Port financial analyst to determine financial strength, as well as review of the sources and uses of funds.

Community Impact

SECTION FIVE – 10 Points

Participation in the Airport Concessions Disadvantaged Business Enterprise ("ACDBE") Program as implemented by the Federal Aviation Administration is one way the Port ensures it meets its nondiscrimination obligations under federal law. Although the Agreement will be subject to the

ACDBE program, this RFP will not have an ACDBE percentage goal. However, your response to the following questions will be evaluated.

• Illustrate Proposer's creative approaches to driving economic opportunities and support for underserved segments of local communities.

• Provide a narrative of Proposer’s experience promoting small business inclusion. Discuss any innovative or successful approaches used in previous or existing airports. Share how small businesses have been supported in other business activities.

• Provide information regarding Proposers outreach efforts prior to the issuance of this RFP to encourage small business participation.

• Identify if there are opportunities within the scope of work covered by this RFP that small business subcontractors or suppliers can reasonably perform rather than Proposer self-performing.
