About this file
This is a Professional Services Agreement template from the Salt Lake City Corporation Department of Public Utilities for engagement of design professionals to provide engineering services on municipal projects. The agreement establishes the framework for hiring an engineer to deliver design services, including preliminary and final engineering design, bidding services, and construction phase services. The contract commences upon execution, with work proceeding in phases only upon written authorization from the City. The project completion date and scope of Basic Services are detailed in Exhibit "A," which contains the City's project objectives, constraints, and criteria. The City designates a Project Manager with authority to act on the City's behalf and retains responsibility for examining Engineer submissions, furnishing required information, and providing timely approvals to avoid delays in the Engineer's work.
Compensation is based on actual hours worked and authorized expenses as approved in writing by the City, with the total contract amount specified in Exhibit "A." The Engineer must maintain comprehensive insurance coverage including workers' compensation, commercial general liability of $2,000,000 per occurrence, commercial automobile liability of $2,000,000 per occurrence, and professional liability insurance of $2,000,000 per occurrence with annual aggregates, with Salt Lake City Corporation named as an additional insured. The Engineer is responsible for quality assurance, compliance with all applicable federal, state, and local laws and building codes, and cost minimization in design. All work product, including drawings, specifications, reports, and intellectual property, becomes the sole property of the City. The City may terminate the Agreement for convenience with seven calendar days' written notice or for cause if the Engineer fails to cure performance defects within seven days of written notice. Disputes are subject to a multi-level resolution process beginning with the City Project Manager, escalating to the Department Head, and potentially to a Dispute Committee of independent professional engineers, with decisions being non-binding and subject to judicial review.
