About this file

Form W-14 is a Certificate of Foreign Contracting Party Receiving Federal Procurement Payments used by foreign entities to establish tax exemptions or reduced tax withholding obligations on federal contract payments. The form is submitted to the acquiring agency, not the IRS, and requires identification information including the foreign contracting party's legal name, country of incorporation, permanent residence address, mailing address if different, U.S. taxpayer identification number if applicable, contract or reference number, and the name and address of the acquiring federal agency.

The form provides two primary exemption pathways. Part II addresses exemptions based on international agreements with the United States, such as qualified income tax treaties, requiring the filer to identify the specific agreement and provision being relied upon. Part III addresses exemptions based on international procurement agreements or because goods and services are produced or performed in the United States, requiring disclosure of total contract price, nonexempt amounts, and the contract ratio. Filers may identify specific exempt and nonexempt amounts by contract line item if applicable. Part IV requires explanation of the relevant countries where goods are manufactured, produced, or services are provided, as well as the international procurement agreements or allocation methods used. Part V contains the certification statement in which the foreign person certifies under penalties of perjury that they are the identified party, not acting as an agent or nominee, agree to pay any uncollected section 5000C tax and applicable penalties, understand procedural obligations, and have not engaged in transactions designed to avoid section 5000C tax. The form requires the signature and date of the foreign person or authorized representative.
