About this file

This is a sample agreement template document prepared by the Town of Hilton Head Island, South Carolina, for asphalt parking lot improvements located at and adjacent to 213 William Hilton Parkway, Hilton Head Island, South Carolina 29926. The agreement establishes the contractual framework between the Town and a qualified contractor for completing planned improvements to the specified parking facility. The contract documents incorporate multiple exhibits including the Invitation for Bid (IFB) or Request for Proposal (RFP), contractor bid forms, special provisions, special conditions, general conditions, architect/engineer plans and specifications, project schedule, and South Carolina Illegal Immigration Act affidavit. The contractor must commence work by the date specified in the Notice to Proceed and complete all work within one hundred twenty (120) calendar days from that date, with final acceptance required by the completion date identified in the Notice to Proceed. The contractor shall submit monthly progress billings to the Town for approval and payment, with the Town retaining ten percent (10%) as retainage until satisfactory completion of all contracted work.

The total lump sum compensation paid to the contractor shall not exceed an amount to be specified in the final contract (amount left blank in template), with payment made on a monthly progress billing basis. The contractor must furnish within ten (10) days after contract award a Faithful Performance Bond, Payment Bond, and insurance certificates as required by the contract documents. Liquidated damages of one thousand dollars ($1,000.00) per calendar day will be assessed for failure to achieve final acceptance by the completion date. The contractor is required to maintain specified levels of insurance with the Town named as an additional insured, and failure to maintain required policies constitutes grounds for termination. The Town may terminate the agreement at its convenience with payment only for services rendered through the termination date, or may terminate due to lack of appropriated funds or court/state department orders. All work must comply with the South Carolina Illegal Immigration Reform Act, including E-Verify verification of newly hired employees within three (3) business days of employment. The agreement is governed by South Carolina law and may only be modified by written agreement signed by both parties.
