SECTION 01 10 00 – SUMMARY OF WORK

PART 1 - GENERAL

1.1 RELATED DOCUMENTS

A. Drawings and general provisions of the Contract, including General and Supplementary Conditions and other Division 01 Specification Sections, apply to this Section.

1.3 PROJECT INFORMATION

A. Project Identification: Project consists of, but is not limited to, construction of an access road and gated water control structure, and dredging of adjacent tidal channels.

1. Project Location: Old Chequessett Neck Road, Wellfleet, Massachusetts.

a. Includes adjacent areas within the Limit of Disturbance as shown on Drawings.

B. Owner Identification (referred to as “Government” herein): United States of America, Department of Interior

1. Contracting Officer Identification: Person or entity identified by the Government as having sole authority to administer and direct all work under this contract.

1.4 WORK COVERED BY CONTRACT DOCUMENTS

A. The Work of Project includes, but is not limited to, construction of all proposed site improvements including, but limited to, construction of an access road and gated water control structure, and dredging of adjacent tidal channels, as depicted on the Drawings and specifications and as directed by the Contracting Officer.

B. The Work includes, but is not limited to:

1. Erosion & sediment control measures

2. Cofferdam construction & dewatering

3. Access road construction

4. Sheet pile water control structure construction

5. Tidal channel dredging

C. Project is designated to comply with Federal Sustainability Requirements, as specified in Section 01 81 13 “Sustainable Design Requirements for Non-LEED Projects”.

1.5 DEFINITIONS

A. Furnish: Supply and deliver to the Project site.

B. Install: Place in position for service or use.

C. Provide: Furnish and install, complete and ready for intended use.

1.6 QUALITY ASSURANCE

A. Standard Specifications: Shall mean the most recent version of the “Commonwealth of Massachusetts Department of Transportation Standard Specifications for Highways and Bridges, 2023 Edition”, and Supplemental Specifications (March 31, 2023).

1.7 WORK SEQUENCE

A. The Work shall be conducted in the general sequence as indicated in the “Construction Sequence & Water Control Plan” section on Sheets CP-101 to CP-103 of the Contract Drawings.

1. The phases shall be determined at the Contractor’s discretion, but the phases shall have been determined in time for discussion at the Pre-Construction Conference to be scheduled after the award of the contract. Once the final construction pursuant to this contract commences in a phase it shall continue until completion of that phase.

1.8 SUBMITTALS

A. Submit the following schedules in accordance with Paragraph 3.2 of this Section:

1. Construction schedule

2. Schedule of submittals/shop drawings

B. Site Access and Work Controls Plan:

1. Submit 7 days prior to the pre-construction meeting.

2. Submittal shall cover the following items:

a. Protections and precautionary measures to ensure the safety of wetlands, wildlife, existing structures and features, and abutting properties

b. noise monitoring and minimization methods and procedures

c. Temporary facilities, signage and protective site security/safety fencing/barricades materials and locations

d. Initial mobilization vehicle and equipment parking/access procedures and locations

e. Entrance access layout and position relative to pre-construction staking of limit of disturbance, including grading of access road and adjacent slopes

f. Use/protection/restoration of off-site staging areas

g. Upstream tidal channel water level monitoring equipment, locations and procedures.

1.9 SITE ACCESS AND USE

A. General: Contractor shall have full use of Project site for construction operations during construction period. Contractor's use of Project site is limited only by Government's right to perform work or to retain other contractors on portions of Project.

B. Use of Site: Contractor shall have limited use of site for construction operations. Limit use of Project site to areas within the contract Limits. Do not disturb portions of Project site beyond areas in which the Work is indicated.

1. Limits: Confine construction operations to limits of disturbance as indicated on the Contract Drawings.

C. Minimize damage to access routes and restore damaged areas to their original condition or better.

D. Remove and restore to original condition all signs, utilities and other improvements required to be relocated or affected for construction of the Work. Costs for such activity shall be borne by the Contractor unless otherwise indicated. Notify the Contracting Officer and utilities of intended modification or disruption to the property prior to the start of construction and cooperate with them in the scheduling and performance of operations.

E. Acquire necessary permits, authorizations, and approvals for working in, on or from the right-of-way or easements owned by the Town of Wellfleet and other abutters. The Contractor shall also secure all necessary permits for working on the site, including but not limited to, permits required for working in the onsite wetlands.

F. If the Contractor, by direct negotiation and bargain with any landowner, lessee or tenant, has secured any right to use more space or greater privileges in the space provided by the Government for purposes incidental to the performance of the Contract, shall upon request furnish to the Contracting Officer proper evidence that such additional rights have been properly secured and assurance that no damage to or claim upon the Contracting Officer will arise therefrom. The Government shall not be liable in any way for any expense incurred by the Contractor in securing any such right to use additional property.

G. The Contractor shall be responsible for and reimburse the Government and others for any and all losses, damage or expense which the Government or those others may suffer, either directly or indirectly or through any claims of any person or party, for any trespass outside the spaces and rights

of way provided by the Government to the Contractor or any violation or disregard of the terms and conditions established for the use or occupancy of those rights or for negligence in the exercise of those rights.

1. The Contracting Officer may retain or deduct from any sum or sums due or to become due to the Contractor such amount or amounts as may be proper to insure the Government against loss or expense by reason of the failure of the Contractor to observe the limits and conditions of the rights-of-way, rights-of-access, easements, etc., provided by the Government.

H. Storage of Materials: Confine storage of materials to staging area shown on plans.

I. Parking: Confine parking to staging area shown on plans.

J. Stockpiling: Confine stockpiling to staging area shown on plans or as directed by the Contracting Officer.

K. Preservation of Natural Features:

1. Prevent damage to natural surroundings. Restore damaged areas, repairing or replacing damaged trees and plants, at no additional expense to the Government.

2. Provide temporary barriers to protect existing trees and plants and root zones.

3. Do not remove, injure, or destroy trees or other plants without prior approval. Consult with Contracting Officer (CO) and remove agreed-on roots and branches that interfere with construction.

4. Do not fasten ropes, cables, or guys to existing trees.

5. Carefully supervise excavating, grading, filling, and other construction operations near trees to prevent damage.

L. Driveways and Entrances: Keep driveways, roads, walkways and entrances serving premises clear and available to Government employees, and emergency vehicles at all times. Do not use for parking or storage of materials.

1. Schedule deliveries to minimize use of driveways and entrances.

2. Schedule deliveries to minimize space and time requirements for storage of materials and equipment on-site.

M. Construction Camp: Establishment of a camp within park will not be permitted.

N. Hauling Restrictions: Comply with legal load restrictions in hauling of materials. Load restrictions on park roads are identical to state load restrictions with such additional regulations as may be imposed by the Park Superintendent. Information regarding rules and regulations for vehicular traffic on park roads may be obtained from the Office of the Park Superintendent.

1.10 CONDUCT OF OPERATIONS

A. Contractor shall conduct his operations in conformance with rules and regulations promulgated by the Secretary of the Interior for the National Park Service, and applicable park rules and regulations prescribed by Park Superintendent.

B. Work on Saturdays, Sundays, Federal holidays or at night may not be performed unless stated in the Work Restrictions below or without prior consent from the Contracting Officer. Submit requests 3 business days in advance of the work to the Contracting Officer for approval.

C. No signs or advertisements (except those specified herein) shall be displayed on the construction site or within the park unless approved by the Contracting Officer.

D. Contractor responsible to immediately notify the CO of any non-catastrophic, imminent emergency event on site.

E. Nonsmoking Building/Tobacco Use/Vaping: Smoking is not permitted within building or within 25 feet of entrances, operable windows, or outdoor air intakes.

1.11 WORK RESTRICTIONS

A. Work Restrictions, General: Comply with restrictions on construction operations.

1. Comply with limitations on use of public roads and with other requirements of authorities having jurisdiction.

B. On-Site Work Hours: Limit work to normal business working hours of 8:00 a.m. to 5:00 p.m., Monday through Friday, unless otherwise indicated.

1. Weekend Hours: as approved by the Contracting Officer.

2. Early Morning Hours: as approved by the Contracting Officer.

3. Should access to the Site at other days and/or times be necessary, provide written request to the Contracting Officer at least three (3) business days in advance. Transport of materials to or from the Site is not permitted on Saturdays, Sundays or legal holidays.

C. Existing Utilities

1. Existing Utilities: Notify Contracting Officer and utility companies of proposed locations and times for excavation.

2. Contractor shall be responsible for locating and preventing damage to known utilities. If damage occurs, repair utility at no additional expense to the Government.

3. If damage occurs to an unknown utility, repair utility. An equitable adjustment will be made in accordance with the Changes clause of the contract.

D. Existing Utility Interruptions: There are no known underground utilities at the site. Existing overhead utilities must be temporarily relocated and reinstalled after site work is completed.

1. Notify Contracting Officer not less than two days in advance of proposed utility interruptions.

2. Obtain utility owner’s written permission before proceeding with utility interruptions.

E. Noise, Vibration, and Odors: Coordinate operations that may result in high levels of noise and vibration, odors, or other disruption with Contracting Officer.

1. Notify Contracting Officer not less than 2 days in advance of proposed disruptive operations.

1.12 SPECIFICATION FORMATS AND DRAWING CONVENTIONS

A. Specification Format: The Specifications are organized into Divisions and Sections using the CSI/CSC’s “MasterFormat” numbering system.

1. Section Identification: The Specifications use section numbers and titles to help cross-referencing in the Contract Documents. Sections in the Project Manual are in numeric sequence; however, the sequence is incomplete. Consult the table of contents at the beginning of the Project Manual to determine numbers and names of sections in the Contract Documents.

B. Specification Content: The Specifications use certain conventions for the style of language and the intended meaning of certain terms, words, and phrases when used in particular situations. These conventions are as follows:

1. Abbreviated Language: Language used in the Specifications and other Contract Documents is abbreviated. Words and meanings shall be interpreted as appropriate. Words implied, but not stated, shall be inferred as the sense requires. Singular words shall be interpreted as plural, and plural words shall be interpreted as singular where applicable as the context of the Contract Documents indicates.

2. Imperative mood and streamlined language are generally used in the Specifications.

Requirements expressed in the imperative mood are to be performed by Contractor.

Occasionally, the indicative or subjunctive mood may be used in the Section Text for clarity to describe responsibilities that must be fulfilled indirectly by Contractor or by others when so noted.

a. The words “shall,” “shall be,” or “shall comply with,” depending on the context, are implied where a colon (;) is used within a sentence or phrase.

C. Division 01 General Requirements: Requirements of Sections in Division 01 apply to the Work of all Sections in the Specifications.

1.13 STORAGE AND HANDLING OF MATERIALS

A. At all times, handle and store materials and equipment to be incorporated in the work in a manner to prevent intrusion of foreign matter, warping, twisting, bending, breaking, and any injury, theft or damage of every description to the material or equipment.

B. Upon delivery, promptly inspect shipments to assure that products comply with requirements, quantities are correct and products are undamaged. Packages, materials and equipment showing evidence of damage shall be rejected and replaced at no additional cost to the Government.

C. Store products in accordance with manufacturer’s instructions, with seals and labels intact and legible.

Provide access to products during storage for inspection.

1. If products are stored for an extended period of time, conduct periodic inspections to assure products are undamaged and are maintained under required conditions.

2. Keep an inspection log indicating date and time of inspections. Note problems, if any.

D. For exterior storage of fabricated products, place sloped supports beneath products to keep items from coming in contact with the ground. Cover products subject to deterioration with impervious sheet covering providing ventilation to avoid condensation.

E. Store loose granular materials on solid surfaces in a well-drained area and prevent from mixing with foreign matter.

F. Store excavated soils and other construction materials within the limit of disturbance and/or within designated staging areas. Store synthetic materials off the ground (or otherwise) to prevent accumulation of dirt or grease, and in a position to prevent accumulation of standing water.

1.14 SITE CONDITIONS

A. The utilities and structures at the site have been located primarily from limited field surveys and the locations as depicted on the Drawings are considered approximate as to size and location. There may be additional underground utilities and structures that are not shown on the Drawings, and it shall be the responsibility of the Contractor to locate all existing utilities and structures and to protect same from damage or harm. Restore utilities interfered with or damaged, at the expense of the Contractor, and to the satisfaction of its Government.

B. Ensure construction activities do not impact the activities or abutting properties without prior coordination and consent from the respective property owners.

C. Immediately notify the Contracting Officer upon encountering archaeological material, including “charcoal,” “bone,” “shell,” “cultural objects” (e.g., fire cracked stones/stone flaking material), “middens,” or any other artifacts or related items of historical significance.

1.15 DIG SAFE

A. The Contractor shall be responsible for complying with all applicable Dig Safe rules and regulations.

B. Contact Dig Safe at 1-888-344-7233 at least 72 hours prior to the start of construction (excluding weekends and holidays) to mark out the utility locations.

1.16 SUBSURFACE DATA

A. Boring logs and field/laboratory test results from prior subsurface investigations adjacent to the Project site are available for review from the Government.

PART 2 - PRODUCTS (Not Used)

PART 3 - EXECUTION

3.1 GENERAL

A. Perform construction during the times and seasons as set forth within the Contract Drawings, weather- and condition-permitting. Construction phasing requirements contained in the Contract Drawings must be adhered to in the Contractor’s detailed construction schedule submitted to the Contracting Officer, including installation of erosion and sedimentation controls, installation of temporary cofferdams and water conveyances, and removal of such cofferdams and conveyances.

B. The Contractor shall provide its own detailed construction schedule to the Contracting Officer prior to the initiation of Work.

1. Deviation from Contractor’s schedule will require the Contractor to submit notification of such change in schedule to the Contracting Officer at least seven (7) days prior to the subject change. Such notification shall be accompanied by a revised project schedule and phasing drawing, if applicable.

3.2 ADMINISTRATIVE SUBMITTALS

A. Do not commence portion of the Work requiring a submission until submission has been accepted by the Contracting Officer.

B. In addition to the submittals required by the various Technical Specifications, provide the following submittals within 10 days after the effective date of the Agreement:

1. Construction Schedule. Submit a proposed schedule of construction (schedule of operations) to the Contracting Officer.

a. Provide a bar-chart-type or Gantt-chart-type schedule that clearly indicates the start date and duration of specific construction activities. The Contractor shall not work on Saturday, Sunday, or Holidays without approval of the Contracting Officer.

Portions of the Work to be performed by subcontractors or utilities shall be clearly indicated as such.

b. Incorporate the erosion control and control of water construction phasing provisions into the construction schedule.

c. Prepare scaled drawing clearly showing proposed construction corresponding to construction schedule.

d. No work shall be started until the schedule of construction is reviewed and approved by the Contracting Officer.

e. Contract completion date shall not be changed by submission of a schedule, unless specifically authorized by Change Order approved by the Contracting Officer.

2. Schedule of Submittals/Shop Drawings. The Contractor shall submit his proposed schedule of submittals to the Contracting Officer.

3.3 PROJECT MEETINGS

A. Pre-construction Conference/Meeting: Prior to the start of construction, a pre-construction conference shall be held between the Contractor and representatives of the Town of Wellfleet Conservation Commission, Contracting Officer and other relevant parties.

B. Progress Meetings: During progress of the Work, meetings may be required in order that scheduling and overall job coordination can be maintained. The Contractor shall be required to attend these meetings throughout the project duration.

3.4 CONSTRUCTION LAYOUT

A. Verification: Before proceeding to lay out the Work, verify layout information shown on the Contract Drawings. If substantive discrepancies are discovered, notify Contracting Officer prior to proceeding with the Work.

3.5 INSTALLATION

A. General: Locate the Work and components of the Work accurately, in correct alignment and elevation, as indicated. Complete work and install components in accordance with the Contract Documents.

3.6 PROGRESS CLEANING

A. General: Clean Project site and work areas daily. Enforce requirements strictly. Dispose of materials lawfully.

1. Do not hold materials more than 7 days during normal weather or 3 days if the temperature is expected to rise above 80 degrees Fahrenheit.

B. Site: Maintain Project site free of waste materials and debris.

C. Work Areas: Clean areas where work is in progress to the level of cleanliness necessary for proper execution of the Work.

D. Waste Disposal: Burying or burning waste materials on-site will not be permitted. Washing waste materials into sewers or waterways will not be permitted.

3.7 PROTECTION OF INSTALLED CONSTRUCTION

A. The Contractor shall take any and all precautions necessary to protect all utilities during the execution of this contract, including relevant provisions of Sections 4.10 and 6.03 of the Standard Specifications.

B. Comply with supplier’s written instructions for temperature and relative humidity, where applicable.

3.8 PROTECTION AND RESTORATION OF PROPERTY

A. Provide final protection and maintain conditions that ensure installed Work is without damage or deterioration at time of Substantial Completion.

B. The Contractor, in constructing or installing facilities alongside or near sanitary sewers, storm drains, water or gas pipes, electric, cable or telephone conduits, poles, sidewalks, walls or other

structures, shall, at its expense, sustain them securely in place, cooperating with the officers and agents of the various utility companies and municipal departments which control them, so that the services of these structures shall be maintained.

1. Contractor shall also be responsible for the repair or replacement, at the contractor’s own expense, of any damage to such structures caused by the contractors acts or neglect, and shall leave them in the same or better condition as they existed prior to the commencement of work.

2. In case of damage to utilities, the Contractor shall promptly notify the owner and shall, if requested by the Contracting Officer, furnish laborers to work temporarily under the utility owner’s direction in providing access to the utility. Pipes or other structures damaged by the operation of the Contractor may be repaired by the utility company which suffers the loss.

The cost of such repairs shall be borne by the Contractor, without compensation therefor.

3. If, as the work progresses, it is found that any of the utility structures are so placed as to render it impracticable, in the judgment of the Contracting Officer, to do the work called for under this Contract, the Contractor shall protect and maintain the services in such utilities and structures and the Contracting Officer will, as soon thereafter as it reasonably can, cause the position of the utilities to be changed or take such action as it deems suitable and proper. If live service connections are to be interrupted by excavation of any kind, the Contractor shall not break the service until new services are provided. Abandoned services shall also be plugged off or otherwise made secure by the utility company involved.

4. Full compensation for furnishing all labor, materials, tools, equipment and incidentals and for doing all the work involved in protecting or repairing property as specified in this section shall be considered as included in the prices paid for the various contract items of work and no additional compensation will be allowed therefor.

3.9 CORRECTION OF THE WORK

A. Repair or remove and replace defective construction. Restore damaged substrates and finishes.

1. Repairing includes replacing defective parts, refinishing damaged surfaces, touching up with matching materials, and properly adjusting operating equipment.

2. Correction of the work will not be compensated for.

B. Restore permanent facilities used during construction to their specified condition.

3.10 REGULATORY COMPLIANCE

A. All equipment operators and workers performing work at the proposed location shall hold the appropriate Commonwealth of Massachusetts licenses for their responsibilities.

B. Contractor shall provide a ‘Competent Person’, as defined by the US Department of Labor Occupational Safety & Health Administration (OSHA), for the location of the proposed work.

C. Contractor and all subcontractor and vendors working at the site shall have an OSHA ten (10) hour construction safety program for their on-site employees.

D. All required licenses and/or certificates for work being performed shall be copied and supplied to the Contracting Officer prior to beginning work by each contractor, subcontractor or vendor employee conducting work at the site. All required licenses and/or certificates for work being performed shall be in the possession of the person(s) while performing the work.

E. The Contractor shall be solely responsible to conduct its operations in a manner that meets all local, state, and federal regulations.

SECTION 01 26 01 - CONTRACT MODIFICATION PROCEDURES

PART 1 - GENERAL

1.1 RELATED DOCUMENTS

A. Drawings and general provisions of the Contract, including General and Supplementary Conditions and other Division 01 Specification Sections, apply to this Section.

1.2 SUMMARY

A. Section includes administrative and procedural requirements for handling and processing Contract modifications.

1.3 DEFINITIONS AND ALLOWANCES

A. Home Office Overhead: Costs incurred in support of all of a contractor’s projects and not attributable to a specific job. The cost for home office overhead is only allowed as a percentage of all direct work excluding profit. The following items represent allowable home office overhead costs identified in Part 31 of the Federal Acquisition Regulation (FAR):

D. Personnel Costs: Costs included in the modification must only be for General Conditions staff and workers actually present and working on project site. Modification costs for salaried workers are only allowed within the structure of a 40-hour week and no overtime or holiday pay will be allowed.

1. Worker Hourly Rates are costs directly associated with the individual worker and consist of the following:

a. Base Rate: The hourly rate paid directly to the worker

b. Labor Burden: Employer payments of all applicable burdens; includes insurance and taxes the business must pay on behalf of the worker to government entities and educational forums, such as:

1) Social Security

2) Medicare

3) Workers Compensation – Policy and company calculation to be made available.

4) Federal Unemployment Tax Act (FUTA) - Cap Rate and percentage to be proportionally allocated over one year.

5) State Unemployment Tax Act (SUTA) - Cap Rate and percentage to be proportionally allocated over one year.

6) Union agreement costs - Other costs required under an enforceable collective bargaining agreement.

c. Fringe Benefits: Various non-wage compensations provided to employees such as:

1) Health Care Insurance Premiums

2) Cell Phone

3) Clothing

4) 401K and Pensions

5) Vehicle allowances

6) Gas allowance

7) Life insurance premiums

8) Disability insurance

9) Other Fringe Benefits required under an enforceable collective bargaining agreement

E. Bonuses or Deferred Compensation: No Bonus or Deferred Compensation will be allowed within any components of pricing including Home Office Overhead, General Conditions, General Requirements, Hourly Worker Rates, or the direct costs of work.

F. General Liability Insurance: An insurance policy that protects Contractor from claims resulting from bodily injury or property damage to a third party. Include as a separate line item within all modification proposals and provide a current insurance quote upon request.

G. Performance and Payment Bonds: A performance bond is a surety bond issued by an insurance company or bank to guarantee satisfactory completion of a project. The Payment Bond guarantees

the Contractor will pay the labor and material costs incurred. Banks and Insurance companies charge a premium for individual project based on a sliding scale related to the size of the project.

Include as a separate line item in modification proposals and provide current company bonding rates upon request.

H. Builder’s Risk Insurance: Covers the contractor’s loss due to fire, high winds, or other natural forces. Not reimbursed by the National Park Service (NPS) and shall not be included in modification proposals.

1.4 FIELD ORDER

A. Contracting Officer will issue written supplemental instructions authorizing minor changes in the Work, not involving adjustment to the Contract Price or the Contract Time.

1.5 PROPOSAL REQUESTS

A. Government-Initiated Proposal Requests: Contracting Officer will issue a detailed description of proposed changes in the Work that may require adjustment to the Contract Price or the Contract Time. If necessary, the description will include supplemental or revised Drawings and Specifications.

1. Proposal Requests issued by Contracting Officer are for information only. Do not consider them instructions either to stop work in progress or to execute the proposed change.

2. Within time specified in Proposal Request after receipt of Proposal Request, submit a quotation estimating cost adjustments to the Contract Price and the Contract Time necessary to execute the change.

a. Include a list of quantities of products required or eliminated and unit costs, with total amount of purchases and credits to be made. If requested, furnish survey data to substantiate quantities.

b. Indicate applicable taxes, delivery charges, equipment rental, and amounts of trade discounts.

c. Include an updated Contractor's Construction Schedule that indicates the effect of the change, including, but not limited to, changes in activity duration, start and finish times, and activity relationship. Use available total float before requesting an extension of the Contract Time.

B. Contractor-Initiated Proposals: If latent or unforeseen conditions require modifications to the Contract, Contractor may propose changes by submitting a request for a change.

1. Include a statement outlining reasons for the change and the effect of the change on the Work. Provide a complete description of the proposed change. Indicate the effect of the proposed change on the Contract Price and the Contract Time.

2. Include a list of quantities of products required or eliminated and unit costs, with total amount of purchases and credits to be made. If requested, furnish survey data to substantiate quantities.

3. Indicate applicable taxes, delivery charges, equipment rental, and amounts of trade discounts.

4. Include an updated Contractor's Construction Schedule that indicates the effect of the change, including, but not limited to, changes in activity duration, start and finish times, and

activity relationship. Use available total float before requesting an extension of the Contract Time.

5. Comply with requirements in Division 1 Section "Product Requirements" if the proposed change requires substitution of one product or system for product or system specified.

1.6 CHANGE ORDER PROCEDURES

A. On the Government’s approval of a Proposal Request, Contracting Officer will issue a Change Order for signatures of Contracting Officer and Contractor.

1.7 WORK CHANGE DIRECTIVE

A. Work Change Directive: Contracting Officer may issue a Work Change. Work Change Directive instructs Contractor to proceed with a change in the Work, for subsequent inclusion in a Change Order.

1. Work Change Directive contains a complete description of change in the Work. It also designates method to be followed to determine change in the Contract Price or the Contract Time.

B. Documentation: Maintain detailed records on a time and material basis of work required by the Work Change Directive.

1. After completion of change, submit an itemized account and supporting data necessary to substantiate cost and time adjustments to the Contract.

1.8 MODIFICATION PROPOSAL PRICING REQUIREMENTS

A. General:

1. Proposal be received in the format and within the time frame specified in the Request for Proposal (RFP) letter. Costs or delays resulting from failure of contractor to submit within the time frame specified will not be compensable.

2. Proposal shall be detailed with itemized lists of equipment, materials, labor, production rates, overhead, profit, and bond markup for each item. Labor costs must be itemized by craft and hourly rate, including Fringe Benefits and Labor Burden. If the costs of Fringe Benefits and Labor Burden are not itemized, it is assumed they are included in the hourly rate shown, or contractor is not requesting reimbursement. Contractor may utilize the government provided Contractor Estimate Form, or their own form, provided that it contains the same information and level of detail as the Government’s form.

3. Requests for extensions of contract time as a result of change must be justified with a Time Impact Analysis (TIA). Refer to Section 01 32 16 "Construction Schedule", for time impact analysis requirements. TIA and associated costs shall be received with the proposal by the date shown within the Request for Proposal letter. Contractor’s failure to submit within the specified time frame will be construed as the Contractor waiving right for additional time and no time extension will be allowed.

4. All supporting documentation used to justify the proposed modification will be made available to the Contracting Officer (CO) upon request.

5. Contractor shall review and approve all subcontractor/supplier pricing in detail for proper format, scope, production rates, and pricing prior to submission to the Contracting Officer.

All delay costs associated with not reviewing and approving subcontractor/supplier pricing will be borne by the Contractor.

6. All pricing and production rates within the estimate must be based on fair and reasonable pricing and cannot include built-in contingency.

B. Labor:

1. Contractor shall estimate cost of labor by itemizing each craft involved, indicating worker hourly rate (base rate + labor burden + fringe benefits) for each and itemizing hours required for each craft directly engaged in modification work. Any work proposed requiring overtime work or premium pay shall be itemized separately. Rates shall be in accordance with the Davis-Bacon Act as incorporated herein. Labor Burden may include payroll taxes, Social Security, unemployment insurances, workers compensation insurance, Federal Insurance Contributions Act (FICA), FUTA, and other direct costs resulting from Federal, State or local laws.

2. Itemize labor costs for equipment operators separate from equipment costs.

3. Labor cost for foremen shall only be costs for related work required for the modification.

C. Materials:

1. Estimated cost for materials shall include quotes from multiple sources. Material prices shall include applicable fees and credits, including but not limited to, sales tax, freight and delivery charges, and tax rebates.

2. No markup shall be applied to any material provided by the Government.

D. Equipment:

1. Equipment used for the project must be appropriately sized for work being performed.

2. Do not include costs for "miscellaneous tools and equipment", in Contractor’s proposal for a replacement value of $500 or less. Costs shown in excess of $500 shall be broken out separately.

3. Regardless of ownership, rates to be used in determining equipment rental costs shall be the lowest cost from one of the following sources:

a. United States (U.S.) Army Corps of Engineers, Ownership and Operating Expense Schedule (use latest edition and applicable region)

b. Construction Blue Book

c. Local equipment rental rates, documented by actual invoice charges, or itemized vendor quotes.

4. Estimated equipment rates shall include operating costs of all fuel, oil, lubrication, supplies, small tools, necessary attachments, ground engaging components, tires and tracks, routine repairs and maintenance (cost of major repair and overhaul is not allowed per Federal Acquisition Regulation (FAR) 31.105(d)(2)), depreciation, storage, insurance, and all incidentals. Mobilization, if applicable, may be included for equipment solely used on the modification work but must be listed separately.

5. Estimate full rate for equipment only for duration that equipment will be utilized to accomplish work of the modification.

6. Standby unit rates used in accordance with paragraph 1.8.D.2, above. If the U.S. Army Corp of Engineers is utilized then their standby rates prevail. If Bluebook or local equipment pricing is accepted, then 1/2 of equipment costs minus any operating costs, major repair and overhaul will be accepted.

7. If equipment is in standby mode due solely to a documented the Government delay, established standby rate shall apply from the first day of the delay.

8. Equipment not used and on job site for up to five consecutive days may be classified at standby rates, provided the equipment is or has been used solely to perform work on the modification and will be necessary to complete additional modification work. Equipment still on the jobsite but not in use after five consecutive days will not be considered in the modification pricing.

9. Requests for compensation for equipment stand by time must be justified, documented and itemized separately.

10. The estimated timeframe (daily, weekly, monthly) for use of the equipment must reflect the lowest cost to the Government.

E. Establishment and Application of Overhead and Profit Percentages:

1. Home Office Overhead and Profit (OH&P) shall be applied to direct costs only. Profit shall not be applied to overhead amounts; and overhead shall not be applied to profit. Home office overhead shall contain only allowable, allocable, and reasonable costs per the contract documents and FAR Part 31. Profit percentages are based on risk factors found in FAR Part 31which have been applied to the specific type of work included in this project. Negotiated rates shall not exceed the following percentages for OH&P for contractor self-performed work: contractor self-performed work:

Overhead ........................... 10% Profit .................................... 8%

2. Total aggregate limit of markup (OH&P) for Contractor and Subcontractors on modification work shall not exceed 25%. The Government will not be responsible for allocation of percentages between contractor and subcontractors at any tier.

3. If Contractors form a partnership, partnership may only receive home office overhead and profit in same amount as an individual Contractor (refer to paragraph 1.8.E.1 above). It is the responsibility of the partners to decide on division of revenue.

4. Combined Increases and Decreases: On proposals involving both increases and decreases in the Contract Price, overhead and profit mark-ups are required on net increases and deducted on net decreases.

5. At no time can profit be calculated on Overhead or itself, it must be calculated on direct costs of work only.

PART 1 - GENERAL

1.1 RELATED DOCUMENTS

A. Drawings and general provisions of the Contract, including General and Supplementary Conditions and other Division 01 Specification Sections, apply to this Section.

1.2 SUMMARY

A. This Section describes the measurement and payment for the Work to be completed under each item on the Bid Form. The descriptions may not reference all of the associated Work. Work specified but not designated as a separate Bid Item is considered incidental to all Bid Items. The Contractor shall review all work associated with each work item and shall have no claim for being unfamiliar with the requirements of these specifications.

1. All work items described herein, including in measurement and payment descriptions or otherwise, do not state all requirement of the work stated in the Contract Documents; all such descriptions shall be inclusive of all incidental work for respective items, as stated in the Contract Documents.

2. This Section addresses general measurement and payment requirements for:

a. Contract Base Bid Items

b. Unit Price Bid Items

c. Alternate Bid Items (or Optional Contract Line Items)

B. Related Sections of the Specifications include the following:

1.3 DEFINITIONS

A. Payment Items: Contractor’s distribution of the Contract Sum through listed work items, as outlined in this Specification, reviewed, and accepted by the Contracting Officer.

1. Each item is specified to include a defined scope of services. However, not all materials, labor, equipment, or services of a payment item are guaranteed to be listed or specified.

2. Include costs associated with items of work required to complete the defined scope of services within the appropriately specified payment item.

3. Payment items include all necessary materials, plus cost for delivery, installation, applicable fees and taxes, administrative over-site, tools, labor, incidentals, overhead, and profit.

4. Field-directed bid items will only be incorporated into the project if selected and authorized in writing by the Contracting Officer.

5. Unit bid price items shall be paid only as accepted and where accepted prior to the completion of the respective work.

6. All work described in the Contract Documents shall be included in the payment items described herein.

B. Unit Price: An amount proposed by bidders, stated on the Bid Form, as a price per unit of measurement for materials or services identified in the Contract Documents.

C. Lump Sum: When used as an item of payment, means complete payment for the work prescribed for that portion of the Work under the item, or all work prescribed in the Contract, as the case may be.

1. Lump sum payment items are groupings of the Work as determined by the Contracting Officer only for the Government’s convenience. Such listings of payment items shall establish the minimum level of detail for the Schedule of Values.

2. The Schedule of Values shall further include the breakdown of each lump sum bid item that appears in the Agreement and shall include the Contractor's verified quantities it used in preparing its bid. If accepted by the Contracting Officer, this breakdown will be used in approximating percentages of completion of the lump sum bid items during the processing of payment applications.

D. Provide: Procure, fabricate, sample/test, deliver, place/install, adjust, correct and replace if needed all products or materials to be incorporated into all temporary and permanent elements of the Work in accordance with the Contract Documents.

E. Complete and In Place: When used in the measurement and payment provisions, means the completion of the contract item, including the fabrication, testing, reporting, furnishing, installation, adjustment and correction of all products and materials to be incorporated into the Work including all equipment, tools, labor, health and safety requirements, and work incidental thereto, in accordance with all provisions stated in the Contract Documents.

1.4 PROCEDURES

A. To ensure payment items are balanced, Mobilization/Demobilization for the base bid shall be limited to no more than five (5) percent of the total bid price for the base bid. Such limit will not prohibit the Contractor from seeking payment for documented expenditures (i.e., invoices or cancelled checks) in excess of this amount under other bid items during project startup and mobilization.

B. Unit price items, lump sum items and alternate unit price items include all necessary material, plus cost for delivery, installation, insurance, applicable taxes, overhead, and profit.

C. Measurement and Payment: Refer to Section 3.1 herein for methods of measurement and payment.

D. Notify Contracting Officer at least 72-hours prior to the time at which necessary measurements must be taken. Notification must be in advance of obscuring pay item; do not proceed until such measurements have been taken in the presence of the Resident Project Representative.
