About this file

This is an Authorization and Certification attachment (Attachment A) for a Request for Proposals issued by the City of Long Beach. The document serves as a standardized certification form that proposers must complete and submit as part of their bid submissions. Rather than describing a specific project or service procurement, this template establishes the legal requirements and certifications that all proposers must acknowledge and sign, regardless of the underlying contract opportunity. The document requires proposer authorization based on entity type (individual, partnership, corporation, or limited liability company), with specific signature requirements for each structure. Proposers must certify compliance with City of Long Beach terms and conditions, the Vendor Code of Conduct, and submit proposals as firm, fixed offers valid for 90 days from the submission deadline. The form includes an "Exceptions to Terms & Conditions" section where proposers may document any requested deviations from standard terms, though the City notes that exceptions are uncommon and that any award is contingent upon successful contract negotiation.

The document contains extensive federal compliance certifications related to the receipt of federal grant funds, requiring proposers to certify under penalty of perjury that neither they nor their principals have been suspended, debarred, or excluded from federal funding within the preceding three years, have pending debarment proceedings, or have been indicted, convicted, or had civil judgments rendered against them involving fraud or official misconduct within three years. Proposers must also certify that no public transactions have been terminated for cause or default within three years and must provide written notice within 21 days of any reorganization, management turnover, or change in principals' status. If unable to certify to any statement, proposers must attach an explanation to their bid or agreement.

Exceptions to Terms & Conditions

EXCEPTIONS TO TERMS AND CONDITIONS (IF APPLICABLE)

Exceptions to terms and conditions are uncommon, and Proposers are not encouraged to take exception to terms and conditions. However, in the event there are terms that should be reviewed as part of potential negotiation of a final contract, they should be listed here. The City of Long Beach has no obligation to accept any exceptions to terms and conditions. Any award is contingent upon the successful negotiation of final contract terms. If contract negotiations cannot be concluded successfully, the City reserves the right to negotiate a contract with another

Contractor or withdraw the RFP.
