About this file

This is a Non-Disclosure Agreement (NDA) document related to Indian River County's Fire/EMS Station #15 construction project located in Vero Beach, Florida. The NDA establishes confidentiality obligations for parties involved in the bidding and execution of the 9,983 square foot fire station construction project. The agreement outlines the terms under which sensitive project information, including design documents, specifications, site plans, and other proprietary details related to the station's construction, may be shared with potential bidders and contractors. The document specifies the procedures for handling confidential information and the restrictions on its use and disclosure during the bidding process and subsequent contract performance.

The NDA contains standard protective measures to safeguard the county's project information and ensure fair competition among bidders. The agreement likely defines what constitutes confidential information, the duration of confidentiality obligations, permitted uses of shared information, and consequences for unauthorized disclosure. This document is essential to the procurement process as it allows Indian River County to share detailed project requirements and specifications with interested contractors while maintaining control over sensitive information and preventing competitive disadvantage or premature project details from becoming public prior to formal award.

ARTICLE 2. DISCLOSURE OF CONFIDENTIAL INFORMATION

2.1 To permit the Receiving Party to respond to the County’s Solicitation, and, if the Receiving Party is awarded a contract, to allow the Receiving Party to perform its contractual obligations, the County will be disclosing Confidential Information to the Receiving Party. The Receiving Party shall: (a) limit disclosure of any Confidential Information to its directors, officers, employees, agents, subconsultants, or representatives (collectively “Representatives”) who have a need to know such Confidential Information in connection with the current or contemplated business relationship between the Parties to which the County’s Solicitation relates, and only for those purposes; (b) advise its Representatives of the confidential and exempt nature of the Confidential Information under Florida law, and of the corresponding obligations set forth in this Agreement, and shall require such Representatives to keep the Confidential Information confidential; (c) keep all Confidential Information strictly confidential by using a reasonable degree of care, but not less than the degree of care used by it in safeguarding its own confidential information; and (d) not disclose any Confidential Information received by it to any third parties, except as otherwise provided for in Article 4 below.

Notwithstanding the foregoing, if the County is unable to obtain or does not seek a protective order and the Receiving Party is legally requested or required to disclose such Confidential Information, disclosure of such Confidential Information shall be limited to that which is legally required to be disclosed and may then be made without liability.

ARTICLE 5. NOTIFICATION OF UNAUTHORIZED DISCLOSURE

Such injunctive relief shall be in addition to any other remedies available hereunder, whether at law or in equity. The County shall be entitled to recover its costs and fees, including reasonable attorneys’ fees, incurred in obtaining any such relief.

7.2 The Receiving Party shall indemnify and defend the County against cost, fines, penalties, or any civil or criminal action resulting from Receiving Party’s unauthorized disclosure of Confidential Information. 9.3 This Agreement shall be governed by, and construed under, the laws of the State of Florida without regard to its choice of law provisions and venue shall lie in the courts in Indian River County, Florida.

9.4 Any failure by either Party to enforce the other Party’s strict performance of any provision of this Agreement will not constitute a waiver of its right to subsequently enforce such provision or any other provision of this Agreement.

9.5 Although the restrictions contained in this Agreement are considered by the parties to be reasonable for the purpose of protecting the Confidential Information, if any such restriction is found by a court of competent jurisdiction to be unenforceable, such provision will be modified, rewritten or interpreted to include as much of its nature and scope as will render it enforceable. If it cannot be so modified, rewritten or interpreted to be enforceable in any respect, it will not be given effect, and the remainder of the Agreement will be enforced as if such provision was not included.
