The contract specifies that work shall commence only upon receipt of a written Notice to Proceed from the City, with the contract period consisting of a specified number of calendar days from the effective date unless modified by Change Order. The contractor is responsible for employing a team with appropriate skills, credentials, and experience necessary to perform the work as required by the City. The contract designates a Contracting Officer's Technical Representative (COTR) and a Contracting Officer to administer the contract and coordinate all communications, with a project manager required to attend all project meetings with the City's representative.
The contract provides for payment on a fixed fee basis as set forth in the Schedule of Values and Construction Special Terms and Conditions, with all prices fully burdened and not subject to additional markup by the contractor. The contractor is designated as an independent contractor and assumes full responsibility for the accuracy and completeness of all work performed, including correction of any negligent errors or omissions at the contractor's expense. The contract documents establish a hierarchy of precedence for conflict resolution, with written amendments or Change Orders taking priority, followed by the Contract itself, Solicitation and Addenda, Special Terms and Conditions, General Terms and Conditions, and finally the Contractor's Response and administrative documents. The contractor must also ensure all subcontractors are bound by the contract terms and assume equivalent obligations.
