About this file
This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in support of a Statement of Qualifications (RFSQ) solicitation by the State of Utah Division of Purchasing on behalf of the Department of Health and Human Services for Eye Movement Desensitization and Reprocessing (EMDR) Training Services. The form serves as a template for vendors to protect trade secrets and commercial financial information from public disclosure under the Government Records Access and Management Act (GRAMA), specifically Utah Code 63G-2-305 and 63G-2-309. Respondents seeking to claim confidentiality protection must submit both redacted and non-redacted versions of their proposals, include a concise statement of reasons supporting the claim, and provide complete claimant information including company name, address, representative contact details, and specification of which pages and paragraphs require protection.
The contract solicitation is structured as a Request for Statement of Qualifications (RFSQ) with an anticipated contract term of 2.5 years, though the State reserves the right to extend the contract to five years pending future funding availability. This procurement will be conducted under Utah Procurement Code 63G-6a Part 15 for Design Professional Service Providers and Consultants, with award to the highest-ranked vendor through a best-value selection process rather than lowest price. Vendors are explicitly instructed not to include pricing information in their qualifications submissions, as compensation will be determined through subsequent fair and reasonable negotiations with the selected vendor. If negotiations fail with the top-ranked vendor, the State reserves the right to proceed with negotiations with the next highest-ranked vendor.

Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
