About this file
This is a Federal Certifications and Assurances document issued by the Utah Transit Authority (UTA) for a design services contract related to the North Temple Escalator Replacement project. The document outlines mandatory certifications and assurances required from all bidders and proposers responding to UTA solicitations that are federally funded. Bidders must complete and submit all required attachments with their bids or proposals, with failure to do so resulting in rejection as non-responsive. The document specifies that the Disadvantaged Business Enterprise (DBE) Program has been temporarily suspended per Federal Register notice 90 FR 47969, though all non-DBE certifications and assurances remain required.
The document establishes specific requirements for contractor compliance including Equal Employment Opportunity (EEO) statements, Buy America and Build America/Buy America certifications, debarment and suspension assurances, and restrictions on lobbying activities for contracts exceeding $100,000. Contractors must designate an EEO compliance officer and submit an employment plan if they employ 50 or more persons or the contract exceeds $50,000. Additional requirements include written subcontracts for all subcontractors at any tier, prompt payment mechanisms requiring subcontractor payment within 30 days of contractor receipt of payment from UTA, return of retainage within 30 days of satisfactory work completion, and three-year record retention for compliance documentation. Contractors must also certify compliance with Executive Order 14173 regarding Diversity, Equity, and Inclusion (DEI) program restrictions and verify that their DEI initiatives comply with applicable Federal anti-discrimination laws.

A. 1. Prompt payment mechanisms as an inducement for DBE participation. The Contractor will pay all subcontractors for satisfactory performance of their contracts no later than thirty (30) days from receipt of each payment the Authority makes to Contractor.
2. Contractor will return retainage payments to the subcontractor within thirty (30) days after the subcontractor’s work is satisfactorily completed, unless Contractor has received its retention proceeds from the Authority, then the preceding paragraph will apply. The prime contractor cannot withhold retainage past 30 days. This clause applies to both DBE and non-DBE subcontracts.
3. If the Authority determines that appropriate payments have not been made by Contractor to its subcontractors, the Authority will give written notice to Contractor that it has breached the contract. If Contractor fails to immediately correct the breach, the Authority may elect to withhold from future payments due Contractor monies sufficient to pay the outstanding amounts due subcontractors. Contractor will be responsible for paying interest at the statutory rate on the amounts it owes subcontractors for amounts not paid when originally due. Repeated or continued failure by Contractor to make appropriate payments to subcontractors will be a material breach of the contract and may result in termination of the contract and denial of future opportunities to bid on the Authority’s projects.
4. The Contractor will maintain those records and documents for three (3) years following performance of the contract which indicate compliance with these DBE requirements. These records and documents, or copies thereof, will be made available at reasonable times and places for inspection by any authorized representative of the Authority and will be submitted to the Authority upon request; together with any other compliance information which such representative may require.
