About this file
This is a Physical Gas Transaction Confirmation between EDF Energy Services, LLC (seller) and the Wisconsin Department of Administration (buyer), dated November 10, 2021, with contract number WIDEAD110421RG. The agreement covers natural gas supply for multiple Wisconsin state facilities including UW-Green Bay, UW-Oshkosh, UW-Stevens Point, UW-Stevens Point Wausau, Green Bay Correctional Institution, Kettle Moraine Correctional Institution, Lincoln Hills Schools, Oshkosh Correctional Institution, and Winnebago Mental Health Institution.
The contract provides interruptible natural gas service from January 1, 2022 through December 31, 2022, with monthly quantities ranging from 40,869 MMBtu in July to 156,384 MMBtu in January, totaling 1,107,539 MMBtu annually. Pricing is based on NYMEX LDS index plus a fixed adjustment of $0.2096 per MMBtu for all months. The agreement includes consolidated billing where EDF will include local distribution company fees on monthly invoices, with billing based on actual usage at the LDC City-Gate. EDF assumes responsibility for balancing services and imbalance charges unless resulting from buyer negligence, and will assess a Gas Management Fee equal to actual balancing costs. The buyer has exclusive purchasing requirements from EDF during the delivery period and may request fixed pricing prior to NYMEX settlement.

3. SPECIAL PROVISIONS, INCLUDING PRICE DETAIL (if any):
Regulatory Events: If there is a change in law, administrative regulation, rule, LDC design or structure, order, judicial decision, statute, or a change in an interpretation, operation, administration or application of any of the foregoing (collectively, a "Regulatory Event") and such change materially affects Seller's ability to perform its obligations or cost of providing services hereunder, then Seller shall provide written notice to

UW-Green Bay, Green Bay Correctional Institution Kettle Moraine Correctional Institution, Lincoln Hills Schools UW-Oshkosh, Oshkosh Correctional Institution UW-Stevens Point, Winnebago Mental Health Institution, UW-Stevens Point - Wausau
Buyer of such Regulatory Event and a description of how it impacts Seller's provision of services or costs of service hereunder. After provision of such notice, and if the parties agree that the Regulatory Event does not solely affect Buyer but is applicable to all similarly situated Buyers in the same geographic region, then such additional costs will be added to the invoice as a pass-through charge and Buyer agrees to pay such pass-through charge.
Billing: Seller shall invoice Buyer based on actual usage at the LDC City-Gate.
Excess/Shortfall Quantity: Seller will invoice Buyer each Month for the full Monthly Quantity at the Monthly Contract Price. If the total quantity of Gas delivered to Buyer during any Month is greater than the Monthly Quantity (“Excess Quantity”), then the Contract Price for the Excess Quantity will be the Market Price per MMBtu as determined by Seller. If the total quantity of Gas delivered to Buyer is less than the Monthly Quantity (“Shortfall Quantity”), then Buyer will receive a credit for such Shortfall Quantity at a Market Price determined by Seller. Buyer's payment for the total Monthly Quantity, as adjusted by the charge for any Excess Quantity and by the credit for any Shortfall Quantity as herein described will apply in lieu of any remedies as otherwise prescribed in the Master Agreement. Seller reserves the right, during Transporter Operational Flow Orders/Warnings (OFO), critical operational notices, or critical periods, or when intraday Gas is required, to price Excess Quantities or Shortfall Quantities at current market prices as determined by Seller in its reasonable discretion. Charges for Excess Quantities and/or credits for Shortfall Quantities shall appear as line items on Seller's invoice to Buyer, including applicable price and quantity.
Service Level: "Interruptible" shall mean that either Party may interrupt its performance at any time for operational reasons such as but not limited to the curtailment of gas supply and/or deliveries by Transporter, whether or not caused by an event of Force Majeure, with no liability, except such interrupting Party may be responsible for losses, such as imbalance charges, reasonably incurred by either Party arising from a performance interruption by the other Party after the gas has been scheduled.
Consolidated Billing: Seller shall include the LDC distribution fees on the monthly invoice. Past due and other charges due the LDC that apply to service prior to the effective date of the Confirmation will not be included in Seller's invoice to Buyer. Seller may discontinue this service at any time upon reasonable written notice to Buyer.
Seller's Responsibilities: Seller agrees to monitor and review all information provided to the Seller by Buyer and Transporter regarding Buyer's daily gas usage. Based on such information, Seller shall use commercially reasonable efforts to keep Buyer within the balancing parameters established by Transporter. Seller bears financial responsibility for any imbalance Charges and/or Cashout unless these charges result from Buyer's negligence in failing to act in a commercially reasonable manner or perform their responsibilities as detailed below.
Buyer's Responsibilities: Buyer hereby appoints Seller as its agent for the purposes of balancing, including the receipt of current and historic Usage, storage, billing and transportation data from Transporter necessary for the proper management of Buyer's account. Buyer agrees to assist Seller in the timely collection of data directly and through Transporter and to notify Seller of any material changes in expected usage patterns. If usage data is unavailable electronically, Buyer shall obtain usage data manually and deliver that information daily via facsimile or electronic mail, or as requested by Seller.
During the Delivery Period, Buyer shall purchase its full requirements for the facilities from Seller only.
For any non-triggered quantities, the natural gas price each month will be the commodity price as established above plus a market area price adjustment. Buyer may request a fixed price prior to 12:00 Noon CST on the day of NYMEX settlement for the month of delivery.
Seller shall assess a Gas Management Fee to Buyer equal to Seller's actual balancing costs.
