SUMMARY OF CHANGES

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

PROPOSAL SUBMISSION INSTRUCTIO

1. Introduction. The offeror’s proposal shall be submitted in hard copy, with accompanying digital copies, as set forth below. The RFP shall provide the Government address and receipt date for proposal submittal.

The offeror’s proposal shall consist of five (4) volumes. The Volumes are I – Solicitation, Offer and Award Documents and Certifications/Representations, II – Cost/Price, III – Past Performance, and IV –Technical. Files shall not contain classified data. The use of hyperlinks in proposals is prohibited.

Offerors are cautioned that “parroting” of the Technical requirements or the PWS with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.

2. PROPOSAL SUBMISSION REQUIREMENTS

a. Each volume shall be submitted in a separate three-ring binder. Any pages that are changed (as a result of negotiations or proposal revisions) should be of a different color and have changed information clearly marked by a vertical line in the right margin of the page. The revised pages shall be dated. Each binder shall be clearly labeled with its Title and a copy number (e.g., copy 1 of 5).

b. Printing should be single spaced. Each paragraph shall be separated by at least one blank line. A standard, 12-point minimum font size applies. Arial or New Times Roman fonts are required. Tables and illustrations may use a reduced font size no less than 8-point and may be landscape.

c. The following volumes of material shall be submitted:

PRINTED DIGITAL MAXIMUM

VOLUME TITLE COPIES COPIES PAGES

I – Solicitation, Offer and Award Original + 3 1 N/A Documents and Certification/ Representations II – Cost/Price Original 1 N/A III – Past Performance Original 1 3 pages per reference (Excluding the Questionnaire)

*Manpower charts and the small business subcontracting plan are excluded from the page count.

3. PROPOSAL FILES

a. Format. The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and RFP number in the header and/or footer. A Table of Contents should be created using the Table of Content feature in MS Word. MS Word (doc) files shall use the following page setup parameters:

Margins – Top, Bottom, Left, Right – 1” Gutter – 0” From Edge – Header, Footer 0.5” Page Size, Width – 8.5” Page Size, Height – 11”

NOTE: 11X17 folded pages are acceptable for tables/graphic representations; however, each 11X17 page counts as two pages.

The following additional restrictions apply:

b. File Packaging. All of the proposal files shall be compressed (zipped) into one file entitled proposal zip using WinZip version 6.2 or later, or as separate uploads in their native format, i.e. doc, xls, ppt, etc., and provided on CDs or DVDs. Zip disks are not permitted. Files shall be in read-only format, using PDF files. All price breakdown information to aide in the cost/price evaluation shall be submitted in Microsoft Office Excel Read/Write format and viewable in Microsoft Excel 2007. Each disc shall be externally labeled with the volume number, date, and the offeror’s name. **Please note – Self extracting exe files are not acceptable. ** If the hard-copy proposal differs from the electronic version, the hard copy will govern.

c. Content Requirement. All information shall be confined to the appropriate file. The offeror shall confine submissions to essential matters, sufficient to define the proposal in a concise manner, to permit a complete and accurate evaluation of each proposal. Each file of the proposal shall consist of a Table of Contents, Summary Section, and the Narrative discussion.

The Summary Section shall contain a brief abstract of the file. Proprietary information shall be clearly marked. The following shall be included in the Narrative discussion:

(i) VOLUME I – Technical. The volume shall be organized into the following sections:

(1) Section 1 – Sub-factor 1. The offeror’s proposed MANAGEMENT APPROACH. The Sub-factor 1 portion of the proposal shall address the following as a minimum:

(1) Key Point 1: The contractor’s management approach clearly specifies how the contractor will receive work requirements from the government; transmit these requirements to its own or sub- Contractor personnel, and acquire materials to allow accomplishment of work within specified time frames.

(2) Key Point 2: The contractor’s approach clearly defines how the contractor will communicate with government personnel.

(3) Key Point 3: The contractor’s approach addresses how the contractor will resolve disputes. The approach demonstrates a commitment to timely resolution and proper managerial processing of disputes with the objective toward satisfying the Government’s concerns.

(4) Key Point 4: The contractor provided proof that it has an approved cost accounting system.

(5) Key Point 5: The contractor provided evidence that its management personnel have experience in working within a classified environment.

(6) Key Point 6: The contractor provided evidence that it is able to manage multiple sub-contractors simultaneously.

(2) Section 2 – Sub-factor 2. This sub-factor evaluates the offeror’s STAFFING

APPROACH. The contractor will provide information that substantiates:

Key Point 1: The contractor provided documentation that it has personnel fully qualified and possessing all required licenses and clearances to complete the work specified in the PWS.

Key Point 2: The contractor has demonstrated that it has sufficient personnel identified, or has the ability to acquire personnel, to be able to accomplish multiple projects at the same time.

(3) Section 3 – Sub-factor 3. This sub-factor evaluates the offeror’s QUALITY CONTROL PLAN. The offer will provide information to substantiate the following:

The QCP clearly demonstrates that the contractor will be able to detect and correct unacceptable work performance within the timeframe specified by the Government.

(ii) VOLUME II – Cost/Price. The offeror shall complete Section B (Services and Costs) of the solicitation. Section B shall be submitted fully completed and error free. It shall contain the offeror’s prices for the established Contract Line Items Numbers (CLINS). The offeror shall submit prices for each SubCLIN. The SubCLIN prices shall total to the respective CLIN prices on that attachment, which shall be transferred to Schedule B of the Request for Proposals, and shall be submitted with Volume IV. All other proposal Volumes shall be void of cost/pricing data.

(1) The offerors shall provide all data required to make assessments of realism, and reasonableness. The cost/price proposal shall consist of the offeror’s estimated costs and associated profit (fee), when applicable, to successfully complete the proposed work identified in the PWS. The Government reserves the right to require the submission of Other Than Certified Cost or Pricing Data as is deemed necessary to arrive at a determination of fair and reasonable price.

(2) The offerors shall ensure that no pricing information is displayed in the Technical Proposal;

however, this restriction does not preclude offerors from describing staffing levels relevant to its proposal.

(3) All final monetary extensions shall be in whole dollars only. In addition to the hard copy, electronic copies of the cost/price proposal are required. Electronic copies shall be submitted to the Contracting Officer and Contract Specialist (catherine.p.richardson.civ@mail.mil and dyan.e.jackson.civ@mail.mil, using Microsoft Excel. Cost/Price proposal disks shall not be in “read only” format. No worksheets shall be hidden.

(4) The cost/price proposal shall contain two sections, cost rationale and cost substantiation.

a) The cost rationale section shall contain all narrative explanations used in deriving calculated costs/prices, including any overtime costs. These narratives shall clearly explain methodologies, calculations, and assumptions used in developing each cost/price element. At a minimum, the offeror shall address the notes identified below (following SUMMARY ROLL-

UP).

b) The cost substantiation section shall be submitted using the two formats described below (cost summary roll-up and direct labor table) for the base and all option periods. In addition, a detailed cost/price proposal for each major subcontractor shall be submitted. Offerors are required to provide the same format and level of detail for subcontractor as for the prime.

Offerors are also required to evaluate subcontractor’s proposals and provide a detailed explanation of how the subcontractor’s proposal was determined to be fair and reasonable pursuant to FAR 15.404-3. Offerors shall include any costs proposed for overtime.

The Service Contract Act (SCA) and the Davis Bacon (DB) Wage determinations have been attached. The Davis Bacon Wage Determination will only apply to construction related services.

The SCA applies to all other services. In the form of a chart, offerors shall list each labor category using labor classification in one column with the wage determination code and title in the others. The offeror shall indicate whether the labor classification is classified as Exempt (E), SCA, or DB; indicate the hours and the proposed hourly rate. The offeror shall list the fringe benefits and payroll burden cost for each labor classification.

For each of the cost CLINs, the offeror shall submit an escalated cost summary roll-up and a direct labor table as shown below in Microsoft Excel format.

Notes:

(1) The offeror shall provide cost elements by WBS associated with the appropriate PWS paragraph. Provide cost data to the fourth level of the WBS/PWS, except for general information and work classified and management, for which data provided to the third level is adequate. If multiple WBS/PWS paragraphs are being performed by one cross-utilized employee and the employee is listed under only one of the paragraphs, ensure that paragraphs for which cost is not included is cross referenced to the paragraph containing the cost/price. For example, if an employee performs duties under WBS/PWS paragraphs 4.0, 4.5, and 5.5, and you only listed a cost/price under paragraph 4.0, insert “see paragraph 4.0” in the pricing section for paragraphs 4.5 and

5.5. Cross-references should be utilized to preclude unnecessary duplication of data between sections.

(2) The offeror shall identify each position as exempt or non-exempt. If the position is non-exempt, the offeror shall clearly identify the specific level and title of the labor category.

(3) In the cost/price rationale section of the cost proposal, the offeror shall explain how productive hours were developed. For example, paid hours of 2087 minus 80 hours sick leave, 20 hours training, etc.

(4) In the cost/price rationale section of the cost/price proposal, the offeror shall explain how fringe benefits were developed. For example, if costs for non-exempt positions are based on rates identified in the applicable wage determination simply state this with the applicable rate. For exempt positions explain the method of cost buildup, including any specific rates and bases used. Provide rationale used in developing any applicable rates.

(5) In the cost rationale section of the cost/price proposal, the offeror shall provide the following rates used:

_______% Rate FICA

_______% Rate FUTA

_______% Rate SUTA

_______% Workers Compensation

_______% Personal Liability Insurance

Failure to follow the above cost proposal preparation instructions may cause your proposal to be deemed unacceptable by the Government.

The Government reserves the right to require the submission of Other Than Certified Cost or Pricing Data as is deemed necessary to arrive at a determination of fair and reasonable price.

(12) For proposal preparation purposes, the expected or approximate date for initiation of contract performance is 1 July 2019.

(iii) VOLUME III – Past Performance. The Past Performance evaluation will be accomplished by reviewing aspects of an Offeror's recent and relevant Past Performance, focusing on and targeting performance which is relevant to the effort as it directly relates to the services being procured under this solicitation and as defined in Section M (Basis for Award).

Past Performance information described herein is required on the offeror and all subcontractors, teaming partners, and/or joint venture partners proposed to perform 50% or more of the proposed effort based on the total proposed price. The offeror shall submit, along with the information required in this paragraph, a consent letter, executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance.

1. The offeror shall include documentation regarding their relevant past performance as it directly relates to the work being procured under this solicitation. The offeror SHALL NOT go back any farther than three (3) years for the submitted data. The past performance data shall document a successful history of past contract performance.

2. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance Volume and information obtained from other sources, such as the Past Performance Information Retrieval System (PPIRS) or similar systems, Defense Contract Management Agency (DCMA) and commercial sources. Offerors are reminded that both independent data and data provided by offerors in their proposals may be used by the Government to evaluate offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the offerors. Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the Government. All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

3. Offerors shall construct and present their proposal/responses in the format listed below. Offerors shall address each element by providing sufficient data/information to enable to Government to assign an acceptable rating to each element.

FACTOR II – PAST PERFORMANCE – The past performance evaluation is an assessment of the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance information that pertain to the products and/or services outlined in the solicitation requirements.

Past performance will be initially evaluated to determine whether the offeror’s present/past performance is recent, and relevant or not relevant to the effort to be acquired. The solicitation shall establish the criteria for recency and relevancy in relation to the requirement being procured. In establishing what is relevant for the acquisition, consideration should be given to what aspects of an offeror’s contract performance history would give the most confidence that the offeror will satisfy the requirements of the contract.

4. Submission Requirements. The offeror shall submit a Past Performance Volume containing the following:

Table of Contents

Summary Page describing the role of the offeror and each subcontractor, teaming partner, and /or joint venture partner that the offeror is required to provide Past Performance Specific Relevant Contract Reference Sheets for the past performance experience in accordance with Attachment 1.

Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the offeror can respond to such information. A sample consent letter is attached as Attachment 1).

Client Authorization Letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the offeror’s performance.

Organization Structure Change History— Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

Specific Relevant Contracts Format - Sheets in accordance with Attachment 2 and are limited to 3 pages per reference. The offeror shall provide documentation outlining the offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this Solicitation. The submittal shall include rationale supporting your assertion of relevance and how it was determined that the work performed previously was the same or similar in nature, size, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate.

Past Performance Questionnaire - See Attachment 3, Past Performance Questionnaire.

For the contracts identified on each Specific Relevant Contract Reference, the offeror shall forward a copy of the Past Performance Questionnaire to the points of contact responsible for monitoring performance under such contracts. The points of contact shall return the questionnaires directly to dyan.e.jackson.civ@mail.mil and catherine.p.richardson.civ@mail.mil not later than 13 May 2019. Any questionnaires not returned directly to the Contract Specialist/Contracting Officer will not be reviewed and evaluated. The information contained in the questionnaires will be used to evaluate the offeror’s past performance. New entities that have no past customers shall annotate on the Summary Page that they have had no previous clients and that the minimum number of questionnaires cannot be provided.

(v) VOLUME V – SOLICITATIONS, OFFER AND AWARD DOCUMENTS

AND CERTIFICATIONS/REPRESENTATIONS

Certifications and Representations – Each offeror shall complete (fill-in and signatures) the solicitation sections indicated below using the file (without modification to the file) provided with the RFP. An authorized official of the firm shall sign SF 1449 and all certifications requiring original signature. An Acrobat PDF file shall be created to capture the signatures for submission.

Section A – Standard Form 1449 (SF 1449), Solicitation, Offer and Award Section G – Contract Administration Data Section K – Representations, Certification and Other Statements of Offerors

Solicitations, Offer and Award Documents and Certifications/Representations shall not be addressed separately from that submitted in VOLUME V – SOLICITATIONS, OFFER AND

AWARD DOCUMENTS AND CERTIFICATIONS /REPRESENTATIONS

E. DISCUSSIONS.

The Government intends to award this requirement without discussions; however, the Government reserves the right to conduct discussions if the Contracting Officer later determines it is necessary. The cut-off date and time for submitting questions is 29 April 2019 at 1:00 PM (EST). A response to all questions received will be posted to the Federal Business Opportunities Website (FedBizOpps), as an amendment to the solicitation.
