About this file
This is a draft request for proposal for Army Military Payroll services. The solicitation is for a hybrid cost-plus-fixed-fee, firm-fixed-price, and cost reimbursement contract over a seven-year period. Key requirements include developing solutions using PeopleSoft HCM and Global Payroll, implementing a payroll technical environment and critical interfaces, and implementing payroll business rules related to laws, policies and regulations. Offerors must propose their own estimates and pricing for labor requirements, licenses, travel, and other direct costs. Proposals are due by January 2024 and award is anticipated by March 2024. The evaluation will be conducted in two phases, first evaluating corporate experience, then evaluating cost, small business participation, and oral demonstrations for final down selects.

DEVIATION FROM RATES
INVOICING FOR RATES THAT DEVIATE FROM PROPOSED RATES:
1. Contract Performance Assessment Reporting System- CPARS
a. If in any performance period, the Contractor is projecting a cost overrun in excess of 10% of the proposed estimated cost for that period, which is determined to not be a result of Government direction and not attributable to Forward Pricing Rate Agreement (FPRA) changes, the projected cost overrun may trigger a Show Cause or Termination for Default subject to the Contracting Officers discretion. Note: Contractors proposing at current FPRA rates and invoicing at current Provisional Billing rates will not trigger a Show Cause or termination for Default.
b. If in performance of the contract, the Contractor incurs a cost overrun of greater than 5% and less than 10% during that CPARS evaluation period, which is determined not to be a result of Government direction or Contractor Provisional Billing rates, the Contractor shall receive a Marginal rating for that periods CPARS cost element.
c. If in performance of the contract, the Contractor incurs a cost overrun greater than 10% during that CPARS evaluation period, which is determined not to be a result of Government direction or Contractor Provisional Billing rates, the Contractor shall receive an Unsatisfactory rating for that periods CPARS cost element.
d. In regards to cost overruns and estimated costs mentioned in paragraphs a through c, the Government will be comparing actual cost of work performed to estimated cost at the end of each contract period. Contractors are cautioned that costs should be directly proportional to hours expended, and if in excess, may be considered a cost overrun by the Government.
2. The contractors proposed direct and indirect rates by both the Prime and Subcontractor(s) will be compared and verified through the monthly reporting required through the Monthly Performance and Cost Report. The Offeror and its Subcontractor(s) shall provide a direct mapping of proposed direct labor categories and actual charged direct rate monthly. Monthly charged direct labor rates shall be no more than 5% higher than the proposed/negotiated and approved rates at the time of award.
LEVEL OF EFFORT – CPFF
(a) The Contractor shall perform all work and provide all required reports within the level of effort specified below.
TO BE INSERTED
The Contractor shall provide direct labor hours as proposed and awarded in Section B for the transition, base period and direct labor hours cited in Section B for any option period exercised. The above hours are a best estimate of the level of effort to fulfill these requirements. The Government is only obligated to pay for direct labor hours ordered and corresponding fixed fee for labor hours completed.
(b) Direct labor includes personnel which are for programmatic support, and not support personnel such as company management or data entry/word processing/accounting personnel even though such support personnel are normally treated as direct labor by the Contractor. The level of effort specified in paragraph (a) of this section includes Contractor, subcontractor, and consultant non-support labor hours.
(c) If the Contractor provides less than 90 percent of the level of effort specified for the transition period(s), base period or any optional period exercised, an equitable downward adjustment of the fixed fee, if any, for that period will be made. The downward adjustment will reduce the fixed fee by the percentage by which the total expended level of effort is less than 100% of that specified in paragraph (a). (For instance, if a hypothetical base-period LOE of 100,000 hours is being reduced to 70,000, the fixed fee shall also be reduced by the same 30%. Using a corresponding hypothetical base-period fixed fee pool of $300,000, the reduced fixed-fee amount is calculated as:
$300,000 × (70,000 hours/100,000 hours) = $210,000.)
(d) The Government may require the Contractor to provide additional effort up to 110 percent of the level of effort for any period until the estimated cost for that period has been reached. However, this additional effort shall not result in any increase in the fixed fee, if any.
(e) These terms and conditions do not supersede the requirements of either the “Limitation of Cost” or “Limitation of Funds” clause.
INCREMENTALLY FUNDED CONTRACT
This contract will be funded in increments. The amount presently available for payment purposes and allotted to this contract is $XXXXXX to cover performance hereof through XX XXXXX XXXX. From time-to-time, additional funds will be allotted to the contract in accordance with contract clauses in Section I entitled, “Limitation of Funds.”
TBD “INSERT TABLE”

The contractor is advised on what CLINs/ACRNs to cite on the invoice for funding. This provides better visibility of how funds will be expanded in support of contract performance.

INSTRUCTION TO OFFERORS
L.1 GENERAL INSTRUCTIONS
L.1.1 If you choose to submit a proposal, it shall be submitted via email to the Government Points of Contact (POC):
Procurement Contracting Officer, Kristin Height, kristin.m.height.civ@army.mil and Contract Specialist, Robin Delossantos, robin.m.delossantos.civ@army.mil
Proposal submission shall be no later than (NLT) 10:00 AM Eastern Time on XX January 2024. The size per e-mail shall not exceed 24MB. If necessary, Offerors may submit multiple emails. If a complete proposal is not submitted by this closing time, the Offeror’s proposal will not be considered for award. It is the responsibility of the Offeror to contact the Government POCs identified above to confirm their proposal has been received. Confirmation of receipt does not equate to confirmation of contents of the proposal.
L.1.2 All questions shall be submitted via email to the POCs identified above NLT 10:00 AM Eastern Time on XX March 2024. It is preferred that only one set of questions be submitted by each Offeror instead of submitting multiple sets of questions. Questions received after the date and time may not be answered prior to the closing date/time for receipt of submission. If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall notify the Government POCs identified above during the question period in writing with supporting rationale; the notification shall also include the remedies the Offeror is asking the Government to consider as related to the omission or error.
The Government intends to conduct a streamlined phased acquisition approach. Proposal Volumes I through V are required to be submitted by the above listed proposal submission due date and time..
All inquiries shall be conducted in writing and directly to the Government POCs identified above. Offerors shall not contact any Government personnel other than the Government POCs identified above concerning this competition.
Contacting any Government personnel other than the individual identified above may result in an organizational conflict of interest (OCI) and may result in an Offeror being excluded from competition and award.
Offerors shall not submit any assumptions, terms, conditions, caveats, or exceptions with their proposals. All concerns shall be addressed and resolved by submitting questions by the date specified in paragraph 2 above. No assumptions, terms, conditions, caveats or exceptions submitted with proposals in response to RFPs will be accepted or incorporated into the resulting award.
Offerors may encrypt and/or password protect proprietary information as they see fit. Proprietary information shall be clearly marked. However, if the Government is unable to access the documents, the proposal will not be considered for award. The proposal submittal shall consist of separate files as set forth and named in the table below. Microsoft Office 2016 software or higher, and Adobe software if applicable, shall be used to create the required files. Proposals shall not contain any classified data or information.
Each volume shall be properly identified, numbered, clearly indexed, and logically assembled. Each volume shall also contain clearly identified sections and all pages shall be numbered and identified by the complete company name, date, and solicitation number in the header and/or footer.
Subcontractor cost proposals shall be submitted electronically directly to the above Government POCs email prior to the proposal due date and time if the subcontractor deems its proposal contains proprietary data. If the subcontractor does not deem that its proposal contains proprietary information, then the subcontractor shall submit its cost proposal to the prime contractor for inclusion in its proposal. The size per e-mail shall not exceed 24MB, and its proposal shall include all necessary supporting documents and narrative.
The entire proposal shall remain valid for a minimum of 180 days from receipt by the Government and shall not contain classified data or information. Proposals offering a shorter period of time will not be considered for award.
In order to reduce proposal size, proposals shall be limited to the number of pages as outlined below for each volume. All proposal information shall be confined to the appropriate file. The page limit (identified in the table below) is viewed as total pages within a file, excluding a table of contents, cover page, and glossary page. The Government will not evaluate any pages that exceed the page limitation(s) identified below. Unless noted otherwise in the Section L.2 below, pages containing text shall be typewritten using the standard letter size (8.5 x
11) in Microsoft Word. Text shall be a minimum of 12- point Times New Roman or Arial font and no less than one-inch margins/borders. Any headers/footers, call out boxes, captions, table or graphic shall use a minimum of 10-point Times New Roman or Arial font. Drawings or other graphics shall be reduced only to the extent legibility is not lost.
The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but, rather, shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the Offeror's proposal.
All information the Offeror intends to have considered, including the Offeror’s best cost, shall be submitted with the initial proposal. The Government proposal evaluation will be limited to the information provided by the Offeror, and nothing will be assumed. Offerors are responsible for including sufficient details to permit a complete, thorough, and accurate evaluation of the submitted proposal.

VOLUME II: FACTOR 2 – SMALL BUSINESS PARTICIPATION (5 PAGES)
All Offerors (both other than small businesses (OTSB) and small businesses) shall submit a Small Business Participation Commitment Document (SBPCD) as outlined in Attachment 000X – SBPCD and provide substantiating documentation to demonstrate how the Offeror will meet the objective for the Government to use Small Business Concerns to the maximum extent practicable. The Offeror shall follow the instructions set forth below and in the SBPCD. The information that the Offeror provides will be used to evaluate the Offeror’s proposed participation /commitment to use U.S. small businesses in the performance of this acquisition (as a small business prime, joint venture, teaming arrangement, and/or small business subcontractors) relative to Section M, Volume III – Small Business Participation. The SBPCD will be incorporated into the base contract vehicle as binding commitments and are considered enforceable contractual requirements.
NOTE: The SBPCD outlines the "specifics" or the "how" or the "details" of the Offeror’s firm intentions to maximize the utilization of small businesses within this acquisition. The Offeror shall articulate small business contributions to contract performance at the Prime contract through first tier subcontract levels. Second and lower tier small business subcontractors will not be considered towards the total small business participation percentage.
Small Business Participation annotated in the Offeror’s SBPCD is a separate requirement from the FAR 19.704 Subcontracting Plan Requirements, which will only be reviewed for acceptability for the Offeror deemed to be apparent awardee.
The Offeror shall provide the Prime Offeror’s Size as outlined in the SBPCD.
Pursuant to FAR Part 19, the Government’s objective is that Small Business Concerns (SBC) are used to the maximum extent practicable in the Offeror’s proposed approach to satisfy the requirements of this solicitation for the entire performance period. The Offeror shall identify SBCs that are to be used in their proposed approach to satisfy the requirements. As outlined in the SBPCD, the Offeror shall:
Identify the type, variety, and complexity of work to be performed by small business firms in accordance with PWS Section X.
Describe and demonstrate a substantive commitment to small business firms.
The Offeror shall provide the participation percentage of small businesses in terms of the Total Contract Ceiling Value, as outlined in the SBPCD.
For this requirement the Governments market research shows that a minimum of 25% of the work can be performed by small business concerns; therefore, the minimum quantitative requirement has been established at 25%.
The Offeror shall provide explanation and documentation to support small business participation percentages.
Binding commitments shall become enforceable, contractual requirements.
Large business contractors may achieve the small business participation requirements through subcontracting to small business. Small business contractors may achieve small business participation requirements through their own performance/ participation as a prime and also through a joint venture, teaming arrangement, and subcontracting to other small businesses.
NOTE: All supporting documentation is excluded from the page count. Supporting documents will not be incorporated into any resulting contract.
Only Other Than Small Businesses (OTSB) shall provide a separate Small Business Subcontracting Plan that contains all of the elements required by FAR 52.219-9. The Small Business Subcontracting Plan shall be submitted separately from the information required above and in the SBPCD that both OTSB and small businesses are required to submit. The plan, at a minimum, shall address the elements set forth in FAR Clause 52.219-9(d)(1) through (15).
Subcontracting Plans shall reflect and be consistent with the commitments offered in the SBPCD. OTSB Firms shall submit acceptable subcontracting plans to be eligible for award. Subcontracting plans will only be reviewed for acceptability for the Offeror deemed to be apparent awardee. The Small Business Subcontracting Plan will be incorporated into the resultant contract and is excluded from the small business page count limit.
The work to be performed directly by a small business Prime Offeror shall be evaluated as Small Business Participation.
