Offeror proposals shall conform to the reporting criteria in FAR 15.408, Table 15-2. FAR 15.408, Table 15-2 prescribe the FAR’s generally accepted format for cost proposals. More specifically, each offeror's cost proposal shall be broken out by cost element as specified in Table 15-2, II Cost Elements. To help ensure this requirement, a Microsoft Excel workbook titled "LOE Spreadsheet" has been provided as an attachment to this solicitation.

Instructions for completing LOE_Spreadsheet.xls are contained in that file. FAR 15.403-5(b) allows the Contracting Officer to specify the format of other than cost or pricing data or data other than cost or pricing data to facilitate and enhance cost/price and cost realism analysis.

These spreadsheets will help facilitate a more efficient, consistent, and fair evaluation of each offeror's proposal, and aid in post-award contract administration. Offerors are permitted to alter the format of the spreadsheet (i.e. add and subtract rows, columns, and formulas as necessary, etc) in order to conform to the nuances of the offeror's accounting and estimating systems.

However, it is requested that the general format be maintained as much as possible for Government evaluation purposes.

Offerors are required to fill in rates for all labor categories included in the LOE Spreadsheet, regardless of whether or not projected LOE hours are associated with the labor category.

However, only those labor categories with projected LOE hours will be used in calculating each offeror’s total evaluated cost/price. Offerors must not deviate from the stated LOE hours provided in the LOE_Spreadsheet.xls, or their proposal will not be considered for award.

Offerors shall provide a CPFF price for the Transition-In which will include the labor mix required to accomplish the Transition-In mission and shall reflect the Transition-In Plan described under Technical Factor 4, Transition Plan.

Each offeror (and subcontractor) is to provide two electronic copies of their cost/price proposal.

The Excel version of the completed LOE_Spreadsheet.xls shall also be included with the rest of the proposal submission. One shall be locked (read only) and one shall be open. Worksheet formulas shall be readable.

Offerors shall consider the Section H clause which states, “Offerors shall be required to manage to the contract ceiling stated in their proposal. Offerors will be evaluated on their ability to manage to the target cost for each year of the contract. Any overrun above the target cost will result in a negative CPARS rating under cost control.”

Each Offeror shall identify all proposed subcontractors and the contract type the Offeror has with each subcontractor in its xxxxCOSTNARRxxxx.docx (or PDF). IAW FAR 15.404-3(b), the prime contractor or subcontractor shall: (1) Conduct appropriate cost or price analyses to establish the reasonableness of proposed subcontract costs/prices; and (2) Include the results of these analyses in the cost/price proposal. If the Offeror or subcontractor relied upon its approved purchasing system to establish its subcontracts, it shall state so and provide documentation of its approved purchasing system (including date of approval) within its xxxxCOSTNARRxxxx.docx (or PDF) (see FAR 15.404-3).

Reference FAR 15.404-3: If the Offeror is unable to obtain the required documentation from its subcontractors in order to conduct the appropriate cost or price analysis as required, the subcontractor shall provide the information directly to the Government following the submission instructions of this RFP. However, the Offeror and its subcontractor in this scenario shall provide the rationale detailing exactly why the Offeror is unable to conduct the price or cost analysis required by FAR 15.404-3 in its xxxxCOSTNARRxxxx.docx (or PDF). For example, if a price/cost analysis is required for a subcontractor, that analysis requires a breakout of the individual cost elements to a prime, and a subcontractor is unable to provide its proprietary data to the Offeror, the Offeror may then do a total price analysis per FAR 15.404-1(b) and the subcontractor shall submit its proprietary cost breakout directly to the Government.

Direct Labor - In support of the proposed Direct Labor Rates, the Offeror and its subcontractor(s) shall provide documentation of the most recent Direct Labor Rates, to include at least one of the following (A, B,C, or D):

A. Forward Pricing Rate Agreements (FPRAs) or Forward Pricing Rate Recommendations (FPRRs) from Defense Contract Audit Agency (DCAA) or Defense Contract Management Agency (DCMA) or DCAA/DCMA-approved Compensation Rate Tables mapped to the proposed Labor Categories B. Letter(s) of Intent (LOIs), which include, at a minimum, the following:

Position;

Direct hourly rate;

Submitted on offeror’s or subcontractor’s letterhead;

Signed by the employer and prospective employee; and

A statement that the LOI is in response to the referenced solicitation number

C. Payroll records and/or paystubs showing Rate of Pay, and referenced to the Labor Category in the Proposal.

D. Salary Survey data, which shall include, at a minimum, the following:

Source of data;

Job title and description;

Geographic location; and Range of salary amounts with reference to applicability of amounts

Note: Offerors/subcontractors are cautioned not to use labor rates on the lower end of the salary survey bell curve. Use of such rates may be considered to be unrealistic. Again it is incumbent upon the offeror to prove and document that the proposed direct labor rates are both reasonable and realistic.

For purposes of this solicitation, each offeror’s proposed direct labor rates will be analyzed. If more than 16% of the individual direct labor rates* are determined to be unrealistic, the offeror’s entire cost proposal may be determined to be unrealistic and un-awardable. In accordance with FAR 15.404-1, the Government may use various statistical analysis techniques to determine realism. Among them, the agency may perform, but is not limited to, a standard deviation analysis or median absolute deviation analysis under which direct labor rates will be determined unrealistic if they fall more than one standard deviation or one median absolute deviation below the competitive mean or median, respectively. The results of this analysis may be used in making cost realism adjustments under FAR 15.404-1. It is incumbent upon all offerors, Subcontractors, and teaming partners to propose realistic direct and indirect rates in response to this solicitation.

Indirect Rates - In support of the proposed Indirect Expense Rates, the Offeror and its subcontractor(s) shall provide documentation of the most recent Indirect Expense Rates, to include at least one of the following (a, b, c, or d):

a. Forward Pricing Rate Agreements (FPRAs) with DCAA or DCMA

b. Forward Pricing Rate Recommendations (FPRRs) from DCAA or DCMA

c. Forward Pricing Rate Proposal (FPRP), Approved Provisional Rates Proposal or other statement of current rates. If FPRP, Approved Provisional Rates Proposal, or other statement of current rates is submitted as supporting documentation, the offeror shall also include three (3) years of Incurred Cost Submissions to DCAA detailing pools and bases (by expense accounts) information that validates the calculations or three (3) years historical actual detailing pools and bases (by expense accounts) information that validates the calculations.

d. If an entity cannot include a-c above because it restructured or is a new entity, that company shall provide proof to include the date it restructured or the date the new entity was formed and include the pools and bases as well as all historical data detailing pools and bases information (by expense account) which validates the calculation from the date of the restructuring.

Total Compensation Plan - In support of the Evaluation of Compensation for Professional Employees, IAW FAR 52.222-46, the Offeror and its subcontractor(s) shall provide documentation and submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract that assures that it reflects a sound management approach and understanding of the contract requirements.

Supporting information shall include data such as, but not limited to, recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure.

NOTE: The rates reflected in the FPRA, FPRR, FPRP, Approved Provisional Rates Proposal or other statement of current rates shall directly match the rates proposed by the offeror or subcontractor. If the rates do not match, the offeror or subcontractor shall provide sufficient detail explaining how the proposed rates are realistic.

NOTE: For all documents that are provided to support the proposed rates, such documents shall be explained within the xxxxCOSTNARRxxxx.docx (or PDF). The explanation shall include a mapping of the supporting documentation to the proposed rate(s) and how the proposed rate(s) was developed.

Other Direct Costs - Offeror shall include the exact Government-provided estimates for Travel/ODC costs in its cost proposal, plus applicable G&A/burden.

Accounting System Adequacy - Since the contemplated contract will contain cost reimbursable CLINs in accordance with FAR 16.301-3(a)(3) and DFARS 252.242-7006, each offeror, and any subcontractors, proposing on a cost reimbursable basis must have an accounting system that is adequate for determining costs to be incurred on the contract. The Contracting Officer will make the determination as to the adequacy of the offeror’s accounting system for the purposes of this solicitation. Merely stating that the accounting system is adequate is insufficient. If current signed DCMA or DCMA audit reports/memoranda addressing the adequacy of the offeror's'/subcontractor's accounting systems are available, copies of the reports/memoranda shall be referenced and attached to the offeror's/subcontractor's cost/price proposal. If current DCAA/DCMA audit reports/memoranda do NOT exist, each offeror/subcontractor indicate the name and the version of the accounting software used, shall submit a completed and signed copy of SF 1408, and shall provide proof and supporting documentation addressing EACH of the criteria in DFARS 252.242- 7006(c). This requirement also applies to subcontractors, if the subcontractor proposes on a cost reimbursable basis for effort under a cost CLIN. If a subcontractor proposing effort on a cost reimbursable CLIN does not have an adequate accounting system, the contractor should consider awarding the subcontract on a fixed price or time and materials basis. Copies of SF 1408 can be obtained at https://www.gsa.gov/forms-library/pre-award-survey-prospective-contractor-accounting- system.

NOTE: The Government may use external sources of information in performing its cost analysis to include, but not limited to, Bureau of Labor Statistics, Department of Labor, Department of State, DCAA, or DCMA. This DOES NOT excuse the Offeror from following the proposal submission instructions. Offeror and subcontractor proposals will be evaluated based on the cost/price reasonableness and realism criteria contained in FAR 15.404-1. The manner and degree of the criteria used will be determined by the contracting officer based on competition and other factors. A proposal is presumed to represent the offeror's best effort to respond to the solicitation. Any significant inconsistency, if unexplained, raises a fundamental issue of the offeror's understanding of the nature and scope of the work required and may be grounds for rejection of the proposal.

EST.

Q2: Section L.3, Volume 2, Past Performance, (4) Past Performance Questionnaire: Can the offerors submit CPARs in lieu of Past Performance Questionnaires as many Government POCs are not likely to complete the questionnaires if there are CPARs already issued for the reference contracts?

A2: No, the Past Performance Questionnaire is a requirement of the solicitation. No change is being made to the solicitation.

Q3: The PWS Section 5.5 listed Associate Logistician – Equipment Specialist and Associate Logistician – Property Book Specialist; but Attachment 1, Cost Model listed only one (1) Associate Logistician (ATEC) with 1880 hours which is one (1) FTE. Please clarify.

A3: Cost Model - Amendment 0001 - Logistics Support Services was updated to clarify the Associate Logistician – Equipment Specialist and Associate Logistician – Property Book Specialist positions.

Q4: Page 82 of the pdf of W91CRB-20-R-0027_Logistics_Support_Services_Solicitation document, section 2 (PROPOSAL SUBMISSION REQUIREMENTS) states, "Offerors shall submit a written proposal before or by the date and time specified in Block 9 of the Standard Form (SF) 33." Boxes 9 and 10 of the SF33 on page one of the W91CRB-20-R- 0027_Logistics_Support_Services_Solicitation document are not completed. Q5: Will the Government please extend the due date for responses to at least 29 June 2020 to allow for corrections so offerors can more properly respond to the solicitation request?

A5: No due date extension is being granted at this time.

Q6: In consideration of FAR clause 15.305 (a) (2) (iii) for past performance; and per Government Accountability Office (GAO) decisions such as B-282456, B-275725, and B-401560, which provide guidance that in determining whether one company's performance should be attributed to another, an agency must consider the nature and extent of the relationship between the two companies--in particular, whether the workforce, management, facilities, or other resources of one may affect contract performance by the other, it is appropriate to consider a company's performance record where it will be involved in the contract effort or where it shares management with the offeror. Sister companies are subsidiaries that are related because they are owned by the same parent company.

Based on the Government's allowance that an Offeror may rely on the past performance of the Offeror’s parent, sister, subsidiary or an affiliate company as long as that entity will perform at least 10% or more of the work (RFP, p. 100, Factor 2, paragraph 3), and with the understanding that a sister company shares a parent company's workforce, management, facilities, and other resources, will the Government please consider allowing the experience of a sister company performing as a major subcontractor to count towards the Prime's Factor 3 experience requirement?

A6: Per the terms of the RFP, Offerors are permitted to rely on the past performance of one of its sister companies provided the sister company is identified as a significant subcontractor that will perform at least 10% of the work.

Q7: Will the Government please consider changing the minimum experience requirements from greater than 3 years to greater than 6 months?

A7: The requirement for Volume 3, Experience, remains unchanged as “a minimum of 3 years of experience (performed within the past 9 years)”.

A8: There are 6 Volumes that must be submitted as part of the proposal as stated in Solicitation Sections L.1. and L.2.

Q9: The document released as Solicitation Attachment 2 is labeled as the Past Performance Evaluation Questionnaire. Will the Government please issue the document outlining the Resume Format instructions as required on page 84, section Volume i, Sub-factor 1a, part b?

A9: Solicitation Attachment 2 and 3 have been corrected.

Q10: RFP p. 86 states "References for past performance shall be provided on Solicitation Attachment 3 (Contract References Form)." An Attachment 3 Contract Reference Form was not in the solicitation package. A10: The requirement to use a Contract Reference Form has been removed and Section L has been updated.

Q11: RFP p. 86 Volume 2, Factor 2, paragraph 3 states that the offeror shall submit written consent of major subcontractors to allow disclosure of past performance information, as well as letters of commitment from major subs for past performance to be considered. It also states that "letters of consent and/or commitment will not count against the stated page limits."

1. Will the Government please clarify whether the Offeror is to submit two separate documents or one document?

2. Will the Government please clarify what they require in the commitment letter from the major subcontractor?
