QUESTIONS & ANSWERS

Q1) I would like to understand better the requirements listed on FAR 52.212-1 in Paragraph B, point 1, letter g, concerning the certifications required for employees and workers.

a)Are these certifications necessary in order to apply to the solicitation or is it possible to attach a letter of commitment stating that the company will obtain them if and when it will be awarded?

R1a) Certifications are required to be submitted with the quote, in accordance with Addendum to 52.212-1, paragraph B1g).

b) If a company believes it can perform the services with less than six employees certified for operating elevating mobile work platforms and six workers certified for category III (third) PPE, does the quoter still need to hold that number of certificates?

R1b) See Addendum to 52.212-1, paragraph B1g) hereby amended. The requirement has been amended from six to three employees required to be certified for operating elevating mobile work platforms and six to three workers certified for category III (third) PPE"

Q2) I would like to ask for clarifications about the filling of Volume II, Factor 1, Sub-factor 1 COMPANY

EXPERIENCE, in case of a joint venture. Do the companies that want to sign as a joint venture, need to give one to three examples of past contracts performed as a joint venture? Will a contract performed by the two companies as contractor and subcontractor be considered valid as an example of a contract to prove the companies' experience?

Otherwise, is it possible for the quoters to give examples of past contracts performed by the two companies on their own? If so, do the companies involved in the joint venture need to provide one to three examples of previous contracts relevant in scope and magnitude, each? If one of the companies can submit one to three contracts relevant in scope and magnitude, and the other is not able to give examples of any contract with the value of €800,000, will the quote be considered non-compliant? If not, is it possible for a company comprised in a joint venture to submit one to three examples that are relevant in scope, if the sum of the values of the contracts submitted is equivalent to or exceeds the value of €800,000?

R2) The requirement has been updated. See amended Addendum to 52.212-1, paragraph 2A, Volume II, Factor 1, Sub-factor 1 COMPANY EXPERIENCE, and paragraph 3 VOLUME III – FACTOR II – PAST PERFORMANCE for the updated requirement.

Q3) How should companies who want to submit as a joint venture correctly sign the solicitation, amendments, and other attachments?

R3) The headcompany (capogruppo) or the Joint Venture as an entity shall be responsible for signing the solicitation documentation.

Q4) Can you confirm that the only sheet where a quoter should list the prices is the Excel file Technical Exhibit C –

Prices?

R4) Yes, in accordance with Addendum to 52.212-1, paragraph 4 Volume IV, Factor III, Price.

Q5) Is it correct for a quoter to leave blank pages three to sixteen on Section SF 1449 - CONTINUATION SHEET from the document entitled B08_SOL_W912PF24Q0047_Custodial_FINAL?

R5) Yes, prices shall be inserted on Technical Exhibit C “Prices”, in accordance with Addendum to 52.212-1, paragraph 4 Volume IV, Factor III, Price .

Q6) Was the previous solicitation for the services currently being performed, similar or correspondent to the present one?

R6) Previous solicitation for current contract for custodial services was similar to this one. However, solicitation

W912PF24Q0047 has been implemented with new requirements.

Q7) Is it possible to know the number of employees, amount of working hours and square meters currently involved with the services, in order to better evaluate the scope of this contract?

R7) Technical Exhibit #3 “Incumbent’s personnel” is included as an attachment to Amendment 3 with the required information. The footage of buildings and bathrooms, broken down by building category, is included in Technical

Exhibit 1, Frequencies.

Q8) Will it be possible to receive further information exclusively on how to fill the solicitation documents after June

3rd?

R8) In accordance with Amendment 02, Addendum to 52.212-1, paragraph 5i) Additional Information - Questions-

3 June 2024 is the deadline for submitting questions. Quotes may be submitted until 1100 A.M. (CET) on 21 June

2024, as indicated on page 1, block 8 of the solicitation.

Q9) If a company is currently under the circumstance of a “liquidazione giudiziale amministrativa”, and is currently performing similar services to the ones listed in this solicitation for other USA army facilities, is the company to be considered able to apply to this solicitation?

R9) The Government will not accept quotes from companies under “liquidazione giudiziale amministrativa” or that have open insolvency proceedings.

Q10) Are there any other shortcomings that could cause a quote to be defined as unacceptable only based on the filling of administrative documents?

R10) To be determined acceptable, a quote shall comply with the requirements set forth in the solicitation, in accordance with Addendum to 52.212-1 and 52.212-2.

See also Addendum to 52.212-2, paragraphs A f), g) and h).

Q11) If a company is suitable for the services, but due to the language barrier has failed to fill correctly a document on this solicitation, will it be possible to remedy it?

R11) Reference Addendum to 52.212-2, paragraph h and j:

“Quoters may be asked to clarify some issues regarding the non-price factors to enhance U.S. Government understanding of them. Such clarifications shall NOT be used to cure quote deficiencies or material omissions, enter into discussions, and/or otherwise revise the quote”.

“Failure to comply with the solicitation requirements may result in a quoter’s quote being rejected. All quote information is subject to verification by the Government.”

Q12) With reference to paragraph 1.10 (Key Personnel) of the PWS, the appellation "On-Site Manager" to the

Project Manager may cause confusion. Please confirm that the Project Manager is not required to be on-site but only to attend all the meetings scheduled with the Government and to provide a prompt response to the COR by e-mail or by phone within 24 hours from the COR notification of issues

R12) See amended paragraph 1.10 of the PWS.

Q13) Paragraph B. SUBFACTOR 2 - KEY PERSONNEL (page 85 of the RFQ), mandates that both PM and QCM be able to speak, read and write English, at least at fluency level 4, in accordance with Appendix 2. We cannot find the above-mentioned appendix. In any case, to which Common European Framework of Reference for Languages does level IV refer

R13) See Amendment 2. Attachment 4 “Language Fluency Clarification” has been included. Attachment 4 does not refer to any European Standard; quoters shall comply with the language clarification as defined in the related

Attachment 4.

Q14) We would like to ask you to confirm that, to demonstrate experience pertaining custodial/janitorial services, it is required to provide evidence of n.2/3 contracts/projects for a total value of $800,000 per year, as stated in art. 4.10 of PART 4 CONTRACTOR FURNISHED ITEMS AND SERVICES at page 60 of

B08_SOL_W912PF24Q0047_Custodial_FINAL

R14) See amended Addendum to 52.212-1, paragraph 2A, Volume II, Factor 1, Sub-factor 1 COMPANY

EXPERIENCE, and paragraph 3 VOLUME III – FACTOR II – PAST PERFORMANCE for revised requirement.

Q15) Ref. Solicitation FINAL, Pag.54, part 3 and File B08 - Technical Exhibit The following parts are reserved: 3.4

Equipment: Reserved 3.5 Special Tooling and Test Equipment: Reserved 3.6 Materials: Reserved

Part 3.6 requires for a fair and reasonable evaluation among quoters that the Government indicates a minimum quantity of expendables material based on historical data. Or, indicate if the minimum is what indicated in the B08 file at tab supplies (as we read EXTRA SUPPLIES). As the solicitation spells this is an IDIQ contract (52.216-22

INDEFINITE QUANTITY) please clarify how minimum required supplies or extra supplies if needed will be paid

R15) The quantities indicated in the spreadsheet “Supplies” of Technical Exhibit C “Prices” refer to the total estimated monthly quantities of the consumable restroom supplies.

The actual quantities needed for supplies will be ordered and paid at the task order level using the prices proposed for “Supplies” within the spreadsheet.

Q16) Ref. Solicitation FINAL, Pag.56, part 1.8.2 point c The solicitation spells: Transition to New Contract. To ensure a smooth transition in the change of work effort from the existing contract, there will be a phase-out/phase-in period. The purpose of the phaseout/phase-in period is to allow the awardee:

a. To observe work accomplishment by current employees.

b. To become thoroughly familiar with work requirements and work procedures.

c. To complete personnel requirements (work force) including the hiring of personnel to assure satisfactory performance beginning on the contract start date. The contractor is prohibited from soliciting personnel for employment during their duty hours, unless interview arrangements are made through the personnel offices at this installation.

d. To obtain security clearances, if required.

e. To complete training requirements and accomplish necessary training of contractor employees.

f. To complete the development of necessary work plans/procedures.

g. To complete the development of quality control plans and procedures.

h. Develop a Preliminary Contract Frequency Schedule. Point C is not in accordance with Italian Law that regulates the “Clausola Civile”or Bargain Agreement for the acquisition by law of incumbent’s workforces. The sector of cleaning and integrated services companies (so-called multi-services) is a sector characterised, in most cases, by the production of services through procurement contracts. In this case the collective bargaining agreement has regulated a series of steps to be followed in the event of a change of contract which we describe below. the

DISCONTINUING COMPANY must give prior notice, where possible within the previous 15 days, to the competent company and local trade union structures, also providing information on the numerical strength of the employees involved, on the respective weekly hours, indicating those employed in the contract in question for at least 4 months; the SUBMITTING COMPANY, with the utmost promptness, prior to the start of the new management and, where objectively this is not possible, in good time and in any case at the request of the local trade union organizations signatory to the C.C.N.L. will notify the latter of the takeover of the contract. THE

INCUMBENT COMPANY will have to deliver to the incoming company a series of information and documents relating to each worker potentially targeted for hiring, for example: name and tax code, possible residence permit and its expiry, level of employment, weekly working hours, date of hiring in the sector, date of hiring in the outgoing company; individual situation regarding illness and injury at work; the list of personnel compulsorily hired pursuant to law no. 68/1999.

Please provide the above information

R16) See R7 above.

Q17) is participation as a consortium (Consorzio) in the procedure W912PF permitted?

R17) See amended Addendum to 52.212-1: “The term“Quoter” means an individual firm or a Joint Venture

(Consorzio Stabile). ATI (Associazione Temporanea di Imprese – Temporary Business Arrangements) are not allowed.

Q18) we ask to confirm that a stable consortium is allowed to participate in the tender with an indication of the consortium member performing the service.

R18) See R17 above

Q19) Is there an incumbent awardee? If so, may you provide me with the incumbent information/award amount?

R19) Incumbent contractor is “La Mondial” and the total awarded amount (1 base plus 4 option years) was

€3,913,887.80. While the solicitation’s requirement is similar to the incumbents, there are multiple revisions that may impact a quoter’s proposed price.

Q20) Please specify what is meant by "Joint Venture" in reference to Italian law

R20) Joint Venture means a Pool of Firms (Consorzio Stabile) but not ATI (Associazione Temporanea di Imprese).

See amended Addendum to 52.212-1.

Q21) We ask to know the number of dispensers installed to be replenished daily and the number of areas designated for warehouse stock, as required in point 5.2.3.1

R21) The Government is not able to provide a total number of the dispensers installed; however, at least one (1) paper towel dispenser and at least one (1) toilet paper dispenser are installed in each restroom.

The Government will not provide any warehouses; storage areas may be provided within each facility. See paragraph 5.2.3.1 of the PWS amended.

Q22) we request confirm that subcontracting is permitted and in what percentage?

If so, will the subcontractor have to complete Annex 3?

R22) See Addendum to 52.212-1: Subcontracting is NOT allowed.

l. The Technical Evaluation Board (T.E.B.), comprised of experts appointed by the Contracting Officer, will evaluate the factors listed below, with the concurrence of the Contracting Officer.

m. The following factors shall be used to evaluate quotes:

Factor I – Technical

Sub-Factor 1: Company Experience

Sub-Factor 2: Key Personnel

Factor II – Past Performance

Factor III – Price (SOLICITATION/CONTRACT/STANDARD FORM 1449)

EVALUATION APPROACH: Non-price factors are evaluated on an Acceptable/Unacceptable basis, assigning ratings of “acceptable” or “unacceptable” as defined below.

mailto:Francesca.candia.ln@army.mil

Acceptable Quote meets the requirement of the solicitation

Unacceptable Quote does not meet the requirement of the solicitation

B. Factor I – Technical

1. Sub-Factor 1 - Company Experience

The Government will evaluate this Sub-factor on an Acceptable/Unacceptable basis. In order to be determined acceptable in this evaluation Sub-factor, the Government will evaluate the quote to ensure Quoter provided at least one (1), but NO MORE than three (3) examples of contracts performed by the company that are recent (within the last three (3) years form the solicitation release date) and relevant in scope and magnitude. If submitting more than one contract, the contracts cannot be combined and each contract shall be recent and relevant on its own. Relevant in scope means a contract for custodial services, within Italy, similar to the performance-based requirements specified in Part 5 of the attached PWS. Relevant in magnitude means a contract that includes a yearly value of no less than €500,000. For each example provided, the Quoter shall have identified:

3) Contract number (if available);

4) Contract name and brief description of the requirement;

3) Period of performance (start date and completion date);

4) Contract value for each year of performance;

5) Contract Organization; and

6) Point of Contact for Contract Organization with email and phone number.

In case of a Joint Venture (Consorzio Stabile) recent and relevant experience should be submitted for projects completed by the Joint Venture (Consorzio Stabile) entity. If the Joint Venture (Consorzio Stabile) does not have such experience, recent and relevant experience shall be submitted for at least one partner. The experience factor for

Joint Venture (Consorzio Stabile) is still limited to a total of three (3) relevant experience projects. Recent experience means at least one project currently being performed or completed within three (3) years of the solicitation release date. Relevant in scope means a contract for custodial services, within Italy, similar to the performance-based requirements specified in Part 5 of the attached PWS. Relevant in magnitude means a recent contract that includes a yearly value of no less than €500,000. If submitting more than one contract, the contracts cannot be combined and each contract shall be recent and relevant on its own.

2. Sub-Factor 2: Key Personnel

The Government will evaluate this Sub-factor on an Acceptable/Unacceptable basis. In order to be determined acceptable in this evaluation factor, the Government will evaluate the quote to ensure the following minimum requirements are met:

i. The Quoter submitted a resume (in English) for the Project Manager/On-Site Manager. The resume shows evidence that the Project Manager/On-Site Manager has at least three (3) years of experience in facilities management and that he/she is able to speak, read and write in English, at least to fluency level 4 in accordance with

Appendix 2.

ii. The Quoter submitted a resume (in English) for the Quality Control Manager. The resume shows evidence that the

Quality Control Manager has at least three (3) years of experience in facilities management and that he/she is able to speak, read and write in English, at least to fluency level 4 in accordance with Appendix 2.

iii. The Quoter submitted a Letter of Commitment stating that the Project Manager/On-Site Manager will be available if the quoter is awarded the contract. Letters of Commitment are signed by both the quoter and the Project

Manager/On-Site Manager and were provided on the quoter's official letterhead. Letter of Commitment is valid for not less than one year from the date of contract award.

iv. The Quoter submitted a Letter of Commitment stating that the Quality Control Manager will be available if the quoter is awarded the contract. Letters of Commitment are signed by both the quoter and Quality Control Manager and were provided on the quoter's official letterhead. Letter of Commitment is valid for not less than one year from the date of contract award.

C. Factor II – Past Performance

Evaluation: Past performance will be evaluated to determine if the quoter has performed favorably for previous contracts of a similar scope as the services required in this solicitation. The Government will evaluate a quoter’s past performance to determine if past performance evaluations and all other past performance information reviewed by the Government (see below) reflect a trend of satisfactory performance. The quoter’s past performance record must be determined to be acceptable in order to be considered for award. Quoter(s) must demonstrate successful past performance of the quoter as evidenced by information gathered concerning at least one (1) but NO MORE than three (3) contracts and subcontracts that are recent (within the last three (3) years form the solicitation release date) and relevant in scope and magnitude. Quoter(s) must submit the information as per Attachment 2 (Past Performance Questionnaire) for each of the contracts provided. If there are subcontractors or partnerships, they will be evaluated in the same manner as the Prime.

Past performance will be rated on an acceptable/unacceptable basis using the following ratings:

Rating Description

Acceptable Based on the quoter’s performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort, or the quoter’s performance record is unknown (see note below).

Unacceptable Based on the quoter’s performance record, the Government does not have a reasonable expectation that the quoter will be able to successfully perform the required effort.

Note: In the case of a quoter without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the quote may not be evaluated favorably or unfavorably on past performance. Therefore, the quoter shall be determined to have unknown past performance. In the context of acceptability/unacceptability, an unknown rating shall be considered acceptable.

d. If the quoter is a Joint Venture (Consorzio Stabile), past performance should be submitted for at least one (1) but no more than three (3) projects completed by the Joint Venture entity, within three (3) years from the solicitation release date and that are for custodial services, within Italy, similar to the performance-based requirements specified in Part 5 of the attached PWS. Relevant in magnitude means a contract that includes a yearly value of no less than €500,000. If submitting more than one contract, the contracts cannot be combined and each contract shall be recent and relevant on its own. If the Joint Venture (Consorzio Stabile) does not have such past performance, relevant and recent past performance shall be submitted for at least one partner.

e. In case of a Joint Venture (Consorzio Stabile), all proposed partners will be assessed individually and the results will then be assessed in their totality to derive the quoter’s past/present performance.

f. The Government is not limited to Past Performance information submitted by Quoters in conducting Past

Performance evaluations. The Government may consider past performance information from other sources such as: the offeror's former customers, business associates, federal, state, and local government agencies; the Past

Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information

System (FAPIIS), or other databases; interviews with Program Managers and Contracting Officers.

g. Letters of commitment shall have been included for each firm comprising the Joint Venture (Consorzio Stabile) for their past performance to be considered.

h. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the quoter.

D. Factor III - Price (SOLICITATION/CONTRACT/STANDARD FORM 1449)

a. The Government will evaluate quotes using price analysis described in FAR 13.106-3 to ensure the price is fair and reasonable. Priced quotes should support the proposed Factors and Sub-factors and will be evaluated for total price, completeness, and reasonableness. The Quoter whose price is determined to be incomplete or unreasonable will not be considered for award.

b. The price quote will be evaluated but not rated. The individual CLINs will be totaled to determine the quoter’s total proposed price. The quote will be reviewed to determine the reasonableness of price and the quoter’s understanding of the work and ability to perform the PWS requirement.

Completeness: Pricing will be reviewed to determine if all price information requested by the solicitation has been submitted.

Reasonableness: The total evaluated price will be evaluated for reasonableness, defined as the degree to which the proposed prices compare to the prices a reasonably prudent person would expect to incur for the same or similar service.

c. The Government will evaluate Technical Exhibit C – Prices to ensure valid pricing was submitted for each field.

d. A price reasonableness approach will be utilized by the Government to determine that the proposed prices offered are fair and reasonable and that a “buy-in” or unbalanced pricing between CLINs or ordering periods is not occurring.

e. The base period and all ordering years shall be included in the price calculation. Should the Government determine proposed prices are unrealistically low (an indication of “buy-in”), this will be considered a performance risk and may be deemed ineligible for contract award.

f. As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding six (6) months of the quoter's final ordering period price to the quoter's total price. To evaluate price for the ordering period(s) possible under FAR 52.217-8, the Government will calculate this price by dividing the proposed total of the last Ordering Period by two. The total evaluated price will be calculated as a sum of the

Quoter’s proposed prices for all CLINs, for the five ordering periods, and a six-month extension of services.

g. An assessment of the reasonableness of each proposed price will be made. The Contracting Officer will perform a price analysis of each quote. Quoters are required to price all the three ordering periods. Quoters shall not submit a price for the potential six (6) month extension of services period. The Government may choose to exercise the extension of services at the end of the ordering period on the base contract or at the end of a Task Order.
