Government Response: Please review page 5 of 129 of the solicitation. CONTRACT

MINIMUM/MAXIMUM QUANTITY AND CONTRACT VALUE.

2) Industry Question: 22 July 2020 – Can the financial statement information be “In House” prepared, or does it have to be “Year End Audited”

3) Industry Question: 22 July 2020 – Given the fact that the requirement to use previously submitted PPQ’s has just been changed to require new PPQ’s, can the bid date be extended by 2 weeks?

Government Response: The Contracting Officer will make that determination closer to solicitation closing.

4) Industry Question: 22 July 2020 – Are the forms located at Section 00010 – Solicitation Contract Form (the IDIQ forms) supposed to be included in Volume III?

Government Response: Yes - Please see page 71 of Amendment 0004

6) Industry Question: 23 July 2020 – There still seems to be conflicting information between several paragraphs of the requirements and previous Government answers regarding what forms are to be included for pricing. There are 3 forms included in the requirements/specifications: 1. Section 00010-Solicitation Contract Form (IDIQ form), 2.

Section 00010 Binding Prices Bidding Schedule, and 3. Sample Project Bidding Schedule.

PLEASE REVIEW THE GOVERNMENT RESPONSE IN AMENDMENT 0004 IN

ADDITION:

GOVERNMENT RESPONSE TO QUESTION 27 - Both PPQs and CPARs are required, at the offerors discretion. The difference between a PPQ and a CPAR is that PPQs can be completed by other than Government Personnel and a CPARs rating is completed by Government Personnel.

This proposal volume shall NOT include any pricing information. All pricing information shall be included in Volume 3 – Price.

(ii) VOLUME II – FACTOR II – PAST PERFORMANCE

Offerors shall submit up to five (5) government and/or commercial contracts completed during the past ten (10) years from issue of the RFP for the prime offeror and up to three

1) Industry Question: 13 and 14 July 2020 - Griffin Dewatering - For this project, will there be any additional documents released on the relief wells?

GOVERNMENT RESPONSE: No, not at this time.

2) Industry Question: 13 July 2020 – Online Biz Development - Regarding the above referenced MATOC solicitation and Sample Task Order – Will the Government be opening the ProjNet portal for questions between the stated dates of July 16 to July 30, or are questions to be submitted directly to the points of contact listed (and copied on this email)?

GOVERNMENT RESPONSE: Questions are to be submitted directly to Anthony Maiore at Anthony.p.maiore@usace.army.mil; and Ms. Sally A. Duncan at Sally.A.duncan@usace.army.mil

3) Industry Question: 13 July 2020 – Online Biz Development - I would also like to ask whether the Government intends to conduct a site visit for the sample task prior to August 7 or award the Sample Task after the completion of source selection.

GOVERNMENT RESPONSE: The Sample task order is for a project is currently awarded and has active construction. We will not be offering a site visit. The idea of the sample task order is to allow the Government to be able to distinguish if offerors are qualified or not to conduct work generally associated with MRL construction work.

4) Industry Question: 13 July 2020 – B&K Construction Company - Will a plan set be issued for the sample project?

GOVERNMENT RESPONSE: The Sample Project Plans have been posted to beta.sam.gov, with Amendment 0003 on 14 JUL 2020.

5) Industry Question: - We did not see a ProjNet Key in the solicitation document for submitting questions. Is the intent for them to be submitted to you via e-mail?

GOVERNMENT: Send INDUSTRY QUESTIONS to Send Anthony Maiore, via e-mail at:

Anthony.p.maiore@usace.army.mil, and, Ms. Sally A. Duncan, Sally.a.duncan@usace.army.mil

GOVERNMENT RESPONSE: No Bid Bond is required for the submission of this proposal or for the sample project. Bonding information is germane to Task Orders, which may be awarded by other Contracting Officers within the MVN Contracting Division. The contact information will be provided when the requirement for the Task Order is sent out. (19 Jul 2020)

7) Industry Question: 14 July 2020 – APC Construction - In Section L (Instructions, Conditions, and Notice to Bidders), the Government states that 'proposals shall be submitted in a format that can be read and edited by MS Word 2000, MS Excel 2000, MS Project 2000, and MS Power Point 2000'. However, under 'Proposal Submission Requirements - Proposal Files - b.

File Packaging', the Government states that files shall be in read-only format using PDF files and all price breakdown information to aide in the cost/price evaluation shall be submitted in MS Office Excel Read/Write format and viewable in MS Excel 2007. This contradicts the original statement in Section L. To be clear, will the Government accept the entire proposal response in PDF form along with all pricing data to also be submitted in MS Excel? This would be much easier than attempting to package everything into a MS Word document.

GOVERNMENT RESPONSE: Files shall be in read-only format, using PDF files.

Net values in Section 00100 are referencing the quantities in the bid schedule as related to the sample task order.

9) Industry Question: 14 July 2020 – APC Construction - As it relates to Volume I, Subfactor III-Technical Approach (Sample Project), is the contractor allowed to provide a CPM schedule in this section to further describe his work sequence?

Offerors are allowed to submit a Critical Path Method (CPM) to further describe work sequence.

10) Industry Question: 14 July 2020 – APC Construction - Is the offeror’s guarantee (bid bond) submitted with our proposal intended to be for the sample project? Please advise.

GOVERNMENT RESPONSE:

PLEASE REFERENCE GOVERNMENT RESPONSE TO INDUSTRY QUESTION (6).

No Bid Bond is required for the submission of proposal or for the sample project.

22) Industry Question: Section L, 2. Proposal Submission Requirements, page 5, Items NOT included in page count – are a list of tables and glossary of abbreviations & acronyms required, or is that up to the discretion of the offeror? These pages are not included in the page count. .

23) Industry Question: Section L, 2. Proposal Submission Requirements, page 6, Proposal Files c. Content Requirement - states each proposal file shall consist of a Table of Contents, Summary Section and Narrative Discussion. The Summary Section shall contain a brief abstract of the file. What exactly does this mean? Each volume has to have a TOC, then a summary of what’s in the volume? Isn’t that duplicate/redundant information?

GOVERNMENT RESPONSE: No the information request is specific to the volume.

27) Industry Question: Section L, 2. Proposal Submission Requirements, Proposal Files (ii) VOLUME II – Factor II Past Performance - This paragraph states that CPARS cannot be used in lieu of PPQs. Please reconsider this, as Government clients, specifically USACE districts, are hesitant and/or unwilling to complete a PPQ if a CPARS has been issued in any % completion (interim, final). Please allow CPARS to be submitted in lieu of PPQs.

GOVERNMENT RESPONSE: Both PPQs and CPARs are required, at the offerors discreation. The difference between a PPQ and a CPAR is that PPQs can be completed by other than Government Personnel and a CPARs rating is completed by Government Personnel.

28) Industry Question: Section L, 2. Proposal Submission Requirements, Proposal Files (ii) VOLUME II – Factor II Past Performance – (1) Section 1 Contract Descriptions and (2) Section 2 – Performance – this is a confusing format. Are offerors supposed to enter contract descriptions for each contract, then enter the narrative explanation if each contract listed in Section 1? Wouldn’t it flow better if it was set us as enter the contract description and performance of each contract before moving to the next contract? This would keep all information for each contract together, instead of the evaluator having to go from one section to the next, and back and forth?

GOVERNMENT RESPONSE: Please follow the instructions as provided.

29) Industry Question: Section L, 2. Proposal Submission Requirements, Proposal Files (ii) VOLUME II – Factor II Past Performance – (1) Section 1 Contract Descriptions (e) – What if the Government contract administration activity’s Pre-Award Monitor’s Name is unknown? This information is not usually provided to contractors

GOVERNMENT RESPONSE: PLEASE DISREGARD PARAGRAPH (e), it has been removed.

30) Industry Question: Section L, 2. Proposal Submission Requirements, Proposal Files (ii) VOLUME II – Factor II Past Performance – (4) Past Performance Questionnaire – PPQs are limited to 10, as chosen by the offeror. Do these PPQs (or hopefully CPARS, as requested in Question 9 above) include the 5 contracts listed, plus an additional up to 5 more contracts?

GOVERNMENT RESPONSE: PPQ’s are limited to 10, as chosen by the offeror.

31) Industry Question: Section L, 2. Proposal Submission Requirements, Proposal Files (v) VOLUME IV – Solicitation, Offer and Award – should the bid bond be included in this volume?

GOVERNMENT RESPONSE:

PLEASE REFERENCE GOVERNMENT RESPONSE TO INDUSTRY QUESTION (6).

No Bid Bond is required for the submission of proposal or for the sample project.

32) Industry Question: Section M, 4. Responsibility Determination – this information would be submitted, if requested by the Contracting Officer after proposal submission, correct? This information does NOT need to be included in the proposal?

GOVERNMENT RESPONSE: PRE AWARD CONTRACTOR RESPONSIBILITY

DETERMINATION WILL BE PERFORMED THE CONTRACTING OFFICER. This information shall be provided in Volume IV.

33) Industry Question: Contractors were not allowed to submit questions for 7 days after the solicitation was released. Some of the content information questions are needed in order to properly prepare proposals. Since there was a week lag just to submit, not to mention how long it will take to get responses back, will the Government extend the proposal due date at least 7 days to accommodate for the lost time for contractor question submissions?

GOVERNMENT RESPONSE: THE CONTRACTING OFFICER WILL MAKE THAT

DETERMINATION CLOSER TO THE CLOSING DATE.

36) Industry Question: Is the information listed in Section M, 4. Responsibility Determination supposed to be submitted in the proposal. If so, which volume is it submitted in?

GOVERNMENT RESPONSE: PRE AWARD CONTRACTOR RESPONSIBILITY

DETERMINATION WILL BE PERFORMED THE CONTRACTING OFFICER. This information shall be provided in Volume IV.

TOTAL $

Offers shall complete the Binding Prices Bidding Schedule. The prices will be binding for the term of the contract, as a maximum price, that may be proposed on any task order under this contract.

These prices may be negotiated downward, with award of individual task orders, but may never exceed the maximum.

In addition to evaluating the price for award of the basic MATOC, the Binding Prices will also be evaluated for fairness and reasonableness.

NOTE 1: Offerors shall furnish unit prices for Item Nos. 0001 thru 0012 and their subline items. If the offeror fails to insert a unit price in the appropriate blank for required item(s), but does furnish an extended total, or an estimated amount for such item(s), the Government shall deem the unit price to be the quotient obtained by dividing the extended amount for that line item by the quantity. IF AN OFFEROR

OMITS BOTH THE UNIT PRICE AND THE EXTENDED TOTAL OR ESTIMATED AMOUNT FOR ANY

ITEM, ITS PROPOSAL SHALL BE DECLARED NON-RESPONSIVE AND THEREFORE INELIGIBLE

FOR AWARD.

NOTE 2: Any proposal may be rejected if the Contracting Officer determines in writing that it is unreasonable as to price. Unreasonableness of price includes not only total price of proposal, but the price for individual line items as well. Any proposal may be rejected if the prices for any line items or subline items are materially unbalanced (See FAR 14.404-2, Rejection of Individual Bids).

NOTE 3: No Bid Bond is required for the submission of proposal or for the sample project.

The successful offeror is advised that performance and payment bonds shall be submitted in accordance with the time frame in block 12B of SF 1442. Each subsequent Task Order under this MATOC will also have a bid bond and performance and payment bond requirement. The NTP will be issued immediately after verification of acceptable performance and payment bonds. Within seven (7) days after issuance of the NTP, the Contractor shall initiate a meeting to discuss the submittal process with the Area or Resident Engineer or his authorized representative. Physical work cannot start until the Accident Prevention Plan, Contractor Quality Control Plan, and other submittals which may be required, have been submitted and approved and all preliminary meetings called for under the contract, have been conducted.

NOTE 4: The MATOC Sample Task Order Pricing Schedule estimated quantities are for MRL seepage projects. It is anticipated that multiple Task Orders will be required for the MRL work and the work for these estimated quantities will not be complete under one contract. Levee enlargement and seepage berm projects are both likely projects for award under this MATOC.

NOTE 5: Year 1 is defined as an ordering period beginning on the date of award for a duration of 365 calendar days. This applies to all contracts awarded to the MATOC pool.

The following provision is Task Order Specific

E VALUATION OF SUBLINE ITEMS (Dec 2019 - AFARS 5152.211-9000).

Item Nos. 0001 thru 0012 are subdivided into two or more estimated quantities and are to be separately priced. The Government will evaluate each of these items on the basis of total price of its subline items.

(End of Clause)

The following provision is Task Order Specific

V ARIATIONS IN ESTIMATED QUANTITIES - SUBLINE ITEMS (Dec 2019) – AFARS 5152.211-9001).

This variation in estimated quantities clause is applicable only to item Nos.0001 thru 00012.

(a) Variation from the estimated quantity in the actual work performed under any second or subsequent subline item or elimination of all work under such a second or subsequent subline item will not be the basis for an adjustment in contract unit price.

(b) Where the actual quantity of work performed for item Nos. 0001 thru 0012 is less than 85% of the quantity of the first subline item listed under such item, the contractor will be paid at the contract unit price for that subline item for the actual quantity of work performed and, in addition, an equitable adjustment shall be made in accordance with the clause at Federal Acquisition Regulation (FAR)

52.211-18, VARIATION IN ESTIMATED QUANTITY.

(c) If the actual quantity of work performed under item Nos. 0001 thru 00012 exceeds 115% or is less than 85% of the total estimated quantity of the subline item under that item and/or if the quantity of the work performed under the second subline item or any subsequent subline item under item Nos.

NONE exceeds 115% or is less than 85% of the estimated quantity of any such subline item, and if such variation causes an increase or a decrease in the time required for performance of this contract the contract completion time will be adjusted in accordance with the clause FAR 52.211-18, VARIATION IN ESTIMATED QUANTITY.
