SUMMARY OF CHANGES

SECTION 00 10 00 - SOLICITATION

The required response date/time has changed from 28-May-2019 02:00 PM to 31-May-2019 02:00 PM.

SECTION 00 21 16 - INSTRUCTIONS TO PROPOSERS

The following have been added by full text:

FINANCIAL PROTECTION OPTIONS

Bonds and other financial protections 40 U.S.C. chapter 31, subchapter III, Bonds (formerly known as the Miller Act) and FAR

28.102 require a 100% performance and payment bonds issued by an acceptable corporate surety for any construction contract exceeding $150,000. This requirement may be waived, however, by the contracting officer for work performed in foreign countries if it is found that it is impracticable for the contractor to furnish such bond.

This contract will be performed in a country outside the United States, and the contracting officer has found that it is impracticable for many otherwise eligible firms to access bonding from approved sureties. As such, and in accordance with FAR Part 28 and applicable contract clauses, the following bonding options and financial protections from other sureties are considered acceptable by the contracting officer:

1. A 100% performance and payment bond, as specified by 52.228-15, Performance and Payment Bonds – Construction.

The contracting officer will only accept performance and payment bonds from corporate sureties that appear on the list contained in the Department of Treasury Circular 570, “Companies Holding Certificates of Authority as Acceptable Sureties on Federal Bonds and Acceptable Reinsuring Companies,” or bonds supported by coinsurance or reinsurance agreements from such listed sureties and conforming to the Department of the Treasury regulations in 31 CFR 223.10 and 223.11, as elaborated in FAR Part 28.

The contracting officer requires any reinsurance agreements to be executed and submitted with the bonds before making a final determination on the bonds.

2. A Letter of Guarantee, as specified in clause 52.000-4062, “BANK LETTER OF GUARANTY,” equal to 10% of the contract award.

This letter may be issued by a Bank, Insurance Company, or other valid financial institution deemed acceptable to the contracting officer. This letter must conform to the requirements in clause 52.000-4062 and substantively follow the model provided in the RFP. The Letter of Guaranty must be accompanied by a notarized Certificate of Authority.

If an offeror intends to provide a Letter of Guarantee upon contract award, it must provide with its proposal a Bank Letter of Assurance conforming to the requirements in clause 52.000-4059 and substantively following the model provided in the RFP.

It should be noted that the Government will draw on Letter of Guaranty when the contractor fails to comply with the terms and conditions of the contract, or does not fulfill his undertaking in whole or in part. As this contract requires the prime contractor to ensure the timely payment of satisfactorily performing subcontractors (see, e.g., FAR 52.232-5(c)), the failure to pay subcontractors can be considered a breach of contract and may result in the Government drawing on this Letter of Guaranty.

3. An Irrevocable Letter of Credit that complies with the requirements of clause 52.228-14 – “Irrevocable Letter of Credit” and is equal to 10% of the contract award.

An ILC must secure both performance and payment under the contract and substantively conform to the model provided in clause 52.228-14. It must be issued or confirmed by a federally insured financial institutions rated investment grade. As per 52.228-14(d), the offeror must provide the contracting officer a credit rating from a recognized commercial rating service that indicates the financial institution has the required rating(s) as of the date of issuance of the ILC.

4. Certified or cashier’s checks, bank drafts, money orders, or currency equal to 10% of the contract award.

The checks, drafts, or money orders shall be in the same currency as the currency specified for the award of the contract. The checks, drafts, or money orders shall be drawn to the order of the U.S. Army Corps of Engineers Europe District Finance and Accounting Officer.

5. United States bonds or notes equal to 10% of the contract award.

The bond or note must be accompanied by a duly executed power of attorney and agreement authorizing the collection or sale of such United States bonds or notes in the event of default of the principal on the bond. The contracting officer may --

(a) Turn securities over to the finance or other authorized agency official; or

(b) Deposit them with the Treasurer of the United States, a Federal Reserve Bank (or branch with requisite facilities), or other depository designated for that purpose by the Secretary of the Treasury, under procedures prescribed by the agency concerned and Treasury Department Circular No. 154.

If an offeror will use any of the options described in paras. 3-5, above, their proposal must indicate that intent at [Vol._, tab _]. Only the above options will be considered acceptable unless an alternative is approved by the contracting officer in advance of the closing date for the receipt of proposals in a formal amendment to the solicitation.

The following have been modified:

PROPOSAL SUBMISSION REQ

A. PROPOSAL SUBMISSION

1. PROPOSAL SUBMISSION REQUIREMENTS

a. General Proposal Submission Requirements

(i) To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The Offeror shall submit in the proposal all requested information specified in this section of the Request for Proposal (RFP) solicitation at or before the exact time and date specified in Block 13 of the Standard Form (SF) 1442. Any and all amendments to the solicitation shall be acknowledged by completion of Block 19 of the SF 1442.

(ii) There will be no public opening of the proposals received as a result of this RFP.

Failure to meet a requirement may result in an offer being ineligible for award. Copies of the RFP are available by INTERNET ACCESS ONLY. All RFP documents will made available for viewing at the Federal Business Opportunities (FBO) website (http://www.fbo.gov). All amendments will be made available for viewing in FBO. It shall be the Offeror’s responsibility to check the website for any amendments.

(iii) Electronic Proposals. Proposals shall be submitted electronically via the Federal

Business Opportunities (FBO) website www.fbo.gov. Any portion of the proposal that is changed (as a result of negotiations or proposal revisions) should be annotated and dated. Each volume shall be clearly labeled with its Title and version number. In an effort to reduce paperwork and costs, ALL RESPONSES TO THIS ANNOUNCEMENT SHALL BE SUBMITTED ELECTRONICALLY. Hand carried delivery or USPS/UPS/Fedex delivery of hard copies and/or CD-ROMs are not authorized.

Facsimile submission is not authorized. Email submission is not authorized.

ELECTRONIC PROPOSAL SUBMISSION IS REQUIRED THROUGH THE

FEDBIZOPPS (FBO.GOV) “ELECTRONIC RESPONSE” FEATURE. The FBO vendor user guide has information & instructions on how to utilize this feature. The FBO vendor user guide is accessible via the following web URL:

https://www.fbo.gov/downloads/FBO_Vendor_Guide.pdf.

(1) File Size Limitations. Offerors are advised to follow the FBO instructions for uploading files larger than 10MB (java upload). FBO has not posted official file size limitations for its electronic response module, however it has been observed that uploads to FBO tend to be problematic when the files are sized 100MB or greater. If needed, Offerors are advised to break the files down into smaller sections in order to upload it to the system. In such cases, please divide the sections as logically as possible and be sure to clearly name the files as specified below.

(2) Upload Completion & Deadline. Interested parties shall submit responses no later than the date specified on solicitation document. Do not assume that electronic submission will occur instantaneously. Large files (e.g. 10MB or more) will take some time to upload. Offerors should time their upload effort with prudence by not waiting until the last few minutes—this will allow for unexpected delays in the transmittal process and troubleshooting. Proposal submission difficulties should be coordinated with the Federal Service Desk at https://fsd.gov and/or +1-866-606-8220 (Mon-Fri 8am-

8pm Eastern Time UTC -5:00). Experience shows that if an upload doesn’t complete until after the deadline, the FBO system WILL NOT COMPLETE. The FBO system will automatically shut off the “Electronic Submission” feature at the specified deadline--once that occurs, the feature will disappear from the announcement. Offerors are encouraged to keep a copy of the upload confirmation for their record. Submissions after the deadline may be emailed to Robert Corkrum, Contract Specialist at robert.e.corkrum@usace.army.mil but be advised they will be considered late and as such will be processed in accordance with FAR 15.208.

(iv) The Government will not make assumptions concerning intent, capabilities, or experiences. Clear identification of proposal details shall be the sole responsibility of the Offeror. The proposal shall meet the following basic requirements:

(1) The proposal shall be submitted in English, typed, and easy to read.

(2) Offerors shall verify that the information for all forms submitted is current, correct, and complete including name(s) of the point(s) of contact (POCs), email address(es), and telephone number(s).

(3) Proposals shall completely and adequately address the requirements of this solicitation. Offerors are reminded that elaborate corporate marketing information, formatting, special reproduction techniques, etc., are not necessary.

(4) Contractors are cautioned against submitting conditional proposals.

(5) Failing to submit attachments or failing to complete the proposal properly may result in rejection of the offer without further evaluation. Therefore, Offerors are urged to follow instructions and speak with the Contracting Officer if instructions are not understood.

(6) Proposal Expenses and Pre-Contract Costs: The request for proposal (RFP) solicitation does not commit the Government to pay any costs incurred in the preparation and submission of a proposal or for any other costs incurred by any firm submitting a proposal in response to this solicitation.

(7) Any information, presented in a proposal that the Offeror wants safeguarded from disclosure to other parties must be identified and labeled in accordance with the requirements of Provision “FAR 52.215-1, Instructions to Offerors - Competitive Acquisition (Jan 2004),” subparagraph (e), which is found in Section L of the RFP. The Government will endeavor to honor the restrictions against release requested by Offerors, to the extent permitted under United States law and regulations.

(v) Team Arrangements: As described in FAR Subpart 9.6, it is the Government’s policy to recognize the integrity and validity of contractor team arrangements. For a teaming arrangement to be recognized for purposes of source selection evaluation and the application of non-price factors, there must be full disclosure of the teaming arrangement and company relationships in the team's proposal. The proposal must include a narrative that explains the major or critical aspects of the work to be performed by each team member (to include identification of team members, a full delineation of roles and responsibilities of team members, and the duration of the agreement, etc.). The proposal must also include an agreement that has been or will be executed prior to award between/among all team members. The proposal and agreement must be consistent; substantive inconsistencies between the proposal and agreement may be construed against the Offeror. The timely submission of the executed teaming agreement prior to award shall be a precondition to a finding of responsibility.

(1) Joint Ventures. An Offeror that is part of a Joint Venture must submit a legally binding joint venture agreement. The Joint Venture Agreement must specify that the Joint Venture members are jointly and severally liable for execution of the contract.

The Government will not evaluate the capability of any Offerors that are not included in the Joint Venture agreement. Joint Ventures must include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the Joint Venture with the chief executive of each entity identified and must be translated into English, if the original agreement is in a language other than English.

The United States has an important interest in assuring transparency of contracting arrangements under this contract. Failure to timely disclose the existence or terms of a joint venture agreement will be considered to be a serious violation of the contract terms. In the event of such failure to disclose, the contracting officer may take such action as is deemed appropriate in the exercise of his/her sole discretion, including but not limited to termination for default, unsatisfactory performance evaluation or assessment of damages.

If submitting a proposal as a Joint Venture, the experience, past performance, and management approach of each of the Joint Venture Partners can be submitted for the Joint Venture Entity. The experience for each Joint Venture Partner will be considered the experience of the Joint Venture entity. Joint ventures shall submit the following additional documentation regarding their business entities:

(a) A copy of their Joint Venture agreement in English.

(b) A detailed statement outlining the following in terms of percentages, where appropriate:

(i) The relationship of the joint venture parties in terms of business ownership, capital contribution, and profit distribution or loss sharing.

(ii) The management approach of the joint venture in terms of who will conduct, direct, supervise and control the project and have custody and control of the assets of the joint venture and perform the duties necessary to complete the work.

(iii) The structure of the joint venture and decision-ranking responsibilities of the joint venture parties in terms of who will control the manner and method of performance of the work.

(iv) The bonding responsibilities of the joint venture parties.

(v) Identification of the key personnel having authority to legally bind the joint venture to subcontracts and state who will provide or contract for the labor and materials for the joint venture.

(vi) Identification of party having overall control of the joint venture.

(c) Other sections of the proposal shall identify, where appropriate, whether key personnel are employees of the individual joint venture parties and identify the party, or hired as employees of the joint venture. If one of the joint venture parties possesses relevant experience and/or past performance, the experience and/or past performance of that firm will be considered as the experience and/or past performance of the joint venture.

(d) The party with authority to bind the Joint Venture shall sign the SF 1442 and the Bid Bond and/or Letter of Assurance from a Bank, Insurance Company, or other financial institution deemed acceptable by the contracting officer. Make sure to include as part of Volume II.

(2) Other Teaming Arrangements. If an Offeror wishes to be credited with the experience, expertise and/or past performance of a committed subcontractor (i.e., a firm that is not the prime contractor part of the Joint Venture) a letter of Commitment signed by the Committed Subcontractor and the prime contractor shall be submitted.

Attachment 5 provides a sample format of the Letter of Commitment. The commitment letter shall be submitted even if the firm is in some way related to the Prime Contractor, a Joint Venture Partner (for example, the Committed Subcontractor is subsidiary of a Joint Venture Partner, a Prime Contractor is a subsidiary of a Parent Company for which they wish to use the experience, or a subsidiary of a firm to which the Joint Venture partner is also a subsidiary). If a letter of commitment is not signed by the prime contractor and the committed subcontractor, and submitted, the experience will not be considered. Make sure to include as part of Volume I. The agreement must reflect that the prime contractor is vested with control and responsibility for the daily management of the work, and that it remains responsible for contract performance, including those items allocated to a subcontractor on the team. Offerors are reminded that the prime contractor remains fully responsible for contract performance, regardless of any team arrangement between the prime contractor and its subcontractors. However, consistent with FAR 9.104-4, the Government may consider the responsibility of subcontractor team members when it may adversely affect the prospective prime contractor’s responsibility or when it is in the Government’s interest to do so. Finally, any resulting subcontract(s) may not deviate from the substantive provisions of the teaming agreement. The failure of the Offeror to perform with one or more subcontractors on a recognized team may be grounds for termination for default. There can be no substitution of subcontractor team members except that, in the case of a prime-sub team arrangement, the Government may (in its sole discretion and without any obligation whatsoever), at the request of the prime, permit the substitution of a subcontractor with equivalent or greater capability for a subcontractor on the identified team. Note: Only a Contracting Officer can approve, in writing, such a change after contract award.

Then, the Government will evaluate the Offeror’s quality of performance to determine a confidence assessment rating. Projects that are considered to be more relevant will have more influence on the past performance confidence assessment rating.

a. Recency. Projects submitted should be completed within six years of the solicitation issue date or currently being performed (at least 50% complete) that are for similar work as that required in this solicitation. Projects submitted that are beyond six years may be considered, but may be considered less relevant.

b. Relevancy. Firm-fixed-priced contracts that demonstrated the relevant characteristics below will be considered more relevant than cost reimbursement and time and materials type contracts. Projects submitted that do not have the qualities considered most relevant will be considered, but the offeror may receive a lower rating for this factor.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation

Most relevant projects are those that have the following qualities (in no particular order):

(i) Projects located within Romania and/or the European Union (EU) with more relevancy placed on projects within Romania.

(ii) Projects with a construction cost of $10,000,000 to $25,000,000

(iii) Projects consisting of experience with airfield paving.

(iv) Projects performed on an active airfield.
