Section A - Solicitation/Contract Form
EXECUTIVE SUMMARY
A.1. Objective: The objective of this acquisition is to acquire specialized medical facilities (O&M) services to support the U.S. Army Medical Command (MEDCOM), the Air Force Medical Support Agency (AFMSA), the U.S.
Navy Bureau of Medicine and Surgery (BUMED) and the Defense Health Agency (DHA) at locations throughout the Contiguous United States (CONUS), Alaska, Hawaii, U.S. Territories; and outside of the contiguous United States (Korea, Japan, Thailand, Germany, England, Portugal, Turkey and Italy); to include locations that have DoD Medical Facilities under the Operation and Maintenance Engineering Enhancement (OMEE) Program. The OMEE Program provides facilities maintenance and specialized O&M services for DoD’s medical facility infrastructure.
The predominance of the work is Service Contract Labor Standards type efforts (formerly known as the Service Contract Act), and Wage Rate Requirements (Construction) type efforts (formerly known as the Davis Bacon Act) are also utilized, as defined in FAR 22.403-1.
A.2. Contract Type: The U.S. Army Engineering and Support Center, Huntsville (CEHNC) intends to award Multiple Indefinite Delivery/Indefinite Quantity (ID/IQ) type contracts to both other than small businesses and small businesses. The Government intends to award a contract or contracts resulting from this solicitation to all qualifying offerors as stated in Class Deviation 2018-O0006. This requirement will be competed on an unrestricted basis and will result in Multiple Award Task Order Contracts (MATOCs) to unrestricted businesses (other than small businesses or small), and FAR 19 (small business) set-aside contract awards, under the North American Industry Classification System (NAICS) Code 561210. The Government reserves the right to make staggered awards. Later awarded contracts will have an initial period of performance that will be less than the full base period in duration and will end on the same date as all other contractors which receive a basic MATOC award. Option periods will be the same for all awardees.
Task Orders will be awarded against the basic ID/IQ contracts, using the fair opportunity procedures discussed in FAR 16.505. The contracting officer reserves the right to set-aside orders for small business awardees under FAR 19.502-4(c). Each order exceeding $3,000 will be awarded on a competitive basis unless an exception described in the FAR or DFARS applies. Task orders will be Firm-Fixed Price (FFP). Other services or construction type work that was not included in the firm fixed price of the task order but is critical to the operation of the facility and support to the medical staff and patients may be initiated through a Notice to Proceed from the Ordering Officer or the Contracting Officer , and the contractor will be reimbursed for reasonable costs of labor, materials, parts, and supplies after conclusion of successful negotiations under the corrective/unscheduled firm fixed price (FFP) line item. Labor costs for corrective/unscheduled maintenance actions over $500.00 will not be charged to the Government in addition to the FFP material costs if the work is accomplished by the contractor’s personnel during the normal 40 hour work week. This solicitation is for a 24 month base period and 3-12month options periods against which task orders will be issued for services as described in Section C.
A.3. Selection of Multiple Award Task Order Contract (MATOC) Pool: The Government will issue a single unrestricted solicitation with a portion to be set-aside for small businesses. The total programmatic capacity for the MATOC is $990 Million. Individual capacities will not be assigned to each contract.
A.4 Task Order Selection/Competition. This solicitation will result in multiple ID/IQ contracts, with several contracts reserved for small businesses. In accordance with FAR 19.502-4(c), the Contracting Officer reserves the right to set-aside task orders for small business. MATOC task orders will be either competed unrestricted and open to all contract holders (other than small businesses or small business) or specifically set-aside (under FAR 19) for the small business awardees. The Contracting Officer will utilize a decision matrix to determine what requirements will be set-aside for small business.

Specialized O&M Services are defined in PWS, section C-2.
All task orders for overseas projects/services.
Competition is unrestricted (open to all MATOC contractors).
Small business MATOC contractors are not required to propose on OCONUS task orders, and none of the OCONUS requirements will be set-aside for small business competition.
Fair opportunity will be provided in accordance with FAR 16.505(b). If an exception applies, the rationale for this decision will be documented in accordance with FAR 16.505(b)(2)(i). The contracting officer reserves the right to set-aside orders for small business awardees under FAR 19.502-4(c).
A.5. Ordering: CEHNC intends to award a multiple award Indefinite Delivery Contract (IDC) suite with a proposed aggregate capacity of $990M, which will be shared amongst all awardees. The Period of Performance (PoP) will be a five (5) year ordering period consisting of twenty-four (24) months for the base ordering period, and three twelve (12) month optional ordering periods. FAR 52.217-9, “Option to Extend the Term of the Contract” will be included in the contract to pursue the established option ordering period and FAR 52.217-8, “Option to Extend Services” not to exceed six (6) months of services, will be included in the contract and pursued as needed.
New Task Orders will be placed in accordance with Section H.3, Method of Ordering. The Government is under no obligation to issue any orders against this contract in excess of the minimum guarantee amount of $3,000.00. The only authorized ordering office is the U.S. Army Engineering and Support Center, Huntsville. Other agencies may be delegated this authority, in which case an advance written notice will be given to the Contractor.
A.6. Wage Determinations. Approximately ninety percent (90%) of the individual task orders to be issued under this contract are for services as defined by FAR 37.101 and are subject to the Service Contract Act (See FAR 52.222-41). In the event that individual service task orders contain more than incidental, segregable construction effort, the Construction Wage Rate Requirement (formerly known as the Davis-Bacon Act) (See FAR 52.222-6) will apply to the construction portion in accordance with FAR 22.402. Approximately ten percent (10%) of the individual task orders to be issued under this contract are for construction as defined by FAR 36 and are subject to the Construction Wage Rate Requirement (See FAR 52.222-6). Individual task orders will be identified as either “service” (subject to Service Contract Act) or “construction” (subject to Davis-Bacon provisions) or “both” as applicable. Wage Decisions/Determinations for the geographic area where the awarded work is to be performed will be in the individual task order. A copy of the decision/determination is available at www.wdol.gov. The labor rates in effect at the time a task order is awarded will remain in effect through completion of the project, unless modified due to an increase in the Department of Labor wage rates.
A.7 Minimum Guarantee. The minimum guaranteed order for each awardee shall be $3,000 for the life of the contract.
A.8 On-Ramp/Off-Ramp. The Government will evaluate the market to determine if it is in the Government’s interest to award contracts to additional qualified firms. During a contract on-ramp the Government will advertise, accept and evaluate new proposals with the intention of adding contracts. These proposals will be subject to substantially the same proposal instructions and evaluation procedures as contained in the original solicitation. Any new contracts considered for award will be treated as a staggered award(s). During a contract “off-ramp”, the Contracting Officer may elect to remove firms from the multiple award contract pool that have poor performance or have failed to submit acceptable proposals for any of the projects for which they were qualified. Previously awarded Task Orders will be unaffected by on/off ramp actions taken to refresh the multiple award ID/IQ contract pool.

(1) The Federal Acquisition Regulation defines how orders for services are placed against multiple award contracts. Exceptions to the fair opportunity process of FAR 16.505(b)(1) are outlined in FAR 16.505(b)(2) and are listed below. Orders exceeding $3,000 will be awarded in accordance with FAR 16,505, which requires the Contracting Officer to contact all awardees under the multiple award contracts that are capable of performing the work and provide them an opportunity to submit a proposal that must be fairly considered for award, unless an exception applies.
c. Ordering
Firm Fixed Price (FFP) Task Orders. Prior to issuance of any task order over $3K, the Government will transmit a Request for Proposal (RFP), to the appropriate awardees based on the procedures in A.4, unless one of the exceptions of FAR 16.505(b)(2)(i) through (iv) apply. After receipt of the RFP, the contractor shall provide a proposal by required date to perform the (PWS) utilizing the labor categories and markups set forth in this contract. Pricing will be necessary for all phases of the requirement. The proposal must include all elements requested in the RFP, such as labor, materials, travel, subcontracting, etc., required for completion of the (PWS), and the technical rationale therefore. Based upon the proposals received, the Government will select the contractor that is determined to be the best value to the Government, price -and other factors considered. Other factors to be considered include, but are not limited to: technical/management approach, past performance on other task orders, and price. If the Government accepts the proposal of the proposer determined to be the best value to the Government, a Unilateral Order will be issued. If negotiations are required, after submission of the proposal and prior to award of the task order, an agreement on the fixed amount (for FFP) will be established between the Government and the Contractor. The Government will provide the contractor an unsigned task order which must be signed and returned to the Contracting Officer within 3 workdays of receipt. When task order performance is urgent, the Government will mark the RFP as EXPEDITED and expect the contractor to respond within 2 working days and not later than the third morning (10:00a.m.) with an estimate of the cost to perform the (PWS) and the technical rationale therefore.
d. No work shall be initiated by the contractor prior to receipt of the signed task order, unless otherwise directed/authorized by the Contracting Officer.
