Section A - Solicitation/Contract Form

EXECUTIVE SUMMARY

ALL ADMINISTRATION AND FUTURE TASK ORDERS UNDER THIS MATOC WILL BE

ISSUED BY U.S. ARMY CORPS OF ENGINEERS, HUNTSVILLE CENTER (CEHNC).

1. The objective of this contract is to provide services to safely locate, identify, recover, evaluate, manage and make final disposition of Munitions and Explosives of Concern (MEC), Munitions Constituents (MC), Chemical Warfare Materiel (CWM), Biological Waste and Biological Warfare Materiel (BWM) and Hazardous, Toxic and Radiological Waste (HTRW); implement Environmental Compliance measures; and other munitions related support services, reduce DoD Conventional Munitions Stockpile other federally controlled/owned sites, as well as other sites where the Corps of Engineers is tasked to include foreign jurisdictions.

2. A target MATOC pool consisting of a total of ten (10) contractors is planned to result from this acquisition, however the government reserves the right to award more, less, or none at all.

3. Task orders will be awarded against the basic ID/IQ contracts using the fair opportunity procedures discussed in FAR 16.5 in addition to the competitive source selection procedures identified in Section 803 of Public Law 107-107 implemented in DFARS 216.505-70 and Public Law 110-181, Section 843. Each order exceeding $3,500.00 will be awarded on a competitive basis in accordance with FAR 16.505 and DFARS 216.505-70 (c), unless an exception described in FAR 16.505(b)(2)(i) through (iv) or DFARS 216.505-70(b)(1) applies. Task orders may be Firm-Fixed Price (FFP), Cost Plus Fixed Fee Completion Form (CPFF-CF), and/or Cost Plus Fixed Fee Term Form (CPFF-TF). Task orders may be issued on a CPFF basis for work of an indefinite nature or to support an urgent need. Individual task orders may contain a combination of FFP, CPFF-CF, and/or CPFF-TF; e.g., planning and characterization may be FFP while fieldwork may be CPFF.

4. The capacity for the MATOC pool is $950 Million. The MATOC pool total capacity will be shared among all awardees in the MATOC pool. The ID/IQ awardees in each MATOC pool will only compete among the other ID/IQ awardees in the MATOC pool for task order awards. Prior to task order award, the Government will provide all members of the selected MATOC pool a fair opportunity to be considered for each order exceeding $3,500 (FAR 16.505(b)(1)(i)) unless an exception to fair opportunity under FAR 16.505(b)(2) applies.

5. The ordering period shall commence upon the date of award and may continue for a period of five years, if the option is exercised. Labor rates may be escalated at the beginning of each option period as provided in the Schedule; however, the labor rates in effect at the time a task order is awarded will remain in effect through completion of the task order. In the event that FAR 52.217-8 is utilized prior to the end of the 4th option year, the rates effective in the current ordering period will be utilized during this extension period.

6. The Government will evaluate the market once at the 18 month mark, within the two-year base period of the

MATOC to determine if it is in the Government’s best interest to open a contract “on-ramp” or “off-ramp”.

During a contract on-ramp the Government will accept and evaluate new proposals with the intention of adding additional contracts to the MATOC pool. These proposals shall be subject to the same proposal instructions and evaluation procedures as contained in the original solicitation. The “on-ramp” firm must be qualified to replace the displaced firm. In the event a particular nation requires local firms to perform the labor, local contractors may be on-ramped at any time. During a contract “off-ramp”, the Contracting Officer may elect to remove firms from the MATOC pool that have poor performance records or have not submitted a proposal for any of the projects in which they were qualified.

7. When request for proposals (RFPs) for task order requirements are issued, offerors must provide sufficient detail with regard to labor categories and hours, material, and travel to allow an evaluation of the proposed cost.

Travel costs shall not exceed the amounts allowed under the Joint Travel Regulation. Profit/fee is not allowable on travel costs.

8. For CPFF orders, all hours for direct labor shall be supported by individual daily job cards or time records signed by the individual thereof.

9. The U.S. Army Engineering and Support Center, Huntsville (USAESCH) will remain the Procurement

Contracting Office and no other agency can make changes to the Base Contract. Other USACE offices, upon authorization from the US Army Engineering and Support Center, may issue task orders. The US Army Engineering and Support Center may also transfer task orders to other USACE offices for administration.

10. The minimum guaranteed order for each awardee shall be $5,000 for the base period only.

11. THE FOLLOWING ELEMENTS OF insert PROPOSAL SUBMITTED IN RESPONSE TO SOLICITATION

W912DY-16-R-0003 ARE HEREBY INCORPORATED INTO THIS CONTRACT.

A. The fixed price and cost rates proposed by the contractor in Attachment G are binding cost elements. For fixed price rates, these rates shall be the maximum allowable rates for task orders issued during the ordering period of this contract. Thus, the fixed price rates proposed on a task order may be less than those proposed in the contractor’s Attachment G of the ID/IQ contract, but may not exceed the maximum rates included in the basic ID/IQ contract. For Cost Reimbursement rates, the lesser of actual rates or the capped rates in the basic ID/IQ contract shall be the maximum allowable rates for task orders issued during the order period of this contract.

B. Technical Exhibit 6, “Key Subcontractors and Key Personnel”.

NOTE: The pricing from the last option year shall remain binding for the duration of the term of the contract extended by exercising option FAR 52.217-8.

12. Pre-Proposal Workshop. The Government will hold a pre-proposal workshop for potential offerors to ensure an understanding of the Government’s objectives with this solicitation. All interested firms are encouraged to attend, but participation will not be a prerequisite for submitting a proposal.

Information regarding the date, time, and location for the workshop is forthcoming, and will be provided in a separate attachment posted on fbo.gov. The workshop will be held within 2 weeks of the solicitation posting date.
