SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The required response date/time 16-Aug-2024 12:00 PM has been added.

The number of offeror copies required 1 has been added.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS TO OFFERORS

Section L – Instructions, conditions, and notices to Offerors or respondents

L.1. General Information

L.1.1 Use of Acquisition Source Selection Interactive Support Tool (ASSIST)

L.1.1.1. During the conduct of this acquisition, the Acquisition Source Selection Interactive Support Tool (ASSIST) will be used by the Government to support the proposal evaluation and source selection process. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST to accomplish all exchanges with Offerors after receipt of proposals pursuant to Federal Acquisition Regulation (FAR) 15.306. ASSIST2Industry provides the ability for the Government to issue, and the Offerors to receive and respond to, all Evaluation Notices (ENs) in a secure online environment. ASSIST2Industry also provides the ability for the Government to issue, and the Offerors to receive letter correspondence. Contractors cannot respond to letter correspondence; but, can acknowledge receipt of the letter(s).

L.1.1.2. In order to initiate the use of ASSIST2Industry, the Government requires the names, company titles, telephone numbers, and email addresses of two (2) individuals that the Offeror has designated as responsible for receiving and responding to Government ENs through ASSIST2Industry. The designation of two (2) individuals is for the purpose of insuring availability of one individual if the other individual is not available. The required information regarding these two (2) individuals must be submitted with the Offeror’s proposal and included in the cover letter. Those two (2) individuals, if selected in ASSIST, will also be the Contractor POCs to receive letter correspondence from the Government. Therefore, it is the Contractor’s responsibility to ensure that the information provided at proposal submission is accurate and up to date throughout the source selection process. If letter correspondence is sent by the Government via ASSIST, Contractor POCs will receive email notification informing them that they have correspondence, and that they must login to ASSIST2Industry and acknowledge receipt of the correspondence.

L.1.1.3. After the solicitation’s closing date, the Government will establish an account in ASSIST2Industry for each individual identified by the Offeror that has submitted a proposal in response to this solicitation. The two individuals named by the Offeror will be authorized access to that account. Two (2) separate system generated emails will be sent to each individual. One of the emails will contain the individual’s ASSIST2Industry username. The other email will contain the individual’s temporary password. Using the provided username and temporary password, each individual can then go to https://ASSIST2Industry.army.mil to access the account. NOTE:

The first time a user logs in, the user will be required to change the temporary password before the user can proceed to use the site. Whenever the Government issues ENs to the Offeror through ASSIST2Industry, the Government’s Contracting Officer will notify the Offeror through either ASSIST2Industry or a medium independent of ASSIST2Industry (e.g., email) that the Offeror has ENs in ASSIST2Industry waiting for a response. There will be no ENs in ASSIST2Industry until such notice is issued by the Contracting Officer.

L.1.1.4. All Offerors are advised that ASSIST2Industry has been updated and it is now the responsibility of PRIME Contractors to establish accounts for their SUBCONTRACTORS to respond to Government ENs. A separate area within ASSIST2Industry has been created to allow authorized Subcontractor POCs to upload proposal files only. Subcontractors will not be able to access any other information on the ASSIST2Industry website (e.g. Questions/Evaluation Notices, Responses, etc.). Once a Subcontractor has been added, they will receive a user ID (e.g.

subcontractor0001) and password (an initial password) that will be sent via two separate system generated emails. A Subcontractor will have one user ID for all PRIMES and solicitation responses, i.e. if you are a Subcontractor to multiple Prime Contractors and multiple solicitation responses, you will only have one user ID. Once an account has been established for the Subcontractor, go to https://ASSIST2Industry.army.mil to access the account. Prime Contractors will only be able to see the number of files submitted by their Subcontractors;

but, will be UNABLE TO VIEW the Subcontractor’s files.

L.1.1.5. ACCESSING ASSIST2INDUSTRY PRIME/SUBCONTRACTORS

L.1.1.5.1. Access to ASSIST2Industry will require a two-factor authentication for each Prime and Subcontractor user. All ASSIST2Industry users are required to have a username/password (first authentication) and may select one of the following methods for implementing the second authentication to access the site:

• Use an authenticator application on your cell phone (e.g. Google or Microsoft Authenticator) to receive a QR Code;

• Receive a code via an SMS Text Message to your cell phone; or

• Receive a code via email.

If you have any other problems accessing your account, contact the Army Enterprise Service Desk (AESD) at Phone: 1-866-335-2769 (ARMY), # Option 1 (Unclassified Systems and Services) and 3 (Procurement Systems)

NOTE: Identify the Business Service as VCE.

Please be prepared to provide the following:

• Contractor POC Name;

https://assist2industry.army.mil/

• Telephone Number;

• Email Address;

• Procuring Contracting Officer and/or Contract Specialist Name and Telephone Number;

• ASSIST Source Selection/Program Name; and

• Solicitation Number.

Contractor POCs should not provide any additional information than what is noted above.

L.1.1.6. Both Prime Contractors and Subcontractors are instructed to review the ASSIST2Industry User’s Guide, located under the “Getting Started” tab at https://assist1.army.mil . The guide has been updated and provides step by step instructions on how to perform functions and navigate the website.

L.1.1.6.1. THE OFFERORS ARE CAUTIONED THAT THE SYSTEM GENERATED

EMAILS REFERRED TO ABOVE ARE INTENDED FOR ADMINISTRATIVE

PURPOSES ONLY. RECEIPT OF THESE EMAILS DOES NOT CONSTITUTE THE

COMMENCEMENT OF ANY TYPE OF EXCHANGE WITH THE OFFEROR IN

ACCORDANCE WITH FAR 15.306(A), (B), OR (D) (I.E., CLARIFICATIONS,

COMMUNICATIONS, OR DISCUSSIONS). ALSO, RECEIPT OF THESE EMAILS

DOES NOT SIGNIFY THAT A COMPETITIVE RANGE DETERMINATION IN

ACCORDANCE WITH FAR 15.306(C) HAS BEEN MADE OR THAT THE OFFEROR’S

PROPOSAL WILL BE INCLUDED IN THE COMPETITIVE RANGE WHEN THAT

DETERMINATION IS MADE. ALL NOTIFICATIONS THAT ANY TYPE OF

EXCHANGE WITH THE OFFEROR HAS COMMENCED AND THE OFFEROR HAS

EVALUATION NOTICES (ENS) AVAILABLE TO RESPOND TO, OR ANY

NOTIFICATION THAT THE OFFEROR’S PROPOSAL HAS BEEN INCLUDED IN OR

EXCLUDED FROM THE COMPETITIVE RANGE, WILL BE SENT TO THE

OFFEROR BY THE CONTRACTING OFFICER INDEPENDENTLY OF THE

ASSIST2INDUSTRY.

L.1.2 Minimum Acceptance Period.

This provision supersedes any language pertaining to the acceptance period that may appear elsewhere in this Request for Proposal (RFP). ACCEPTANCE PERIOD means the number of calendar days available to the Government for awarding a contract from the date specified in this RFP for receipt of offers.

L.1.2.1 The Government specified minimum acceptance period is 240 calendar days from the date specified in this RFP for receipt of offers.

L.1.2.2 The Offeror shall clearly state in its Administrative Volume V the proposal acceptance period. The Offeror may specify a longer acceptance period than the Government's minimum acceptance period stated above.

L.1.2.3 An Offeror that proposes less than the established minimum acceptance period, or fails to provide a proposal acceptance period, may be rejected.

https://assist1.army.mil/

L.2 Required Method of Proposal Submission:

L.2.1 Proposals are due no later than 12:00 p.m. EDT on 16 August 2024 and shall be submitted in accordance with the instructions herein. Late proposals may be rejected from consideration IAW FAR 15.208. It is the Offeror’s responsibility to confirm the Government has received the proposal prior to the due date and time above. The proposal shall be electronically submitted via shared email to the Contract Specialist, Jessica Ecker, and the Contracting Officer, Jennifer Hastedt, at the following email address with the subject header:

In accordance with FAR 15.208, it is the responsibility of the Offeror to ensure the proposal is received in its entirety, at the required destination by the date and time specified solicitation. There is no "expected" or "target" length of time for proposal submission via email; size and content may be factors;

therefore Offerors are strongly cautioned when submitting proposals to allow adequate time for submission.

L.2.1.3 All or None Offers in response to this RFP must be submitted for all the requirements identified in the RFP. Offers submitted for less than all the requirements called for by this RFP will be rejected as ineligible for award. L.2.3 The maximum size of each email must not exceed 10 megabytes. The Offeror may use multiple email messages for each submission, however, it should annotate the subject lines as described above for each message, and number them in the following manner: Message 1 of 3, 2 of 3, 3 of 3, etc. Emails that exceed 10 megabytes may cause the email to be rejected which may result in the proposal, in its entirety, not being received at the required destination by the Due Date and Time for Receipt of Offers specified in the RFP.

L.2.4 The Offeror shall make every effort to ensure that the proposal is virus free.

Proposals (or portions thereof) submitted which indicate the presence of a virus, or which are otherwise rendered unreadable by damage in electronic transit, shall be treated as “unreadable” as described in FAR 15.207(c).

Please see L.2.1 for the appropriate contracting office POCs for questions.

L.3.2 Export Controlled Information This RFP contains Export Controlled information in Controlled Unclassified Attachments. It is the responsibility of the Offeror, not the Government, to obtain the appropriate export licenses, or process appropriate export license exemption, necessary for authorization to share any such information with subcontractors who are foreign persons as defined in applicable export laws and regulations, or to obtain access to the files themselves. The Government shall consider the failure or inability of an Offeror to obtain the appropriate export compliance documentation and provide that in its proposal as grounds for rejection IAW M.2. The Government will not sponsor or in any way assist the Offeror and its subcontractor(s) in obtaining the appropriate level of security clearance.

L.4 Evaluation Factors

Offeror proposals shall address the following Factors:

Factor 1: Management Factor

a. Sub-factor 1 – Staffing Plan

b. Sub-factor 2 – Transition Plan

Factor 2: Past Performance Factor 3: Small Business Participation Factor 4: Cost

L.4.1 Volume I – Management Factor

L.4.1.1 The Management Factor Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal.

Legibility, clarity and coherence are very important. Proposals will be evaluated against the Management Factor sub-factors defined in Section M, Evaluation Factors for Award.

The proposal shall not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements.

Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable.

Offerors shall assume that the Government has no prior knowledge of their facilities and expertise and will base its evaluation on the information presented in the Offeror's proposal.

L.4.1.1.1 Provide the most efficient and effective proposed approach with the initial offer. If an Offeror believes its approach provides a strength, the specific requirement that is considered exceeded shall be identified. Additionally, the offeror shall specify specific paragraphs in the solicitation package (i.e. PWS, PRS, etc.) that will be changed and incorporated in the resulting contract at the new level. In addition, the offer must state specifically why the offeror considers the enhancement a strength demonstrating additional opportunity cost benefits through efficiency or effectiveness. The cost and/or pricing effect of this strength shall be called out and specifically detailed in the cost and price volume.

L.4.1.1.2. Changed requirements documents that incorporate the proposed enhancement will not count against the page limit provided they are separate documents that are identical to the original document except for the highlighted change. If the Government concurs and in the unlikely event that the award is made without further discussions, those resulting enhancements will be included into the contract without discussions as part of the initial proposal.

L.4.1.2 Offerors are required to address the Management Factor through a written proposal.

Each sub-factor below provides instructions for written submissions.

L.4.1.2.1 Subfactor 1: Staffing Plan. The Offeror shall provide a narrative describing:

a. How it will provide qualified personnel, as required by the PWS at 1.4;

b. Its overall staffing and recruiting process utilized to acquire and retain qualified personnel at optimal staffing levels to accomplish contract requirements over the life of the contract, to include surge operations;

c. Its organizational chart showing management positions in the proposed organization to meet the stated mission in the PWS. All lines of authority/communication including those with the Installation, ATEC, and MICC-YPG shall be included in the organizational chart. The Offeror shall provide a staffing matrix that depicts sufficient labor hours by position by year;

d. Its use of labor sources to attract qualified candidates and its plan to ensure these candidates meet the minimum qualifications (experience level, education, required certification(s), background, and clearance) required for all labor category descriptions in the PWS at 1.4;

e. Its historical ability to recruit and retain personnel and how this capability will be utilized to successfully meet the requirements of this PWS; and

f. How it will manage the day-to-day operations of staff to ensure successful performance of services across all task areas identified in the PWS.

L.4.1.2.2 Sub-factor 2 – Transition Plan. The Offeror shall provide a detailed narrative describing the proposed transition plan, meeting the requirements of PWS paragraph 1.25. The Offeror shall provide a narrative detailing:

a. The proposed transition plan and mitigation strategies the Offeror will use to transition from an incumbent Contractor in accordance with PWS paragraph 1.25, ensuring continuity of service;

b. The proposed transition plan and mitigation strategies the Offeror will use to address any potential risks of the plan to ensure a seamless transition and successfully meet the requirements of PWS paragraph 1.25 within the stated timelines; and

c. The plan to create a contract management and administration team, the processes and implementation plan at contract commencement, and the plan to support transition of documents and equipment to a potential successor contractor.

L.4.2 Volume II Past Performance (PP) Factor

For the Past Performance Factor, provide information for a total of up to three (3) Recent Contracts performed by the Offeror as the prime contractor, that the Offeror considers to have relevance. These may include foreign, federal, state, local and private industry contracts. The burden of providing thorough and complete past performance information remains with the Offeror. It is the Offeror's responsibility to submit detailed and complete information so the Government may evaluate its Past Performance volume. While the Government may elect to consider data obtained from internal and external sources other than the proposal, the burden to provide thorough and complete past performance information rests with the Offeror. The below instructions are provided to advise Offerors as to the information required by the Government to assess the contractor’s Recent and Relevant past performance. Since this information constitutes a basis of the Government's review, it is imperative that the Offeror present its past performance in a clear and complete manner. Failure to provide the information requested under paragraph L.4.2.3 and L.4.2.4 (if applicable) below may result in an assessment that the Offeror does not possess a record of Recent and Relevant past performance.

For the purpose of this Factor, a Contract is defined as a written instrument that requires the performance of a distinct effort and demonstrates the distinct effort was actually performed.

Written instruments containing supplies or services that can be ordered but typically do not demonstrate actual performance, such as Indefinite Delivery Contracts (FAR 16.5), Basic Ordering Agreements (BOA), Blanket Purchase Agreements (BPA), and Federal Supply Schedules (FSS) do not meet the definition of a Contract. Written instruments considered to demonstrate actual performance may include a single task or delivery order, a single work directive, or a single definite quantity contract provided it demonstrates a distinct effort was actually performed. An Offeror may submit, or the Government may require, written instruments that enhance the Government’s understanding of the distinct effort actually performed if it is not identified on the Contract itself. It is incumbent upon the Offeror to demonstrate that a distinct effort was actually performed.

L.4.2.1 Recent Contracts are those performed within 5 years of the date of issuance of this RFP.

L.4.2.2 Relevant Contracts are those comparable in scope and magnitude of effort and complexity to the Performance Work Statement (PWS) requirements Part 5 found in this solicitation.

L.4.2.3 Contract Information: Refer to the definition of a Contract above (L.4.2). The Offeror’s proposal shall substantiate what distinct effort was required and actually performed under each of the proposed Contract(s). For each Contract(s) submitted, provide the following information:

(a) Prime Contractor name and address;

(b) Contract Number (and delivery/task order number if applicable);

(c) Contract Type;

(d) Total Value of the Contract (beginning & ending value);

(e) Delivery or Performance Schedule;

(f) Government or private industry contracting activity address, telephone number and email;

(g) Procuring Contracting Officers (PCO) and/or Contract Specialist’s name, or point of contact for private industry entity responsible for signing or administering the Contract, telephone number and email;

(h) Government (DCMA) or private industry Administrative Contracting Officer (ACO), Contracting Officer’s Representative (COR), performance certifier, and/or Quality Assurance Representative (QAR), name, telephone number and email;

(i) Specify the Government or Contractor Point(s) of Contact for which the Questionnaire was sent, and provide the date(s) it was sent.

(j) A description of the work performed by the Offeror, which shall include a narrative describing the similarities between (1) the relevant work performed under the Statement of Work (SOW) / Performance Work Statement (PWS) requirements of the Offeror’s cited Contract(s) and (2) the SOW/PWS requirements identified in L.4.2.2. In its narrative, the Offeror shall specify the location in the cited Contract’s SOW/PWS (to include paragraph and page number) that substantiates the relevant work performed;

(k) Contract period of performance;

(l) Provide a brief self-assessment of Contract performance. The self-assessment must address performance to meet Technical and Schedule requirements within estimated costs (for cost type contracts); and

(m) Copy of the complete Performance Work Statement or Scope of Work for each of the submitted Contracts. If the proposed Contract was issued under or in connection with a related written instrument (e.g. Indefinite Delivery Contracts, BOA, BPA, FSS) and the details of the distinct effort actually performed needed to establish relevancy on the proposed Contract are further defined within the terms and conditions (e.g. SOW/PWS) of that related written instrument, provide that information and any other information necessary to establish this instrument’s relationship to the proposed Contract. The Indefinite Delivery Contracts, BOA, BPA, and FSS are only to be used to establish the relationship to the order provided as a contract reference and should not be submitted without an order because the agreements do not create a requirement to perform until an order issued.

The PWS or SOW can be submitted as stand-alone attachments within the proposal volume and will not count toward the page limit.

L.4.2.4 Associated Entity, Predecessor Company, and Joint Venture. As stated above (L.4.2), only Contracts performed by the named Offeror will be considered, however the Government may consider the past performance of an associated entity, a predecessor company, or joint venture as explained below.

L.4.2.4.1 Associated Entity. The Government may consider the past performance of an associated entity if the Offeror successfully demonstrates meaningful involvement by the associated entity in the proposed effort.

a) An associated entity may include a parent company, separate corporate division within the same parent company, subsidiary company, a legally affiliated company, etc. The Offeror shall provide to the Government a narrative that explains the Offeror’s relationship to the associated entity. The Offeror shall support the narrative with legal documentation, including but not limited to corporate papers, establishing the legal nexus between the Offeror and the associated entity.

b) The Offeror shall provide to the Government a narrative that explains the meaningful involvement the associated entity will provide to the proposed effort – i.e. the work to be performed by the associated entity. Meaningful involvement may include a description of the associated entity’s resources, such as its workforce, facilities, and/or other resources that will be provided or relied upon in the proposed effort. A Contract will not be considered unless the Offeror successfully establishes meaningful involvement by the associated entity in the proposed effort.

L.4.2.4.2 Predecessor Company. The Government may consider the past performance of a predecessor company if the Offeror demonstrates the experience of the predecessor company is reasonably predictive of the Offeror’s performance under the proposed effort.

a) A predecessor company may include a company which was acquired by the Offeror or merged with the Offeror. It may also include other instances where the predecessor company was reorganized, restructured, or otherwise altered. A predecessor company does not include an entity which remains separate and distinct from the Offeror. The Offeror shall provide to the Government a narrative that explains the Offeror’s relationship to the predecessor company. The Offeror shall support the narrative with documentation evidencing the Offeror’s status as the successor company.

b) The Offeror shall provide to the Government a narrative that explains why the predecessor’s past performance is predictive of the Offeror’s performance under the proposed effort. Evidence may include, but is not limited to, continuity of operations such as the continued employment of the predecessor’s employees and the transfer of assets including buildings, furnishings, and fixtures.

L.4.2.4.3 Individual Partners of a Joint Venture. If the Offeror is a Joint Venture, the Government may consider past performance of each partner of the Joint Venture and any work performed by the Joint Venture itself previously. The Offeror must successfully demonstrate meaningful involvement by the partner to the proposed effort.

a) The Offeror shall provide to the Government a narrative that discloses the individual partners of the Joint Venture and shall provide documentation evidencing the Joint Venture. The legal documentation or agreement creating the Joint Venture is excluded from the Past Performance page count. However, the narrative of explanation will be included in the page limit.

b) The Offeror shall provide to the Government a narrative that explains the meaningful involvement the Joint Venture partner will provide to the proposed effort. Meaningful involvement may include a description of the partner’s resources, such as its workforce, facilities, and/or other resources that will be provided or relied upon in the proposed effort.

A Contract will not be considered unless the Offeror successfully establishes meaningful involvement by the partner in the proposed effort.

L.4.2.5 Past Performance Questionnaire. A past performance questionnaire is provided in RFP Attachment 8. For each contract submitted by the Offeror, the Offeror shall send a copy of the past performance questionnaire directly to the appropriate PCO and/or COR listed in L.4.2.3 (g) and (h). The Offeror shall request that these individuals complete the questionnaire and forward it electronically directly to the Government at usarmy.jbsa.acc-micc.mbx.tsc-div1@army.mil as soon as possible and prior to the RFP closing date (See Block #9 of the SF33 cover page to this solicitation) with the subject heading “PAST PERFORMANCE INFORMATION FOR [Offeror name].

L.4.2.5.1 The offeror shall e-mail to the Contracting Officer of this RFP (usarmy.jbsa.acc-micc.mbx.tsc-div1@army.mil) a list of all the POCs who were sent a questionnaire. The Government must receive this list no later than the proposal due date. The POC List shall be submitted in Word for Windows Table Format to include the following fields: Solicitation Number; Company Name; Contract Number; Government Agency; POC Last Name, First Name; POC Title; POC Telephone Number; POC E-mail Address; and Date E-Mail sent to POC.

L.4.2.6 Small Business Participation Past Performance. All Offerors shall submit information substantiating the Offeror’s past performance in complying with FAR 52.219-8, “Utilization of Small Business” and FAR 52.219-9 Alt II, Small Business Subcontracting Plan, to maximize opportunities for U.S. small business subcontractors. Offerors shall also provide a statement indicating whether any negative information has been reported in the past five years concerning the Offeror’s past compliance with FAR 52.219-8 or FAR 52.219-9 Alt II. If any such negative information has been reported, the Offeror may submit explanations or comments responding to such negative information. Offerors with no prior contracts containing FAR 52.219-8 and/or 52.219-9 Alt II shall certify the same. For Other than small business, include SF 294 and SF 295

(or Individual Subcontracting and Summary Subcontracting Reports in the Electronic Subcontracting Reporting System (eSRS)) information for Government contracts with these reporting requirements for the last five years which are excluded from the SB page counts. All Offerors shall provide descriptive information for all small business categories. Any information concerning long-term relationships with small business subcontractors, such as mentor-protégé relationships should also be addressed. Contracting officers shall consider an Offeror’s failure to make a good faith effort to comply with its comprehensive subcontracting plan under the Test Program described at DFARS 219.702-70 as part of the evaluation of the past performance.

L.4.3 Volume III - Small Business Participation (SBP) Factor:

L.4.3.1 All Offerors (both small and other than small businesses) (U.S. and non-U.S.), regardless of size, socioeconomic status, or locations of working facilities or headquarters are required to submit a Small Business Participation Commitment Document (SBPCD) individually addressing the following areas:

L.4.3.1.1 The extent to which such firms, as defined in FAR Part 19, are specifically identified in the SBPCD.

L.4.3.1.2. The extent of commitment to use such firms (and enforceable commitments will be considered more favorably than non-enforceable ones).

L.4.3.1.3. Identification of the complexity and variety of the work small firms are to perform.

L.4.3.1.4. The extent of participation of small business prime Offerors and small business subcontractors in terms of the percentage of the Total Contract Value (TCV). The Minimum Quantitative Requirement (MQR) for Small Business Participation is 30%.

L.4.3.1.5. The extent to which the Offeror meets or exceeds the Socioeconomic MQRs in terms of percentage of TCV. The socioeconomic MQRs for this procurement are:

– Small Disadvantaged Business (SDB): 5%;

– Woman-Owned Small Business (WOSB): 1.8%;

– HUBZone Small Business: 1.1%;

– Veteran Owned Small Business (VOSB): 5%; and

– Service Disabled Veteran Owned Small Business (SDVOSB): 5 %

L.4.3.2 TCV, for the purpose of this solicitation, is defined as the proposed price of all Firm Fixed Priced (FFP) CLINs; plus the proposed amount of the Cost Plus Fixed Fee (CPFF) CLINs;

plus the amount of all Cost CLINS; plus the proposed price/cost total of Option Years 1 and 2 multiplied by 0.5 for the purpose of evaluating FAR 52.217-8, Option to Extend Services.

L.4.3.3 The SBPCD applies to both small and other than small businesses and will be incorporated and conformed into any resultant contract. Small business prime Offerors may achieve small business participation (meet or exceed MQRs) through their own performance/participation as a prime and also through subcontracting to other small businesses.

The following shall be submitted as evidence of small business participation:

L.4.3.3.1 Type of Business of Prime Contractor: Check all applicable boxes

{ } Other than small business { } Small (also check type of Small Business below) { } Small Disadvantaged Business { } Woman-Owned Small Business { } Historically Underutilized Zone Small Business { } Veteran Owned Small Business { } Service Disabled Veteran Owned Small Business

Of the proposed TOTAL CONTRACT VALUE, not total subcontract value, identify the proposed dollar value and percentage of anticipated awards to small business. All percentages shall use TOTAL CONTRACT VALUE as a baseline. Include only first tier U.S. subcontractors.

If the prime Offeror, including any U.S. small business concerns who are proposing as part of a JV or teaming arrangement, is itself a U.S. small business concern under NAICS 541330 Exception 1 so state. In that case, the Offeror's own participation as a SB, SDB, WOSB, HUBZone, VOSB, and SDVOSB will also be considered small business participation to the extent it is qualified under NAICS 541330 Exception 1 for the purpose of this evaluation.

**Provide a summary chart for the basic contract period and each option, to include the six-month option to extend services under FAR Clause 52.217-8.

L.4.3.3.2 Small Business Participation: Please indicate the total percentage of participation to be performed by each type of small business subcategory. All percentages should use TOTAL CONTRACT VALUE as a baseline. Small businesses that qualify in multiple small business categories may be counted in each category. This is a competitive requirement; therefore, the Offeror should propose its BEST EFFORT for the socioeconomic categories.

Copies of such agreements should be provided as part of the SBPCD and will not count against the page limitation.

L.4.4 Volume IV – Cost Factor

In accordance with FAR 15.403-5(a)(1), certified cost or pricing data is not required for initial proposal submission. However, after initial proposal submission, if only one offer is received, the Government reserves the right to request certified cost or pricing data in accordance with DFARS 252.215-7008. In the event certified cost or pricing data is required, the Offeror may submit a written request for exception based on the applicable clauses contained herein.

For initial proposal submission, provide the data other than certified cost or pricing data outlined below. Offerors may submit any other additional cost, price, and financial information it considers to be helpful in the Government's evaluation of its proposal.

L.4.4.1 Electronic spreadsheet files (Workbooks) are to be sent in MS Excel 2013 compatible format, and include all formulas, functions, macros, computations, or equations used to compute the proposed amounts. Do not include cell references to data or files, which are not included in the Cost Volume. For each Workbook, all Rows, Columns, Cells and Worksheets are to be Visible (object.Visible=True). Do not include Zero height/Zero width rows/columns in Worksheets. Do not format Worksheet cells with the Font color equal to the Fill color. If Workbooks or Worksheets are password protected, then provide the password(s). Do not provide print image files or pictures (for example a picture of an Excel spreadsheet embedded in a word document), or files containing only values. Provide all supporting narratives, including Basis of Estimate (BOE) sheets, in files which are MS Excel or MS Word 2013 compatible. Do not submit BOEs as pictures. Do not provide text or spreadsheets used as supporting rationale within a BOE as a picture.

L.4.4.2 Table of Contents. Provide a Table of Contents showing each file submitted as part of the Cost Volume with a short description of the contents of the file. Hyperlink each of these entries in the Table of Contents to the respective files.

L.4.4.2.1 The pricing volume shall have at least 4 parts:

1. RFP Attachment 0004 – Pricing Workbook

2. Cost Narrative(s)

3. Subcontractor Data and Narratives

4. Defense Contract Audit Agency (DCAA) and Defense Contract Management Agency

(DCMA) Information points of contacts.

L.4.4.3 Provide all costs and prices in U.S. dollars only, including costs and prices for the Offeror and any potential subcontractors. If the basis for the proposal is any other currency, provide the following:

(a) State the exchange rate(s) being used to convert any currency to the U.S. dollars, and how the exchange rate was developed.

(b) Explain how you intend to deal with the risk that fluctuation in exchange rates may impact this prospective contract.

L.4.4.4 RFP Attachment 0004 – Pricing Workbook:

Submit your completed RFP Attachment 0004 – Pricing Workbook with your proposal.

Complete the attachment in accordance with the instructions included within the attachment.

Submit the attachment in Microsoft Excel format. Do not enter any proposed prices into Section B of the RFP.

L.4.4.4.1 The Government provided Area Wage Determination/Collective Bargaining Agreement (CBA) pay rates and estimated direct labor hours. The Government provided a plug number for the ODCs. The Offeror may propose a composite indirect rate to account for indirect costs (such as overhead and G&A) associated with the plug figures. The Offeror shall not change the ODC cost, which are “plug numbers.” Any proposed indirect rates applied to the plug numbers shall not include fee.

L.4.4.4.2 The Government has provided the direct labor categories required to complete the work required under this effort. The Government has specified a total number of estimated hours for each labor category that is anticipated to complete the work required under this effort. Offerors who alter the Government-provided skill mix or hours within RFP Attachment 0004 – Pricing Workbook must justify the reasons for adjusting the hours or rates. The explanation for changing hours will be included in Volume I, Management Factor, L.4.1.2.1 response. The explanation for changing the labor rates will be included in this volume. Note that the U.S. Government may add any changed parameters to the contract acceptance appendix for enforcement during contract performance. The pricing workbook should be self-contained to allow the Government Evaluator to trace simple formulas and lower the risk of misinterpretation of the data provided.

L.4.4.4.3 For cost/price proposal evaluation purposes, and to ensure that adequate funding is put on the contract, the Government assumes that employee paid time off is included in labor related benefits (e.g. Fringe Benefits). Offerors should use their narrative to demonstrate how the labor would be accounted for using normal accounting practices and leave policies. Offerors should also provide a Roadmap demonstrating how the narrative reconciles with RFP Attachment 0004

– Pricing Workbook.

L.4.4.4.4 RFP Attachment 0004 – There may be instances where the pricing workbook is not consistent with the Offerors accounting system in relation to application of indirect rates. In such cases, the Offeror shall highlight the cells/columns/rows/tabs that have been modified, along with its Cost Narrative, to further justify the proposed single elements of costs. Offerors should also provide a Roadmap demonstrating how the narratives reconciles with the RFP Attachment 0004 – Pricing Workbook.

L.4.4.4.5 The Government requires substantiation for all labor rates, whether the proposed rates are greater than or equal to the floor rates. The proposed rates shall be in line with justifying supporting data (Incurred cost data for similar contract, redacted payroll data, salary survey data, DCMA approved FPRR/FPRA, etc.) for each category. The Offeror shall provide a detailed cross-walk between all provided justifying data (redacted payroll data, salary survey, DCMA approved FPRR/FPRA, etc.) and the labor categories requested under this effort.

L.4.4.4.6 Offerors shall propose escalation factor for labor rates and costs as well as rationale for projected escalation; Offerors will not escalate labor rates covered by the CBA.

L.4.4.5 Top-Level Spreadsheets – Section B and Cost Summary Worksheets:

Ensure the Pricing Matrix “Section B” and “Cost Summary” worksheets within the Pricing Matrix are correct. These worksheets are considered top-level spreadsheets, time-phased by year, and organized by cost element (i.e. Direct Labor, Subcontracts, Direct Material, Other Direct Costs, Overhead/Indirect costs, FCCM, Fixed Fee) which supports the Offeror's proposed (unit or total) price or cost. For each labor category for each year, include a formula in the top-level spreadsheet that shows the calculation of the direct labor cost from the direct labor hours and direct labor rate. In addition, for each indirect cost category for each year, include a formula in the top-level spreadsheet that shows the calculation of the indirect cost from the base and indirect rate. The cost breakdown is to be consistent with your cost accounting system. Provide the following information in support of each top-level spreadsheet:

L.4.4.5.1 Direct Labor.

Include the following support for costs related to direct labor:

a) Within each top-level spreadsheet, provide a time-phased breakout of the direct labor hours, by year and by labor category, appropriate to the Offeror's accounting system.

Basis of Estimates (BOEs) - For changes to labor hour estimates provided by the Government in RFP Attachment 0004, Pricing Matrix, provide the following:

i. The Performance Work Statement (PWS) Paragraph;

ii. The Work Breakdown Structure (WBS);

iii. A narrative description of the tasks to be performed;

iv. A description of the method used to estimate the hours (identifying assumptions used and any Cost Estimating Relationships);

v. The calculations showing the computation of the direct labor hours for each specific task; and

vi. A description of each…
