About this file

This document is a request for proposals for Fire Center of Excellence (FCoE) multiple-award indefinite-delivery/indefinite-quantity contracts. The Army seeks proposals for support services including concepts and capabilities, training and development, doctrine development, organizational development, instructor support, test and evaluation, information technology, experimentation, studies and analysis, modeling and simulation, science and technology, material requirements, and operational environment support. The performance period is five years from February 2019 to February 2024. Proposals are due by the date specified and awards will be made using formal source selection procedures. Price and non-price factors will be evaluated, with non-price factors significantly more important than price. The agency intends to award to five contractors but reserves the right to award more or less.

Section H - Special Contract Requirements

SPECIAL CONTRACT REQUIREMENTS

H.1. Ordering Guide. An Ordering Guide is provided at Attachment XX, which establishes procedures for ordering against the FCoE MAIDIQ contract. It explains contract terms, conditions, requirements, ceiling, ordering period, ordering procedures, competition thresholds, and other necessary information.

H.2. Organizational Conflicts of Interest (OCI).

H.2.1. The contractor agrees that if it assists in the preparation of specifications, work statements, or statement of objectives, for a system or services under this Contract, or assists in the development of acquisition strategies or evaluation criteria or otherwise provides acquisition support under this Contract, it will not be allowed to furnish these items or services, either as a prime contractor, a subcontractor or as a consultant. (FAR 9.505-2 Organizational and Consultant Conflicts of Interest – Preparing specifications or work statements).

H.2.2. The contractor agrees that if it gains access to proprietary data of other companies, it shall protect such data and it shall not use such proprietary data in supplying systems or components in future competitive procurements. In addition, the contractor agrees to protect the proprietary data and rights of other organizations disclosed to the contractor during performance of this contract with the same caution that a reasonably prudent contractor would use to safeguard highly valuable property. The contractor also agrees that if it gains access to the proprietary information of other companies, it shall enter into an agreement with the other companies to protect their information from unauthorized use or disclosure for as long as it remains proprietary and refrain from using the information for any purpose other than that for which it was furnished. (FAR 9.505-4 Organizational and Consultant Conflicts of Interest

– Obtaining access to proprietary information)

H.2.3. The contractor agrees that it shall not distribute reports, data, or information of any nature arising from its performance under this contract, except as provided herein, or as may be directed by the Contracting Officer.

H.2.4. The contractor shall include the above provisions, including this paragraph, in all agreements with teaming partners, consultants, and subcontractors at any tier which calls for performance related to this contract and involves access to information covered above, unless excused in writing by the Contracting Officer. The use of this clause in such agreements shall be read by substituting the word "teaming partner," "consultant," or "subcontractor" for the word "contractor" whenever the latter appears.

H.2.5. The contractor agrees that if an actual or potential OCI arises prior or after award, with regard to any contract, task order or modification thereto, the contractor shall make a full disclosure in writing to the Contracting Officer.

This disclosure shall include a description of actions which the contractor has taken or proposes to take, after consultation with the Contracting Officer, to avoid, mitigate, or neutralize the actual or potential conflict. All actual or potential OCI situations shall be handled in accordance with FAR Subpart 9.5.

H.2.6. The Government may terminate the contract for convenience, in whole or in part, if it deems such termination necessary to avoid a potential OCI. If the contractor was aware of an OCI prior to award, or discovered such facts after award and intentionally did not disclose or misrepresented relevant information to the Contracting Officer, the Government may terminate the task order and/or contract in accordance with the "Default" clause of this contract;

pursue debarment of the contractor, and/or pursue such other remedies as may be permitted by law or regulation (including the FAR and its supplements).

H.2.7. The Government may, at its sole discretion, waive any provisions of this clause if deemed in the best interest of the Government.

H.3. Personal Conflicts of Interest.

H.3.1. In the course of performance pursuant to this contract, contractor employees will be participating personally and substantially in duties that have a direct and predictable effect upon other non-Federal entities. The contractor agrees to use its best efforts to ensure those employees and others performing services under this contract avoid conflicts of interest or the appearance thereof.

H.3.2. Personal and Substantial. To participate personally means to participate directly. It includes the direct and active supervision of the participation of a subordinate in the matter. To participate substantially means that the employee's involvement is of significance to the matter. Participation may be substantial even though it is not determinative of the outcome of a particular matter; however, it requires more than official responsibility, knowledge, perfunctory involvement, or involvement on an administrative or peripheral issue. A finding of substantiality should be based not only on the effort devoted to a matter, but also on the importance of the effort.

While a series of peripheral involvements may be insubstantial, the single act of approving or participating in a critical step may be substantial. Personal and substantial participation may occur when, for example, an employee participates through decision, approval, disapproval, recommendation, investigation or the rendering of advice in a particular matter.

(b) Maximum order. The Contractor is not obligated to honor -

(1) Any order for a single item in excess of $4,000,000.00;

(2) Any order for a combination of items in excess of $7,000,000.00; or

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within five (5) days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the Government's interest shall not be effective (1) for such period as the laws of the State in which this contract is to be performed prescribe, or (2) until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.
