Non-Priced Item (NPI) Coefficient

Note: Coefficients shall be carried to no more than three decimal places.

B1. PROPOSED COEFFICIENTS ARE EFFECTIVE FOR THE ENTIRE CONTRACT ORDERING

PERIOD. Coefficients shall be expressed in the form of a unit multiplication factor. For example, the unit price plus a ten percent (10%) increase factor is expressed as “1.100.” Conversely, the unit price plus a ten percent (10%) decrease factor is expressed as “0.900.” The contractor should thoroughly consider all potential costs and future implications before submitting a coefficient less than 1.000 for any item in the Coefficient Schedule.

B1.1 Task orders (TOs) may be competed amongst MATOC holders in accordance with the ordering procedures in the resultant contract. The contractor will not be awarded any projects in any particular order nor is the contractor guaranteed any work above the minimum amount guaranteed in the contract. The contract will be a Multiple Award

Task Order Contract.

B1.2 Task Orders shall be priced by using the bare rate of the UPB with the addition of the coefficient. The coefficient will be based upon the rate established in this Base Contract.

B1.3 Coefficients. Coefficient means a numerical factor that represents costs (generally, but not exclusively, indirect costs) not in the Unit Price Book (UPB), e.g., general and administrative costs and other overhead costs, insurance costs, protective clothing, equipment rental, contractor’s profit and other costs.

B1.3.1 The offeror’s Coefficients shall be all inclusive and may include, but not be limited to, the following costs:

General and Administrative and other Overhead

Profit and risk

Social security contributions

Insurance Costs

Employee Payroll Taxes

Insurance and Fringe Benefits

Subcontractors’ Overhead and Profit

Mobilization and demobilization costs

Site cleanup

Quality control

Any markups for materials and all contingencies

Corporate Headquarters support (legal, financial, etc.)

Waste and excess material

Compliance with EPA/OSHA regulations and protection and safety laws

B1.3.2 The City Cost Index (CCI) shall not be included in the coefficient. The CCI will be added to individual

Task Orders depending on the location of the project.

B2. Unit Price Book (UPB): The UPB for this contract is the most current RS MEANS Facilities Construction

Cost Data Book. The unit prices stated in the UPB is for complete and in-place construction unless explicitly described otherwise. The contractor shall assume all risk for labor rate increases after award of the contract, except adjustments based on delays in performance due to Government delay.

B2.1 Labor. Bare costs line items in the UPB contains allowances for the basic hourly rate and fringe benefits, but does not include allowances as required by federal, state, or local law such as workers compensation, unemployment and disability insurance, Social Security, Medicare, etc. No allowance has been made for overtime in the labor rates factored into the UPB. Furthermore, wages for management, supervisory or administrative personnel have not been factored into the labor rates used in the UPB.

B2.1.1 Bare costs are defined as: Material costs, which may include freight, but may not include any other overhead or associated costs by the prime and/or a subcontractor; Labor costs by the prime and/or a subcontractor;

and Equipment that is to be used solely as a result of inclusion of the non-prepriced item, by the prime and/or a subcontractor.

B2.2 Material: Material costs factored into the UPB were determined by contacting manufacturers, dealers, distributors, and contractors throughout the United States.

B2.3 Equipment: Equipment costs within the UPB include not only rental costs but also operating cost.

B3. Non Pre-Priced Item (NPI): For individual task orders, items of work not covered by the RS MEANS, but within the scope and general intent of the contract, may be added by the Contracting Officer. These items may then be incorporated into and made part of the basic contract at the government’s option. For individual task orders, the items shall be provided at the negotiated price, and multiplied by the applicable NPI coefficient listed in the contract schedule. The RS MEANS shall be used to the maximum extent practical. For each task order proposal, NPIs shall be supported by two competitive quotes unless waived by the applicable Contracting Officer. NPI may not exceed

25% of the total dollar value of the task order without the approval of the Contracting Officer. Each situation where

NPI items may exceed 25% of the total priced order shall be thoroughly justified by the contractor as part of their proposal, for the requested work.

B4. WAGE DETERMINATIONS: The Contracting Officer shall incorporate the most current wage determinations for each Request for Task Order Proposal (RTOP) issued. The Contracting Officer shall identify the applicable wage determination(s) to be incorporated into each task order issued. The wage determinations will be effective for the complete period of performance of those task orders without further revision.

Contracting Officer within 21 days of contract award. The Contractor shall provide one new bound copy of the UPB to the Contracting Officer throughout the life of the contract as they become available from the manufacturer.

H21. Task Order Ordering Procedures

1) Task Order competition and fair opportunity.

a. Under this contract a wide variety of construction, repair and/or maintenance projects, determined by the contracting officer to be within the scope of this contract, shall be offered to the MATOC Contractors for the purpose of providing a price or best value proposal. Individual Task Order awards on those projects may be based on competitive proposals received exclusively from contractors. The right is also reserved to reject any and all offers or to select one contractor to negotiate with after receipt of proposals (design – build task orders).

b. All MATOC contractors will be provided a fair opportunity to compete for each project offered under this contract unless one of the statutory exceptions from fair opportunity to compete applies (FAR

16.505(b)(2)). If an exception to fair opportunities is determined the KO will justify the exception IAW

FAR 16.505(b)(2)(F) and one MATOC contractor will be selected to receive the RTOP.

c. All MATOC contractors will be required to provide a technically sufficient and competitive price proposal on all RTOPS issued.

2) Requests for task order Proposals (RTOP)

a. When the Government requires work under the MATOC, a RTOP will be issued. Projects issued/ordered will be of varying size and complexity. Examples include, but are not limited to, projects that contain complete plans and specifications for all elements of work (100% design); projects with limited specifications, and projects that may require design-build efforts.

b. The request will include information such as a statement of work, guide specifications, drawings, attachments, information pertaining to a site visit; evaluation criteria, design requirements for design-build projects and any other requirements for submission (e.g. proposal requirements, price schedule, etc.), bonding requirements, Davis Bacon Wage Determinations, and liquidated damages. Performance and payment bonds shall be required for Task Orders, in accordance with applicable contract clauses. The basis for award of each task order will be stated in the RTOP.

3) RTOP Proposal and Evaluation

a. The MATOC contractor shall within the time specified in the RTOP, provide the KO with an original and copies (as determined in the RTOP) of the proposal. The proposal shall address:

i. The comprehensive technical and management approach to accomplish the work effort.

ii. A detailed cost or pricing proposal in accordance with the instructions set forth in the RTOP and FAR

15.403-5, Table 15-2. The Contractor shall include in the prices for the items listed in the Pricing

Schedule all costs for work in the specifications, whether or not specifically listed in the Pricing

Schedule. All price proposals must be based on RS Means, and in accordance with the Unit Price Book and in accordance with the coefficient schedule established in the base MATOC proposal. For design-build two phased acquisitions, cost or pricing proposals will be requested in phase-two.

iii. A proposed schedule for completing the task order effort.

b. Upon receipt of proposals the KO and Technical Representatives will review the initial proposals, decide to award without conducting discussions/negotiations, or hold discussions/negotiations with one or more contractors. When discussions/negotiations are conducted, each participating contractor shall be given one opportunity to revise its initial proposal to reflect any changes that result from the discussions/negotiations.

The KO will award the task order to the contractor offering the best value to the government, based on either the initial or a revised proposal. Unsuccessful Offerors will be notified.

c. At the conclusion of discussions/negotiations, if requested by the KO, the MATOC contractor shall provide a Certificate or Current Cost or Pricing Data pursuant to FAR 15.403-4 using the format as set forth in FAR

15.406-2, if applicable. The KO will issue a unilateral task order utilizing the DD Form 1155. The contractor shall commence all necessary and required preliminary work to include obtaining permits, bonds, etc. The contractor shall not commence actual pre-construction work at the site until receipt of a written notice to proceed (NTP) is signed by the KO. Prior to issuance of the NTP the government reserves the right to convene a post-award/pre-construction conference at the applicable site. The contractor shall attend any such conference as directed by the COR.

4) RTOP Evaluation Factors for Award.

a. The Contracting Officer, in making decisions on the award of an individual task order, will consider such factors as listed in FAR 16.505 (b)(1). In addition to price, factors on prior Task Orders under the MATOC contract, such as past performance, quality, timeliness, special expertise or other factors the KO determines are relevant to award of a particular Task Order may be considered. Timely performance by a MATOC contractor is very important. Timeliness on currently awarded task orders will generally be a key consideration for any past performance rating for future task orders. Lack of progress on a task order will usually result in a rating that will prevent an awardee from receiving future task orders.

b. To ensure fair opportunity to be considered in the placement of task orders the government will conduct either a full tradeoff (integrated assessment), lowest priced technically acceptable process, or a two-phased design build selection process. The specific technique and evaluation factors under each technique will be detailed in the RTOP.

5) Two-phased design build process.

a. For Design-Build projects, all selection will be two-phased.

b. Under phase-one the KO will solicit the information outlined in FAR 36.303-1 and conduct an evaluation

IAW the factors and procedures outlined in the RTOP. Phase-one will see the selection of the most highly technically qualified MATOCs (up to three). Only the most highly rated contractors under phase-one will be selected to submit a price-proposal under phase-two.

c. The KO will solicit a price proposal only under phase-two. The proposal shall be prepared IAW FAR part

15 and the other technical factors outlined in the RTOP.

d. The KO will then follow the process as outlined in paragraph 3b and 3c above.

6) Protests. Only those protests IAW FAR 16.505(a)(10)(i)(A) or (B) are authorized in connection with the issuance or proposed issuance of an order under this contract.

7) Ombudsman. If the Contractor believes it was not fairly considered for a particular Task Order, the

Contractor may present the matter to the Contracting Officer. The Contractor may appeal the explanation or decision of the Contracting Officer to the Ombudsman, who is Cathy Bella, MICC HQ, Special Competition

Advocate/ & TO/DO Ombudsman, cathy.a.bella,civ@mail.mil. The Ombudsman will review the Contractor's complaint, and in coordination with the Contracting Officer, ensure that the Contractor was afforded a fair opportunity to be considered for the Task Order.

8) Plans and Specifications. The Contractor will be provided either an electronic copy of the Statement of Work or one paper copy of the Statement of Work (with pertinent supplemental specifications and construction drawings as applicable) upon issue of each Task Order. All further reproduction shall be at the Contractor's expense. The Government may provide these as hard copy or as electronic media, such as web postings, e-mail or CD ROM, at its option.

H22. Organizational Conflict of Interest.

a. Per FAR 9.505, the two principles that OCI mitigation is meant to address are preventing the existence of conflicting roles that might bias a contractor's judgment and preventing unfair competitive advantage.

Offerors must disclose any potential OCI situations to the Contracting Officer as soon as identified and prior to any task order proposal submission. The disclosure should include the facts and an analysis of the actual or perceived conflict and a recommended approach(es) to neutralize or mitigate the potential conflict. The preferred approach to potential conflicts is to negate/obviate the conflict. Mitigation is considered only if it is not practical to negate/obviate the conflict. The Contracting Officer will promptly respond to resolve any potential conflicts.

b. A significant conflict of interest has been identified which may prohibit the prime contractor, Chenega

Global Services, from participating in any form to this solicitation and resulting contract. The reason for this potential prohibition is that Chenega Global Services provides general engineering technical support to the 63rd RSC DPW.

c. Organizational and Personal Conflicts of Interest will apply to any award made from this solicitation.

Contractors shall ensure performance that is free from conflicts of interest through the entire duration of the contract. FAR 52.203-16, Personal Conflicts of Interest applies and contractors must ensure compliance.
