Statement (PWS) (Attachment 1) and contract type.

2) The Government intends to award the contract without discussions. Therefore, Offerors’ proposals should contain the Offerors’ best terms from a cost/price and technical standpoint. A. Volume Organization, Format, and Guidelines.

1) Each Offeror’s Proposal shall consist of four (4) separate Volumes which may be contained within one CD ROM: Volume I – Solicitation, Offer and Award Documents and

Certifications/Representations, Volume II - Mission Capability, Volume III – Past Performance, and

Volume IV – Price. In addition, the contractor shall provide four (4) hard copies of Volume II –

Mission Capability Volume.

2) Offerors are required to meet all solicitation requirements. Proposals shall be clear and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirements and associated risks, has the resources necessary to meet the requirement, and a valid and practical solution for the requirement. Legibility, clarity and coherence are very important. Responses will be evaluated against the factors defined in the ‘Basis for Contract Award and Evaluation Criteria’, below. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements.

Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.

3) The Offeror shall submit their proposal volumes to the addresses identified in paragraph

Administrative Data above.

4) Exceptions: Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors in this document. Failure to meet a requirement may result in an offer being ineligible for award. If the offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the offeror shall clearly identify the applicable Volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government

(if any), and its impact, if any, on the performance, schedule, price, and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Offerors are cautioned that taking an exception may render the offer ineligible for award.

5) If the Offeror’s proposal indicates that it cannot or will not meet any of the PWS requirements;

provides an approach that clearly does not meet any of the PWS requirements; or, includes data which prompts the Government to question the Offeror's compliance with any of the PWS requirements. The

Government may determine the proposal is non-responsive, and therefore ineligible for award.

6) The file name shall be “Company Name – Initial” for the first submission. The file name of later submissions (if necessary), shall be “Company Name – Revision X’ with X indicating the number of the revision. The offeror’s Proposal shall consist of a four volumes:

The Offeror shall NOT address the Optional Tasks. The Offeror’s overall technical approach shall demonstrate a clear understanding of the magnitude and complexity of this requirement and its capability to perform all tasks in the PWS.

SubFactor 2 – Staffing and Management Plan:

The Management Plan. The Offeror’s management plan shall:

a) Describe the extent to which the Offeror and its subcontractors, teaming partners or a joint venture (hereafter referred to as “partners”) shall be used to perform this requirement by task, and by percentage of the costs of services performed.

3). Volume III – Past Performance:

The Past Performance evaluation will review the recent and relevant past performance, as defined in this

RFP, of the Offeror and all subcontractors, teaming partners or joint venture partners proposed to perform at least 10% of the requirement based on the total proposed price.

Submission Requirements. The offeror shall submit a Past Performance Volume containing the following:

• Table of Contents

• Summary Page describing the role of the offeror and each subcontractor, teaming partner, and /or joint venture partner that the offeror is required to provide Past Performance Specific Relevant Contract Reference

Sheets for the past performance experience in accordance with Attachment 1.

• Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the offeror can respond to such information.

• Client Authorization Letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the offeror’s performance.

• Organization Structure Change History— Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the

Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

• Specific Relevant Contracts Format - Sheets are limited to 3 pages per reference. The offeror shall provide documentation outlining the offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this Solicitation. The submittal shall include rationale supporting your assertion of relevance and how it was determined that the work performed previously was the same or similar in nature, size, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate.

The Offeror shall provide three (3) recent and relevant samples of Past Performance with its Proposal containing the information requested below.

A. Contract Number, award date, and contract type.

B. Price/Cost – original award amount, and current or final cost or price with explanation for significant (i.e., 10% deviation) cost / price increases.

C. Period of Performance.

D. Rationale supporting your assertion that the past performance references are relevant to the

TCM N&S requirement as defined within this RFP

E. Point of Contact information to include the names, current phone numbers, and email addresses for references.

F. A copy of any cure notices or show cause letters received for each contractor listed and a description of any corrective action by the Offeror or proposed subcontractor.

The Offeror shall identify any contract actions it has performed as a prime or subcontractor that has been terminated, in whole or part, for default or cause during the past three (3) years and any contract actions which are currently in the process of such termination. The information is required for any contract action, whether or not relevant to the proposed effort.

The Government reserves the right to consider past performance information from other sources when evaluating Offerors’ past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the offerors. Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the

Government.

4). Volume IV – Price:

The Offeror shall complete and submit the Contract Line Items (CLINs) in “Supplies or Services and

Prices/Costs” for all periods of performance. The Offeror shall not enter prices on CLINs associated with Travel and shall instead rely upon the Not to Exceed amounts provided by the Government.

The Offeror(s) shall complete and submit the document titled, “Pricing Worksheet”, for all periods of performance. In the “Price Labor Breakdown” tab, the Offeror shall identify the staffing (by Labor Category, Labor Hours, Status (exempt from or subject to Service Contract Labor Standards), Contractor Manpower

Equivalents (CMEs) and their associated fully burdened rates) that will be used by the Offeror and its subcontractor and partners to perform. The “Price Labor Breakdown” tabs should be tailored as needed to provide all requested and required information. The Technical Evaluation Board will receive a copy of this document, without the associated pricing information, to assess the reasonableness of the staffing approach and the Offeror’s overall understanding of the requirement.

The Pricing Worksheet shall be incorporated into the awarded contract and used to price optional tasks and for other appropriate purposes. The fully burdened labor rates proposed for each year cannot be adjusted except for instances where the labor categories are subject to the Service Contract Labor Standards and a revision is permitted under the provisions of FAR 52.222-43, Fair Labor Standards Act and Service Contract Labor

Standards – Price Adjustment (Multiple Year and Option Contracts). Therefore, offerors are cautioned to include inflation where warranted.

ADDENDUM TO FAR 52.212-2 EVALUATION – COMMERCIAL ITEMS.

Basis for Contract Award and Evaluation Criteria.

This is a performance-based services requirement being procured in accordance with FAR Part 12, Acquisition of Commercial Items, and Part 15.3 Source Selection procedures, as supplemented by the Defense Federal

Acquisition Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement

(AFARS). The Government intends to award a single firm fixed price contract to the lowest priced, technically acceptable (LPTA) Offeror based on the evaluation criteria identified within this RFP. The LPTA process does not permit tradeoffs among price and non-price factors (FAR 15.101-2(b)(2)). Offers received for less than the entire requirement will not be eligible for award.

The evaluation factors are as follows:

Factor 1: Mission Capability

Subfactor 1: Technical Capability

Subfactor 2 - Staffing and Management Plan

Subfactor 3 – Key Personnel

Factor 2: Past Performance

Factor 3: Price

The Offeror’s Proposal shall demonstrate a clear understanding of the nature and scope of the work specified in the PWS. Failure to provide a complete Proposal shall reflect a lack of capability to perform the work requirements and may result in a determination that the Offeror’s Proposal is unacceptable.

Factor 1: Mission Capability. The Government will evaluate the Offeror’s proposed Technical Capability approach and Staffing and Management Plan to assess the Offeror’s understanding of and capability to successfully perform the

PWS requirements.

SubFactor 1: Technical Capability

The Government will evaluate the Offeror’s proposed Technical Capability approach to assess the Offeror’s understanding of and capability to successfully perform the PWS requirements. To receive consideration for award, the proposal must adequately meet the requirements of the RFP and be presented with at least minimum detail to assure the evaluator of an understanding of the proposed requirement. The proposal will be evaluated to determine the extent to which the offeror demonstrates a clear understanding of the requirements of the RFP. The offeror shall submit a proposal that completely addresses all PWS requirements; specifically identifying how each requirement will be satisfied.

SubFactor 2: Staffing and Management Plan.

The Government will evaluate whether the Offeror has proposed a sound comprehensive Staffing and

Management Plan that demonstrates its ability to monitor and manage a qualified workforce capable of successfully performing the requirement. Specifically, the Government will evaluate the following:

a) The extent to which the Offeror intends to rely upon itself and/or the its partners to perform this requirement by task, by location and by percentage of the costs of services performed.

b) The Offeror has identified its proposed organizational structure, its lines of management authority, supervision, span of control and accountability and whether the individual authorities and decision-making authority within their organization is at a level that is practical for efficient operations.

c) The Offeror has a sound process in place to monitor and manage performance by all personnel to include Key Personnel, including any partners, across numerous geographic locations, to ensure timely quality work and to control costs; and

d) The Offeror has proposed a sound phase-in plan that will adhere to the timelines and accomplish the tasks specified in the PWS.

e) The Offeror has proposed a sound staffing approach (by number of personnel, by labor categories; by location), using cross-utilization, reach-back, part-time or temporary personnel, to perform this requirement.

f) The Offeror has demonstrated a sound process and a reasonable timeline to recruit, train and retain a sufficient number of qualified personnel to successfully perform this requirement.

SubFactor 3 – Key Personnel. Provide the names of the Key Personnel who will perform under this contract, their resumes and letters of commitment. The resumes shall provide proof of each Key Person’s certifications, security clearances and other qualifications required for his or her designated positions. Résumés must conform to the format specified below and must identify all positions upon which the Offeror relies to meet any experiential requirements.

-Name

-Education (degree/discipline/year attained/school)

-Certifications (id number; date earned; expiration date

-Current Security Clearance

-Proposed Labor Category

-Experience (company, position title, employment dates (month/year to month/year) description of relevant duties/responsibilities; number/type personnel supervised)

Rating for Factor 1:

Table 4: Technical Ratings

Rating Description

Acceptable Proposal meets the requirements of the solicitation.

Unacceptable Proposal does not meet the requirements of the solicitation.

Factor 2: Past Performance

The Government will evaluate the Offeror’s recent and relevant past performance to determine how well the contractor performed on the referenced contracts and to assess the Offeror’s probability of performing the solicitation’s requirements. Past performance is assessed at the factor level after evaluating aspects of the Offeror’s recent past performance that is relevant to the services being procured under this solicitation. Offerors are cautioned that in conducting the performance risk assessment, the Government may use data provided in the Offeror’s proposal and data obtained from other sources, such as the Past Performance Information Retrieval System, Federal

Awardee Performance and Integrity Information System, Electronic Subcontract Reporting System, or other databases; and may be obtained from other sources available to the Government, Defense Contract Management

Agency and interviews with Program Managers, Contracting Officers, Fee Determining Officials and/or State

Department Watch Lists. The team will use information determined to be recent and relevant to determine how well the contractor performed on the referenced contracts. Past performance areas of evaluation include:

a) Quality of Service

b) Schedule

c) Customer Satisfaction

Each offeror will receive a performance confidence assessment rating based on the Offeror’s recent past performance, focusing on performance that is relevant to the Contract requirements. The Government will first conduct a recency and relevancy assessment of the submitted past performance efforts. Only submissions assessed as recent and relevant, per the definitions below, will be evaluated for a past performance confidence assessment:

Recency Assessment. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this RFP. Past performance information that fails this condition will not be evaluated.

Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity. The

Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature of work, size, and complexity to the services being procured under this

RFP.

The Past Performance will be rated using the adjectival ratings in table 5 below:

Table 5 Past Performance Evaluation Ratings

Rating Description

Acceptable Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the

Offeror’s performance record is unknown.

Unacceptable Based on the Offeror’s performance record, the Government does not have a reasonable expectation that the Offeror will be able to successfully perform the required effort.

Offerors without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, may not be evaluated favorably or unfavorably on past performance. Therefore, the Offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable.”

Factor 3: Price.

Price will not be scored or rated. Evaluation of price will be performed on Proposals that have been evaluated and determined to be Acceptable for both Factors 1 and 2. The Government will evaluate prices using one or more of the price analysis techniques in FAR 15.404-1. Through these techniques, the Government will determine whether prices are reasonable, complete and balanced. However, unreasonably high, unbalanced, inaccurate or incomplete price proposals may be the grounds for eliminating a proposal from the competition.

Price reasonableness will be evaluated in accordance with the proposal analysis techniques described in FAR

15.404-1(b).

Unbalanced Pricing may be evaluated in accordance with FAR 15.404-1(g), as applicable, to assess potential performance risk which could result in unreasonably high prices.

Completeness/Accuracy. A determination will be made as to whether the Offerors have properly understood the proposal instructions. The proposals will also be checked for mathematical accuracy.

Option Years. The Government will evaluate offers for award purposes by adding the total price for all option years, including FAR 52.217-8, to the total price for the base period. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

Evaluation of Option to Extend Services under 52.217-8. As part of the price evaluation, the Government will evaluate the option to extend services under FAR 52.217-8 by adding six months of the Offeror's final option period price to the Offeror’s Total Overall Evaluated Price. Thus, the Offeror's Total Overall Evaluated Price for the purpose of this LPTA evaluation will include the base period, all option periods and 1/2 of the second option period. Offerors will not propose a price for this additional six-month period.
