SPECIAL CONTRACT REQUIREMENTS

1. Delivery Order Procedures for East Coast Delivery Order Contracts.

The Government contemplates award of Multiple Indefinite Delivery- Indefinite Quantity (ID/IQ) contracts with firm fixed price delivery orders, to provide both routine and non-routine drydocking, cleaning, painting, repairs and modifications to U.S. Army Active and Reserve vessels, to multiple contractors on East Coast of the United States. An approved Acquisition Plan covers all delivery orders placed under this contract.

Successful Awardees of the contracts will be provided a fair opportunity to compete for each delivery order in a Request for Delivery Order Proposal (RDOP). The delivery order will be awarded to the Contractor whose offer is the best value to the Government, considering ability to meet required performance period, price and urgency of the requirement.

The Contracting Officer will set-aside all delivery orders for small business. In order to be issued an RDOP for a vessel, the MVA must include that vessel class and the offeror must have proposed ceiling prices for the vessel class as part of the basic award.

Delivery orders will be issued via electronic means to the successful contractor on Department of Defense (DoD) Standard Form (SF) 1449, Commercial Order for Supplies or Services, on a fixed price basis and will incorporate task specifications provided by the Government. Modifications to delivery orders will be issued on Standard Forms (SF) 30, Amendment of Solicitation /Modification, and may incorporate revisions to the delivery orders.

The Contracting Officer will issue delivery orders identifying the vessel by hull number and location. Each delivery order will list work items to be accomplished. In addition, if necessary, the delivery order will include specifications for non-routine repairs, modernization work, and/or miscellaneous repairs.

The Contractor shall initiate delivery order performance promptly upon receipt of a fully executed delivery order signed by the Contracting Officer.

2. Routine Requests for Delivery Order Proposals.

a. Awardees of the contract will be provided a fair opportunity to compete for each order.

Delivery orders will consist of two sections. Section 1 will contain items selected from the established pre-priced List of Individual Prices of the subject contract. Section 2 will consist of additional items specific to the vessel which have been identified in a ship survey. Any modernization modifications to the vessels will also be listed under Section 2. These additional items will be both definite items, work which is known to be required during delivery order performance, and indefinite items, work which if required will be activated by the Government via modification to the delivery order.

b. When evaluating offers for delivery orders, offers may be analyzed for balance IAW FAR 15.404-1(g) and Definite Items may be weighted higher than Indefinite Items. For example, in a delivery order where the Definite Items represent approximately 60% of the tasks, greater significance will be given to the Definite prices with lesser significance being given to the Indefinite prices. Award will be made to the Offeror with the lowest evaluated total price, which is NOT necessarily the lowest aggregated price. The significance accorded to the Definite items will vary depending on the proportion of the overall price represented by the Definite and Indefinite items.

c. In Section 1 of the RDOP, Offerors can either enter prices from the established prices in the LIPs of the subject contract or submit new prices for the items. In the event the Contractor elects to submit new prices, the new prices cannot exceed the prices established in the LIPs of the subject contract. Offerors shall submit prices for the additional items specific to the vessel in Section 2. The delivery order will be awarded for the total amount of items in Sections 1 and 2.

Offerors shall submit a RDOP within ten (10) calendar days after issuance of the delivery order specification by the Contracting Officer. There will be a set date for a site visit and Offerors are encouraged to attend to ensure complete understanding of the work required within the performance period. Award of each delivery order will be made to the Offeror whose proposal is the best value to the Government, considering ability to meet required performance period, price and urgency of the requirement.

d. The normal performance period for routine cyclic maintenance for each vessel is as follows:

LSV 7 120 calendar days LSV 1/6 120 calendar days LCU 2000 100 calendar days LT 800 120 calendar days BD 6800 100 calendar days ST-900 75 calendar days BC 45 calendar days BG 45 calendar days MWT/CF 100 calendar days SLWT 100 calendar days

LCM8MOD1 75 calendar days LCM8MOD2 75 calendar days

3. Non-Routine Delivery Orders.

a. There will be instances when the performance periods will be less than the above listed periods for cyclic maintenance. One example of a non-routine delivery order could be if a Small Tug (ST) must be drydocked for bottom blasting and painting, fuel tank cleaning and other minor work, with performance period of thirty (30) calendar days. (Note: a longer performance period would not be considered a reason for using Section 2). In these instances, performance periods will be commensurate with the urgency of the requirement or the amount of work required. All work items will be listed in Section 2 to enable Contractors to adjust prices to reflect changes in performance periods. Contractors will submit proposals and award will be made for items listed in Section 2 of the delivery order. Contractors shall submit a RDOP within ten (10) calendar days after issuance of the delivery order specification by the Contracting Officer. There will be a set date for a site visit and contractors are encouraged to attend to ensure complete understanding of the work required within the performance period. Award will be made to the Contractor whose offer is the best value to the Government, considering ability to meet required performance period, price and urgency of the requirement.

b. Delivery orders may also be issued for other than cyclic maintenance; for example, when non-routine repairs to the vessel are required. In these cases, the performance will be commensurate with the amount of work required. All work items will be listed in Section 2 to enable contractors to adjust prices to reflect the specified performance period. Contractors will submit proposals and award will be made for items listed in Section 2 of the delivery order.

Normally, Contractors will submit a RDOP within three calendar days after issuance of the delivery order specification by the Contracting Officer. Whenever possible, there will be a set date for a site visit; and, Contractors will be encouraged to attend to ensure complete understanding of the work required within the performance period. Award will be made to the Contractor whose offer is the best value to the Government, considering ability to meet required performance period, price and urgency of the requirement.

Note: In NO event shall the Contractor commence work without formal written notification from the Contracting Officer.

4. Contract Code of Business Ethics and Conduct (APR 2010)

FAR Clause, 52.203-13, Contractor Code of Business Ethics and Conduct (Apr 2010), mandates that a Contractor shall timely disclose, in writing, to the Agency Office of the Inspector General (OIG), with a copy to the Contracting Officer, certain violations of criminal law, violations of the civil False Claims Act, or a significant overpayment. Within the DoD, the designated "Agency Office of the Inspector General" is the DoD OIG at the following address:

Office of the Inspector General United States Department of Defense

Investigative Policy and Oversight Contractor Disclosure Program 400 Army Navy Drive, Suite 1037 Arlington VA 22202-4704 Toll Free Telephone: 866-429-8011

5. Complete the Online Representations and Certifications clauses for Representation, Certifications, and Other Statements of Offerors by using the System for Award (SAM), website located at https://www.sam.gov. Offerors must be registered in SAMs.

(D&B has no affiliation with this 4-character suffix.) This 4-character suffix may be assigned at the discretion of the business concern to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see the FAR at Subpart 32.11) for the same parent concern.

Registered in the System for Award Management (SAM) database means that—

(1) The offeror has entered all mandatory information, including the DUNS number or the DUNS+4 number, the Contractor and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see Subpart 4.14) into the SAM database;

(2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in the SAM database;

(4) The Government has marked the record ``Active''.

(b)(1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation. If registration prior to award is not possible, the awardee shall be registered in the SAM database within 30 days after award or before three days prior to submission of the first invoice, whichever occurs first.

(2) The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address exactly as stated in the offer. The DUNS number will be used by the Contracting Officer to verify that the offeror is registered in the SAM database.

(c) If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one.

(1) An offeror may obtain a DUNS number--

(i) Via the Internet at http://fedgov.dnb.com/webform or if the offeror does not have internet access, it may call Dun and Bradstreet at 1-866-705-5711 if located within the United States; or

(ii) If located outside the United States, by contacting the local Dun and Bradstreet office. The offeror should indicate that it is an offeror for a U.S. Government contract when contacting the local Dun and Bradstreet office.

(2) The offeror should be prepared to provide the following information:

(i) Company legal business.

(ii) Tradestyle, doing business, or other name by which your entity is commonly recognized.
