QUESTIONS AND ANSWERS
Q1. Can the Government confirm Delivery Locations will be restricted to CONUS locations when the primary location is not used and NOT OCONUS? If OCONUS please provide alternative OCONUS delivery locations.
A1. Per page 24, F.1, the primary delivery location is Peckham Vocational Industries Inc., 7100 Millet Highway, Lansing, MI 48917. No alternate delivery locations exist at this time.
Q2. If a QPL Contractor is not successful in the initial award of this RFP will they still be eligible at a later date during an on-ramping period if they maintained their QPL status?
A2. Yes
Q3. Reference page 32, H.5 On/Off Ramping Procedures. If an on ramp is announced by the Government will current awardees be required to or have the option to re-submit a proposal?
A3. No. However, failure to participate in at least two (2) consecutive delivery order competitions may result in current vendors being off ramped. A contractor will not be deemed non-responsive if they notify the Contracting Officer that the cause of their nonresponsiveness is the result of having no additional MC-6 manufacturing capacity (page 32, Section H.5).
Q4. Reference page 20 INSPECTION AND ACCEPTANCE TERMS. Should CLINS 0002 through 0007 be
ACCEPT AT: DESTINATION?
A4. Yes, CLINs 0002 through 0007 will be updated to “accept at destination.”
Q5. Reference page 23, “OFFEROR'S PROPOSED DELIVERY SCHEDULE”. Line reads “required delivery date for CLIN 0006, if ordered;” Should it read “required delivery date for CLIN 0008, if ordered;” since CLIN 0008 is the First Production Lot 10 each.
A5. Yes, CLIN 0006 will be updated to CLIN 0008. See FAR Clause 52.211-8.
Q6. Reference page 18, D.1 PACKAGING AND MARKING. Page 24 F.1 DELIVERY LOCATIONS, page 43 Section J - List of Documents, Exhibits and Other Attachments.
“Preservation, Packaging and Marking of all Deliverables and reparable items must be in accordance with this contract and Attachment 0007 - Peckham General Vendor Shipping Instructions Rev 12a dated 30 April 2019.”
Attachment 0007 on beta.sam.gov for subject solicitation is Rev 12 dated 31 March 2019. Is there a Rev 12a dated 30 April 2019 or is beta.sam.gov attachment 0007 Rev 12 dated 31 March 2019 the most current revision?
A6. Yes, Attachment 0007 will be updated on beta.sam.gov to reflect Rev 12a dated 30 April 2019.
Q7. Please advise why the on-ramping procedures are different than on the recent T-11 IDIQ (Solicitation# W911QY-19-R-0012), where on-ramping was advised to be conducted at the three and six year point of the awarded contract. (Page 32, section H.5)
A7. There is currently no standard practice for developing an on/off-ramping strategy. The MC-6 on/off-ramping strategy was developed as a method to strengthen opportunities for industry to propose on future solicitation opportunities. The T-11 on/off-ramping strategy was determined to be the best strategy at the time.
Q8. Please confirm that there are no page limits requirements for any of the listed Volumes (Volume 1 - Volume 5).
(Page 55, section L.2.2)
A8. There are no page limit requirements for Volumes 1-5.
Q9. Please advise if only IDIQ's are considered relevant and similar efforts - or if Single Award Stand Alone contracts would be considered relevant work as long as the manufacturing of personnel parachute systems was the primary effort in performance and execution. (Section L.2.3, Page 57-58 'Volume 5: Past Performance")
A9. IDIQ or standalone contracts are both acceptable. Offeror(s) shall submit a list of up to three (3) Government contracts (prime and major sub- contracts) performed or awarded during the past five (5) years, which are relevant to the efforts required by this solicitation, specifically involving the manufacturing of personnel parachute systems (page 57, Section L.2.3).
Q10. L.3.2.2 requires completion of Section E 52.246-11. There is nothing in that clause that is to be completed by the Offeror. What should be done to comply with L.3.2.2?
A10. See revised language at page 59, Section L.3.2.2.
Q11. Section L.2.3 requires FAR Clause 52.219-28 in Section I to be completed. FAR Clause 52.219-28 has no sections that the Offeror needs to respond to before contract award. 52.219-28 is also only included in Section I by reference. How should the Offeror meet this requirement in Section L.2.3?
A11. Offeror(s) shall complete the required representation located in paragraph (g) of FAR clause 52.219-28.
Additionally, FAR clause 52.219-28 has been changed to read by Full Text.
Q12. Section M.3.5 says a past performance rating of “unacceptable” is not considered eligible for award. Section M.4.2.4 does not have a rating available for selection of “unacceptable”. What ratings for past performance relevancy and confidence are not eligible for award?
A12. Section M.3.5 has been updated to reflect the ratings listed in Section M.4.2.4.
Q13. Section H.3 advises "should the government issue delivery orders within 60 days of each other and final delivery has not occurred, the delivery will be issued reflecting the economic quantity pricing the total quantity of all relevant delivery orders" why has the standard 30 days of allowance been changed to 60 days? The Offeror believes this change does not take Economy of Scale into thorough consideration and the potential complications that can arise with this longer time period in place.
A13. The allowance for the MC-6 has been updated to 30 days. See Section H.3.
Q14. Section E advises a CLIN 0000. The Offeror has not located a corresponding CLIN within this solicitation.
Will the Government please advise what efforts and performance are required for CLIN 0000?
A14. CLIN 0000 represents the Maximum contract value of $150,000,000.00. This CLIN is for administrative purposes only and is not to be priced.
Q15. Section L.2.1.1 states that "proposals are due NTL 12:00 p.m. EST 16 March 2020" The offeror requests that a two week extension be granted regarding the proposal submission date as the Offeror needs additional time to review the latest revisions of all drawing to ensure submission of the most accurate and competitive quote for the Government.
A15. Proposals will now be due NTL 12:00 p.m. EST 30 March 2020. See Sections A.9 and L.2.1.1.
The following have been modified:

(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.
SECTION H - SPECIAL CONTRACT REQUIREMENTS
H.1 OFFEROR’S ORGANIZATION AND KEY PERSONNEL
The Offeror's organization shall be established with authority to effectively accomplish the objectives of the Statement of Work. This organization shall become effective upon award of the contract and its integrity shall be maintained for the duration of the contract effort.
The key personnel listed in Paragraph H.2 are considered to be critical to the successful performance of this contract. Prior to replacing these key personnel, the Offeror shall obtain the written consent of the contracting officer. In order to obtain such consent, the Offeror shall provide advance notice of the proposed changes and shall demonstrate that the qualifications of the proposed substitute personnel are generally equivalent to or better than the qualifications of the personnel being replaced.
H.2 KEY PERSONNEL LIST
NAME / POSITION
Prior to permanently reassigning any of the specified individuals to other contracts, the Offeror shall provide the Contracting Officer not less than thirty (30) days advance notice and shall submit justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on the program. No reassignment shall be made by the Offeror without written consent of the Contracting Officer. The "Key Personnel" list may be amended from time to time during the course of the contract to either add or delete personnel, as appropriate.
H.3 DELIVERY ORDERS
The Government's requirements will be given to the Offeror by the timely issuance of delivery orders duly executed by the Contracting Officer in accordance with the Order Limitations Clause (FAR 52.216-19) and Indefinite Quantity Clause (52.216-22) in Section I.
The Government will issue a Delivery Order (DD Form 1155) for each requirement specifying the CDRL (if applicable) and the CLIN/SubCLIN. The delivery order will specify the quantity of units and the unit price for the quantity ordered.
Reference Section F, FAR clause 52.211-8 Time of Delivery of this contract; unless otherwise negotiated, the delivery schedules for all active delivery orders will reflect, or be modified to reflect, a delivery schedule based on the total quantity currently ordered under all active delivery orders excluding those within 30 days of delivery.
Should the Government issue delivery orders within 30 days of each other and final delivery has not occurred, the delivery order will be issued reflecting the economic quantity pricing the total quantity of all relevant delivery orders. All affected delivery orders will be subsequently modified to reflect the lower economic quantity pricing.
H.4 DELIVERY ORDER COMPETITION
In accordance with FAR 16.504, the Government guarantees that each successful offeror will receive at least the stated minimum amount specified in Contract Minimum/Maximum Quantity and Contract Value of the RFP at the time of contract award. CLIN and quantities will be awarded at the Contracting Officer's discretion to satisfy the contract minimum requirements. The maximum amount may be achieved through the issuance of a single or combination of orders at any time during the ordering periods, subject to the delivery order limitations established in Section I of this contract.
In the event of multiple awards, awardees will be provided a fair opportunity to be considered for each order.
Delivery order competitions will be conducted in accordance with FAR Part 16 procedures and will be conducted as best value tradeoff. The Government will provide the relative importance of the evaluation criterion. In the event of multiple awards, the Contractor whose delivery order is determined to be the best value to the Government will receive the highest percentage of the overall delivery order in accordance with the distribution identified in each delivery order competition instructions.
The three evaluation criteria identified herein will be considered by the Contracting Officer. Their relative importance may change dependent upon the circumstances of the Government's requirements at the time of delivery order competition. The Government will provide the relative importance of each factor.
The Offeror’s proposal will be evaluated using the factors shown in subparagraph (1) through (3) below to obtain the best value for the Government. The Offeror whose delivery order has been determined to be the best value for the Government will receive the highest percentage of the award. An example of a potential percentage breakdown for delivery order competitions is shown below:
Number of Awardees Percentage of Award 1 100% 2 70% / 30% 3 50% / 30% / 20%
The Contracting Officer reserves the right to alter the Percentage of Award after receipt of delivery order proposals.
The rationale will be documented in the delivery order file. Therefore, Offeror(s) are encouraged to propose their most favorable delivery schedule and pricing during delivery order competitions. In no case will a delivery order be awarded at a higher price than imposed by the basic contract.
Broad discretion will be exercised by the Contracting Officer, who will consider the following factors in the placement of orders:
Price, Delivery Time, and DO Past Performance
Delivery order competitions will be conducted electronically. Offeror(s) proposing different prices from that which are stated in the basic contract will be required to submit signed offers prior to award of the order. Unsuccessful Offeror(s) on individual orders over $5.5M may request a debriefing from the Contracting Officer in accordance with FAR 16.505(b)(iv)(E). Delivery Order competitions are only protestable in accordance with FAR 16.505(a)(10)(i), which states no protest under subpart 33.1 is authorized in connection with the issuance or proposed issuance of an order under a task-order contract or delivery-order contract, except for—
(A) A protest on the grounds that the order increases the scope, period, or maximum value of the contract; or
(B) A protest of an order valued in excess of $25 million. Protests of orders in excess of $25 million may only be filed with the Government Accountability Office, in accordance with the procedures at 33.104.
Any change to the protest threshold above in either the FAR or one of its supplements will result in a unilateral modification to this contract to update the above threshold accordingly.
Not all prospective Offeror(s) are entitled to an award on each of the Government’s delivery order requirements.
The number of delivery orders issued will be based upon the Contracting Officer’s determination of the best value to the Government, as described above.
H.5 On/Off Ramping Procedures
On/off ramp provisions are a strategy that gives the Government the flexibility to add or remove contractors from Multiple Award IDIQ contracts.
On ramp opportunities will be announced by the Government, within a reasonable amount of time, once a new vendor becomes certified on the MC-6 QPL. The announcement will be the release of a new solicitation, mirroring the terms and conditions of this solicitation (W911QY-20-R-0007). On ramp notification procedures will include publicizing a notice on Beta.Sam.Gov, issuing the solicitation, and conducting a source selection. On ramped contractor’s awards will mirror the same ordering period as the contracts resulting from this solicitation, so that ordering periods will all end at the same time. Therefore, on-ramped contracts may have a shortened overall period of performance based upon when the on-ramping occurs. The total dollar ceiling of this program will not be changed as a result of implementing these on ramping procedures.
Off ramping may apply to both large and small business IDIQ contract holders. The Government will conduct an annual assessment of the Contractor's performance, through the use of annual reporting tools, such as Contract Performance Assessment Reporting System (CPARS). The areas of performance to be assessed are as follows:
- Lack of responsiveness to delivery order competitions:
Lack of responsiveness includes failure to participate in at least two (2) consecutive delivery order competitions.
The contractor will not be deemed non-responsive if they notify the Contracting Officer that the cause of their non-responsiveness is the result of having no additional MC-6 manufacturing capacity.
- Terms of the contract:
Failure to uphold the terms and conditions outlined within the base IDIQ and delivery order documents.
- Pricing:
Proposing higher prices on delivery order competitions, not in accordance with the base contract, without proper notification of economic price adjustments, per FAR 52.216-4.
If the Contracting Officer, while taking into consideration the above mentioned criteria, feels it is in the best interest of the Government to off ramp a contractor, the follows steps will be taken:
- The Contracting Officer will notify the contractor of their findings, and request a detailed written explanation, within 10 business days, as to why the contractor feels they should remain eligible to compete in MC-6 delivery order competitions.
- If the Contracting Officer determines the contractor should remain eligible to compete for upcoming delivery orders, then no action shall be taken to off ramp said contractor. If the Contracting Officer makes the determination that the contractor should not be allowed to continue to compete for upcoming delivery orders, as they have met one or more of the above stated terms for off ramping, the contractor will be off ramped. The contractor will be made aware of this decision by a letter from the Contracting Officer. No changes will be made at that time to the contractor’s base IDIQ contract, or any currently awarded delivery orders, unless the infraction rises to the level of a termination, per FAR Part 49. The contractor’s CPARS rating will include this finding.
- If, after a period of no shorter than 12 months, the off-ramped contractor feels they should be reinstated and allowed to compete for upcoming delivery orders again, the contractor must submit a written response to the Contracting Officer, detailing how the contractor is currently better prepared to successful bid on delivery orders, and the steps that have been taken to make this so.
- If the Contracting Officer makes the determination that the contractor should be let back into the competition for upcoming delivery orders, the contractor will be notified of that determination in writing. If the Contracting Officer makes the determination that there has been no change to the overall strategy of the contractor, the contractor will remain off-ramped for an additional 12 months. This process may only happen once every 12 months, for the remainder of the five (5) year base contract period. The year option CLINs will not be exercised on a contractor’s base IDIQ contract if, by the end of the fifth base year, they are currently off ramped.
- If the Contracting Officer makes the determination to allow an off-ramped contractor back into the competition, they will document the contract file with a Determination and Findings, detailing their decision process. This determination will be reviewed at the appropriate levels within the Contracting Officer’s chain of command.
- If the Contracting Officer makes the determination that the contractor should not be allowed back into the completion for upcoming delivery orders, said contractor’s MC-6 IDIQ contract will remain open, in anticipation for the contractor to present their case the following year. By this time, the minimum guarantee on the IDIQ contract shall have already been met. As stated above, if a contractor is off-ramped at the end of the fifth base ordering period, the three (3) option year CLINs will not be exercised.
SECTION I - CONTRACT CLAUSES
The following were previously included by reference and are now included by full text:
52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)
(a) Definitions. As used in this clause--
Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

Each file of the proposal shall consist of a Table of Contents, Summary Section, and the Narrative discussion. The Summary Section shall contain a brief abstract of the file. Proprietary information shall be clearly marked. The following shall be included in the Narrative discussion:
Volume 1: Delivery Schedule
Section F: Offeror shall complete FAR 52.211-8

The Offeror shall acknowledge any amendments issued to this solicitation. Amendments must be acknowledged by signature of an official having the authority to bind the Offeror contractually by the completion and submission of the SF30 or an appropriate annotation on the SF33.
QPL certification. Offeror shall provide proof of their QPL certification per MIL-DTL-6645J or a discussion as to when the Offeror anticipates being placed on the QPL as it relates to the anticipated award date in Section L.2.1.2 above and the requirement that any potential contract awardee be successfully added to the QPL at the time of contract award. If the latter, the Offeror shall describe the current status at time of proposal submission of their current QPL submission and the expected major milestones remaining for QPL certification and a timeline of those events. Per FAR Subpart 9.2, any successful Offeror shall be on QPL at the time of contract award.
Volume 3: Contract Price The Offeror shall structure its price proposal to satisfy the requirements of the RFP while following the format outlined below.
The price volume shall contain the Offeror’s proposed prices which, if accepted by the Government, would become the firm fixed prices of the resulting contract between the Offeror and the Government.
Pricing Schedule. The Offeror shall enter its proposed prices into Attachment 0010 (See Section J), which is a spreadsheet and which is available from the contracting officer in electronic form. The Price Schedule in Section J shall be included in the Offeror’s Price Volume.
Quantity Discounts. The Offeror is encouraged to propose terms under which larger order quantities receive discounted unit prices. Offerors proposing such terms shall enter their proposed quantity break points and corresponding unit prices in the appropriate worksheets of Attachment 0010. Offerors are cautioned that the Government does not desire unbalanced pricing. (Unbalanced pricing and its associated risks are discussed at FAR 15.404-1(g)) The Offeror’s Price Factor rating shall be based in part on the Offeror’s quantity discounting terms.
Offerors proposing quantity discounts shall do so with the understanding that the Government’s method for calculating total order price shall be: (total quantity ordered) x (unit price corresponding to total quantity ordered) = (total order price).
Best Estimated Quantities. In order to assist the Offeror’s preparation of its proposal, the Government has provided its best estimated quantities (BEQ) for each CLIN in Attachment 0011 (see Section J). The Offeror is cautioned that the BEQs are strictly informational and shall not limit the Government’s right to order more or less than any BEQ, subject to Clause 52.216-19 -- Order Limitations (See Section I).
Total Evaluated Price. The Government shall apply the Offeror’s pricing and quantity discounting terms proposed in Attachment 0010 to the BEQs provided in Attachment 0011 to calculate a Total Evaluated Price (TEP). The Government shall evaluate the TEP for price reasonableness, in accordance with Section M of this solicitation. The Offeror’s Price Factor rating shall be based in part on the Offeror’s TEP.
Assumptions and Other Considerations. The Offeror shall provide a narrative of assumptions underlying and their impact upon its proposed prices. The Offeror shall also furnish all information that could have a bearing on cost and financial matters and which would be of mutual interest in the contemplated acquisition; for example, if a proposal is to be a joint venture arrangement, explain how financial matters are handled. The Offeror’s Price Factor rating shall be based in part on the Offeror’s assumptions and other considerations underlying the proposed prices.
Incorporation of Attachment 0010. If the Offeror’s proposal is accepted by the Government, Attachment 0010 shall be incorporated into the resulting contract and shall form binding prices for any orders issued from that contract.
Additional Price or Cost Information. At this time, the Government does not require any additional price or cost information from the Offeror; however, at any time prior to award, the Government may require, through the issuance of solicitation amendments, written discussions, or requests for proposal revisions, whatever additional price or cost information the Government needs to determine the reasonableness of the Offeror’s proposed prices.
Volume 4: Small Business Participation
Small Business Participation Commitment Document (SBPCD): The offeror shall submit a SBPCD in order to identify the extent to which U.S. small businesses will participate in the performance of the proposed acquisition relative to the Government's small business objectives (for a list of all small business objectives that will be evaluated, see RFP Section M.3.5., paragraphs a-g). Relative to the first objective in paragraph a., the following instructions are provided:
Other than U.S. small businesses may achieve their proposed small business participation commitments through subcontracting to small businesses. Small businesses may achieve their proposed small business participation commitments through their own performance/participation as a prime and also through a joint venture, teaming arrangement, and subcontracting to other small businesses. The following minimum quantitative requirements in terms of Small Business Participation apply to this proposed acquisition: Small Business: {26.1%} of the total contract value; Small Disadvantaged Business (SDB): {0.0%} of the total contract value; Woman-Owned Small Business (WOSB): {3.8%} of the total contract value; Historically Underutilized Business Zone (HUBZone) Small Business: {0.0%} of the total contract value; Veteran Owned Small Business (VOSB): {0.0%} of the total contract value; Service Disabled Veteran Owned Small Business (SDVOSB): {0.0%} of the total contract value. Note: Non- U.S. Based subcontracts are NOT exempt from the total contract value for the purpose of the SBPCD calculations. It is the Government’s expectation that the offeror will meet or exceed their proposed small business participation commitments during contract performance. Failure to meet or exceed proposed small business participation commitments will be reported in CPARS and may also result in contract default procedures. Offerors should thereby note that this is distinctly different than the Small Business Subcontracting Plan required for other than U.S. small businesses only.
Small Business Subcontracting Plan: In addition to the Small Business Participation Commitment Document, other than small business offerors must also submit a Small Business Subcontracting Plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003, DFARS 252.219-7004 (if the offeror has a comprehensive subcontracting plan), and AFARS 5119.705-4. A Small Business Subcontracting Plan shall detail small business subcontracting goals that the offeror strives to meet during contract performance. Such goals must be equal to or greater than the commitments proposed in the Small Business Participation Commitment Document and must be challenging, realistic and attainable. It is the Government’s expectation that the goals proposed will be sought with good faith effort. Failure to meet or exceed proposed Small Business Subcontracting goals without sufficient justification in terms of the good faith efforts applied may result in the offeror paying liquidated damages to the Government IAW FAR 52.219-16 “Liquidated Damages – Subcontracting Plan”.
Small businesses specifically identified in the Small Business Participation Commitment Document shall also be listed in any Small Business Subcontracting Plan submitted pursuant to DFARS 215.304(c)(i)(C). It is important to note that Small Business Subcontracting Plans are not evaluated as part of the source selection. Rather, they are reviewed only if the offeror’s proposal represents the best value to the Government upon conclusion of source selection. Failure to submit and negotiate an acceptable Small Business Subcontracting Plan may result in the offeror’s ineligibility for award.
Volume 5: Past Performance
IAW FAR 15.305(2)(iv) without a record of relevant past performance or for whom past performance is not available; the offeror may not be evaluated favorably or unfavorably.
