If an Offeror perceives the questions may reveal proprietary or protected information they must clearly mark the subject sentence or paragraphs and notify the Government that they consider the information proprietary (if the Government does not agree the information is proprietary the Government may choose not to answer the question). Questions received after the above referenced deadline may not be answered prior to proposal submission or at all. The Government does not anticipate that the closing date for receipt of offers will be extended. The Government will post the non-proprietary answers, without Offeror identification, to the FedBizOpps website located at https://www.fbo.gov.

L.1.3 The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated assertions. The proposal shall be specific, detailed and complete as to clearly and convincingly demonstrate that the Offeror has a thorough understanding of the requirements and associated risks, and is able, willing, and competent to devote the resources necessary to meet the requirements and has valid and practical solutions for all requirements. Mere reiteration of the requirement or standard reference material is inadequate It’s the Offeror’s responsibility to present enough information to be meaningfully evaluated without discussions. Features offered beyond the requirement of this solicitation will be incorporated into the awardee’s contract award.

https://www.fbo.gov/ mailto:marnita.r.harris.civ@mail.mil

L.1.4 Offerors shall assume that any data previously submitted in response to another solicitation, whether submitted to the Program Executive Office for Simulation, Training and Instrumentation, ACC-Orlando or another agency, should be assumed to be unavailable during this proposal evaluation and source selection process. Proposal data shall not be incorporated into the proposal by referring to another proposal or other source.

L.1.5 Offerors shall assume that the Government has no prior knowledge of their facilities and experience. The Government will base its evaluation on only the information presented in the Offerors proposal. In presenting material in their proposal, Offerors are advised that quality information is more important than quantity. Statements that the prospective offeror understands, can or will comply with the PWS, and statements paraphrasing the requirements or parts thereof are unacceptable. Elaborate brochures or other presentations beyond that sufficient to present a complete and effective proposal, are neither necessary nor desired.

L.1.6 If a discrepancy exists between the original paper copy of the proposal and the CD copy, the electronic copy will take precedence.

L.1.7 In accordance with FAR 52.215-1, Instructions to Offerors – Competitive Acquisition, the Government intends to make award without discussions (except clarifications as described in FAR 15.306(a)). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. The Government will evaluate all proposals in accordance with FAR Subpart 15.305(a), and if discussions are to be conducted, establish a competitive range comprised of all of the most highly rated proposals, based upon the ratings of each proposal against all evaluation factors and subfactors. The decision to establish a competitive range will be made at the sole discretion of the Contracting Officer.

After evaluating all proposals in accordance with FAR Subpart 15.305(a), the Contracting Officer may also determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which efficient competition can be conducted. Offerors are therefore advised that the Source Selection Authority, for purposes of efficiency, may also limit the number of competitive range offerors, at their sole discretion.

In accordance with FAR 15.306(d), discussion sessions with each offeror may be held. Should discussions take place, all offerors in the competitive range will be allowed a minimum of 14 calendar days to submit Final Proposal Revisions.

If discussions are conducted, the Contracting Officer will schedule the discussion sessions, and each offeror will be notified of the time and place at least three (3) business days prior to their discussion session. The Contracting Officer will provide additional instructions with the notification. The discussion sessions will take place at a facility of the Government’s choosing in the Orlando, Florida area.

L.1.8 Files shall not contain classified information.

L.1.9 Offerors shall not make any changes to the solicitation. Any objections to the terms and conditions of the solicitation should be addressed to the Procuring Contracting Officer (PCO). If the proposal takes exceptions to the terms and conditions of the solicitation, all exceptions shall be denoted in a cover letter to the proposal; however, exceptions to the solicitation taken in the proposal may result in the offer being non-compliant.

L.1.10 OFFERORS ARE HEREBY ON NOTICE THAT A FAILURE TO SUBMIT ALL THE

REQUIRED DOCUMENTATION IN EXACTLY THE MANNER (TIMELINESS AND

FORMAT) SPECIFIED IN THE SOLICITATION MAY CONSTITUTE A BASIS FOR THE

GOVERNMENT TO REJECT A PROPOSAL AS NON-COMPLIANT AND THEREFORE

UNACCEPTABLE, AT THE SOLE DISCRETION OF THE SOURCE SELECTION

AUTHORITY.

FURTHERMORE, SHOULD AN OFFEROR INDICATE IN ITS PROPOSAL THAT: IT

CANNOT OR WILL NOT MEET ONE OR MORE CONTRACT REQUIREMENTS;

PROVIDE AN APPROACH THAT CLEARLY DOES NOT MEET ONE OR MORE

CONTRACT REQUIREMENTS; OR, INCLUDE PROPOSAL INFORMATION THAT

PROMPTS THE GOVERNMENT TO QUESTION THE OFFEROR’S COMPLIANCE WITH

ONE OR MORE CONTRACT REQUIREMENTS, THE GOVERNMENT MAY DETERMINE,

AT ITS DISCRETION THAT THE OFFEROR’S PROPOSAL IS NON-COMPLIANT, AND

THEREFORE INELIGIBLE FOR AWARD.

If that letter is more than two years old and the Offeror has a more current DCAA audit report commenting on the status of their accounting system, a copy of that report will also be submitted. If the Offeror’s accounting system was disapproved or deemed to be not adequate, the Offeror will identify all deficiencies along with steps taken, or to be taken, to correct the deficiencies and a timeline to include audit by the cognizant audit agency after corrective action has been implemented. If the Offeror’s accounting system has never been audited by their cognizant federal audit agency, or the most current audit is more than two years old, a DCAA Standard Form 1408, Pre Award Survey of Prospective Contractor Accounting System, must be filled out and included in the Cost/Price Volume.

1. Mark “X” in the appropriate column.

2. On Page 2 provide a narrative describing how the current accounting system supports your response to each item.

L.6.2.6 The Offeror shall complete the provided Labor Traceability Matrix (fill in Attachment 7e). The Offeror shall trace the proposed internal labor categories and associated rates it will utilize in the performance of SOF TEAMS III Contract to the corresponding Government provided labor category/rate list in Column C of Attachment 7e. Offerors do not need to provide an identical match to these provided categories, however; the Offeror shall provide a detailed description of any proposed labor category that it plans to utilize if the title and/or description differs from the labor category/description provided by the Government. This description must clearly demonstrate that the proposed labor category sufficiently meets the Government’s need.

If the Offeror proposes a rate based upon a cost pool average, it shall provide detailed information regarding all associated labor categories that comprise the rate, along with individual descriptions for each category. If a composite rate is proposed and is composed of multiple (more than one) labor pools, the Offeror shall provide rationale for its use, to include all associated labor categories, labor descriptions and rationale for its implementation.

L.6.2.7 The Offeror shall ensure that each labor rate applicable to the Wage Determination (WD) or Collective Bargaining Agreement (CBA) meets the minimum wage requirement for the corresponding labor category identified in the applicable Attachment (Attachment 10 or Attachment 14). The Offeror shall match each proposed Labor Category to the applicable WD Labor Category (identified in Attachment 10) or CBA Labor Catgory (Attachment 14) and/or annotate one of the following in Column D of Attachment 7e:

a. The Offeror shall annotate “Applicable” if it feels the category proposed can be adequately mapped to an appropriate WD or CBA category/rate and shall provide the category title and rate, or

b. The Offeror shall annotate “Not Applicable” if neither the WD nor the CBA is applicable to an Offeror’s Labor Category. If not applicable the Offeror shall disclose one of the following:

i. The Offeror shall annotate “Exempt” and shall provide a detailed explanation as to why if it feels the proposed category is exempted from the WD, or CBA, or

L.6.2.8 If applicable, the Offeror(s) shall disclose information pertaining to the proposed Joint Venture (JV) or mentor-protégé agreement. The Offeror shall provide information identifying all affiliates and provide evidence validating the legally binding JV or mentor-protégé business relationship.

SECTION M - EVALUATION FACTORS FOR AWARD

EVALUATION FACTORS FOR AWARD

M.1.1 BASIS FOR AWARD

Evaluations will be conducted utilizing the best value, subjective trade-off methodology in accordance with FAR Part 15. The Government intends to award a single award of a ‘C’ Type contract, to the Offeror who is deemed responsible in accordance with the FAR; whose proposal conforms to the solicitation’s requirements; and whose proposed solution represents the best value to the Government (i.e., which provides the greatest overall benefit to the Government in response to the requirement, price and non-price evaluation factors considered).

As such, the Government may award to other than the lowest priced or highest technically rated proposal.

The ultimate source selection decision will not be made by the application of a predefined formula, but rather by the conduct of a tradeoff assessment among the evaluation criteria, and by exercise of sound business judgment on the part of the Source Selection Authority. The contract will be awarded to the offeror whose proposal represents the best overall value to the Government based on the evaluation criteria set forth herein.

NOTE: IF AN OFFEROR’S PROPOSAL OFFERS A METHOD OR APPROACH THAT

EXCEEDS GOVERNMENT’S ADVERTISED REQUIREMENTS IN SOME MANNER, THE

GOVERNMENT RESERVES THE RIGHT TO MODIFY THE FINAL CONTRACT PRIOR

TO AWARD IN SUCH A MANNER AS TO MAKE THOSE PROPOSED ENHANCEMENTS

THE MINIMUM GOVERNMENT REQUIREMENT UPON AWARD.

M.1.1.2 To be eligible for award, the offeror is required to meet all solicitation requirements, including all terms and conditions, representations and certifications, and technical requirements. The Government reserves the right to award no contract at all, depending on the quality of the proposal(s) submitted and the availability of funds.

M.1.1.3 The Government may reject any proposal that it evaluates to be unrealistic in terms of program commitments, including contract terms and conditions, assumptions, or unrealistically high or low cost or price as assessed by the Government, such that the proposal is deemed to reflect an inherent lack of competence or failure to comprehend the complexity and risks of the program.

M.1.1.4 The Government intends to evaluate proposals and award the contract without discussions with Offerors (except clarifications as described in FAR 15.306(a)). However, the Government reserves the right to enter into discussions at the sole discretion of the Contracting Officer. If discussions are to be conducted, a competitive range will be established comprised of the most highly rated proposals, based upon the ratings of each proposal against all evaluation factors and sub-factors. The decision to establish a competitive range will be made at the sole discretion of the Contracting Officer.

M1.1.5 If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition.

M.1.1.6 Government exchanges with Offerors after receipt of proposals must be conducted through the Government PCO and do not constitute a rejection or counteroffer unless such a determination is made by the PCO.

M.1.1.7 All proposals shall be subject to evaluation by a team of Government evaluators, advisors and non-Government support. Scientific, Engineering, and Technical Assistance (SETA) Contractors, specifically Optimal Solutions & Technologies (OST) Inc. may assist the Government throughout the performance of any resulting contract in a support capacity. These individuals will be authorized access only to those portions of the proposal data and discussions that are necessary for them to perform their respective duties. Such firms are expressly prohibited from competing on the subject acquisition. In accomplishing their duties related to the source selection process, employees of contractor firms may require access to proprietary information contained in the Offerors’ proposals. These Government Contractors supporting the evaluation process will be required to sign and submit Source Selection Participation Agreements (SSPAs) and must disclose any associated financial interests to the Government.

M.1.0 FACTORS AND SUBFACTORS TO BE EVALUATED

The Government will evaluate each offeror’s proposals against the criteria set forth below.

Offeror’s shall utilize the Performance Work Statement to build their proposal. Award will be made to the responsible Offeror submitting the proposal that is determined to provide the best value to the Government (i.e., offers the greatest overall benefit to the Government in response to the requirement, price and non-price evaluation factors considered). As such, the Government may award to other than the lowest priced or technically outstanding proposal.

Factor 1 – Program Management

Subfactor 1.1 – Organization Structure Subfactor 1.2 – Execution Approach

Factor 2 – Technical, Operational, and Configuration Management

Subfactor 2.1 – Technical Management Subfactor 2.2 – Operational Management Subfactor 2.3 – Configuration Management

Factor 3 – Cost/Price

M.1.2. EVALUATION FACTORS AND SUBFACTORS AND ORDER

OF IMPORTANCE

RELATIVE ORDER OF IMPORTANCE

The Government will evaluate each offeror’s proposal based on the following evaluation areas (presented in their relative order of importance): Factor 1 is more important than Factor 2.

Factor 2 is more important than Factor 3. Factor 1 and Factor 2 when combined are significantly more important than Factor 3.

Factor 1 (Program Management) is divided into two (2) subfactors. Subfactors 1.1 and 1.2 are equal in importance. Each subfactor will be assessed and given a Combined Technical/Risk Rating (see M.5.1) based upon strengths, weaknesses and deficiencies as those terms are defined in Section M 6.0. An overall Combined Technical/Risk Rating will be assigned to this factor by combining the ratings of subfactors 1.1 and 1.2 in accordance with the relative order of importance.

Factor 2 (Technical, Operational, and Configuration Management) is divided into three

(3) subfactors. Subfactors 2.1, 2.2, and 2.3 are equal in importance. Each subfactor will be assessed and given a Combined Technical/Risk Rating (see M.5.1) based upon strengths, weaknesses and deficiencies as those terms are defined in Section M.6.0. An overall Combined Technical/Risk Rating will be assigned to this factor by combining the ratings of subfactors 2.1, 2.2, and 2.3 in accordance with the relative order of importance.

The Government will assign an adjectival rating for Factor 1 – Program Management and Factor 2 – Technical, Operational, and Configuration Management. Proposal risk will not receive a separate rating. Price will not be assigned a rating.

To receive consideration for award, a rating of no less than “Acceptable” must be achieved for Factor 1 – Program Management and Factor 2 – Technical, Operational, and Configuration Management and for any Subfactor.

As the overall adjectival rating of the non-price factors (Factors 1 and 2) among proposals tends toward equality, price will become more important in making the award determination.

Award may be made to other than the lowest-priced proposal if the Government determines that paying a price premium is warranted due to the evaluation of non-priced factors. The Government may also award to other than the highest non-priced factors rated proposal, if the Government determines that paying a price premium is not warranted.

M.2.0 FACTOR 1 – PROGRAM MANAGEMENT (VOLUME II (Amend-01)) The below sub-factors will be evaluated using the adjectival ratings in accordance with the relative importance. A final Program Management factor rating will be assigned by combining the ratings of the below sub-factors.

M.2.1 Subfactor 1.1, Organization Structure The Government will evaluate the organizational structure (inclusive of subcontractors) to ensure that the Offeror has an understanding of the labor resources required to effectively handle technical requirements, contract management, administrative responsibilities and scope of the contract. The Government will evaluate the efficiencies of the organization flow chart to ensure clearly defined lines of responsibility, clearly defined levels of decision authority, location of personnel, and the communications/interfaces. The Government will evaluate the viability and effectiveness of the company’s interface to facilitate responsiveness to issues and/or concerns between principal operating offices and the parent company if any.

M.2.2 Subfactor 1.2, Execution Approach The Government will evaluate the effectiveness of the Offeror’s execution approach for managing contract transition, surge, and prioritization of manpower resources. The Government will evaluate the Offeror’s approach for phase-in and phase-out in an orderly and efficient transition, to ensure uninterrupted support. The Government will evaluate the effectiveness of the execution approach for the activation, deactivation, installation/relocation, operation, and support of TADSS at Fort Campbell, KY or outstation (option) locations.

M.3.0 FACTOR 2 – TECHNICAL, OPERATIONAL, AND

CONFIGURATION MANAGEMENT (VOLUME III (Amend-01)) The below sub-factors will be evaluated using the adjectival ratings in accordance with the relative importance. A final Technical, Operational, and Configuration Management factor rating will be assigned by combining the ratings of the below sub-factors.

M.3.1 Subfactor 2.1, Technical Management The Government will evaluate the Offeror’s proposed technical management approach to provide effective solutions for developing, implementing and supporting (staffing) minor modifications to TADSS.

The Government will evaluate the Offeror’s proposed approach to ensure a comprehensive approach for ensuring STIIIs personnel obtain the necessary skills and training required to maintain current, upgraded, or newly installed TADSS.

The Government will evaluate the Offeror’s proposed approach for modifying, integrating, and maintaining Government source data (i.e. Visual, Navigation, and Department of the Army Flight Information File (DAFIF), Instrument Approach Procedure Charts, Avionics, and Digital Maps).

The Government will evaluate the Offeror's proposed approach to provide, develop, and maintain cybersecurity measures for all TADSS devices and support equipment.

M.3.2 Subfactor 2.2, Operational Management The Government will evaluate the Offeror’s detailed proposed operations, sustainment, and maintenance approach to meet contracted availability and mission requirements. The Government will also evaluate the proposed approaches to minimize costs.

The Government will evaluate this detailed proposed approach to meet the TADSS availability and contracted mission requirements. The Government will also evaluate the Offeror's approach to provide effective system level hardware and software maintenance as well as supply support for TADSS sustainment.

The Government will evaluate the Offeror’s approach to provide effective solutions to forecast, identify, monitor, and resolve Diminishing Manufacturing Sources/ Material Shortages (DMS/MS) issues and systemic problems within the current TADSS.

M.3.3 Subfactor 2.3, Configuration Management The Government will evaluate the Offeror's proposed approach to provide Configuration Management (CM) of TADSS system software, hardware, and documentation during concurrent modifications.

The Government will evaluate the proposed CM processes to transition TADSS post- modification from an engineering baseline into a training baseline.

The Government will evaluate the proposed CM processes for hardware configuration identification, change management, configuration verification, and audit.

The Government will evaluate the proposed CM processes for software to provide version controls, build process, and rollback capability.

The Government will evaluate the proposed CM processes to maintain, manage, and update the logistic support package (documentation).

The Government will favorably consider proposed innovations and efficiencies that maintain current operations.

M.4.0. FACTOR 3 – COST/PRICE

M4.1 The Government’s analysis will be conducted in accordance with FAR 15.404-1. The Total Evaluated Price (TEP) is the summation of:

1) All Firm-Fixed Priced CLINs for Base Period and all Option Periods,

2) Government provided amounts for all Cost type CLINs for the Base Period and all Option Period, and

3) Total price for the final 6 months of the contract period of performance to account for Option to Extend Services clause FAR 52.217-8. This price will be calculated by dividing the final option period (option year 4) for each task order in half and adding each task order’s 6 month price to the TEP. This option pricing will be added to the TEP by the Government.

The TEP will be calculated for use in evaluation of offers and will be a consideration in the best value award decision. The TEP will be used for evaluation purposes only; the TEP is not representative of the actual contractual value. Spares shall not be priced at this time. Spares will be purchased as a Provisioned Items Order (PIO) in accordance with DFARS SUBPART 217.76--Contracts with Provisioning Requirements--. The Price Factor will not have an adjectival rating assigned. Those items denoted as "Optional" in the Solicitation, Section B, will be placed into the Contract as Options. Evaluation of options shall not obligate the Government to exercise such options.

M.4.2 The Government will verify the proposed staffing solution in Factor 1, Program Management, matches the staffing solution priced in Factor 3, Cost/Price.

M.4.3 The Government will verify the applicable minimum labor rates outlined in Attachments 10 & 14 have been met or exceeded.

M.4.4 The Government will review the pricing submissions for completeness and compliance with Section L of the RFP. Incomplete price submissions will NOT be evaluated and the proposal may be eliminated from the competition.

M.5.0 EVALUATION RATINGS AND RISK ASSESSMENT

M.5.1. RATINGS

The rating for the Program Management and Technical, Operational, and Configuration Management Factors and Subfactors will be expressed as an adjectival assessment of Combined Technical/Risk Rating- Outstanding, Good, Acceptable, Marginal or Unacceptable.

The following rating definitions will be utilized in the evaluation of the Program Management and Technical, Operational, and Configuration Management. The Factor ratings will be a roll-up of the respective Subfactors (Combined Technical/Risk

Ratings). The combined Technical/Risk rating includes consideration of risk in conjunction with the strengths, weaknesses, significant weakness, uncertainties, and deficiencies in determining technical ratings.
