INCURRED COSTS
In consideration for its undertakings under this contract's orders, the Government shall pay the Contractor the costs thereof determined by the Contracting Officer to be reasonable, allocable, allowable and a fixed fee on labor, subject to the following:
a. The cost of labor for performing this contract's orders shall be reimbursed in accordance with FAR clause 52.216-7 entitled "Allowable Cost and Payment" and FAR clause 52.216-8 entitled "Fixed Fee", of the General Provisions (Section I) of the resulting contract and Task Orders. The fixed fee shall be set forth in each order in which labor hours are purchased. Such fee shall be paid as it accrues. Each installment, thus payable, shall be based upon the number of labor hours incurred and billed during each invoice period. The maximum available fixed fee is based upon the number of hours awarded, with fixed fee being paid only for hours actually worked.
b. The cost of travel for performing this contract's orders shall be reimbursed in accordance with the FAR clause 52.216-7 entitled "Allowable Cost and Payment", of the General Provisions (Section I) of this contract. However, notwithstanding any other clauses contained herein, no Fixed Fee shall be paid on travel, site material, lab material, and ODC funded material; however, a fixed handling fee will only be allowed to Site Material, Lab Material, and ODC funded materials. Domicile to workplace travel will not be an allowable cost.
c. Indirect Costs: Interim reimbursable rate for indirect costs shall be on the basis of the billing rates, as agreed upon between the Contractor and the Cognizant Administrative Contracting Officer. Final rates will be determined by audit.
d. Fixed Fee: Notwithstanding any other clauses or provisions contained herein, fixed fee, paid on labor CLINs, to subcontractors for performance of manhours worked will not be an allowable cost for the prime contractor. The negotiated fixed fee, will be the only fixed fee allowed, regardless of whether worked by the prime contractor or by subcontractor.
The task orders under the resulting contract may be incrementally funded. Any task orders that are incrementally funded will include an incremental funding schedule and are subject to "Availability of Funds" (FAR 52.232-18) and "Limitation of Funds" (52.232-
22) clauses, which are included in Section I of this solicitation.
WIDE AREA WORKFLOW (WAWF)
WIDE AREA WORKFLOW (WAWF) INFORMATION
WAWF is a web-based tool used to electronically process invoices and receiving reports. It is one of three E-Invoicing options identified in DFARS 252.232-7003, but is considered the preferred E-Invoicing solution within DOD. The Defense Finance and Accounting Service (DFAS) - Contract Pay Services requires the use of a form of electronic commerce submission, when DFARS Clause 252.232-7003 governs the contract. The WAWF System has been deployed to facilitate electronic submission of payment requests. WAWF enables pre-population of data, data sharing, improved data accuracy, decreased redundant data entry, decreased lost or misplaced documents, and online access to contracts and related records. Email addresses, along with routing and location codes contained in the contract, are used to enable document access and alert users of pending document actions and status. Contractors benefit via increased cash flow and the DOD benefits via reduced interest penalty payments. To gain access to the WAWF production system, contractors must acquire an account for their company and register their employees to use the system. There is no charge to register for or to use WAWF. Registration instructions and online training are available at https://wawf.eb.mil/. Contractors must possess a Contractor and Government Entity (CAGE) code, maintain a current registration in the System for Award Management (SAM) and identify an Electronic Business Point of Contact. For security purposes, WAWF user identity is assured via Public Key Infrastructure authentication methods which enable structured user IDs, with secure audit capability. A review of the online training module A review of the online training module "WAWF Document Types Overview" under Overview Training and Vendor Creating Documents in WAWF under Vendor Training at https://wawf.eb.mil/ is recommended. Questions on WAWF and help for inputting invoices in WAWF should be directed to the WAWF Help Desk (available 24/7) at 866- 618-5988.

PROTECTING AND HANDLING FOUO
PROTECTION AND HANDLING OF "FOR OFFICIAL USE ONLY" INFORMATION
Information and/or material identified 'For Official Use Only' (FOUO) shall be protected and handled in accordance with the following:
a . DEFINITION. Information that has not been given a security classification pursuant to the criteria of an Executive Order, but which may be withheld from the public for one or more reasons cited in Freedom of Information Act (FOIA) Exemptions 2 through 8 shall be considered as being For Official Use Only. No other material shall be considered or marked 'For Official Use Only' (FOUO). FOUO is not authorized as a form of classification to protect national security interests.
b. SAFEGUARDING FOUO INFORMATION.
(1) During Duty Hours: During normal working hours information determined to be FOUO shall be placed in an out-of-sight location if visitors, casual traffic and other non-Government/non-contractor personnel have access to the work area.
(2) During Non-duty Hours: At the close of business, FOUO records shall be stored so as to preclude unauthorized access. Filing such material with other unclassified records in unlocked files or desks, etc., is adequate when normal U.S.
Government or Government/contractor internal building security is provided during non-duty hours. When such internal security control is not exercised, locked buildings or rooms normally provide adequate after-hours protection. If such protection is not considered adequate, FOUO material shall be stored in locked receptacles such as file cabinets, desks or bookcases.
c . TRANSMISSION OF FOUO INFORMATION. FOUO information will be transported in a manner that precludes disclosure of its contents. When not commingled with classified information, FOUO information may be sent via first-class mail or parcel post.
Shipments that otherwise qualify under postal regulations may be sent fourth-class mail.
Transmittal documents will call attention to the presence of FOUO attachments.
d . TERMINATION, DISPOSAL AND UNAUTHORIZED DISCLOSURES.
(1) Termination: The originator or other competent authority, e.g., initial denial and appellate authorities, shall terminate 'For Official Use Only' markings or status when circumstances indicate that the information no longer requires protection from public disclosure. When FOUO status is terminated, all known holders shall be notified, to the extent practical. Upon notification, holders shall efface or remove the 'For Official Use
Only' markings, but records in file or storage need not be retrieved solely for that purpose.
(2) Disposal: FOUO materials may be destroyed by tearing each copy in pieces to preclude reconstruction, and placing them in regular trash containers. When local circumstances or experience indicates that this destruction method is not sufficiently protective of FOUO information, local authorities may direct other methods but must give due consideration to the additional expense balanced against the degree of sensitivity of the type of FOUO information contained in the records.
(3) Unauthorized Disclosure: The unauthorized disclosure of FOUO information does not constitute an unauthorized disclosure of DOD information classified for security purposes. Appropriate administrative action should be taken, however, to fix responsibility for unauthorized disclosure whenever feasible, and appropriate disciplinary action should be taken against those responsible. The DOD component that originated the FOUO information shall be informed of its unauthorized disclosure.
