INSTRUCTIONS TO OFFERORS

L.1 INTRODUCTION.

The Government has a requirement to purchase the necessary analysis, design, development, integration, testing, delivery, and exercise technical support of the IEWTPT as defined and described in the attachments provided in Section J of this solicitation. Award will be made pursuant to the procedures in FAR 15.3, Source Selection, to the proposal that represents the Best Value to the Government. Offerors must be capable of providing all requirements. All proposals must be submitted in English, pricing must be in United States dollars and valid for at least 180 days. Proposals shall be submitted in both hard copy and electronic copy (Compact Disc (CD)) in accordance with Table 2 in Section L.5. The proposal shall not contain any classified information.

The Government will satisfy requirements for the IEWTPT procurement via full and open competition resulting in a “C” type contract. The award will consist of a 2-years base period, and 3-years/annual optional periods, comprising a total Period of Performance (POP) of 5 years and include CPFF and FFP CLINs. Award will be made pursuant to the procedures in FAR 15.3 to the proposal that represents the Best Value to the Government. Offerors must be capable of providing all requirements.

The Sensitive Compartmented Information Facility (SCIF) Accreditation Letter required in L.6.1.2 shall not be included within the proposal, but shall be submitted separately via SIPR secure email for compliancy and responsiveness determination purposes only.

Proposals shall be compliant with the full solicitation. The Government will evaluate each proposal in accordance with this solicitation; offerors are required to comply with all requirements stated herein. Any indication that the offeror does not intend to meet all of the requirements may cause the proposal to be evaluated as non-compliant and ineligible for award. Proposals must clearly and convincingly demonstrate that the offeror has a thorough understanding of the requirements and associated risks, and is able, willing, and competent to devote the resources necessary to meet the requirements and has valid and practical solutions for all requirements. Statements that the prospective offeror understands, can, or will comply with the specifications, statements paraphrasing the requirements or parts thereof and mere reiteration of the requirement or standard reference material are considered inadequate and unsatisfactory.

Any data previously submitted in response to another solicitation, whether submitted to ACC – Orlando, PEO STRI or another agency, should be assumed to be unavailable during this proposal evaluation and source selection process. Proposal data shall not be incorporated into the proposal by referring to another proposal or other source.

Clarity and completeness of the proposal are of the utmost importance. The proposal must be written in a practical, clear and concise manner. It must use quantitative terms whenever possible and must avoid qualitative adjectives to the maximum extent possible. Proposal volumes must be internally consistent or the proposal will be considered unrealistic and may be considered unacceptable.

Offerors shall not make any changes to the solicitation. Any objections to the terms and conditions of the solicitation should be addressed to the PCO. If the Offeror takes exceptions to the terms and conditions of the solicitation, all exceptions shall be explained in the cover letter to the proposal; however, any exceptions to the solicitation taken in the proposal may result in the offeror being non-compliant.

This plan shall be submitted separately from the Small Business Participation Plan information required above, which applies to both Large and Small Businesses. The Small Business Subcontracting Plan will be provided as an appendix to Volume III – Small Business Participation. The Small Business Subcontracting Plan is not a requirement for evaluation in source selection, but rather a requirement for award to a Large Business and will be incorporated into any resultant contract. For any contracts that did not/do not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence. The offerors shall list each time the delivery schedule was revised and provide an explanation of why the revision was necessary. All Requests for Deviation and Requests for Waiver shall be addressed with respect to causes and corrective actions. The offerors shall also provide a copy of any Cure Notices or Show Cause Letters received on each contract listed and a description of any corrective action implemented by the offeror or proposed subcontractor. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

L.6.4.4 Section 3 – Subcontracts

Offerors shall provide an outline of how the effort required by the solicitation will be assigned for within the offeror’s corporate entity and among the proposed subcontractors. The information provided for the prime offeror and each proposed major subcontractor must include the entire company name, company address, CAGE Code, DUNS Number and type of work to be performed by citing the applicable Government SOW subparagraph number. This includes all subcontractors who will be providing critical hardware/services or whose subcontract is for more than 5 percent of the total proposed price.

L.6.4.5 Section 4 – New Corporate Entities

New corporate entities may submit data on prior contracts involving its officers and employees. However, in addition to the other requirements in this section, the offeror shall discuss in detail the role performed by such persons in the prior contracts cited. Information should be included in the files described in the sections above.

L.6.4.6 Performance Risk Assessment Questionnaire

For all contracts identified in Section 1 Performance Risk Assessment Questionnaires must be completed and submitted as follows:

(a) The offeror shall complete Part A of the Performance Risk Assessment Questionnaire and e-mail the questionnaire to both the Government contracting activity and technical representative responsible for the past/current contract.

(b) The POC’s shall be instructed to electronically complete Parts B and C of the questionnaire and return it to the Contract Specialist at wesley.m.whisner.civ@mail.mil by 12:00 p.m. (1200 hours) EDT on July 11, 2016.

(c) The offeror shall also e-mail the Contracting Officer a POC list of their (5) identified contracts by 12:00 p.m. (1200 hours) EDT on July 11, 2016. The POC list shall be submitted in Microsoft Word format table format to include the following fields: Solicitation Number; Company Name; Contract Number; Government Agency; POC Last Name; First Name; POC Title; POC Telephone Number; POC E-mail Address; Date E-mailed to POC (month/day).

L.6.4.7 Sample Risk Assessment Questionnaire

A performance risk cover-letter and questionnaire are included as Attachment 8 in Section J.

L.6.5 VOLUME V – COST/ PRICE.

L.6.5.1 General Instructions.

Offerors shall prepare and submit a Cost/Price Volume containing the amount of copies and format as identified under section L.5 of the solicitation.

L.6.5.2. Total Evaluated Price Excel Workbook.

L.6.5.2.1 All Offerors are required to complete and provide as Appendix A to their Cost/Price Volume, the Total Evaluated Price Excel Workbook, which is provided as Attachment 5 to this solicitation. All instructions needed to complete the Total Evaluated Price Excel Workbook are included in the workbook. The Total Evaluated Price Excel Workbook submissions must be consistent within your proposal and must strictly conform to the requirements of the workbook. Offerors are not to adjust the Not-To-Exceed ceilings provided for customer funded CLINs. Offerors are required to complete the Cost and Fixed Fee portions of the customer funded CLINs in the Total Evaluated Price Excel Workbook, ensuring that the total of the Cost and Fixed Fee equals the Not-To-Exceed ceilings provided by the Government. Failure to adhere to these requirements may deem the offeror as non-responsive at the sole discretion of the PCO.

The Total Evaluated Price will consist of the sum of the proposed cost CLIN fees only for CLINs that have a provided Not-To-Exceed, both cost and fee for all cost CLINs that do not have a NTE provided, and the proposed FFP CLIN prices.

L.6.5.2.2 The CPFF CLINs within the Total Evaluated Price Excel Workbook are only used to determine the Total Evaluated Price. A Cost Realism Analysis will be performed and additional instructions are provided for cost CLINs within section L.6.5.3.

L.6.5.3 Cost Realism.

L.6.5.3.1 The offeror shall provide a Cost Breakdown Excel Workbook (editable and executable with formulas for all subtotals and totals) that contains all elements of cost according to each WBS element listed by CLIN, with all burdens identified for all CPFF CLINs for the prime and all proposed subcontractors as Appendix B to the Cost/Price Volume of the offeror’s proposal. The format and content will be in accordance with the instructions in FAR Table 15-2 (located at the end of FAR 15.408).

L.6.5.3.2 All CPFF CLINS shall be supported with detailed data in support of the efforts proposed. The offeror shall identify the Basis of Estimate.

L.6.5.3.3 An offeror’s proposal is presumed to represent the offeror’s best efforts to respond to the solicitation. Any inconsistency, whether real or apparent, between promised performance and cost should be explained in the proposal. For example, if the intended use of new and innovative production techniques is the basis for an abnormally low estimate, the nature of these techniques and their impact on cost should be explained. Additionally, if a corporate policy has been made to absorb a portion of the estimated cost, that should be stated in the proposal and the contract will include a clause which requires the offeror to absorb that portion of costs reflected in its cost proposal.

L.6.5.3.4 Any narrative regarding the Cost/Price Volume may be submitted in MS Word 2013 format; however, all MS Excel spreadsheets included as exhibits supporting the Cost and Price Volume (e.g., supporting basis of estimates, etc.) must be in MS Excel 2013 format that is editable and executable by the Government evaluator(s), clearly showing the calculations and formulas used in each cell. There shall be no hidden formulas or protected cells. Spreadsheets shall show the formulas used to calculate the rates/factors for each entry and shall not be included as an un-executable, un-editable or flat file such as an embedded picture (Enhanced Metafile). Mathematical explanations shall be provided for any embedded macro/extended formula utilized, clearly describing the functioning of the macro or extended formula.).

L.6.5.3.5 Any significant inconsistency if unexplained, raises a fundamental issue of the offeror’s understanding of the nature and scope of the work required and of his financial ability to perform the contract, and may be grounds for rejection of the proposal. The burden of proof as to cost credibility rests with the offeror.

L.6.5.3.6 It is anticipated that adequate price competition exists for this solicitation. Therefore, in accordance with the FAR, certified cost or pricing data is not required to be submitted with the proposal. If the Government determines adequate competition was not obtained, the Government reserves the right to request certified cost and pricing data. Other than certified cost and pricing data may be submitted in the offeror’s own format. However, to ensure that proposed costs are consistent with the technical proposal, a Cost Realism Analysis will be performed on all CPFF CLINs. The following information is required to be submitted in the cost/price proposal, to include subcontract costs:

L.6.5.3.7 Summary Estimating Methodology.

The offeror shall provide an estimating overview section of their cost proposal for all CPFF CLINs that provides the Government evaluation team with the following information:

0. Summary of Cost Proposal: The offeror shall provide a cost estimating summary describing the process used to develop the estimate. This section shall include, at a minimum, a summary of the approach used to estimate labor hours and a description of the process used to obtain vendor quotes for purchased equipment and/or material.

0. Ground Rules and Assumptions: The offeror shall provide an explanation of all ground rules and assumptions that affect the cost estimates. Topics to be addressed include, but are not limited to, investments, programmatic variables (e.g., inflation/escalation, make/buy decisions, prime/subcontractor relationships, and business base concerns), etc.

L.6.5.3.8 Subcontracts. If the offeror’s proposal includes subcontracts, a cost breakdown (as described above) is also required for any/all cost reimbursable subcontracts. The subcontractors' costs must be traceable to the Prime's proposal (by CLIN, by WBS, by year and by labor category).

L.6.5.3.9 The subcontractor proposal shall be submitted in the same level of detail as the Prime proposal, to include labor build-up, indirect rate information and material/other direct costs compositions, when required. If the subcontractor's proposal contains company proprietary data, the subcontractor can elect to provide a "redacted" proposal copy to the offeror and submit their FAR 15.404 compliant proposal directly to the POCs identified in L.3.1 of this solicitation.

L.6.5.3.10 The offeror will provide a schedule of all proposed subcontracts and interdivisional work orders or inter/intra-company transfers of cost. As a minimum, the schedule will contain the following seven columns (with explanatory footnotes):

0. Company Name (footnote[s] to the schedule will contain DCMA ACO and Defence Contract Auditing Agency (DCAA) supervisory auditor POC info [name, telephone number and email address]);

0. City and State;

0. Cage Code;

0. DUNS Number;

0. Subcontract Price/Estimated Amount (explanatory footnote if the work is proposed to be done by another division of your company or another subsidiary of your global parent corporation);

0. Type (FFP, T&M, Cost, etc.);

0. Competitive or Non-competitive ([1] if competitive, include footnote[s] to schedule with competitor info [as a minimum, name, city/state and amount], most recent analysis/negotiation document and basis for selection or [2] provide your cost or price analysis of all that are classified as Non-competitive);

0. Period of Performance (beginning mo/yr and ending mo/yr); and

0. Applicable CLINs (with footnote[s] to identify the subcontracted work scope and the WBS paragraphs).

L.6.5.3.11 If a CPFF or Cost Reimbursable subcontract is planned to be awarded on a competitive basis, the offeror will provide the list of competitors, their quoted prices and the basis for selection of the successful subcontractor; including the results of any cost realism analysis that was performed. If a Cost Realism Analysis of the subcontractor's proposal was not performed by the offeror, the offeror's proposal will so state.

L.6.5.3.12 Narrative Description of Work.

The offeror shall provide the narrative description of work content/technical parameters to include the technical description related to the performance and physical aspects of the estimate. If historical/analogous information for comparable efforts is available, it should be described in a Description of estimate/process portion of the cost proposal. When historical data from analogous programs is not available, the offeror shall describe the estimating process used to derive the proposed cost. General statements such as “estimates were derived from engineering judgment” or “estimates were derived from comparison with similar systems” are not acceptable substantiation unless the details of the engineering analysis and/or similar systems analysis are provided. Where standard factors were used to estimate labor, the basis used to establish the standards shall be included in the narrative. When level of effort estimates were used, provide the rationale for the proposed levels related to specific tasks or milestones in a detailed description of the prior program comparing the proposed effort and the individual labor categories proposed.

L.6.5.3.13 The offeror shall provide a listing of inflation rates used in the proposal, by time period, for each applicable cost category along with a basis for the inflation rates.

L.6.5.3.14 Cost Rates.

The offerors shall specifically provide supporting data and rationale for performance period rates and factors, including labor rate development methodologies, disclosure statements, basis for estimate, escalations applied, overhead, fringe benefit and G&A expenses, etc. The proposed base for indirect rates shall include the presumption that the Offeror will win the award. Offerors shall provide labor rates based on a 40 hour work week and a standard man-year of 1920 hours per year. Should Offerors not have a standard 40 hour work week, the offeror shall be required to document and provide rationale as such in the Cost/ Price Volume. In addition, if rates proposed are in accordance with an approved FPRA with DCMA, the offeror shall provide those approved rates in the Cost/Price Volume of the proposal. The offeror shall provide sufficient information to support the reasonableness of their proposed direct labor rates and indirect rates. The order of preference is:

Forward Pricing Rate Agreement

Forward Pricing Rate Recommendation by their cognizant ACO

If none of the above is available (or, if they do not include direct labor rates), the offeror will provide the following:

c. Direct labor rates: Offeror will submit the most recent actual average rate for each and every proposed category. Offeror will submit the actual average rate, as of the end of each of the last two completed fiscal years, for each and every proposed category. The "as of" date must be shown for each calculation. For each category and each year, the offeror will identify the number of employees in each calculation. The timing of wage/salary increases will be identified in the offeror's proposal (i.e., employee's anniversary date, yearly during [month], or other [with explanation]). If the above is not available, the offeror will provide sufficient justification for the proposed direct labor rates through the most appropriate means available. Note that the supporting justification will be reviewed for Cost Realism Analysis purposes. The direct labor rate information will be submitted for both the offeror and all subcontractors.

d. Indirect rates (for each and every proposed indirect rate): offeror will identify the start and end of their fiscal year and the allocation/application base for each indirect rate. Offeror will provide actuals for the most recent year-to-date period (base, pool and calculated rate) and the last two completed fiscal years (base, pool and calculated rate). Offeror will state whether or not the prior years' actuals have been audited by DCAA. Offeror will submit forecasted rates for each fiscal year covered in the solicitation (base, pool and calculated rate). If the offeror does not have a budget or detailed forecast for all fiscal years covered in the solicitation, only the calculated rate information will be required for those fiscal years. Offeror will submit actual sales for each of the last two completed fiscal years and year-to-date actual sales. Offeror will submit forecasted sales (for the current fiscal yearend and each fiscal year covered by this solicitation). The identified indirect rate information will be submitted for both the offeror and all subcontractors.

L.6.5.4 Work Breakdown Structure (WBS).

L.6.5.4.1 The WBS will be required of the offeror to assist in the Cost Realism Analysis. The WBS will only pertain to cost type CLINs. The offeror’s proposal shall provide a breakdown of the costs proposed down to a minimum of level three WBS elements and shall be shown by labor, material, overhead, other direct cost, subcontracts, and General and Administration (G&A). The offeror shall provide a cross-reference between the SOW and the appropriate CLINs / CWBS Element from the Cost/Price Volume to indicate where the specific SOW paragraph cost is included. The offeror shall also provide complete cross reference to the appropriate WBS element for all IEWTPT costs including satisfaction of all technical requirements including the SSS and SOW. This facilitates the crosscheck between the Cost/Price Volume and other proposal volumes. The offeror shall describe the cost-control principles and processes that will be used for Cost Account Management, including consideration for and use of a management reserve. Note that this discussion should include actual cost data and be provided only in the Cost/Price Volume.

L.6.5.4.2 Documentation is required for each WBS element priced out. This documentation shall provide the estimating basis of labor, material, and purchase components. If there is any information requested that does not apply to the offeror's proposal (e.g., manufacturing, etc.) then indicate with the letters 'NA' (Not Applicable) on any forms where there is a space for that information.

L.6.5.4.3 The offeror shall provide the direct labor profile of all labor used at minimum of level three WBS element proposed separated by the Government’s fiscal year. The offeror shall state whether the rates used are covered by an existing forward pricing agreement. The term "labor category" shall mean the lowest functional labor aggregation, (e.g., systems engineering not total engineering).

L.6.5.4.4 The offeror shall provide summary tables. List each Preliminary WBS element with the total hours, labor dollars, labor overhead, materials, material overhead, other direct costs, travel, subcontractors, G&A, and cost of money and fees.

L.6.5.4.5 The offeror shall provide any additional narrative to further clarify and explain the cost data in the proposal. Identify and substantiate, in the offeror’s own format, other cost adjustments that may impact the cost for the WBS elements not previously identified. Identify, in detail utilizing the offeror’s own format, the costs (savings) that would be incurred and describe the performance that would cause these costs/savings to occur. It is incumbent upon the offeror to create confidence that the proposed costs are reasonable.

L.6.5.4.6 The offeror shall identify and price all material related to the effort. The offeror shall provide a Bill of Materials, by Preliminary WBS element that includes cost, manufacturing, and extended cost. Identify each item of material that makes up the top 80% of the total material costs, and provide a summary of the costs for the remaining 20%. Include sources of price information. Provide the basis for the estimated costs for all material items whose extended price is greater than $25,000.

L.6.5.5 Firm Fixed Price (FFP) CLINs. A price analysis will be performed on all FFP CLINs listed in Section B of the solicitation. Offerors shall avoid presenting unbalanced pricing information. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more price element is significantly over or understated, as indicated by the application of cost or price analysis techniques per FAR 15.404(g). Offerors are cautioned that a proposal may be rejected, if unbalanced pricing exists and the contracting officer determines that the lack of balance poses an unacceptable risk to the Government.

L.6.5.6 Travel. No fee/profit shall be applied…
