ADDENDUM TO 52.212-4

Paragraph 52.212-4(w) is hereby added:

(w) The non-FAR Part 12 discretionary FAR and DFARS clauses included herein are incorporated into this contract either by reference or in full text. If incorporated by reference, see clause 52.252-2 herein for locations where full text can be found.

(End of Addendum)

ADDENDUM TO FAR 52.212-1

INSTRUCTIONS TO OFFERORS – PROPOSAL SUBMISSION. In the following paragraphs, pursuant to FAR Subpart 12.302(a), FAR Provision 52.212-1, and Instructions to Offerors – Commercial Items, is tailored. The basic provision paragraphs (a), (f), and (h) – (l) of FAR Addendum 52.212-1 are not replaced. The basic provision paragraph (d) and (e) are deleted for this solicitation.

Paragraphs 52.212-1(b), (c), and (g) are hereby replaced with the following:

1. General Instructions.

a. The Offerors may submit a proposal for one, two, or all three regions. If submitting a proposal for more than one region, the offeror must submit a separate proposal for each region. The regions are defined as: West (CLINs 0001-0028), Central (CLINs 0029-0063), and East (CLINs 0064-0111). The offeror shall submit their initial response for solicitation for contract award for commercial items by email to to Clifton Wells and Anthony Hill at clifton.m.wells.civ@mail.mil and anthony.j.hill16.civ@mail.mil NLT 10:00 AM, 9 Nov 2020, Local San Antonio TX time. The initial response shall include the contractors, Company Name, Proposal Number, Cage Code, Duns Number, Technical and Contractor POCs (name, telephone number and email address) and the overall Proposal Cost. Upon initial Proposal receipt, the Government will provide instructions for an invite for contractors to drop off full proposal(s) through the secure DoD Safe website at https://safe.apps.mil/. The contactor full proposal shall be received NLT 3:00 PM Local San Antonio TX time 10 Nov 2020. Failing to meet any one of the two submission deadlines specified above in this paragraph would cause the entire proposal to be treated as late and no proposal would be eligible for award. All Hard Copy and CD ROMs (see table 7 for guidance) must be received NLT 4:00PM, Local San Antonio TX time, 12 Nov 2020 at the address identifed in block 9 of the Standard Form (SF) 1449, Solicitation/Contract Award for Commercial Items. Failing to meet any one of the three submission deadlines specified above in this paragraph would cause the entire proposal to be treated as late and no proposal would be eligible for award. Any offeror that submits an offer that is incomplete, does not comply with requirements stated in the PWS, or otherwise does not conform to the requirements specified herein may result in the offeror being removed from consideration for award. Failure to submit all the required documentation in exactly the manner stated with regards to timeliness and format specified in the solicitation will constitute a basis for the Government to reject a proposal as non-compliant and, therefore, unacceptable at the sole discretion of the Procuring Contracting Officer.

b. These instructions are designed to ensure the submission of information essential to the understanding and comprehensive evaluation of proposals. The instructions permit the inclusion of any additional data or information an offeror deems pertinent within the stated page limitations. Offerors are cautioned to follow the detailed instructions fully and carefully, as the Government reserves the right to make an award based on initial proposals received, without discussion of such proposals.

c. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale methods, processes and procedures to address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror’s proposal. The Government will not infer meanings from vague or ambiguous language (e.g., “The Offeror understands/can comply/will comply with the PWS;” “Standard procedures will be employed;” “Well known techniques will be used.”). Any proposal that modifies or fails to conform to the essential requirements or specifications of the RFP may cause the proposal to be unacceptable resulting in the offer being removed from consideration for award. Any aspect of the proposal judged to be unacceptable may render the entire proposal unacceptable. If the proposal is determined to be unacceptable, upon completion of proposal evaluations the offeror will be notified promptly of the basis of the determination.

mailto:clifton.m.wells.civ@mail.mil mailto:anthony.j.hill16.civ@mail.mil https://safe.apps.mil/

d. In accordance with FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

e. Period for acceptance of offers. The offeror shall provide a statement that the offeror’s proposal and prices will remain in effect for 180 calendar days after solicitation closing date.

f. Questions, Clarifications, or Discrepancies. Address all questions, clarifications, or concerns regarding this solicitation in writing to the attention of Clifton M. Wells, Contracting Officer (KO), via e-mail at clifton.m.wells.civ@mail.mil and the Contract Specialist, Anthony Hill at anthony.j.hill16.civ@mail.mil referencing solicitation number W81K04-20-R-0020. 1. Concur that the information is proprietary and respond only to the requesting Offeror; or,

2. Non-concur that the information is proprietary and decline to answer the question.

For certain labor categories, the FAR Clause 52.222-42, Statement of Equivalent Rates for Federal Hires, provides the government’s assessment of the corresponding titles and occupational codes from the Service Contract Labor Standards Directory of Occupations. The minimum qualification requirements set forth in the PWS allow the Offeror to propose either Service Contract Labor Standards or non-Service Contract Labor Standards covered personnel for certain labor categories. The government is not making a predetermination of whether or not a particular labor category is Service Contract Labor Standards; or, if covered, which category from the Directory of Occupations applies. It is the responsibility of the offeror and the subsequent contract awardee to comply with the Service Contract Labor Standards. Wage Determinations will not be incorporated within the basic contract(s) but be incorporated at the task order level.

ix. Contractor Team Arrangements. Offerors may propose under this solicitation through a contractor team arrangement as defined in FAR Subpart 9.601. As such, a contractor team arrangement means an arrangement in which:

1) Two or more companies form a partnership or joint venture to act as a potential prime contractor; or

2) A potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified Government contract or acquisition program. A major subcontractor is defined as a subcontractor performing more than 25% of the contract effort.

If Quality Control, information is included elsewhere in the proposal (e.g., different volume or section), it will not be evaluated as part of Subfactor 1 - Quality Control. The Government will not adapt their evaluation to comply with an offeror’s proposal submission or otherwise go in search of information that an offeror omitted or failed adequately to present. The offeror shall clearly mark any proprietary information as such.

iii. The technical proposal shall not make reference to price data. The technical proposal will be evaluated strictly on technical approach.

iv. As the technical proposal will primarily describe how the offeror clearly meets the minimum solicitation requirements, it shall be specific and complete in every detail. A positive statement to the effect that the offeror will accomplish all requirements per the solicitation is not acceptable. The technical proposal shall not merely offer to perform work in accordance with the solicitation but shall outline the actual methods proposed as specifically as possible. It is the offeror’s responsibility to ensure the completeness of the technical proposal; hence, the Government technical review team will evaluate on the basis of the information provided in the technical proposal.

As a minimum, the Spill Response Plan shall describe the corrective action procedures the offeror will implement should a spill occur while the RMW is in the offerors possession.

c. Volume III, Factor 2 – Past and Present Performance. Offerors shall submit one (1) sanitized and one (1) un-sanitized copy of each hard copy, CD-R, and https://safe.apps.mil/ proposal. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, and current address, e-mail address, and telephone and fax numbers).

2. Government contracting activity, and current address, Contracting Officer’s name, e-mail address, telephone and fax numbers.

3. Government’s technical representative/COR and current email address, telephone and fax numbers.

4. Contract Number

5. Contract Type (specific type such as Fixed-Price (FP), Cost Reimbursement (CR), Time & Material (T&M), etc.). In the case of Indefinite Delivery contracts, indicate specific type (Requirements, Definite Quantity, and Indefinite Quantity) and secondary contract type (FP, CR, T&M, etc.).

6. Awarded price/cost.

7. Final or projected final price/cost.

8. Original delivery schedule, including dates of start and completion of work.

iii. Section 2 – Past and Present Performance. Offerors shall provide a specific narrative explanation of each contract listed in Section 1, Contract Descriptions, describing the objectives achieved and detailing how the effort is relevant to the requirement of this RFP. For any contracts that did not/do not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination. Past and/or current performance information may include data on efforts performed by other divisions, corporate management, and critical subcontractors or teaming arrangements, if such performance is recent and relevant to the requirements of the solicitation. If a contractor teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past and/or current performance information on teaming arrangements with the same partner.

1. Past performance shall meet the recency and relevancy definitions stated in the Addendum to FAR Provision 52.212-2, of the solicitation.

2. Absent any recent and relevant past and/or current performance history or when the performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the offeror will be assigned a “neutral confidence rating” and its proposal will not be evaluated either favorably or unfavorably on past performance.

3. To expedite the evaluation process, offerors are requested to provide the individuals listed as references a letter authorizing the reference to provide information to the government. The Government may begin surveying references immediately after the solicitation closing date; therefore, it is crucial that offerors immediately authorize their references to release information to the Government. Do not exceed three (3) references. The Government will not be responsible for tracking incorrect references and phone numbers. Offerors are reminded that, while the Government may elect to consider data obtained from other sources, the burden of providing thorough and complete past and present performance information rests with the offeror.

4. The offeror shall also identify past and present performance on all contracts (or subcontracts) that have been terminated, in whole or in part, for default or cause during the last three (3) years prior to the issuance date on the solicitation. This includes those contracts that are currently in the process of being terminated. The offeror may provide information on problems encountered on the identified contracts and provide a description of any corrective actions taken by the offeror to resolve those problems.

d. Volume VI, Factor 3 – Small Business Participation Plan. Offerors shall submit one (1) virus-free un-sanitized CD-R and two (2) un-sanitized hard copies.

i. The offeror shall submit a Small Business Participation Plan using the format at Attachment 6. The format is designed to streamline and bring uniformity to responses and evaluations for Small Business Participation (FAR

15.304). The format provides clarity in that it is distinctly different than the Small Business Subcontracting Plan required for large businesses only (FAR 52.219-9).

ii. The offeror shall submit a Small Business Participation plan that meets the minimum Total Small Business Participation goal of 40% (through collective small business participation from any type of small business or sub-category small business). The subcategory small business goals are NOT mandatory. However, the Government will evaluate the proposals to determine which offeror(s) propose the best value in terms of meeting all the Small Business Participation goals listed in Table below. The work to be performed directly by a small business prime offeror will also be evaluated as Small Business Participation. The goals are:

Small Business Participation Goals Type of Business Target %

Small Business Concern 40% Small Disadvantaged Business 5% Woman-Owned Small Business 5% HUBZone Small Business 3% Service-Disabled Veteran-Owned Small Business 3%

iii. Separate from Small Business Participation Plan, other than U.S. Small Business (large business) offerors shall also submit a subcontracting plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003 (or DFARS 252.219-7004 if the offeror has a comprehensive subcontracting plan). Other than U.S. Small Businesses shall submit acceptable subcontracting plans to be eligible for award. Subcontracting Plans shall reflect and be consistent with the commitments offered in the Small Business Participation Plan. In accordance with DFARS 215.304(c), when an evaluation assesses the extent that small businesses are specifically identified in proposals, the small businesses considered in the evaluation shall be listed in any subcontracting plan submitted.

e. Volume V, Factor 4 – Price. Offerors shall submit one (1) virus-free un-sanitized CD-R and two (2) un-sanitized hard copies.

i. This requirement is exempt from the requirement of Certified Cost or Pricing Data.

ii. Pricing information shall be addressed ONLY in Volume V. A proposal will not be evaluated if it contains pricing information outside of Volume V.

iii. Pursuant to FAR Subpart 19.1307, a price evaluation preference for HUBZone small business concerns will be used in this full and open competitive acquisition.

iv. The offeror shall submit their monthly unit prices up to two (2) decimal places (example: $158.03). All dollar amounts provided in response to these instructions shall be stated in United States (U.S.) currency.

v. An offeror's total proposed price includes the sum of all prices (based on maximum quantities) for all CLINs for the five-year ordering period (0001-0111), the post-award conference (CLINs 0112-0114), and the potential 6-month extension authorized by FAR 52.217-8—Option to Extend Services. Pricing for CMR requirements (CLINs 0115-0129) and the transition period (CLINs 0130-0132) shall not be included separately but built into the proposed pricing per pound and box in CLINS 0001-0111. Offeror’s shall not propose a cost for CLIN 0133 - Category A Waste in their proposal. This is an estimate for pricing purposes only and is NOT a guarantee of the quantities. Offerors may choose to submit a proposal for one or more regions.

vi. Volume V shall include the offeror’s proposed prices in the SF 1449 inclusive of all contract line items and complete attachments 3 – 5, the Western, Central, and Eastern Pricing Spreadsheets. Offers must enter their unit pricing information for each location, for each ordering year in the attached Price Spreadsheet, as well as for the potential 6-month extension authorized by FAR 52.217-8—Option to Extend Services. The green spaces must reflect the overall costs per year, the average unit cost per CLIN per year, and the average unit price per CLIN for the total 5-year ordering period and the potential six month extension. The award will reflect the average unit cost for the 5-year ordering period and the potential six month extension, and the estimated total cost per CLIN. The attached price spreadsheet will calculate the totals. However, it is the offeror’s responsibility to verify the accuracy of its costs and overall price. Note: unit pricing for this effort is fixed. The maximum quantities and maximum amounts are estimated.

vii. The Contracting Officer has determined there is a high probability of adequate competition on this acquisition. Upon examination of the initial proposals, the Contracting Officer will review this determination and if in the Contracting Officer's opinion, adequate competition exists no additional price information will be requested.

However, if at any time during this competition the Contracting Officer determines that adequate competition no longer exists; offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness of price.

viii. The offeror shall provide a narrative describing the overall price proposal, and the contributions by each of the team members. Teaming relationships, such as subcontracts and joint ventures, should be described from a cost perspective. The narrative should also address each cost or price making up the total price.

ix. Offerors shall not provide separate pricing for the 60-day transition period or the annual CMR requirements. Each CLIN appears as Not Separately Priced “NSP” in Schedule B.

x. MINIMUM GUARANTEE. The minimum guaranteed and the amount is priced by the USG. Awarded contract will include a minimum guaranteed amount of $1,500.00 and shall not be separately priced by the Offeror.

If one contractor is awarded two regions, and another contractor is awarded one region, there will only be two contracts and two post award conferences. If one contractor is awarded all three regions, there will only be one contract and one post award conference.

The final unit prices established in any contract resulting from this solicitation will be applicable to any delivery orders issued under the contract. The Government will only pay for actual quantities ordered and accepted, regardless of the quantities established on the contract and/or on any delivery order issued thereunder. Therefore, the offeror is hereby informed that the final unit prices are not subject to adjustment on the basis of a difference between estimated and actual quantities.

3. Discussions. General Information. In accordance with FAR Subpart 15.306(d), discussion sessions with each offeror may be held.

a. Discussion Scheduling. If discussions are conducted, the KO will schedule the discussion sessions, and each offeror will be notified of the time and place at least three business days prior to their discussion session. The KO will provide additional instructions with the notification. The discussion sessions will take place via telecom.

b. If discussions are conducted, the KO will establish a competitive range based on the ratings of each proposal against all evaluation criteria (see FAR Subpart 15.306(c)). The establishment of the competitive range will be formally documented by the Government in a competitive range determination. The KO will only enter discussions, to include discussions to determine technical acceptability, with those offerors determined to be in the competitive range.

c. If discussions are deemed necessary, the Contracting Officer may determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted. In this event, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

d. Discussions will be tailored to each offeror’s proposal and will be conducted by the KO with every offeror within the competitive range. The scope and extent of discussions will be a matter of KO’s judgment. As a minimum, during discussions, the KO will indicate to, or discuss with, each offeror in the competitive range the following: (a) significant weaknesses, and (b) any deficiencies that were identified during the evaluation. This will be accomplished through the release of Evaluation Notices (ENs). ENs will be prepared by the source selection evaluation board and reviewed by the KO and Legal Counsel. All ENs will clearly indicate the type of exchange being conducted (e.g. clarification, communication, etc.). Any EN addressing a proposal deficiency or significant weakness will clearly indicate that a deficiency/significant weakness exists. The KO will not be required to discuss every area where the proposal could be improved as outlined at FAR Subpart 15.306(d) and (e). All discussions will be documented in writing.

Paragraph 52.212-1(m) is hereby added:

(m) The non-FAR Part 12 discretionary FAR and DFARS provisions included herein are incorporated into this solicitation either by reference or in full text. If incorporated by reference, see provision 52.252-1 herein for locations where full text can be found.

ADDENDUM TO FAR 52.212-2

Paragraph (a) is hereby replaced with the following:

1. Award will be made using the lowest-price, technically acceptable (LPTA) source selection technique in accordance with FAR Subpart 15.101-2, as supplemented, to make a best value award decision. Technical tradeoffs will not be made and no additional credit will be given for exceeding acceptability. Award will be made to the acceptable offeror with the lowest evaluated price, deemed responsible in accordance with the FAR, and whose proposal conforms to the solicitation requirements. Each offeror has the potential to be awarded one, two, or all three regions— West (CLINs 0001-0028), Central (CLINs 0029-0063), and East (CLINs 0064-0111). Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

The following evaluation factors/subfactors will be set forth in the solicitation:

Factor 1: Technical Capability Subfactor 1A: Regulatory Compliance Subfactor 1B: Contract Employee Training Plan Subfactor 1C: Operating Procedures Manual Subfactor 1D: Permits/Licenses Subfactor 1E: Contingency Plan Subfactor 1F: Quality Control Plan Factor 2: Past and Present Performance Factor 3: Small Business Participation Plan Factor 4: Price

2. Evaluation Approach. All proposals shall be subject to evaluation by the Source Selection Team. The application of the LPTA technique in the contract award selection and approval process is as follows:

a. Factor 1 – Technical Capability. The government will evaluate this factor to determine if the offeror’s technical approach, to include the supplements, demonstrates understanding, and compliance, and meets the solicitation requirements. This factor is met when the offeror submits, as part of its technical proposal, specific narrative detailed and/or description of its technical approach (to include supplements) with actual methods, processes, and procedures that demonstrate the offeror’s compliance and understanding of the solicitation requirements.

The Government will evaluate technical proposals on an acceptable/unacceptable (pass/fail) basis to determine technical acceptability. Each technical proposal will receive a rating of acceptable or unacceptable at the subfactor and factor level. Any subfactor that is evaluated as “unacceptable” will result in an overall “unacceptable” rating at the factor level. Only those offerors whose technical proposal has been determined to be technically acceptable will receive further consideration for award. All technically acceptable proposals are considered equal. Only those proposals determined technically acceptable, either initially or as a result of exchanges will be considered for award.

Technical proposals rated unacceptable will not be considered for award. The adjectival ratings in Table 1 will be used in evaluating the offeror’s technical proposal:

Table 1 Adjectival Rating Description Acceptable Proposal meets the requirements of the solicitation.

Unacceptable Proposal does not meet the requirements of the solicitation.

b. Factor 2 – Past and Present Performance. The Government will evaluate this factor to determine if the government has a reasonable expectation that the offeror will or will not successfully perform the required effort or the offeror’s performance record is unknown. An offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable.” This factor is met when an offeror demonstrates a reasonable expectation that the offeror will successfully perform the required services or the offeror’s performance record is unknown. There are two aspects to the past performance evaluation— recency/relevancy and quality:

1) Recency/Relevancy. To be recent, the performance effort must have occurred within the last three (3) years prior to the issuance date on the solicitation. In addition, past performance includes “present performance,” i.e., work efforts that are currently in performance, provided that the contract period of performance is at least 75% complete by the proposal due date. Relevancy is defined as projects with similarity of service/support, complexity, dollar value, contract type, and degree of subcontract/teaming. The past performance of a technically qualified team member or major sub-contractor may be used to satisfy past performance requirements for a prospective prime offeror.

2) Quality: How well the contractor performed on the contracts. The past performance evaluation performed in support of this source selection does not establish, create, or change the existing record and history of an offeror’s past performance on contracts; rather, the past performance evaluation process will gather information from customers on how well an offeror performed those contracts. See FAR 15.101-2(b)(1) for treatment of past performance relative to small business.

The Government will evaluate past performance on an acceptable/unacceptable (pass/fail) basis to determine past performance acceptability. The past performance evaluation is an assessment of the offeror’s probability of successfully performing the required effort; therefore, past performance evaluation is not a responsibility-type factor. The adjectival ratings in Table 2 will be used in evaluating the offeror’s past and present performance proposal:

Table 2 Adjectival Rating Description Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.

Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

c. Factor 3 – Small Business Participation Plan. All offerors (large and small businesses) will be evaluated on the level of proposed participation of U.S. small businesses in the performance of acquisition (as small business prime offerors or small business subcontractors) relative to the objectives and goals established herein. The Government will evaluate the offeror's Small Business Participation Plan (Attachment 6) for compliance and understanding of small business participation to include:

1) The extent to which such firms, as defined in FAR Part 19, are specifically identified in proposals;

2) The extent of commitment to use such firms (enforceable commitments will be considered more favorably than nonenforceable ones).

3) Identification of the complexity and variety of the work small firms are to perform;

4) The extent of participation of small business prime offerors and small business subcontractors in terms of the percentage of the value of the total acquisition; and

5) The extent of Small Business Participation Past Performance

6) The extent to which the offeror meets or exceeds the goals: Goals for this procurement are -- Small Business:

{40%} of the total contract value; Small Disadvantaged Business (SOB): {5%} of…
