The purpose of this amendment is to answer questions from industry that were posed to the Government:
Location of
Text RFP Text Question Answer
1 88 “Only the past performance information of the prime contractor named on the SF 33 submitted in Volume IV, will be evaluated.
The Government will not evaluate past performance of any corporate entity by reference to the efforts of its principal offerors, key employees, related companies (such as a parent company), its affiliated subsidiaries, or its various divisions."
Alaska Native Corporations (ANCs) are permitted to cite past performance of affiliated subsidiaries per Federal Acquisition Regulation (FAR) 15.305
(a) (2) (iii); in compliance with the Code of Federal Regulations (CFR) 121.103(b) and CFR 124.109(a); and in conformance with Government Accountability Office (GAO) decisions B- 282456, B-275725, and B- 401560.
In reference to evaluation criteria cited on page 88, will the Government please confirm its acceptance of affiliated subsidiary past performance per FAR / CFR and GAO decisions?
Per FAR 15.305(a)(2)(iii), the Government has made the determination that taking into account past performance information regarding predecesor companies, key personnel who have relevant experience, or subcontractors is not relevant to the instant acquisition of awarding the
MATOC.

Geospatial Research, Integration, Development and Support (GRIDS) III Small Business Set- Aside (SBSA) Advisory Multi-Step (AMS) Process, dated 19 November 2018, "Respondents to this AMS shall not include an overall ID/IQ value, rather an example under an ID/IQ contract shall be a specific task order and that specific task order dollar value.”
Page 80 of 91, “No individual annual project value shall be less than $500,000 per year."
Will the Government please consider aligning current RFP requirements to the AMS requirements, and remove the dollar value requirement for annual projects?
The Government has made the determination that the dollar value shall not change.
4 PWS section 1.7.7.2, Security Requirements, “All personnel shall possess at least a SECRET clearance.
Key personnel shall possess a SECRET clearance but have key personnel immediately available who have a
TOP SECRET
clearance and be eligible for SCI adjudication on the start date of the period of performance.”
Will the Government please clarify if proposed key personnel are required to have a final TOP SECRET clearance upon contract award?
There are no key personnel on the MATOC award, therefore, there are no key personnel security requirements at MATOC award.
Key personnel will be identified at the task order level. The security requirements for the key personnel will also be identified at the task order level.
5 PWS section
1.4.5 Key
Personnel, “…The Contractor shall have all Key Personnel on board on Date of Award
(DOA).”
To ensure fair competition, will the Government please confirm that offerors can provide contingent offer letters at proposal submission with the expectation that proposed personnel will start upon contract award?
PWS Paragraph 1.4.5 is amended to clarify that date of award is considered task order date of award.
6 PWS section
1.7.2 Quality
Control, Page
“Each Contractor will be required to submit a QCP with its proposal.”
1) Will the Government clarify whether a QCP should be submitted with the Sample Task Order or within 30 days of TO award?
2) If a QCP is to be submitted with the Sample TO response, will the Government clarify page limits/exemptions and in which volume the QCP should be included?"
A QCP is not required at the base contract, but a QCP will be required for all task order awards. Quality control will be addressed in in Volume I (Factor 1) - Technical Approach (Sample Task Order). Tab A of Volume I requires the offeror to "address quality control management and should give specific quality control procedures and techniques, which would be used to ensure that project requirements are met." Tab B also should address quality control where it states "Personnel turnover should be addressed, including a discussion of how personnel turnover will be managed throughout the task order period of performance."
7 Technical Exhibit 1 - Performance Requirements Summary, A004 PRS #4, Risk Management Plan, Page 31 of 91
“The Contractor shall provide a Risk Management Plan.
(PWS 5.13). The Risk Management Plan shall be provided as part of the Contractor’s proposal in response to a Task Order.”
1) Will the Government clarify whether a Risk Management Plan (RMP) should be submitted with the Sample Task Order or within 30 days of TO award?
2) If an RMP is to be submitted with the Sample TO response, will the Government clarify page limits/exemptions and in which volume the RMP should be included?"
1) A RMP is not required to be submitted with the Sample Task Order. A RMP will be required at the task order level after ID/IQ award per Technical Exhibit 1, CDRL A004.
2) Not applicable

#21, Program Management Plan, Page 33 of 91
“Contractor shall provide a Program Management Plan for each task order.
(PWS 5.13) The Program Management Plan shall be provided as part of each of the Contractor proposal for each task order.”
1) Will the Government clarify whether a Program Management Plan (PMP) should be submitted with the Sample Task Order or within 30 days of TO award?
2) If a PMP is to be submitted with the Sample TO response, will the Government clarify page limits/exemptions and in which volume the PMP should be included?"
1) A PMP is not required to be submitted with the Sample Task Order. A PMP will be required at the task order level after ID/IQ award per Technical Exhibit 1, CDRL A021.
2) Not applicable
9 Page 78 of 91 "One CD shall be included in each 3-ring binder for each volume"
It's clearly stated that one CD shall be included in each 3-ring binder for Volumes I, II, and III (Technical, Past Performance, and Cost/Price). Does the Government require CDs to accompany the three printed copies of Volume IV Administrative Requirements?
One CD shall be included in each 3-ring binder for Volume IV.
10 Clause H.1 Organizational Conflicts of Interest, Page
“The Contractor shall provide a disclosure statement with its task order proposal...If a conflict of interest is discovered after task order award, the contracting Officer will make a decision whether to terminate or rescind the task order and/or contract at that time.”
Information in “the following paragraph” is referenced but appears to be omitted. Will the Government please update the clause with the required information to be included in the OCI statement?
This paragraph has been revised in the amendment.
11 3.1 General, “The Government will not provide installation access to the contractor.”
Will the Government please clarify this statement?
Installation access for the contractor will be determined at the task order level.
12 52.222-2 -- Payment for Overtime Premiums, This clause is a fill-in clause. Will the Government please complete the clause.
At the MATOC level, no fill-ins are required.
13 52.230-2 Cost Accounting Standards, The CAS clause is included in the contract and is required to be included in negotiated efforts unless exempt under 9903.201-1(b) as stated in the clause.
Under 9903.201-1, contracts and subcontracts with small businesses are exempt from all CAS requirements.
Since this is a small business set-aside effort, will the Government remove this clause and other CAS requirements from the contract?
FAR 52.230-2 will be removed from the solicitation
14 52.232-32 Performance- Based Payments, The contract includes Performance-Based Payments clause but does not include 52.232-28, Invitation to Propose Performance Based Payments; and 252.232-
7013, PERFORMANCE-
BASED PAYMENTS-
DELIVERABLE-ITEM
BASIS.
Will the Government please clarify if the additional clauses are required in order for the contractor to be paid?
The provisions mentioned would not be applicable at the MATOC level.
If at the task order level these provisions are appropriate, they will be provided in the RFP at the task order level.
15 RFP 80 RFP, Sec. L Relevance
“Does the government intend to rate Relevancy in projects that meet all three categories of criteria in the ‘Definition of relevance’; or are bidders required to meet any of the criteria in the ‘Definition of relevance’ i.e. Do all projects have to involve “geodetic sensors and their modelling scenarios?”
The Government intends to rate relevancy in projects that meet any of the criteria in the 'Definition of relevance'.
16 1 Sample TO SOO/ Proposal Organization
For Proposal Organization purposes, the “Specific objectives” (a-e) are laid out prior to nominally delineated Project Objectives (5.1-5.4). Would the government clarify the priority of the Numbered Objectives (1-4) versus the alpha (a-e) specific objectives so that offerors
The Sample TO section 5. a-e will be evaluated in an equal manner; there is no preferred order of evaluation.
may maximize focus in a preferred order of evaluation?
17 79 Section L, VOLUME II (Factor
2) – Past Performance of the Prime Contractor states; “The prime contractor (offeror) signed on the SF 33 is to provide its past performance information on recent and relevant efforts to demonstrate its accomplishments and capabilities to successfully perform and accomplish the effort required by this solicitation.”
Question_01: Will the Government evaluate the relevant Past Performance of a contract that was not performed as Prime by the prime contractor (offeror) signed on the SF 33; i.e., will the Government accept and evaluate Past Performance where the Offeror listed on SF 33 performed as a subcontractor to a Prime contractor on a Government effort?
Yes, the Government will accept and evaluate past performance where the offeror listed on the SF 33 performed as a subcontractor to a prime contractor on an effort.
18 80 , Section L, VOLUME II (Factor
2) – Definition of relevance states; No individual annual project value shall be less than $500,000 per year. Note:
Annual project value for completed projects is determined as follows: total obligated dollars divided by the total number of months of performance multiplied by 12.
Annual project value for ongoing projects is determined as follows: total estimated value (inclusive of all option periods)
Question_02: If the Government will accept Past Performance that was performed as a subcontractor by the prime contractor (offeror) signed on the SF 33, would the relevancy of “No individual annual project value shall be less than $500,000 per year” apply to the subcontract obligated dollars and performance period or, the Prime’s project obligated dollars and performance period?
The annual project value shall apply to the subcontract obligated dollars and performance period.
divided by the total number of months of performance (inclusive of all option periods) multiplied by 12.
19 88 Section M, Volume II (Factor 2) – Past Performance of the Prime Contractor states; “Only the past performance information of the prime contractor named on the SF 33 submitted in Volume IV, will be evaluated. The Government will not evaluate past performance of any corporate entity by reference to the efforts of its principal offerors, key employees, related companies (such as a parent company), its affiliated subsidiaries, or its various divisions.”
Will the Government evaluate, as a Factor, the relevant Past Performance of a proposed subcontractor?
Per FAR 15.305(a)(2)(iii), the Government has made the determination that taking into account past performance information regarding predecesor companies, key personnel who have relevant experience, or subcontractors is not relevant to the instant acquisition of awarding the
MATOC.
20 17 1.7.7.5 This section states the Contractor shall have a TOP SECRET facility clearance with SECRET safeguarding capabilities. However, the evaluation criteria established in Section M do not state how the Government plans to validate whether or not potential Contractor’s possess these clearance levels. Can the Government please clarify if having the TS/FCL with secret safeguarding capabilities is a prerequisite to submitting a proposal for this work? In other words, will companies not possessing these clearance levels be considered non-compliant?
Yes, offerors shall have a facility clearance at the TOP SECRET with SECRET safeguarding capabilities at time of MATOC award. The Government will verify Contractor facility clearance levels by the Government querying the offeros CAGE code. Should the offeror not have the required facility clearance level at time of MATOC award, the offeror will be considered non-compliant.
21 80 Section L On this page in Section L, the Government provides specifics on how to determine the relevancy of Past Performance submissions. In doing so, the Government identifies three examples that will deem the submission as relevant. Can the Government clarify whether past performance submissions need to involve all three of these to be relevant or can past performance submissions involve one of these areas and still be considered relevant?
The Government intends to rate relevancy in projects that meet any of the criteria in the 'Definition of relevance'.
22 Section L / Proposal Files (2) Vol II
Can the government please clarify whether each past performance example submitted must satisfy the entire criteria provided in the 'Definition of relevance' paragraph or if relevance is satisfied by any of the three
(3) criteria described?
The Government intends to rate relevancy in projects that meet any of the criteria in the 'Definition of relevance'.
23 Section L / Proposal Files (2) Vol II
Is a PPQ also required if a finalized-interim evaluation is available in CPARS
(PPIRS)?
No
24 Section L / Proposal Files (2) Vol II
When calculating project value: if a majority of a past performance example was performed by the offeror as a prime but a minority percentage (less than 50% of obligated dollars) of the effort was subcontracted, is the correct approach to use only the dollar value for work performed by the prime (i.e. the offeror) spread over the total months of performance?
As the prime contractor, the total annual project value will be used for project value. If offeror on the SF 33 performed as a subcontractor on a past performance example, then the annual project value shall apply only to the subcontract obligated dollars and performance period.
25 Attachment 7 On the "Travel Breakout" tab, cell "K10" states "Communication Total ($)".
We are unformiliar with communication costs as they relate to travel. Can the government provide some examples of what type of costs should be included in this cell?
This is simply an example and is not intended to be what each offeror proposes. Offerors shall propose the travel costs that each offeror sees fit to accomplish the requirements of the Sample Task Order.
26 Solicitation, Section A, item 6
On page two of the solicitation, section A, item 6, the government states that the labor rates agreed to in Attachment 6 are binding and will serve as the ceiling labor rates during contract performance. Will these ceiling rates also apply to our subcontractors? We imagine that each order will need a different skill set and therefore may need a new vendor or subcontractor that we may not have considered at the IDIQ proposal time;
therefore, it is difficult for us to propose rates that will encompass unknown subcontractor rates. In addition, the ceiling rates for CPFF labor rates are at the direct labor level - this level of information would be considered proprietary and therefore, we will not know what our subcontactors are paying their individual employees.
The ceiling labor rates proposed will only apply to the prime contractor.
27 Sample Task Order - Statement of Objectives
Does AGC have ownership of or access to the data necessary for the objectives in the Sample Task Order?
If so, will AGC provide the awardee access to this data?
The Sample Task Order states that the offeror must acquire existing geospatital data. Offerors shall make the assumption that AGC does not have ownership or access to the data necessary. Based on the fact that this Sample Task Order is a SOO, it is up to the offeror to decide what type of data they will acquire.
28 Sample Task Order - Statement of Objectives
Should the contractor price an ongoing licensing agreement for the acquisition of "existing remotely sensed data" or just the volume of data necessary for the earthen dams listed in the 5.3 table?
Because this is a SOO, the offeror has discretion on proposed methods of completion of effort.
29 As a subcontractor, we do not have entries in the PPIRS/CPAR system, but our prime contractors do for their performance on their IDIQ and/or task orders. We plan to submit PPQs for our performance as a subcontractor to provide a more accurate rating of our past performance. Is this considered compliant with Section L and Section M of this RFP?
Yes, but only past performance of the offeror, as listed on the SF 33 will be evaluated. If a PPIRS/CPARS report does not exist, a completed and signed PPQ shall be submitted.
30 Section L
Section L page 79 of the RFP calls out 4 tabs – Tab A – Technical Approach, Tab B – Staffing Plan, Tab C – Hazards and Safety Identification and Tab D – Performance Based Milestone Schedule.
However, in Section M Tab A is defined as Detailed Technical Approach, Staffing Plan and Hazards and Safety Identification and Tab B is defined as the Performance Based Milestone Schedule. Our Recommendation to resolve this disconnect would be to use the Section M approach where Tab A is defined as Technical Approach, There is no requirement for Section L to line up exactly with Section M.
Section M details the evaluation.
Section L is how offerors shall organize their proposals.
Staffing Plan and Hazards and Safety Identification and Tab B is the Performance Based Milestone Schedule. Do you concur?
31 Do we need to include a copy of the letter received from AGC Contracts regarding our Advisory Multistep (AMS) Evaluation Results as part of this solicitation, or did the copy that you previously provided suffice?
No, this is not necessary and shall not be included in offerors proposal submissions.
32 14 Section C, page 14 of the RFP Section 1.4.5 requires a resume be submitted for evaluation for all key personnel. However, Section 6.8 of the Sample Task Order requires contractor to include title, qualifications and experience for the key personnel. Given key personnel is at contractor discretion, we request the full resumes be included as an Appendix to our proposal and not part of Volume I page count.
The Government is in agreement.
33 DD254 On the DD Form 254, US Army SCI Addendum to DD Form 254, section 4 states the Contract estimated completion date as 20191201. Should the estimated completion date the end of the base year, 20200831?
This document is a working draft and will be updated upon award with the correct estimated completion date.
34 Sample Task Order
The Sample Task Order
6.10 Travel references
Section 5.1 for example sites. Section 5.1 does not include any locations, but Section 5.3 does. Should we use the sites listed under Section 5.3?
Yes, the Sample Task Order has been updated to address this question.
35 Section C RFP Section C Descriptions and Specifications, Article
1.7.2 Quality Control
requires the submission of a Quality Control Plan (QCP) with the proposal; however, Section L of the RFP does not provide QCP submission instructions. Is it the Government’s intent that the QCP be submitted in Volume I Technical Approach (as Tab E or an appendix), and it will not be included in the page count?
A QCP is not required at the base contract, but a QCP will be required for all task order awards. Quality control will be addressed in in Volume I (Factor 1) - Technical Approach (Sample Task Order). Tab A of Volume I requires the offeror to "address quality control management and should give specific quality control procedures and techniques, which would be used to ensure that project requirements are met." Tab B also should address quality control where it states "Personnel turnover should be addressed, including a discussion of how personnel turnover will be managed throughout the task order period of performance."
36 Section C RFP Section C Descriptions and Specifications, Article
1.8 Post Award
Conference/Periodic Progress Meetings states that the “CO, COR and other government personnel, as appropriate, may meet periodically with the contractor to review the contractor’s performance” and “these meetings shall be at no additional cost to the government.” Please confirm that routine program reviews and follow-up meetings where performance information is exchanged and discussed in support of the day-to-day management of the program are considered in-scope activities and not the subject of the aforementioned statement.
This is a contract administration question. Meetings will be required at the task order level in accordance with PWS paragraph 1.8. The frequency of meetings will also be determined at the task order level, so the contractor can factor costs in appropriately. Face to face, teleconfering, and video conferencing can all be used for these meetings to minimize costs as much as possible.
37 Section M RFP Section M Evaluation Factors for Award, Article
3.0 Volume I (Factor 1)
Technical Approach (Sample Task Order) states that “Volume I consists of two elements (Tab A and B below)” with the Detailed Technical Approach, Staffing Plan and the Hazards and Safety Identification in Tab A and the Performance-Based Milestones and Time Schedule in Tab B.
However, RFP Section L Instructions, Conditions and Notices to Bidders, Proposal Files, states that (1) VOLUME I (Factor 1) – Technical Approach (Sample Task Order). shall be organized into the following sections: Tab A - Technical Approach, Tab B
- Staffing Plan, Tab C - Hazards and Safety Identification and Tab D - Performance-Based Milestones and Time Schedule. Please confirm it is the Government’s intent to have only two Tabs in Volume I, as described in Section M.
Offerors shall follow the instructions in Section L for organization of their proposals.
38 Section M RFP Section M Evaluation Factors for Award, Article
3.0 Volume II (Factor 2)
Past Performance of the Prime Contractor - Stipulating that a proposal is non-compliant if a PPQ is submitted when a PPIRS has been completed is overly restrictive, as such an occurrence has no bearing on the content of the submitted proposal nor on the qualifications of the proposed prime contractor.
Further, logistical and administrative issues could easily impact the timing of a PPIRS submission, with no control of such by the proposing contractor.
Accordingly, it is respectfully requested that this provision be removed from the RFP.
FAR 42.1501(b) states that "Agencies shall monitor their compliance with past performance evaluation requirements (see 42.1502) and use the Contractor Performance Assessment Reporting System (CPARS) and Past Performance Information Retrieval System (PPIRS) metric tools to measure quality and timely reporting of past performance information."
Further, FAR 42.1502(a) states "Past performance evaluations shall be prepared at least annually and at the time the work under a contract or order is completed. Past performance information shall be entered into CPARS, the Governmentwide evaluation reporting tool for all past performance reports on contracts and orders."
Therefore, the Government does not find the RFP requirement overly restrictive. A finalized interim or finalized final PPIRS or CPARS report shall be submitted on a project completed within the last three years prior to the solicitation closing date;
or be ongoing with at least one year of performance completed prior to the solicitation closing date, if it is in the PPIRS or CPARS system. If the PPIRS or CPARS report has yet to be finalized, or there is no record of the project in the PPIRS or CPARS systems, then that offeror shall submit a PPQ for that project.
If the Government determines that a PPQ was submitted when a finalized interim or finalized final PPIRS or CPARS report was completed, it will find that effort non-compliant, as the offer should have submitted its finalized PPIRS or CPARS report.
39 CDRL Technical Exhibit 1 – Performance Requirements Summary CDRL A0004, A021/PRS #4, 21 – Please confirm that a Program Management Plan and Risk Management Plan are not required to be submitted with our proposed response to the Sample Task Order.
A PMP and RMP are not required to be submitted with the Sample Task Order response.
