PERFORMANCE WORK STATEMENT
Performance Work Statement For
Geospatial Research, Integration, Development and Support (GRIDS) III Small Business Set-Aside (SBSA)
PART 1. General Information
1.1 Introduction. The GRIDS III contract is designated as the primary AGC vehicle to obtain services for non-inherently governmental functions that exceed organic capabilities in supporting the research and development efforts of the AGC. The GRIDS III contract is designed to provide services through a MATOC necessary to acquire special skills, systems engineering and technical services to perform research and development activities that relate to rapid development, limited fielding and geospatial technology services for the warfighter as defined in this Performance Work Statement (PWS).
1.2 Background. The AGC is a direct reporting center under the USACE and is the Army Knowledge Center for Geospatial Expertise. It serves as a key enabler of the Army Geospatial Enterprise (AGE) - an integrated system of technologies and processes that delivers a geospatial Common Operational Picture to the Warfighter. The AGC provides geospatial support and products to Warfighters, to support the Army's Battle Command Systems, facilitating dissemination of relevant geospatial information to every level across the battlefield environment. AGC coordinates, integrates, and synchronizes geospatial information requirements and standards across the Army, as well as develops and fields geospatial enterprise-enabled systems and capabilities to the Army and Department of Defense (DoD).
1.3 Objectives. AGC requires prime contractors with the capability to manage multiple task orders simultaneously at multiple locations. The contractor must also be capable of providing the corporate knowledge and technical capabilities necessary to assist in coordination, integration and synchronization of geospatial information requirements and standards across the Army; develop geospatial enterprise enabled systems for the Army and the DoD and provide direct geospatial support to the Warfighter.
1.4 Personnel.
1.4.1 The Contractor shall provide experienced personnel to perform the required services. The Government and the Contractor understand and agree that the services to be delivered are non-personal services and both parties recognize and agree that no employer-employee relationships exist between the Government and the Contractor and/or between the Government and the Contractor’s employees. Contactor personnel performing under this contract shall not be placed in a position where they are employed by a Federal Officer or are under the supervision, direction, or evaluation of a Federal Officer, military or civilian.
1.4.2 Contractor personnel shall conform to standards of conduct and code of ethics, which are consistent with those applicable to Government employees as provided in the Joint Ethics Regulation 5500.7.R. Contractor personnel shall present a neat professional appearance and be easily identified. The contracting officer may require the contractor to remove from the job site an employee working under this contract for reason for misconduct, security violations, or found to be suspected to be under the influence of alcohol, drugs or other incapacitating agent.
Contractor employees shall be subject to dismissal from the premises upon determination by the Contracting Officer that such action is in the best interest of the Government. Such removal from the job site or dismissal from the premises shall not relieve the contractor of the requirement to provide sufficient personnel to perform the services as required by this contract.
1.4.3 The Contractor shall comply with all applicable laws, rules and regulations.
1.4.4 Contractor personnel will obtain a Common Access Card (CAC) for computer access as required and detailed in each task order.
1.4.5 Key Personnel.
Certain skilled experienced professional and/or technical personnel are essential for successful contractor accomplishment of the work to be performed under this contract. These are defined as "Key Personnel" and are those persons whose resumes are submitted for evaluation of any proposal. Key personnel shall be available during AGC Core hours between 0800 and 1600 Eastern Time, Monday thru Friday except Federal holidays or when the government facility is closed for administrative reasons. A point of contact (POC) must be available for the key personnel in the event they are not available at these times (i.e. leave/sick time).
The Contractor shall have all Key Personnel on board on Date of Award (DOA). The contractor shall notify the Contracting Officer’s Representative (COR) if they intend to substitute any individual serving as key personnel. In the event of such substitution/replacement, key personnel must have equivalent qualifications to the original individual intended to fill the specified role.
1.4.6. Key Personnel Labor Categories, Descriptions and Qualifications
Key personnel will be designated for each task order separately. The Contractor shall submit their proposed key personnel to meet the Government’s needs based upon the key tasks within the PWS/Statement of Objectives (SOO). The Contractor shall include the title of the key personnel, the qualifications to meet the Government need as well as the educational experience necessary to successfully perform as the key personnel on the task.
1.5 Period and Place of Performance.
1.5.1 The basic contract period of performance is identified in Section F of the contract. The period of performance for individual task orders will be identified in each task order PWS or SOO and will vary depending on the requirement.
1.5.2 The contractor shall provide on and off-site services in support of AGC and its customers. The work shall take place primarily in US Government facilities, or at other locations identified by the COR. The place of performance will be indicated in individual task orders. A substantial part of the work will require presence in and around the Washington, D.C. area.
1.6 Scope.
The Contractor shall provide highly specialized expertise and technical services to execute the objectives specified in the PWS that directly correlates to the overarching objectives and goals of the AGC’s mission. The Contractor shall provide all personnel and supervision necessary to perform the services defined in the PWS. All tasks must be performed to the standards set forth in this document.
1.7 General Information

The contractor may require access to data and information proprietary to a Government agency, another Government contractor, or of such nature that its dissemination or use, other than as specified in this contract, would be adverse to the interests of the Government or others. Neither the contractor, nor contractor employees shall divulge or release data or information developed or obtained under performance of this contract, except to authorized Government personnel or upon written approval of the COR or designated representative.

The Contractor’s QCP is the means by which the Contractor assures its work complies with the requirements of the contract. As a minimum, the Contractor shall develop QCP procedures that address the areas identified in Specific Tasks Section 5 and the Technical Exhibit 1, “Performance Requirements Summary (PRS)” and in any subsequent awarded task order to the base contract. Each Contractor will be required to submit a QCP with its proposal. The Contractor shall request in writing to the Contracting Officer any proposed change to the QCP in advance of implementation. The QCP shall:
1.7.2.1. Have direct accountability to the contractor’s top management.
