SECTION H - SPECIAL CONTRACT REQUIREMENTS

SECTION H - SPECIAL CONTRACT REQUIREMENTS

H.1. ADDITIONAL ORDERING PROVISIONS

H.1.1. All efforts shall be performed in accordance with Task Order(s) (TOs) issued by the PCO in accordance with Section C of this contract. Hours will be awarded for each TO on a Level-of-Effort (LOE) basis. Each TO will define the level of effort associated with the requirement.

H.1.1.1. The required Level of Effort (LOE) is stated as the number of hours that are required to perform the scope and is presented in the Task Order in general terms that obligate the contractor to devote a specified LOE hours for a stated dollar value during the period of performance. At its discretion, the Government may award additional LOE hours to complete the effort. The contractor is not authorized to incur effort in excess of the specified LOE hours and total cost. Any costs incurred for additional work performed are unallowable.

H.1.1.2. TO(s) will be awarded in accordance with Section B of this contract. Prices will be based on the period in which the TO is awarded. The Government reserves the right to unilaterally exercise TO(s), based on the Basis of Estimate (BOE) data delivered in accordance with H.1.2. For all TO(s), the parties shall utilize the labor Rate Schedule(s) in Attachment 0001 to establish the estimated cost for the LOE required. Any travel required for TO(s) shall be proposed pursuant to H.1.2.

H.1.2. Prior to issuance of the TO(s), the contractor shall review the draft TO provided by the PCO and deliver a BOE to the PCO for each draft TO within 10 business days of receipt. Pricing of each TO shall be determined using a Government technical review of the contractors BOE for the quantity of hours, and travel, and negotiations if applicable. All travel proposed at the TO level are subject to FAR 15.403-4. The contractors BOE for each TO shall consist of:

H.1.2.1. Number of Labor Hours utilizing rates established in Section H of this contract;

H.1.2.2. Travel. Travel shall be proposed on a Cost, No Fee basis and will be negotiated at the TO level. The contract does not require a cost accounting system audit, with an approved accounting system, because the contract structure is, for the most part, FFP. Since the

Travel CLIN is the only Cost, No Fee CLIN and shall be supported with receipts, the audit is waived. Also, a ceiling Indirect Rate shall be utilized at the TO level for proposed Travel. Receipts shall support travel costs at the time of invoicing, before the

Government makes payment approval.

H.1.2.3. Supporting data for the Government to substantiate the contractor's estimated labor hours, and travel costs.

H.1.3. Data Rights Assertion: The contractor shall submit a Data Rights Assertion document with its cost proposal for each TO in accordance with DFARS 252.227-7017. The agreed upon Data Rights Assertions for each TO will be incorporated into Section J of the Task

Order as Attachment 0005.

H.1.4. The contractor is not authorized to begin work on any TO until the PCO executes a TO or provides written approval of a TO. The

Government has the unilateral right to increase, decrease, and prioritize the work to be performed under each TO. Such adjustments will be made within the general scope of work and level of effort of the contract and without equitable adjustment thereto.

H.1.5 All ordering and changes will be effected by the PCO designated on the face page of this contract. Communications pertaining to contract administration matters not delegated to the Administrative Contacting Officer pursuant to the delegation of authority letter shall be addressed to the PCO. No changes to or deviation from the PWS or TO(s) shall be effected without written authorization by the

PCO. The contractor shall not accept any instructions by any person other than the PCO.

H .2 SERVICES TO BE PERFORMED

H.2.1 The services to be provided under this contract will be provided in strict compliance with the PWS as set forth in Section C of this contract. Contractors are prohibited from performing Inherently Governmental functions. Appropriate agency control of the work product must be preserved to ensure that the contractor's performance does not approach being an Inherently Governmental function because of the manner in which the contract is performed or administered. The contractor shall notify the PCO if any contractor employee is directed to perform any of the tasks listed in FAR 7.503(c). The contractor shall not permit contractor employees to perform such tasks, and shall ensure that all contractor employees are informed of the substance of FAR7.503(c). The substance of FAR 7.503(c) shall be included in all subcontracts at any tier. Additionally, this contract is not to be used under any circumstances to aid in influencing or enacting legislation.

H.2.2 All documents or reports produced by the contractor are to be suitably marked as contractor products. The contractor shall not be reimbursed for any work that is outside the PWS set forth in either this contract or awarded TOs.

H.3.2 The cost of housing, food and travel to and from a Government facility where a contractor has been stationed to perform on-site duties will not be an allowable cost for reimbursement under the contract. Any such shift will be hour for hour, meaning that any hour worked on the weekend would be offset by a corresponding reduction during the Monday through Friday period. There is no change to the labor rates for work performed during weekend periods.

H.3.3.4 Contractor employees are not authorized periods of Administrative Leave, at Government expense, that are granted to Government employees by local Commanders for attendance at various Government functions, early dismissals, etc. Instead, contractor employees shall continue performance at the work site, as long as Government presence is available, unless the contractor employee takes time off in accordance with individual company policy, at no additional expense to the Government and subject to mission requirements as determined by the COR.

H.3.3.5 There may be occasions when contractor personnel are invited to participate in Government morale and recreational activities, such as holiday parties, golf outings, sport days, and other various events.
