L.2.2.1.2 The provisions of FAR 9.5, Organizational Conflict of Interest (OCI), apply to any award under this solicitation. Potential

Offerors should review their current and planned participation in any other Government contracts, subcontracts, consulting, or teaming arrangements where they may be in a position of actual or perceived bias or unfair competitive advantage. A common example with the potential for OCI is where an entity performs work both as a system contractor/subcontractor and as a Government support contractor for

Government offices involved in or related programs.

L.2.2.1.3 Offerors shall disclose any potential OCI to the PCO as soon as identified, including prior to proposal submission. The disclosure should include the facts and an analysis of the actual or perceived conflict and a recommended approach(es) to neutralize or mitigate the potential conflict. The preferred approach to potential conflicts is to avoid the conflict. Mitigation shall be considered only if it is not practical to avoid the conflict. The PCO will examine each potential OCI individually on the basis of its particular facts. The PCO will promptly respond to avoid, neutralize, or mitigate significant conflicts of interests.

L.3 Volume II: Factor 1 - Technical

L.3.1 The Technical Factor includes the following four (4) Subfactors: 1) Payload, 2) Ride Quality, 3) Rear Load, and 4) Width. The

L.4.1 The Offeror shall submit information set forth below for a total quantity of up to three recent and relevant Contracts, Delivery

Orders, or Task Orders for the prime Offeror or any Major Subcontractor(s). These can include Government (Federal, State and Local

Governments) or commercial private industry contracts within three years of the date of issuance of this RFP. A contract is defined as

a) A single Government or Commercial contract; or, b) A single delivery order placed under a single-award or multiple-award IDIQ delivery order contract (FAR 16.501-1); or, c) A single delivery order placed under a federal supply schedule (FSS) (FAR 8.405-2); or,

d) A single order placed under a basic ordering agreement (BOA) (FAR 16.703); or, e) A single delivery order placed under a single-award or multiple-award blanket purchase agreement (BPA) (FAR 8.405-3 or FAR 13.303). A Major Subcontractor is defined as an organizational entity who takes a portion of a contract from the prime contractor valued in excess of $10M. Each individual delivery order or task order is considered one contract. The Government will not consider the past performance of individuals or key personnel.

L.4.2 Recent Contracts: Recent contracts are those with any performance taking place within three years of the date of issuance of this

RFP.

L.4.3 Relevant Contracts: Relevant contracts are those which are similar in scope to the requirements of this solicitation, specifically pertaining to the following considerations:

a. Technical: Production and delivery of a system of complexity comparable to the proposed M870A4 that meets the technical requirements of the solicitation.

b. Production and Delivery: Manufacturing a similar semitrailer at a yearly production rate comparable to the estimated maximum M870A4 production rate of 450 trailers per year with an average monthy production rate of 38 trailers.

L.4.3.1 For each of your recent relevant past contracts you should provide the following items of information:

L.4.3.1.1 Description of scope of work requirements and a discussion of similarities between the contract scope and the scope of this solicitation as it applies to how well the contract meets each of the relevancy criteria listed above in L.4.3.

(m) Copies of the Statements of Work from each of the up to three submitted contracts to establish the relevance of the contract to the scope of work activities listed in L.4.3 above.

L.4.4.1. Regarding L.4.4.(l) above, and in evaluating each offerors performance history, the Government will look at the offeror's delivery performance against the contract's original delivery schedule unless the delay was Government caused. Schedule extensions that were the fault of the offeror even if consideration was provided, will be counted against the offeror.

L.4.5. Past Performance Questionnaire: A past performance questionnaire is provided in Attachment 0016. For each of the up to three recent and relevant contracts submitted by the offeror, and based on identification of your most recent and relevant contracts, the offeror shall send a copy of the past performance questionnaire directly to the appropriate Procuring Contracting Officer (PCO) or other appropriate technical and contracting individuals such as the private industry equivalent to a PCO like a purchasing manager. The

Offeror shall request that these individuals complete the questionnaire and forward it electronically directly to the contract specialist at charley.g.jackson2.civ@mail.mil by the RFP closing date (See Block #9 of the SF33 cover page to this solicitation) with the subject heading PAST PERFORMANCE INFORMATION FOR [offeror name}.

L.4.6 Corporate entities: If any contract provided as recent and relevant Past Performance was performed by a corporate entity or division other than the corporate entity or division that would perform work under the RFP, please identify them and indicate to what extent those entities will perform this effort. If they have relocated or changed ownership since performance of the listed efforts, please describe any changes in the terms of personnel, facilities, or equipment, from those expected to perform this effort.

L.4.7 Predecessor Companies. If the Offeror, or the Major Subcontractor(s) that is submitted Past Performance Information on, only have recent and relevant performance history as a part of a predecessor company, the Government may consider that past performance in the evaluation of past performance. Please provide the information for those recent and relevant contracts of that predecessor company.

Offerors must also briefly document the history of the evolution from the predecessor company.

L.4.8 Past Performance Information. The Government does not assume the duty to search for data to cure problems it finds in proposals.

The burden of providing thorough and complete past performance information remains with the offeror. Additionally, the Offeror may also be evaluated based on other internal Government or private source information. In this regard, the Government may utilize the Contract

Performance and Rating System (CPARS) to search for recent and relevant offeror performance and ratings. While the Government may elect to consider data obtained from external sources other than the proposal, the burden on providing thorough and complete past performance information rests with the offeror.

L.5 Volume IV: Factor 3 - Price

L.5.1 The Price volume shall include supporting documentation and data in sufficient detail to enable the Government to evaluate the reasonableness of the offerors proposed price. To expedite Government review of the proposals, the pricing files shall be in Microsoft

Excel 2013 compatible format. Any supporting narrative shall be in Microsoft Word 2013 compatible format. Offerors shall insert unit prices for all CLINs as instructed in Attachment 0017, Pricing Spreadsheet. Offerors will provide prices for each contract year. All proposed prices shall be binding. The prices populated by the Offeror in Attachment 0017 shall be in Then-Year dollars (TY$). Then-Year dollars reflect the actual price paid by the Government for goods or services at the time of the base award or at the time of the option award.

To assist with affordability calculations IAW M.1.2, Attachment 0017 will convert the Offerors proposed prices from TY$ to Base-Year

FY2015 dollars (BY15$). Base-Year dollars reflect the inflation adjusted price paid for goods or services in a defined specific base year. The base year for M870A4 is FY2015. The Offeror shall not fill out Section B. Attachment 0017, Pricing Spreadsheet, shall be filled out in the place of Section B, and will become Section B prices.

L.5.1.1 Supporting Data: The offeror is required to provide, on a per unit basis, narratives describing the basis and rationale of each

CLIN. Identify any judgmental characteristics applied and any mathematical, statistical, or other methods used in pricing, and the nature and amount of any contingencies or adjustments included in the proposed amounts. If the offeror sells a comparable base unmodified trailer to other customers, the offeror shall provide a copy of the current published catalog price or published price list that is available to their customers or provided to their dealers and distributors. The offeror shall also provide information on sales of the base trailer to other customers, including other Government entities. This information shall include trailer model sold, customer, date of sale, unit price, quantity, and a comparison of the technical differences (and associated cost impacts) between this base model and the trailer offered in response to this solicitation. Also include copies of invoices for these other sales.

L.5.2 In addition to the above information, the Government reserves the right, as a clarification or discussion under FAR 15.306, to request additional or more detailed price breakdown data to support its determination of price reasonableness.

L.6 Volume V: Factor 4 - Small Business Participation (SBP)
